About this file

This is an Offeror's Modifications form related to a Request for Proposal (RFP) issued by Fulton County Schools (FCS) in Georgia for Telecommunications-Cellular Services. The document establishes the framework for how offerors may propose modifications to the contract terms and conditions contained in the solicitation. FCS has indicated that it does not intend to make changes to the proposed terms and conditions unless necessary to clarify the scope of work and technical requirements. Offerors are permitted to submit proposed modifications using the provided table format, which requires completion of all relevant cells including the section number, paragraph title, clause identification, the specific modification proposed with reasoning, the proposed contract provision to be substituted, and any price or schedule impact resulting from the modification.

The document emphasizes that offerors who propose substantive modifications that materially differ from the RFP terms and would require substantial legal negotiations may lose evaluation points. Additionally, failure to accept the terms and conditions as written may result in the proposal being deemed nonresponsive and could cause significant delays in FCS's ability to award the contract. Offerors submitting proposed or sample contracts must still specifically identify each proposed modification using the required format. The form notes that by submitting proposed modifications, an offeror acknowledges that its proposal may be deemed nonresponsive at FCS's discretion, and the form itself is designated for proposal evaluation purposes only and will not become part of the executed contract.

OFFEROR’S MODIFICATIONS

The terms and conditions contained in the solicitation comprise the contract proposed by FCS. FCS does not intend to make changes to those terms and conditions, unless necessary to clarify the scope of work and/or technical requirements. Offeror may lose points for substantive modifications proposed by Offeror which materially differ from the RFP terms and are likely to, in the opinion of FCS, require substantial legal negotiations to resolve. In addition, failure to accept the terms and conditions may result in significant unacceptable delays in FCS’ ability to award a contract and may result in an Offeror’s proposal being deemed to be nonresponsive. Nonetheless, if an Offeror must propose modifications to any of the contractual terms contained in the solicitation the Offeror shall provide the requested information for each proposed modification in the table below. Offerors who submit a proposed or sample contract must still specifically identify each proposed modification using the format below. By completing and submitting this form, an Offeror acknowledges that its proposal may be deemed to be nonresponsive at FCS' discretion.
