About this file
This document is Exhibit B - Method of Compensation for a Florida Department of Transportation (FDOT) District Four contract for Districtwide Title Search and Examination Services. The contract has a maximum limiting amount of $1,050,000.00, with an initial $210,000.00 currently approved and encumbered. It is a term contract for an indefinite quantity, where FDOT will request vendor services on an as-needed basis through individual Letters of Authorization (LOA). Each LOA will specify the services, time period, and authorized amount. The contract will require title search and examination services across multiple counties, with the vendor being a Florida-licensed attorney or licensed title agent.
The compensation methodology includes progress payments based on satisfactory performance, with strict penalty provisions for late delivery. Penalties range from 25% fee reduction for deliveries more than 24 business hours late, escalating to potential full fee forfeiture after 3 additional business days. The vendor must submit invoices to FDOT's Survey and Mapping Office, and is required to certify Minority/Disadvantaged Business Enterprise (MBE/DBE) utilization. Payments are contingent on annual legislative appropriations, and the Department may increase or decrease the budgetary ceiling through amendments. New users reporting DBE payments must obtain a BizWeb user ID and password from the FDOT Service Desk to access the payment reporting system.

6.0 PENALTIES:
TIME IS OF THE ESSENCE for the required services provided under this agreement.
The Vendor will be assessed a penalty for late delivery of all work products, which may include cancellation of services with no payment due to vendor. In addition, the Vendor will be assessed a penalty for failure to provide or late delivery of requested corrections to all work products. Such penalties will be calculated, and adjustments made to approved invoice payments, when applicable, based on the following:

After the 3 additional days have expired the entire service fee shall be forfeited, and no service shall be deemed provided to the Department for which vendor is due payment. At this point, the Department may seek to enter into an alternate written agreement for this service timeline with the vendor or may cancel it at no cost to the Department.

An alternate timeline may be agreed to between the Department and the vendor, in writing.
