About this file
This is an AIA Document C103-2015 Standard Form of Agreement between Grand Rapids Public School District (GRPS) and a consultant for Building Envelope and Roof Consulting Services related to the district's 2023 Bond Construction Project. The agreement covers consulting services for the Nutrition Services Facility located at 1130 Race Street NE in Grand Rapids, Michigan. The consultant will provide full-service roof consulting including existing conditions assessment, design and specifications development, bidding and procurement support, and construction administration and observations. The scope of services, consultant's hourly billing rates, insurance certificates, and project milestone schedule are incorporated as exhibits to the agreement. The consultant must maintain professional liability and general liability insurance with minimum limits of $1,000,000 per claim and $1,000,000 in aggregate, and must list the Owner as an additional insured on applicable policies.
Compensation for the consultant's services shall be provided on a time and materials basis using hourly rates and unit prices with a not-to-exceed amount to be specified. Upon reaching 50% of the not-to-exceed value, the consultant must provide a written estimate of hours and costs to complete the work and must immediately notify the Owner if projected costs will exceed the estimate. The agreement includes reimbursable expenses for authorized out-of-town travel, fees for securing approvals from authorities, printing and reproductions, postage and delivery, and taxes related to reimbursable expenses, though reimbursable expenses require prior written consent from the Owner beyond a specified threshold. The consultant is prohibited from adding markup to reimbursable expenses. The contract is governed by Michigan law and provides for mediation as a condition precedent to litigation. Either party may terminate the agreement, with the Owner able to terminate for convenience upon seven days' written notice and compensation due for services performed prior to termination.
