INSTRUCTIONS, CONDITIONS AND OTHER STATEMENTS TO

CONTRACTORS

INSTRUCTIONS TO OFFERORS

INTRODUCTION

1. Contractors are strongly encouraged to carefully review the entire solicitation, statement of work (SOW), specifications, drawings, evaluation factors, and these submission instructions when providing the written response. Failure to submit any of the following information, or failure to follow the formality requirements, may result in rejection of the quote.

2. This is a best value continuum, conducted in accordance with RFO Federal Acquisition

Regulation (FAR) Part 12.203 - Evaluation, supplemented by Department of Veterans Affairs

Acquisition Regulations (VAAR). These regulations are available electronically at https://www.acquisition.gov/far-overhaul/far-part-deviation-guide/far-overhaul and https://www.va.gov/oal/library/vaar/

The contract resulting from this solicitation will be awarded to the responsible vendor whose quote, conforming to the solicitation, is determined to provide the best value to the

Government based on both price and non‑price evaluation criteria. Award may be made to a vendor other than the lowest‑priced or the highest‑rated in the non‑price factors. The

Government will use business judgment and a comparative analysis approach to determine which quotation represents the best value. The Government is not required to quantify the comparative analysis results that support the best‑value decision.

The Government intends to award a firm‑fixed‑price construction purchase order in accordance with RFO FAR Parts 12 and 36. The basis of award will be a trade‑off between non‑price factors and price utilizing the comparative analysis approach. Comparative evaluation of the non‑price criteria will be used to determine the quote offering the best value to the Government. The non‑price factors will be assessed using qualitative comparison rather than an adjectival or numerical rating scheme. One firm‑fixed‑price construction purchase order will be awarded as a result of this solicitation.

3. Contractors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements. Failure to comply with the terms and conditions of the solicitation may result in the Offeror being ineligible for award.

4. Contractors are cautioned that the Government intends to award without discussions based solely on the initial offers received. Therefore, each initial offer received should be submitted on the most favorable terms. The Government will evaluate price by determining that the price is fair and reasonable for the work to be performed. To be considered fair and reasonable for the work performed, the evaluators will also check for appearance of unbalanced line item prices. If deemed necessary, the supplemental price breakdown information will be used to assist the Government in performing the price evaluation described above. Offers which are materially unbalanced as to prices for the basic requirement and the option quantities are not fair and reasonable. An Offer is unbalanced when it is based on prices significantly less than cost for some work and prices which are significantly overstated for other work.

5. The period of performance for this project is 240 calendar days.

6. Only one award will be made in response to this solicitation, and it will be made as a firm, fixed price (FFP) contract.

7. This solicitation is SDVOSB set-aside. Offeror MUST have an active SAM UEI number and be current in System for Award Management (SAM) at time of offer submission and at time of award. Any Offeror that claims SDVOSB and VOSB status must also be verified in Small

SYSTEM FOR AWARD MANAGEMENT (SAM): Federal Acquisition Regulations require that federal contractors register in the System for Award Management (SAM) database at https://sam.gov/SAM/ and enter all mandatory information into the system.

JOINT VENTURES: See 13 C.F.R. § 121.103(h)

(h) Receipts/employees attributable to joint venture partners. For size purposes, a concern must include in its receipts its proportionate share of joint venture receipts (whether that joint venture is populated or unpopulated), unless the proportionate share already is accounted for in receipts reflecting transactions between the concern and its joint ventures (e.g., subcontracts from a joint venture entity to joint venture partners). In determining the number of employees, a concern must include in its total number of employees its proportionate share of joint venture employees (whether the joint venture is populated or unpopulated). Once a joint venture receives a contract, it may submit additional offers for a period of two years from the date of that first award. An individual joint venture may be awarded one or more contracts after that two-year period as long as it submitted an offer including price prior to the end of that two-year period. SBA will find joint venture partners to be affiliated, and thus will aggregate their receipts and/or employees in determining the size of the joint venture for all small business programs, where the joint venture submits an offer after two years from the date of the first award. The same two (or more) entities may create additional joint ventures, and each new joint venture entity may submit offers for a period of two years from the date of the first contract to the joint venture without the partners to the joint venture being deemed affiliates. At some point, however, such a longstanding inter-relationship or contractual dependence between the same joint venture partners will lead to a finding of general affiliation between and among them. A joint venture: Must be in writing; must do business under its own name and be identified as a joint venture in the System for Award Management (SAM) for the award of a prime contract; may be in the form of a formal or informal partnership or exist as a separate limited liability company or other separate legal entity; and, if it exists as a formal separate legal entity, may not be populated with individuals intended to perform contracts awarded to the joint venture (i.e., the joint venture may have its own separate employees to perform administrative functions, including one or more

Facility Security Officer(s), but may not have its own separate employees to perform contracts awarded to the joint venture). SBA may also determine that the relationship between a prime contractor and its subcontractor is a joint venture pursuant to paragraph (h)(2). For purposes of this paragraph (h), contract refers to prime contracts, novation’s of prime contracts, and any subcontract in which the joint venture is treated as a similarly situated entity as the term is defined in part 125 of this chapter.

NOTICE TO PROCEED (NTP): A notice to proceed (NTP) shall be issued after award of a fully executed contract. The NTP date and time are “to be determined” after award to a successful Offeror.

Primary factor in determination to issue NTP shall be the Prime Contractor submission of, and the https://sam.gov/SAM/

Government review and approval of both Payment and Performance Bonds, both of which are enforceable legal documents.

EVALUATION FACTORS:

EVALUATION PROCESS

This is a best value continuum, conducted in accordance with Federal Acquisition Regulation (FAR) Part

52.212-2, Evaluation- Commercial Products and Commercial Services, supplemented by Department of

Veterans Affairs Acquisition Regulations (VAAR). These regulations are available electronically at https://www.acquisition.gov/far-overhaul/far-part-deviation-guide/far-overhaul and

Offers shall be evaluated as follows:

Key Personnel

Prior Experience

Past Performance

Price

Evaluation Criteria 1: Key Personnel

The Offeror shall complete the attached ‘Criteria 1-Key Personnel’ spreadsheet (Attachment A) for each of the proposed Project Manager and Superintendent. Attachment A is structured to allow for entry of up to three (3) total projects for each position as requested. The use of Attachment A and all information therein is MANDATORY and SHALL be used to evaluate the key personnel’s experience. The

Government will evaluate only the information provided in Attachment A and all other information provided on other than Attachment A will not be considered. The Offeror may expand individual cells on

Attachment A. The ‘Job Experience’ part shall clearly indicate the number of years of experience for the key personnel in each of their respective positions. In order to properly evaluate the quotes, the quote https://www.acquisition.gov/far-overhaul/far-part-deviation-guide/far-overhaul shall clearly indicate the number of years of experience, and shall NOT show combined experience, such as, Project Manager/Safety Officer for three years. The proposed key personnel shall be employees of the

Offeror’s firm. If the proposed key personnel are not a current employee of the Offeror’s firm at the time of quotation submission, the Offeror shall obtain a letter of intent to be employed by the Offeror, signed by the key personnel and the Offeror, and shall submit it with the quote.

Basis for Evaluation:

The Offeror’s key personnel shall be evaluated based upon experience in relevant projects with flooring and carpet replacement, demonstrated by a maximum of three (3) projects for each person completed within the last ten (10) years. Each person shall have a minimum of two years of construction experience in their respective positions. Note: the awarded contractor shall utilize the personnel submitted with their quote.

Evaluation Criteria 2: Prior Experience

Provide information on a maximum of four (4) example projects demonstrating the experience and capability of the Prime Construction Contractor with similar projects to carpet and flooring replacement. Examples should demonstrate offerors experience as the Prime Contractor on recent, relevant projects that are similar in size, scope, and complexity. (see ‘definitions’ above).

The Offeror shall complete the attached ‘Evaluation Criteria 2-Experience’ spreadsheet for the factor. ‘Evaluation Criteria 2-Experience’ is structured to allow for the entry of up to four (4) total projects as requested below. The use of ‘Evaluation Criteria 2-Experience’ and all information therein is MANDATORY and SHALL be used to evaluate offeror’s experience. The

Government will evaluate only the information provided in ‘Evaluation Criteria 2-Experience’ and all other information provided on other than ‘Evaluation Criteria 2-Experience’ will not be considered. The Offeror may expand individual cells on the ‘Evaluation Criteria 2-Experience’.

‘Evaluation Criteria 2-Experience’ submittals that do not comply with these requirements WILL

NOT be evaluated.

Basis for Evaluation:

The basis of evaluation will include the offeror’s demonstrated experience and depth of experience in performing recent, relevant construction projects. The assessment of the offeror’s relevant experience will be used as a means of evaluating the capability of the offeror to successfully meet the requirements of the solicitation. The Government will comparatively assess the Offeror's demonstrated prior experience based on the submitted projects.

Evaluation Criteria 3: Past Performance

(a) Solicitation Submission Requirements:

The Offeror shall submit a completed Contractor Performance Assessment Report System (CPARS) evaluation for at least five (5) recent, relevant projects. If there is not a completed CPARS evaluation, then submit Past Performance Questionnaires (PPQ - Attachment B) for each project. PPQs shall be completed and signed by the contracting agent and/or their representative responsible for construction contract administration. The contracting agent and/or their representative responsible for construction contract administration must submit complete PPQs via email to kayla.haruguchi@va.gov and daniel.jhun@va.gov before the specified quote due date. Offeror’ may submit PPQs previously submitted for other solicitations as long as complete, required information is included.

mailto:kayla.haruguchi@va.gov mailto:daniel.jhun@va.gove

After the solicitation closes, Offerors will not be allowed to submit additional CPARS or PPQs to replace the submitted CPARS or PPQs. Therefore, it is imperative that the Offerors only submit relevant CPARS and/or PPQ’s.

If the submitted CPARS/PPQs are determined by the Government to be irrelevant then the Government reserves the right not to replace them with an additional CPARS.

Offerors may provide any information on problems encountered and the corrective actions taken on these projects. Offerors may also address any adverse past performance issues. Explanations shall not exceed four (4) single-sided pages, 8.5” x 11”, 1” margin left/right/top/bottom, and 10-point font or larger.

The Government reserves the right to contact references for verification or additional information. The

Government’s inability to contact any of the offeror’s references or the reference’s unwillingness to provide the information requested may affect the Government’s evaluation of this factor. Performance award or additional information submitted will not be considered.

Basis for Evaluation:

This evaluation focuses on how well the offeror performed on the relevant projects. In addition to the above, the Government reserves the right to obtain information for use in the evaluation of past performance from any and all sources including sources outside of the Government. Other sources may include, but are not limited to, past performance information retrieved through the Past Performance

Information Retrieval System (PPIRS), using all CAGE/DUNS numbers of Contractors who are part of a partnership or joint venture identified in the offeror’s proposal, inquiries of owner representative(s), Federal Awardee Performance, and Integrity Information System (FAPIIS), and any other known sources not provided by the offeror.

The Government will consider the currency and relevance of the information, the source of the information, context of the data, and general trends in the Contractor’s performance. This evaluation is separate and distinct from the Contracting Officer’s responsibility determination.

The assessment of the offeror’s past performance will be used as a means of evaluating the offeror’s probability to successfully meet the requirements of the contract.

In rating Past Performance, the Government will evaluate recency, relevancy, and quality of contractor performance.

Evaluation Criteria 4: Price

Solicitation Submission Requirements: All proposals must include complete SF 1442, must be signed by a person from the firm who has the authority to enter into contractual agreements, any amendments, and a completed price breakdown sheet.

Basis for Evaluation:

The offerors’ price will be evaluated in accordance with FAR 15.404-1(b), Price Analysis for Commercial and Non-Commercial Items to determine price reasonableness. The offeror must complete price breakdown sheet and submit it with signed copy of SF 1442 and any amendments. The total evaluated price will be determined by the offeror’s price for all division items. Note: The VA will look at the total evaluated price and non-price factors to determine the best value. “Best Value” means the expected outcome of an acquisition that, in the Government’s estimation provides the greatest overall benefit in response to the requirements.
