B.2 SCOPE OF WORK
B.2.1 General Scope of Work
A) This procurement is for construction services for second part of the Consolidate Primary Care (CPC) projects phase 1 that will continue to consolidate the primary care units currently located on the 1st, 4th, and 8th floors in Building 1 of the Albany VA Medical Center located at 113 Holland Avenue, Albany NY 12208. The three primary care units are being combined on the first-floor core of the Albany VA Medical Center. In this phase, a new reception area shall be built to accommodate six (6) Medical Support Assistants (MSA) desks and a waiting lobby. This project also includes the relocation of the Agent Cashiers office in the existing space. The overall project footprint is approximately 5,000 sqft. The project consists of a phased construction approach, which includes restrictions on when certain construction activities can be performed. The contractor is required to follow all VA safety and infection prevention requirements at all times.
B) Background: The current hospital layout has three separate Primary Care units on three different floors--consolidation will reduce space, eliminate duplication of functions, reduce patient confusion, and modernize our Primary Care department at the Albany VA Medical Center. The design has incorporated the PACT model of care. This project area was originally included in the first phase of the CPC project mentioned above but had to be separated. And so, construction in the adjacent area of this project will potentially still be ongoing.
C) For detailed requirements of this project see attached approved drawings and specifications including the design narrative and appendices.
1. The work required under this contract is shown on specifications and drawings prepared by ThinkForm Design Architect LLC, entitled Albany Primary Care, VA project #528A8-22-814, and dated October 28, 2026 and further defined in the project Design Narrative of the same date.
2. All discrepancies between site conditions, drawings, specifications and manufacturer’s recommendations shall be brought to the attention of the Contracting Officer (CO) prior to the commencement of work and shall be handled in accordance with FAR clause 52.236-2 Differing Site Conditions.
3. All drawings notated with “install, replace, provide, or new” infer that the contractor is responsible for providing all materials and labor associated to complete that system, task, or phase of the project as well as the project overall.
4. The attached set of drawings includes several drawings that are not to be included in the scope of this project. The reason for these exclusions is that this work is being performed under a different construction project. The drawing sheets to be excluded are listed below:
a) MD101-5 Mechanical Demolition Phase 5 First Floor Plan
b) MH101-5 Mechanical Phase 5 First Floor Plan
c) MP101-5 Mechanical Phase 5 First Floor Piping Plan
5. In addition, the new VAVs listed as VAV-1-02 and VAV-1-26 in the VAV and CV Air Terminal Schedule on drawing sheet M-503 shall not be included in the SOW of this contract.
D) Contractors shall be required to adhere to specification section 01 32 00, Construction Documentation. The Contractors shall use Autodesk Build as the construction management platform.
E) Contractors shall be required to have completed and approved submittals prior to mobilizing. The submittals required to be completed prior to mobilization are shown in the submittal register.
F) The contractor shall provide all labor, supervision, and materials necessary to perform the work as indicated in this scope of work, project specifications and drawings. The contactor shall make every effort to maintain the existing conditions that are not part of the project. In addition to following “FAR 52.236-9, Protection of Existing, Structures, Equipment, Utilities and Improvements” the contractor shall remove or alter existing work in such a manner as to prevent injury or damage to any portions of the existing work, which is to remain. The contractor shall repair or replace portions of the existing work, which have been altered or damaged during construction operations to match existing or adjoining work, as approved by the Contracting Officer Representative (COR) and at no cost to the government. At the completion of operations, existing work shall be in a condition equal to or better than that which existed before new work started.
G) The contractor shall verify all existing conditions on the site and in the facility infrastructure that the proposed project may affect before the commencement of any construction. This includes but is not limited to verifying the location and elevations of existing utilities, verifying site items as shown on the project drawings, and taking appropriate field measurements. The government shall not be held responsible for bidding errors made or the failure to adequately inspect the job site for existing conditions, dimensions or to fully review manufacturer’s information related to the project.
B.2.2 SCHEDULES
A) The work shall be substantially complete no later than 295 calendar days after notice to proceed.
1. Rescheduling of any activities shall be done at no cost to the government unless negotiation and authorization of the rescheduled activity has been agreed upon by the government. Notify the COR at least 72 hours prior to starting demolition work, minor utility shutdowns, large deliveries or any event that may impact the normal operations of the facility.
B.2.3 Autodesk build construction management platform:
A) The Contractor shall utilize VISN 2 Autodesk Build Construction management platform, also called Autodesk Construction Cloud (ACC).
B) Access to the platform and training portal will be provided by VISN 2 through project Contracting Officer Representative (COR) at no cost for the duration of the project. Autodesk Build is the management and collaborative environment that VISN 2 uses for all its Non-Recurring Maintenance (NRM), Minor Program projects, Feasibility Studies, Commissioning and Retro-Commissioning contracts. There is no user, license, or subscription fee to the contractor for using this cloud-based platform.
C) The Contractor shall accomplish and complete the following tasks upon award of contract:
1. Request access to ACC platform and ProductivityNOW eLearning Site to project VA COR within 14 days of contract award. Only staff that shall utilize the platform to be granted access. Examples: Project manager, sub-contractors POC, Site manager, Safety officer, etc.

iv. Role/Position on the project (i.e., Project manager, site super)
3. Contractor staff granted access to the ACC platform shall complete ACC training through ProductivityNOW eLearning platform and provide certificates of completion to COR within 12 Calendar days of access being granted. Initial access to ProductivityNOW eLearning platform shall expire after 12 Calendar days after online access is granted.
C) Additional Staff and Subcontractors can be added at any time with a request for submission to the project COR.
D) The contractor shall only use the ACC platform for contract required submissions, official project correspondence to be acknowledged, reviewed, and actioned by the responsible party. No additional time shall be added to the contract, nor an increase in contract amount provided for the contractor’s failure to utilize the ACC platform as the project’s official communication and collaboration system. Any correspondence out of platform shall not be the governing authority contradicting direction and will be at the contractor’s expense. Official project correspondence and collaboration include but not limited to: RFIs, submittals, schedules, shutdown requests, actionable tasks, reports, testing, safety inspections, photos, and site surveys.
E) Contractor shall inform the COR of any staff changes within 2 business days from the change. Staff changes pertain to staff granted access to the ACC platform. Contractor shall request termination of access, replacement of personnel and/or any other action that might impact the contractor’s ability to maintain required utilization of the platform.
F) Contractor submission requirements cannot be accepted for work to begin without meeting all ACC Platform requirements outlined herein, including completing required ACC platform training.

The Contractor shall indemnify the Government and its officers, employees, and agents against liability, including costs, for actual or alleged direct or contributory infringement of, or inducement to infringe, any United States or foreign patent, trademark, or copyright, arising out of the performance of this contract, provided the Contractor is reasonably notified of such claims and proceedings.

(4) Overpayments. If the Contractor becomes aware of a duplicate contract financing or invoice payment or that the Government has otherwise overpaid on a contract financing or invoice payment, the Contractor shall—

(C) Affected line item or subline item, if applicable;

(ii) Provide a copy of the remittance and supporting documentation to the Contracting Officer.
(5) Interest.
(i) All amounts that become payable by the Contractor to the Government under this contract shall bear simple interest from the date due until paid unless paid within 30 days of becoming due. The interest rate shall be the interest rate established by the Secretary of the Treasury as provided in 41 U.S.C. 7109, which is applicable to the period in which the amount becomes due, as provided in (i)(6)(v) of this clause, and then at the rate applicable for each six-month period as fixed by the Secretary until the amount is paid.
(ii) The Government may issue a demand for payment to the Contractor upon finding a debt is due under the contract.

(A) The Contracting Officer and the Contractor are unable to reach agreement on the existence or amount of a debt within 30 days;

(iv) If a demand for payment was previously issued for the debt, the demand for payment included in the final decision shall identify the same due date as the original demand for payment.

(2) Delivery of the supplies to the Government at the destination specified in the contract, if transportation is f.o.b. destination.
(k) Taxes. The contract price includes all applicable Federal, State, and local taxes and duties.
(l) Termination for the Government's convenience. The Government reserves the right to terminate this contract, or any part hereof, for its sole convenience. In the event of such termination, the Contractor shall immediately stop all work and shall immediately cause any and all of its suppliers and subcontractors to cease work. Subject to the terms of this contract, the Contractor shall be paid a percentage of the contract price reflecting the percentage of the work performed prior to the notice of termination, plus reasonable charges the Contractor can demonstrate to the satisfaction of the Government using its standard record keeping system, have resulted from the termination. The Contractor shall not be required to comply with the cost accounting standards or contract cost principles for this purpose. This paragraph does not give the Government any right to audit the Contractor's records. The Contractor shall not be paid for any work performed or costs incurred which reasonably could have been avoided.
(m) Termination for cause. The Government may terminate this contract, or any part hereof, for cause in the event of any default by the Contractor, or if the Contractor fails to comply with any contract terms and conditions, or fails to provide the Government, upon request, with adequate assurances of future performance. The Government will send a cure notice to the Contractor, unless the reason for the termination is late delivery. In the event of termination for cause, the Government shall not be liable to the Contractor for any amount for supplies or services not accepted, and the Contractor shall be liable to the Government for any and all rights and remedies provided by law. If it is determined that the Government improperly terminated this contract for default, such termination shall be deemed a termination for convenience.
(n) Title. Unless specified elsewhere in this contract, title to items furnished under this contract shall pass to the Government upon acceptance, regardless of when or where the Government takes physical possession.
(o) Warranty. The Contractor warrants and implies that the items delivered under this contract are merchantable and fit for use for the particular purpose described in this contract.

(1) Except as stated in paragraph (s)(2) of this clause, when any supply or service acquired under this contract is subject to any End User License Agreement (EULA), Terms of Service (TOS), or similar legal instrument or agreement, that includes any clause requiring the Government to indemnify the Contractor or any person or entity for damages, costs, fees, or any other loss or liability that would create an Anti-Deficiency Act violation (31 U.S.C. 1341), the following shall govern:
(i) Any such clause is unenforceable against the Government.
(ii) Neither the Government nor any Government-authorized end user shall be deemed to have agreed to such clause by virtue of it appearing in the EULA, TOS, or similar legal instrument or agreement. If the EULA, TOS, or similar legal instrument or agreement is invoked through an “I agree” click box or other comparable mechanism (e.g., “click-wrap” or “browse-wrap” agreements), execution does not bind the Government or any Government authorized end user to such clause.
(iii) Any such clause is deemed to be stricken from the EULA, TOS, or similar legal instrument or agreement.
(2) Paragraph (s)(1) of this clause does not apply to indemnification by the Government that is expressly authorized by statute and specifically authorized under applicable agency regulations and procedures.
(t) Comptroller General examination of record. This paragraph applies if this contract was awarded using other than sealed bid procedures and is in excess of the simplified acquisition threshold on the date of award of this contract.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices, at all reasonable times, the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR part 4, longer period required by statute, or periods specified in other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This clause does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
(u) Incorporation by reference. The Contractor’s representations and certifications, including those completed electronically via the System for Award Management (SAM), are incorporated by reference into the contract.

(c) The Contractor must include the substance of this clause, including this paragraph (c), in subcontracts at any tier, including those for commercial products and commercial services, except those where the place of delivery or performance is outside the United States.

C.4 52.225-9 BUY AMERICAN—CONSTRUCTION MATERIALS (DEVIATION) (NOV 2025)
(a) Definitions. As used in this clause— Commercially available off-the-shelf (COTS) item—
(1) Means any item of supply (including construction material) that is–
(i) A commercial product (as defined in paragraph (1) of the definition of ‘‘commercial product’’ at Federal Acquisition Regulation (FAR) 2.101);
(ii) Sold in substantial quantities in the commercial marketplace; and
(iii) Offered to the Government, under a contract or subcontract at any tier, without modification, in the same form in which it is sold in the commercial marketplace; and
(2) Does not include bulk cargo, as defined in 46 U.S.C. 40102(4), such as agricultural products and petroleum products.
“Construction material” means an article, material, or supply brought to the construction site by the Contractor or a subcontractor for incorporation into the building or work. The term also includes an item brought to the site preassembled from articles, materials, or supplies. However, emergency life safety systems, such as emergency lighting, fire alarm, and audio evacuation systems, that are discrete systems incorporated into a public building or work and that are produced as complete systems, are evaluated as a single and distinct construction material regardless of when or how the individual parts or components of those systems are delivered to the construction site. Materials purchased directly by the Government are supplies, not construction material.
Cost of components means—
(1) For components purchased by the Contractor, the acquisition cost, including transportation costs to the place of incorporation into the construction material (whether or not such costs are paid to a domestic firm), and any applicable duty (whether or not a duty-free entry certificate is issued); or
(2) For components manufactured by the Contractor, all costs associated with the manufacture of the component, including transportation costs as described in paragraph (1) of this definition, plus allocable overhead costs, but excluding profit. Cost of components does not include any costs associated with the manufacture of the construction material.
Critical component means a component that is mined, produced, or manufactured in the United States and deemed critical to the U.S. supply chain. The list of critical components is at FAR 25.105.
Critical item means a domestic construction material or domestic end product that is deemed critical to U.S. supply chain resiliency. The list of critical items is at FAR 25.105.
Domestic construction material means—
(1) For construction material that does not consist wholly or predominantly of iron or steel or a combination of both—
(i) An unmanufactured construction material mined or produced in the United States; or
(ii) A construction material manufactured in the United States, if–
(A) The cost of its components mined, produced, or manufactured in the United States exceeds 60 percent of the cost of all its components, except that the percentage will be 65 percent for items delivered in calendar years 2024 through 2028 and 75 percent for items delivered starting in calendar year 2029. Components of foreign origin of the same class or kind for which nonavailability determinations have been made are treated as domestic. Components of unknown origin are treated as foreign; or
(B) The construction material is a COTS item; or
(2) For construction material that consists wholly or predominantly of iron or steel or a combination of both, a construction material manufactured in the United States if the cost of foreign iron and steel constitutes less than 5 percent of the cost of all components used in such construction material. The cost of foreign iron and steel includes but is not limited to the cost of foreign iron or steel mill products (such as bar, billet, slab, wire, plate, or sheet), castings, or forgings utilized in the manufacture of the construction material and a good faith estimate of the cost of all foreign iron or steel components excluding COTS fasteners. Iron or steel components of unknown origin are treated as foreign.
