About this file
This is an Offeror's Exceptions form issued by Fulton County Schools (FCS) in Georgia for a Lawn Maintenance and Pruning Services contract covering all Elementary, Middle and Support Facilities. The document establishes the process by which offerors may take exceptions to the RFP terms and conditions if necessary. FCS emphasizes that it does not intend to modify the solicitation's terms and conditions unless clarification of scope of work or technical requirements is needed, and that offerors proposing substantive modifications that materially differ from RFP terms may lose evaluation points. The form requires offerors to document any exceptions in a structured table format, identifying the specific section, paragraph, title, and clause number; providing a clear explanation of the exception and reason; proposing a resolution; and identifying any price or schedule impacts resulting from the exception.
Offerors are cautioned that failure to accept RFP terms and conditions may render a proposal nonresponsive and cause significant delays in contract award, and that FCS retains discretionary authority to deem proposals nonresponsive. The form explicitly states it is for proposal evaluation purposes only and will not become part of the executed contract. All cells within each row of the exceptions table must be completed for each exception taken, and the completed form must be signed by an authorized representative of the offeror with printed name, title, date, and FCS RFP number included.

OFFEROR’S EXCEPTIONS
The terms and conditions contained in the solicitation comprise the contract proposed by FCS. FCS does not intend to make changes to those terms and conditions, unless necessary to clarify the scope of work and/or technical requirements. Offeror may lose points for substantive modifications proposed by Offeror which materially differ from the RFP terms and are likely to, in the opinion of FCS, require substantial legal negotiations to resolve. In addition, failure to accept the RFP terms and conditions may result in significant unacceptable delays in FCS’ ability to award a contract and may result in an Offeror’s proposal being deemed to be nonresponsive. Nonetheless, if an Offeror must take an exception the Offeror shall provide the requested information for each exception or suggested deviation in the table below. By completing and submitting this form, an Offeror acknowledges that its proposal may be deemed to be nonresponsive at FCS' discretion.
