About this file
This is a Non-Disclosure Agreement between Eastern Municipal Water District (EMWD) and a receiving company for the provision of Operational Technology (OT) integration services related to SCADA systems and industrial control systems. EMWD, California's sixth largest retail water agency, serves nearly one million people across a 601-square mile service area in western Riverside County and northern San Diego County, providing water, wastewater, and recycled water services to eight incorporated cities and ten unincorporated communities. The agreement establishes the terms under which the receiving party may access EMWD's proprietary and confidential information necessary to deliver OT integration services including design, engineering, construction, installation, programming, calibration, testing, commissioning, documentation, support, and training related to the agency's critical infrastructure systems.
The agreement imposes strict confidentiality obligations on the receiving party, limiting disclosure of confidential information to employees with a need to know and prohibiting any use beyond the scope of the contracted services. The receiving party must comply with Homeland Security Presidential Directive 7, which designates drinking water and water treatment systems as critical infrastructure, and must report any security breaches involving Customer Personal Data within 72 hours to EMWD's Safety, Risk and Emergency Management department. The receiving party is required to indemnify and hold harmless EMWD against all claims, liabilities, and damages arising from security breaches, unauthorized access, or any act or omission by the receiving party and its affiliates. Upon request, the receiving party must immediately return all confidential information and destroy any documents created based on such information. The agreement is governed by California law with venue in Riverside County and remains in effect until terminated by either party through written notice.
