About this file
This is a Claim of Business Confidentiality Form submitted by a bidder in response to the Utah Department of Transportation (UDOT) Invitation for Bid for Traffic Control Services across UDOT Regions 1, 2, and 3. The form allows bidders to assert claims of business confidentiality for specific information included in their proposals in accordance with Utah Code Annotated Subsections 63G-2-305(1) and (2) and Section 63G-2-309. Bidders may protect non-public financial statements, specific employee names and contact information, customer information, client lists, subscription lists, and other specified information by demonstrating that such information constitutes trade secrets or commercial information that could result in unfair competitive injury if disclosed. The form requires bidders to identify the specific pages and paragraphs of their proposals for which confidentiality is claimed and provide detailed reasoning supporting each claim. Importantly, pricing and cost proposals cannot be classified as confidential and will be considered public information, and entire proposals cannot be designated as protected, confidential, or proprietary.
The form process includes notification to bidders if records claimed as protected are classified as public or if the governmental entity determines that records should be released after weighing interests under applicable Utah Code sections. This submittal form does not address specific pricing terms, set asides, incumbent contractors, funding sources, or contract award details, as it functions solely as the mechanism for bidders to assert business confidentiality protections during the procurement process. The form was last revised on June 4, 2015.
