About this file

This is a Claim of Business Confidentiality Form for the Utah Department of Transportation (UDOT) Deicer Testing Invitation for Bid (IFB). The form permits bidders to assert claims of business confidentiality for specific information submitted as part of their proposal, in accordance with Utah Code Annotated Subsections 63G-2-305(1) and (2) and Section 63G-2-309. Bidders may claim confidentiality protection for non-public financial statements, specific employee names and contact information, customer information, client lists, subscription lists, or other proprietary information. However, pricing and cost proposals cannot be classified as confidential or protected and will be considered public information. Additionally, an entire proposal cannot be identified as "Protected," "Confidential," or "Proprietary" in its entirety.

Bidders asserting confidentiality claims must specify the pages, paragraphs, and reasons for protection, demonstrating that the information qualifies as a trade secret under Utah law or as commercial information that could reasonably be expected to result in unfair competitive injury if disclosed. The governmental entity will notify bidders if claimed protected records are classified as public or if the entity determines that records should be released after weighing interests under applicable Utah Code provisions. Bidders must sign and date the form on behalf of their company, confirming their understanding of the claim requirements and procedures governing the handling of confidential business information in this procurement process.
