This Contract, consisting of the signature page and numbered sections listed below and any attachments referenced in this Contract, constitute the entire Contract between the Parties concerning the subject matter of the Contract, and in signing the Contract, the Vendor affirms that the Certifications and Financial Disclosures and Conflicts of Interest attached hereto are true and accurate as of the date of the Vendor’s execution of the Contract. This Contract can be signed in multiple counterparts upon agreement of the Parties.
1. SCOPE OF WORK
1.1. OVERVIEW AND PURPOSE:
The Illinois State Toll Highway Authority (Illinois Tollway) is dedicated to providing and promoting a safe and efficient system of toll supported highways while ensuring the highest possible level of service to its customers.
The Illinois Tollway is looking for vendors who share this commitment and will help meet this goal.
1.2. SUPPLIES AND/OR SERVICES REQUIRED: The Illinois Tollway is seeking a vendor to furnish and deliver the Tollway’s estimated requirements of miscellaneous Electrical Supplies including, but not limited to, conduit, straps, hangers, and wire connectors, as specified in the Pricing section below.
Quantities: It shall be expressly understood by the bidder that the estimated bid quantities specified in the contract documents are for the purpose of determining the lowest bid and to establish unit prices. The Tollway may, over the term of the Contract, place orders for more or fewer than the estimated quantities stated. The Tollway does not guarantee that any minimum number of quantities shall be ordered from the Vendor. Materials furnished under this contract shall be delivered in multiple deliveries as determined by the needs of the Illinois Tollway. The estimated quantities of this contract shall be based on an initial period of two (2) years; prices shall remain firm for the term of the contract. The decision to pre-order and hold any inventory rests solely with the Vendor.
Brand Name or Equal: All of the items listed therein such as TABLE 1, Section 2.2 are specified by manufacturer and manufacturer’s product number. Specifications are to establish standards of quality and performance and not for the purpose of limiting competition. Products of other manufacturers may be substituted where specified if the bidder can establish that they are equal to or better than those specified in quality, performance, design, and suitability for intended use.
The Illinois Tollway’s determination thereof shall be final.
v.25.4
The Illinois Tollway recognizes that differences in engineering design and methods may exist among manufacturers that do not significantly alter performance. The Illinois Tollway reserves the right to determine when such differences are acceptable substitutes to the contract specifications and may waive technical differences in the award of the bid when it is in the best interest of the Illinois Tollway to do so.
Catalog Line Items (Table 2): Catalog items are Brand Name Only. The percent discount bid in Table 2, Catalog Pricing, shall remain in effect for the entire term of the contract and any subsequent renewals. The successful bidder shall supply the Tollway with two (2) Manufacturer’s Parts Price Lists within seven (7) business days after the notification of award. Copies shall be current and effective as of the contract start date. In the event the catalog is not available in paper format, the Vendor may provide this information in CD-ROM form compatible with any current Windows platform or a website accessible by Tollway personnel. During the initial term of the Contract and any subsequent renewals, the Tollway shall accept supplements to the manufacturer’s list price catalog. It shall remain the sole responsibility of the Vendor to provide price supplements to the Tollway. These prices shall be effective as of the date the price supplements are received by the Tollway’s Purchasing Department and shall be applied only to subsequent orders placed by the Tollway and not to pending orders already placed but not received by the Tollway. Price supplements shall be sent to: Building Maintenance Managers, Jim Ryan at JRyan@getipass.com and Jose Cardenas at JCardenas@getipass.com
Return of Goods: The Illinois Tollway may find it necessary to return materials purchased under the contract if they become unusable due to a change in requirement. The Vendor shall agree to credit the purchase price to the Illinois Tollway for any returned items obtained through the contract. It is understood and agreed that such returned items shall be clean, undamaged, and in a saleable condition. This return agreement shall be in effect for a period of ninety (90) days from the termination date of the contract even though the vendor does not hold the contract at the time the return is made.
Backorders: Electronic or written notification of backordered Electrical Supplies shall be sent immediately to the Tollway. For any backorders for materials manufactured prior to ordering that cannot be filled within ten (10) business days, the Tollway shall have the option of accepting or canceling the backorder or the Tollway may submit a request for a substitute.
Mis-shipments and Defective Merchandise: The Vendor shall be responsible for any incorrect or damaged shipments and defective merchandise. The Vendor shall make arrangements with their common carrier or company personnel to pick-up any unacceptable materials within forty-eight
(48) hours of notification.
The Vendor shall replace the incorrect, damaged or defective merchandise or issue a credit within ten (10) business days of the return. If the replacement merchandise or a credit is not received within ten (10) business days, the Tollway shall deduct the amount of the return from any outstanding invoice at the time of payment.
v.25.4
The Tollway shall not be subject to restocking charges due to Vendor error. The Illinois Tollway shall not pay any restocking charges for incorrect, damaged, or defective items returned under the contract.
1.3. MILESTONES AND DELIVERABLES: Deliveries shall be made within ten (10) working days after receipt of an order. Vendor shall supply itemized invoices within fifteen (15) days of each delivery to the Tollway. Invoices shall be marked to the attention of the Contract Invoice Administrator and delivered to the Illinois Tollway, P. O.
Box 3094, in Lisle, IL 60532.
1.4. VENDOR/STAFF SPECIFICATIONS: The Vendor shall be the manufacturer or an authorized dealer/distributor of the proposed items or be capable of providing genuine parts, assemblies and/or accessories as supplied by the original equipment manufacturer (OEM). Further, the Vendor shall be capable of furnishing original product warranty and manufacturer’s related services such as product information, product recall notices, etc.
The Tollway may require the bidder to submit a letter from the manufacturer which authorizes their distribution of this product.
1.5. TRANSPORTATION AND DELIVERY: Delivery shall be F.O.B. (freight on board) destination to the Tollway’s
Central Warehouse located at 4 S. 496 Naperville Road in Naperville, Illinois 60563, Monday through Friday, except State holidays, between 8:30 a.m. to 3:00 p.m. CDT.

2. PRICING
2.1. TYPE OF PRICING: The Illinois Office of the Comptroller requires the State to indicate whether the contract price is firm or estimated at the time it is submitted for obligation. The total price of this Contract is estimated.
2.2. VENDOR’S PRICING: Vendor’s pricing is located in the Items Tab in the BidBuy Purchase Order. The State includes in this Contract the BidBuy Purchase Order as it contains the agreed pricing.
Pricing shall be submitted in the following format: Tollway is providing the vendor information in the tables below for the purpose of determining a low bidder. Vendor shall submit all pricing in Bid Buy. Vendor shall bid on all line items in Bid Buy for each Group, in order to be considered responsive. Failure to bid on all line items shall result in a disqualified bid. The estimated quantities of this contract shall be based on an initial term of two (2) years. .
Various items listed in Table 1, Section 2.2 are specified by manufacturer and manufacturer’s part and / or model number to establish standards of quality, compatibility, and performance, not for the purpose of limiting competition. If quoting an alternate brand, bidders shall provide the manufacturer’s name and part number they are bidding for each line item. The determination of “Equal Substitute” is done at the time of bid submission review by the Tollway. The determination of when an item is considered “equal” is at the sole discretion of the Tollway. The use of a brand name is for the purpose of describing the standard of quality, performance, and characteristics desired and is not intended to limit or restrict competition. "Or equal" submissions will not be rejected because of minor differences in design, construction or features that do not affect the suitability of the product for its intended use. Burden of proof that the product is equal is on the bidder.
The Illinois Tollway is also seeking a percent discount from manufacturer’s list price for all other items that the Tollway may purchase throughout the contract term. Bidder shall enter the discount from manufacturer’s list price in the pricing table below. Bidder shall determine the amount of discount from the manufacturer’s published list price that they are willing to provide the Tollway. This price shall be applied to all items and parts, other than those detailed in Table 1, purchased utilizing this contract. To complete the Pricing the Bidder shall multiply the “Estimated Usage” by “Percent Discount from Manufacturer’s List Price” to obtain the “Dollar Value of Percent Discount from Manufacturer’s List Price.” To obtain the “Extension,” subtract the “Dollar Value of Percent Discount” from the “Estimated Usage.” For example; $60,000.00 (“Estimated Usage”) x 1% (“Percent Discount”) = $600.00 (“Dollar Value of Percent Discount”). To obtain the “Extension,” $60,000.00 (“Estimated Usage”) - $600.00 (“Dollar Value of Percent Discount”) = $59,400.00 (“Extension”). Vendor shall submit all pricing into Bid Buy. Vendor shall bid on all line items in Bid Buy for each Group, to be considered responsive. Failure to bid on all line items shall result in a disqualified bid. The State award to the lowest responsive, responsible bidder that bids on all line items in both groups.

Select commodity data and then select Group "NAME (" Other electrical equipment & component mfg"). Should the BLS discontinue the commodity code listed above, the next higher-level index shall be used to calculate the price adjustment. All price adjustment calculations shall be based upon the latest version of the PPI available at the time of the price adjustment. The effective date of an adjustment shall be the first day of the renewal term. If the PPI data is not available for any month of the final three (3) full months of the annual Contract period, the average of the PPI data for the most recent three (3) full months preceding the anniversary of the Contract shall be used in computing the price adjustment. The adjusted Contract price will be determined by performing the following calculation: the original Contract price(s) shall be multiplied by the index percent change and then rounded to two (2) decimal places. The index percent change shall be calculated by subtracting the base period index value from the average index value of the last full three (3) months of the annual Contract period available at the time of the price adjustment and then the result shall be divided by the base period index value. The base period index value for the first allowable price increase is the index value for the start date of the initial term of the Contract and for all subsequent allowable price increase(s). The adjusted Contract price(s) may be higher or lower than the original Contract pricing, as dictated by the applicable index values. Any price adjustments requested in subsequent years of the Contract shall be calculated in the same manner. In no case shall any price increase for the renewal period exceed 4% of the previous price.
