The maximum potential not-to-exceed (NTE) value of this contract including Options, is $3,248,200,000. This contract provides for performance of cost-plus-award-fee, cost-plus-fixed-fee, and firm-fixed price indefinite-delivery indefinite- quantity (IDIQ) task/delivery orders. The NTE value shall not be exceeded without the prior written approval of the Contracting Officer.
The values for each period of performance are set forth below:

MSFC 52.216-91 Supplies and/or Services to be Provided and Type of Contract. JAN 2025
(a) The contractor shall provide all resources (except as expressly stated in the contract as furnished by the Government) necessary to perform and/or deliver the services in accordance with Attachment J-1 Performance Work Statement.
(b) The effort will be performed using a single-award, indefinite-delivery, indefinite-quantity (IDIQ) contract. Contract requirements fall under two broad categories - skills augmentation support and end-item deliverables, as described in paragraphs (c) and (d) below. Clauses delineated in this contract are applicable as appropriate specific to the type of TO/DO awarded.
Unused IDIQ contract value (except unearned award fee value) may be combined with subsequent period value without change to the maximum potential Not to Exceed (NTE) value.
Unearned award fee value will be removed via unilateral contract modification. The CO may shift unused contract year value from one CLIN category (i.e. MSFC and SSC Skills Augmentation, Other Centers Skills Augmentation, MSFC End-Item Deliverables) to another to accommodate projected need without change to the maximum potential NTE Value, as long as the end-item deliverables portion of the IDIQ value does not exceed 25% of the maximum potential NTE value.
(c) Skills Augmentation Support: The contractor's work will be controlled by means of task orders (TOs) for skills augmentation support. Specifically, the Government may award cost-plus-award-fee (CPAF) task orders to perform (1) MSFC and SSC Skills Augmentation support - CLINS 0002 and 0008, (2) Other Centers Skills Augmentation support - CLINS 0005 and 0011.
The contract includes an option to transition the skills augmentation support requirements to cost-plus-fixed-fee (CPFF) in the event of consistent, highly excellent, contractor performance.
See Section H special contract requirements. The Government may award CPFF TOs to perform
(1) MSFC and SSC Skills Augmentation support - CLINS 0006 and 0012, (2) Other Centers Skills Augmentation support - CLINS 0007 and 0013. MSFC and SSC Skills Augmentation Support (CLINS 0002, 0008) will be governed via TOs issued and tracked via the ATOMS Suite and funded at the contract CLIN level. Other Centers Skills Augmentation support (CLINS 0005 and 0011) will be governed via TOs issued and tracked through both the NASA Contract Management System (NCMS) and the ATOMS Suite and funded at the TO CLIN level.
(d) End-Item Deliverables: The contractor's work will be controlled by means of delivery orders (DOs) for MSFC end-item deliverables. Specifically, the Government may award CPFF DOs to perform MSFC end-item deliverable requirements - CLINS 0003 and 0009. The Government may award firm-fixed-price (FFP) DOs to perform MSFC end-item deliverable requirements - CLINS 0004 and 0010. MSFC end-item deliverable requirements will be issued and tracked through both the NCMS and the ATOMS Suite and will be funded at the DO CLIN level.
(e) TO/DO estimates will require use of Attachment J-7, Rates Schedule and Labor Categories.
The contractor shall not apply fee to non-labor portions of other direct costs. Only actual costs plus the appropriately applied burden rates will be reimbursed. The contractor shall obtain approval from the CO and the COR at least five (5) business days prior to the incurrence of travel or training expenses. Travel shall be performed in compliance with the Federal Travel Regulations (FTR). Actual expenses exceeding the FTR will not be reimbursed by the Government.
(End of Clause)

Section H – Special Contract Requirements
H.1 Option to Transition from Award Fee to Fixed Fee – Skills Augmentation
It is NASA's intention to transition all skills augmentation services from CPAF - CLINS 0002, 0005 and CLINS 0008, 0011 (if exercised) - to CPFF - CLINS 0006, 0007 and CLINS 0012, 0013 (if exercised) - under this contract if the conditions of this special contract requirement are met. The CO may exercise this option by issuance of a unilateral contract modification provided that NASA, in its sole discretion, determines the transition to be in the best interest of NASA, and provides the Contractor a preliminary written notice no later than 60 calendar days prior to the transition. NASA's determination to transition to use of CPFF skills augmentation CLINS will be based on the contractor's ability to demonstrate a firm understanding of the unique technical requirements and to demonstrate sustained, highly excellent, performance. The option to transition skills augmentation support from CPAF to CPFF will be evaluated periodically to determine if it is in the best interest of NASA based on the Contractor's performance to date.
After transitioning skills augmentation to CPFF CLINs, NASA will continue to provide performance feedback through evaluation identified in Attachment J-3, Performance Requirements Summary, and related actions including, but not limited to, holding quarterly past performance meetings, formally documenting Contractor past performance, and requesting implementation of corrective actions, as necessary.
At no time will the Contractor be eligible for both the award fee and fixed fee for skills augmentation services. Upon transition to CPFF for skills augmentation, evaluation will be performed in accordance with Attachment J-3, Performance Requirements Summary. For each period, fee shall be distributed based upon either the applicable CPAF or CPFF contract terms or conditions.
Should this option be exercised, the following contract revisions apply along with any other language identified by the CO supporting the transition:
(a) The listed fixed fee clauses will apply to the skills augmentation work (CLINS 0006, 0007, 0012 if exercised, and 0013, if exercised) and be in effect for the applicable fee periods/pool(s):
(1) FAR 52.216-8, Fixed Fee
(2) NFS 1852.216-75, Payment of Fixed Fee
(3) NFS 1852.216-74, Estimated Cost and Fixed Fee
(b) The NTE fixed fee rate established at the start of the contract in Attachment J-7, Schedule of Rates and Description of Labor Categories, will be in effect. (Per FAR 15.404-4(c)(4)(i)(C), fee rate cannot exceed 10%).
(c) All other terms and conditions of the contract (excluding…
