52.212-1(b) Instructions to Offerors - Commercial Items ADDENDUM Submission of offers.
A. Proposal Submittal and Inquiries.
These instructions prescribe the format for the proposal and describe the approach for preparation and presentation of the proposal data. They are designed to ensure that Offerors submit the required information essential to the Government's understanding and validation of proposals. Offerors are cautioned and encouraged to follow these instructions completely and carefully. Proposals shall not rephrase requirements set forth in the solicitation. Noncompliance with these instructions may be cause for rejection of the Offerors proposal. Proposals which merely offer to perform work in accordance with the solicitation or which fail to present more than a statement indicating the company's capability of compliance without elaboration will be deemed unacceptable and will not be further considered.
1. Proposals shall be submitted prior to 08 April 2024, 3:00 PM EST, as identified on the SF 1449, to the following address:

2. Electronic submissions via email or fax will not be accepted. Offers shall be mailed through a commercial/Government carrier or hand carried.
3. All questions regarding this solicitation shall be submitted in writing via email to:
lakenia.m.brown.civ@army.mil no later than 26 March 2024, 4:00 PM EST, subject line shall reference the solicitation number W911SD-24-R-0081. Questions and Answers will be posted on sam.gov, via an amendment, without Offeror identification. Questions received after the deadline may not be answered.
B. General Instructions
1. The Government intends to make award based on source selection procedures, as delineated in FAR Part
15.3. Offers will be evaluated using the criteria under 52.212-2 Evaluation - Commercial Items ADDENDUM. Noncompliance with the Request for Proposal (RFP) requirements may hamper the Government's ability to properly evaluate the proposal and may result in elimination of the proposal from further consideration for contract award. Offerors shall respond to the solicitation as posted. Offerors who alter the solicitation (except for completing appropriate “fill-in” blocks and certifications) may be considered not in compliance with the requirements of the solicitation and therefore ineligible for award.
2. The Offer. The submission of the documentation specified below will constitute the Offeror's acceptance of the terms and conditions of the RFP, concurrence with the Performance Work Statement (PWS), and the proposed contract type.
3. Period for Acceptance of Offerors. The Offeror agrees to hold the prices in its offer firm for 180 calendar days from the date specified for receipt of offers. Should the Government open discussions the acceptance period may be extended.
4. It is the Government’s intention to award without discussions. Offerors are encouraged to present their best Mission Capability, Past Performance, and prices in their initial proposal submission. However, IAW FAR Part 15.306, should discussions become necessary, the Government reserves the right to hold discussions. If this occurs, a competitive range will be determined and Offerors notified. The competitive range may be limited for purposes of efficiency IAW FAR Part 15.306(c)(2).
5. These instructions prescribe the format for the proposal and describe the approach for the development and presentation of proposal data. These instructions are designed to ensure the submission of necessary information to provide for the understanding and comprehensive evaluation of proposals. Upon receipt of proposals and subsequent revisions the contracting office will review them for compliance with submission requirements or Discussion response instructions if discussions are opened. A proposal may be determined not in compliance with the material requirements of the solicitation when: (1) any proposal volume is not compliant with submission requirements or Discussion instructions or (2) Volume I-IV content is not compliant with paragraph C, below.
6. If an Offeror believes that the requirements in these instructions contain an error, an ambiguity, omission, or are otherwise unsound, the Offeror shall immediately notify the Contract Specialist, identified above in para A.1 and A.3, in writing, with supporting rationale.
7. In accordance with FAR Subpart 4.8 (Government Contract Files), the Government will retain one copy of all unsuccessful proposals. Unless the Offeror requests otherwise, the Government will destroy extra copies of such unsuccessful proposals.
8. Debriefings. The Contracting Officer (KO) will promptly notify Offerors of any decision to exclude them from the competitive range, whereupon they may request and receive a debriefing in accordance with FAR 15.505. The KO will notify unsuccessful Offerors in the competitive range of the source selection decision in accordance with FAR 15.506. Upon such notification, unsuccessful Offerors may request and receive a debriefing. Offerors desiring debriefing must make their request in accordance with the requirements of FAR 15.505 or 15.506, as applicable.
C. Proposal Preparation/Content Instructions
1. Offerors proposal shall consist of four (4) separate volumes: General; Factor 1 – Mission Capability;
Factor 2 – Past Performance; Factor 3 - Price.
2. Proposal Format
(a) Offerors shall submit an original and the number of copies listed in paragraph (b) below of their proposal.
(b) The proposals shall be organized into four (4) volumes. Each hard copy volume of the proposal shall be separately bound in a three-ring loose leaf binder which shall permit the volume to lie flat when open. A cover sheet should be bound in each book, clearly marked as to volume number, title, copy number, solicitation identification and the Offeror's name. The same identifying data should be placed on the spine of each binder. All text shall be single spaced and printed black on white paper (Black and white requirement does not apply to graphics, photos, etc., Company stationery and logos are acceptable). IAW FAR 52.204-4, hard copies shall be double-sided on paper containing at least 30 percent postconsumer fiber, whenever practicable. Printing shall be easily readable (12-pitch type or 10 point proportional spacing.) Cross-references should be utilized to preclude unnecessary duplication of data between sections. In addition to submitting a hard copy of the proposal, digital copies shall be provided on CD-ROM disks in Microsoft Word, PowerPoint and/or Excel. Excel workbooks/spreadsheets shall comply with the allowable page size requirement, formulas shall be unlocked. File names will be named in the following naming convention format: “Company Name – Initial” for the first submission. File name of later submissions (if necessary), shall be “Company Name – Revision X’ with X indicating the number of the revision. The digital version will take precedence if there should be any differences noted between the hard and electronic versions of the Offeror’s proposal. Page limitations are as follows:

(c) Proposal Limitation. The proposal shall not exceed the limits stated above. If the page limits are exceeded, the pages in excess of the limit will not be read or considered for evaluation purposes.
The Government will not accept any changes to the contractor’s proposal after the closing date of the solicitation (See FAR 15.208 for further information regarding late proposals). If discussions become necessary, page limitations may be placed on responses to Evaluation Notice (ENs). The specified page limits for EN responses will be identified in the letters forwarding the ENs to the Offerors.
(d) Page Limit Includes: All appendices, charts, graphs, diagrams, tables, photographs, drawings, etc.
(e) Page Limit does not include covers for volumes, tables of contents, glossary of abbreviations and acronyms, indices, title pages, cross reference indices, and section dividers/tables if they are inserted solely to provide ease to the reader in locating parts/sections of the proposal. Pages will be counted if they contain any other information, i.e., diagrams, extraneous data, etc. Pages marked “This page intentionally left blank” will not be counted.
What Counts As A Page? A page shall be an 8 ½ X 11” sheet of paper. When both sides of a sheet display printed material, it shall be counted as two pages. Letter size and spacing requirements for illustrations and tables can be at the discretion of the Offeror but must be easily readable. Any foldouts exceeding the size identified as what is to be considered a page, will be counted as the appropriate number of pages based on an 8 ½ X 11” sheet of paper. Use at least 1-inch margins on the top and bottom and 3/4-inch side margins. The Contractor shall number each page to eliminate any confusion and fold outs shall not be counted, by the contractor, as 1 page.
In the event the contractor creates an ambiguity in their numbering of pages, the Government may exercise its own discretion in counting pages. Each proposal page shall apply appropriate markings including those prescribed in accordance with FAR 52.215-1(e), Restriction on Disclosure and Use of Data, and FAR 3.104-4, Disclosure, Protection, and Marking of Contractor Bid or Proposal Information and Source Selection Information
(f) Indexing. Each volume shall contain a detailed table of contents to delineate the subparagraphs within that volume. Tab indexing shall be used to identify sections.
(g) Glossary of Abbreviations and Acronyms. Each volume shall contain a glossary of all abbreviations and acronyms used, with a definition for each.
3. Proposal Content
(a) Volume I – General.
Submit one complete hard copy and one CD. This will contain the original of all documents requiring signature of the Offeror. All certifications required by the solicitation shall be completed. This volume shall contain:
TAB (1)(a) Completed and signed paragraphs 12; 17a; 30a; 30b; and 30c. on Solicitation/Contract/Order for Commercial Items Form (Standard Form 1449).
TAB (1)(b) Representation, Certifications, and Other Statements of Offerors which amends the System for Award Management (SAM) https://www.sam.gov.
TAB (2) Signed copy of the cover sheet of each Amendment issued for this solicitation.
TAB (3) A list of personnel authorized to obligate the Offeror contractually and their email and telephone contact information.
TAB (4) Provide a full description of any joint venture, partnering, teaming, subcontracting arrangements proposed for this requirement. Clearly show which work the contractor will perform and which will be performed by which Teaming Partner and/or subcontractor. Be clear as to which company will be the prime contractor for this requirement. Include a copy of business agreements related to this requirement signed by the parties. Organizational and Consultant Conflict of Interest (OCI) – The Offeror shall disclose all organizational and/or personal conflicts of interest to the Contracting Officer as soon as possible so that potential conflicts can be analyzed in accordance with FAR Subpart 9.5.
(b) Volume II – Factor 1 – Mission Capability.
(1) The Mission Capability Volume shall be clear, concise, and include sufficient detail for effective evaluation and for substantiating the validity of stated claims in the Offeror’s proposal. Legibility, clarity, and coherence are very important. Proposals will be evaluated against the Mission Capability factors defined 52.212-2 Addendum. The proposal should not simply rephrase or restate the Government's requirements, but rather shall provide convincing rationale to address how the offeror intends to meet these requirements. Statements that the offeror understands, can, or will comply with the PWS (including referenced publications, technical data, etc.); statements paraphrasing the PWS or parts thereof (including applicable publications, technical data, etc.); and phrases such as “standard procedures will be employed” or “well known techniques will be used,” etc., will be considered unacceptable.
Offerors shall assume that the Government has no prior knowledge of their facilities and experience and will base its evaluation on the information presented in the offeror's proposal.
(2) The Mission Capability Volume shall, at a minimum, be prepared in a form consistent with the PWS and the evaluation criteria for award set forth in 52.212-2 addendum. The section shall be prepared in an orderly format and in sufficient detail to enable the Government to make a thorough evaluation of the contractor’s technical competence and ability to comply with the contract task requirements specified in the PWS.
(c) Volume III – Factor 2 -Past Performance.
(1) The Offeror shall include documentation regarding their recent and relevant past performance as it directly relates to the work being procured under this solicitation. The Offeror SHALL NOT go back any farther than three (3) years for the submitted data. The past performance data shall document a successful history of past contract performance. Past performance performed for less than twelve (12) months shall not be considered relevant.
(2) In conducting the Past Performance evaluation, the Government reserves the right to use both the information provided in the Offeror’s Past Performance Volume and information obtained from other sources available to the Government, to include but not limited to Contractor
Performance Assessment Reporting System (CPARS), Electronic Subcontract Reporting System (eSRS), or other databases; Defense Contract Management Agency (DCMA), interviews with Program Managers, and/or Contracting Officers.
(3) Offerors are reminded that both independent data and data provided by Offerors in their proposals may be used by the Government to evaluate Offeror past performance. However, the burden of providing thorough, complete, and current past performance information as requested in this volume remains with the Offerors. Proposals that do not contain the information requested risk a less than acceptable performance rating by the Government. In the case of an Offeror without any relevant past performance history, Offerors without a record of relevant past performance or for whom information will not be evaluated favorably or unfavorably on past performance and, as a result, will receive an " Unknown/Neutral Confidence" rating for the Past Performance factor. A Substantial Confidence or Satisfactory Confidence Past Performance Rating may be worth more than an "Unknown/Neutral Confidence" rating.
(4) All past performance comments received will be taken into account and could affect the overall rating. The overall past performance evaluation is a subjective decision based on the whole of all data received. Offerors with no past performance may provide the equivalent information on company officials and/or personnel proposed for this action. If the Offeror has no relevant past performance, they will be rated as “Unknown/Neutral Confidence” rating.
The Offeror’s submission of Past Performance shall be in accordance with the following format:
(1) TAB A: Past Performance.
Table of Contents Summary Page describing the role of the Offeror and each Teaming partner, and /or Joint Venture partner.
Consent Letters executed by each Teaming partner, and/or Joint Venture partner, authorizing the release of past performance information so the Offeror can respond to such information.
Client Authorization Letters for each identified effort for a commercial customer authorizing release to the Government of requested information on the Offeror’s performance.
Organization Structure Change History— Organizational Structure Change History. Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant present or past efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate this relevancy determination, include in this proposal volume a "roadmap" describing all such changes in the organization of your company. As part of this explanation, show how these changes impact the relevance of any efforts you identify for past performance evaluation/performance confidence assessment. Since the Government intends to consider present and past performance information provided by other sources as well as that provided by the Offeror(s), your "roadmap" should be both specifically applicable to the efforts you identify and general enough to apply to efforts on which the Government receives information from other sources.
Specific Relevant Contracts List – See attachment 3: Sheets completed in accordance with attachment 3. The Offeror is required to also provide Past Performance Specific Relevant Contract Reference Sheets for the past performance experience in accordance with Attachment 3, for Teaming and or Joint Venture Partners.
(2) TAB B: Past Performance References.
(i) Describe your past performance on projects similar in nature, work size, magnitude, complexity and scope to the work described in this solicitation. Past performance information will be assessed for recency and relevancy. Submit information on contracts presently active or completed within the past three (3) years from the date of issuance of this solicitation that you consider relevant in demonstrating your ability to perform the proposed effort. This information shall include data on efforts performed by other divisions, corporate management, critical subcontractors, or teaming contractors, if such resources will be brought to bear or significantly influence the performance of the proposed effort. Offerors may identify state and local Government and private Contracts that are similar to the Government’s requirements.
(ii) Offeror shall submit past performance references for at least three (3), but a maximum of six (6) contracts for the same projects identified on Attachment 3. It is incumbent upon the Contractor to present the information in such a manner and in sufficient detail to ensure the Government clearly understands the information provided.
(iii) Should the Offeror propose a Teaming Partner and/or joint venture partner, past performance shall be submitted and identified on Attachment 3, clearly identifying the Teaming Partner and/or Joint Venture Partner. At least three (3) but a maximum of six (6) shall be submitted for each. It is incumbent upon the Contractor to present the information in such a manner and in sufficient detail to ensure the Government clearly understands the information provided. Teaming Partners and/or Joint Venture Partner may have their past performance submitted directly to the point of contact responsible for receiving proposal submissions identified in Instructions to Offerors, Volume III EARLY PROPOSAL INSTRUCTIONS of this solicitation. The Offeror shall identify in its proposal whether past performance for a past performance reference will be separately submitted by a Teaming Partner and or Joint Venture Partner. Failure to submit these requirements may render a reference unusable and will not count against the minimum number of required references as the Government will not be able to consider how well the Offeror performed work on the past contract.
(iv) Submissions should explain the aspects of the Contracts/references that are deemed relevant to the proposed effort. Include a discussion of significant achievements or explain past problems considered to be relevant to the proposed efforts, as well as past efforts to identify and manage program/project risk.
(3) TAB C: Past Performance Questionnaires. Offerors shall provide a Past Performance
Questionnaire, Attachment 4, for each project listed in the Experience Overview Sheet, Attachment 3. Offeror(s) shall ensure that Past Performance Questionnaire(s) for all Teaming Partner and/or Joint Venture Partner are completed. A copy of each questionnaire sent out, is to be submitted as evidence that the questionnaires were sent out as directed. For the contracts identified on each Specific Relevant Contract Reference, the Offeror shall forward a copy of the Past Performance Questionnaire to the points of contact responsible for monitoring performance under such contracts. The Offeror will ensure that these questionnaires are sent directly to Lakenia Brown, Contract Specialist, W911SD-24-R-0081, 681 Rogers Pl, 1st floor, West Point, NY 10996-1514 or by email:
lakenia.m.brown.civ@army.mil. Any questionnaires not returned directly to the Specialist will not be reviewed or evaluated.
The information contained in the questionnaires will be used to evaluate the Offeror’s and their proposed Teaming Partner and or Joint Venture Partner past performance. If any negative past performance information is received that the Offeror has not previously had an opportunity to address, the contractor will be given an opportunity to provide rebuttal. New entities that have no past customers shall annotate on the Summary Page that they have had no previous clients and that the minimum number of questionnaires cannot be provided. If the Offeror has no relevant past performance, they will be rated as “Unknown/Neutral Confidence” rating.
VOL III EARLY PROPOSAL INFORMATION.
The Offeror is requested to submit the Volume III - Past Performance no later than 21 calendar days, after the RFP issuance date to the Contract Specialist at the address specified in 52.212-1 ADDENDUM, Instructions to Offerors of the solicitation.

TAB (1)(a) The title page shall include a total price for each of the contract years (phase-in; base year, and each option year) and a total of the overall proposal price. This excel spreadsheet (Attachment A) shall have pricing for all contract line items filled out completely. The Offeror shall not include any additional information besides vendor name at the top. The excel spreadsheet shall remain unlocked.
TAB (1)(b) Filled-in line item (CLIN) pricing on Solicitation/Contract/Order for Commercial Items Form (Standard Form 1449). During review of the pricing and determining price reasonableness, the Government reserves the rights to request other than cost and pricing data in support of the Offerors line-item pricing.
TAB (1)(c) A formal stipulation as to the period of validity of the proposal. Offers predicated on acceptance by the Government in less than 180 calendar days from the date of receipt of offers will be considered unacceptable.
Failure to comply with these formatting requirements may result in rejection of your proposal. Offerors are responsible for the “readability” of submittals. Submittals shall be free of viruses, Trojans, spyware, and other malicious code for which appropriate detection and removal/quarantine software exists.
