About this file
This is a Sample Vendor Service Agreement template from the City of Owensboro, Kentucky, establishing the contractual framework for vendor services procured through the City's Request for Proposal (RFP) process. The agreement applies to the City's procurement for rental and service of portable toilets for various City divisions. The document does not specify quantities, response dates, due dates, site visits, bidders' conferences, award dates, or contract term and renewal options, as it serves as a standardized template to be completed upon proposal award.
The agreement establishes that all pricing shall be quoted on an F.O.B. Destination basis with no additional freight charges permitted, and the City is exempt from federal excise, transportation, and Kentucky sales taxes on direct supplier shipments. Vendors must obtain a City of Owensboro business license within ten business days of award, with applicable fees of $75, unless they qualify for exemptions based on non-resident status and delivery method. Vendors are required to maintain worker's compensation insurance at statutory levels, commercial general liability insurance of $1,000,000 per occurrence and $2,000,000 aggregate, and commercial automobile liability of $1,000,000 combined single limit, with the City named as an additional insured. No subcontractors are permitted under this agreement. The contract is governed by Kentucky law and Daviess County Circuit Court jurisdiction, and vendors failing to perform may be disqualified from City bidding for up to five years.
