About this file

This is an Offeror's Modifications form issued by Fulton County Schools (FCS) in Georgia for their E-Rate Wired and Wireless CAT2 Network Solutions contract solicitation. The form provides a structured template for offerors to propose modifications to the contractual terms and conditions outlined in the Request for Proposal (RFP). FCS has indicated that it does not intend to make changes to the RFP terms and conditions unless clarification of scope of work and technical requirements is necessary. Offerors who submit substantive modifications that materially differ from RFP terms may lose evaluation points, and failure to accept the stated terms and conditions may result in proposal rejection or significant delays in contract award.

The modification form requires offerors to complete a table identifying each proposed modification by section number, paragraph number, title, and clause, along with the specific modification proposed and its justification, the proposed contract provision to be substituted, and any impact to price or schedule. FCS explicitly reserves the right to deem a proposal nonresponsive based on proposed modifications submitted by the offeror. The form notes that all cells within each row must be completed for each proposed modification, and the completed form is for proposal evaluation purposes only and will not become part of the resulting contract.

OFFEROR’S MODIFICATIONS

The terms and conditions contained in the solicitation comprise the contract proposed by FCS. FCS does not intend to make changes to those terms and conditions, unless necessary to clarify the scope of work and/or technical requirements. Offeror may lose points for substantive modifications proposed by Offeror which materially differ from the RFP terms and are likely to, in the opinion of FCS, require substantial legal negotiations to resolve. In addition, failure to accept the terms and conditions may result in significant unacceptable delays in FCS’ ability to award a contract and may result in an Offeror’s proposal being deemed to be nonresponsive. Nonetheless, if an Offeror must propose modifications to any of the contractual terms contained in the solicitation the Offeror shall provide the requested information for each proposed modification in the table below. Offerors who submit a proposed or sample contract must still specifically identify each proposed modification using the format below. By completing and submitting this form, an Offeror acknowledges that its proposal may be deemed to be nonresponsive at FCS' discretion.
