PERSONAL SERVICES MITIGATION AND AVOIDANCE PLAN

Contract Title: Material Handling Equipment (MHE) Maintenance Services

Requiring Activity: NAVSUP Fleet Logistics Center Puget Sound (NAVSUP FLCPS)

Solicitation / Contract No: N0040626Q0362

1.0 Purpose & Regulatory Basis

This Personal Services Mitigation and Avoidance Plan is established to ensure that the contract for Material Handling Equipment (MHE) and Shipboard Mobile Support Equipment (SMSE) maintenance services at NAVSUP FLCPS is executed and administered strictly as a non-personal services contract.

In accordance with Federal Acquisition Regulation (FAR) 37.104, personal services contracts are characterized by the employer-employee relationship they create between the Government and the contractor's personnel. Except where specifically authorized by statute, the Government is strictly prohibited from awarding or administering personal services contracts.

Because contractor employees under this Performance Work Statement (PWS) are co-located with Government personnel at Building 1030 ("W" Street, Bremerton, WA) and other naval facilities, and utilize Government-furnished facilities, tooling, and equipment, there is an inherently heightened risk of a "blended workforce" and constructive personal services. This Plan defines the operational guardrails, communication flows, and surveillance methods required to mitigate these risks.

2.0 Identification of Personal Services Risks (PWS Analysis)

Based on a thorough review of the Material Handling Equipment (MHE) PWS and the Department of Defense (DoD) Handbook of Contract Function Checklists for Services Acquisition (May 2018), the following high-risk areas have been identified in the performance of this contract:

3.0 Mitigation Strategies and Mandatory Guardrails

To maintain the required legal separation between the Government and contractor personnel, the following mandatory mitigation protocols shall be enforced throughout the life of the contract:

Mitigation 1: Establish an Onsite Contractor Chain of Command

The Contractor must designate an onsite Supervisor/Project Manager (PM) who shall act as the single point of contact (SPOC) for the Government.

All contractor personnel shall report directly to, and be supervised by, the Contractor's onsite PM. Under no circumstances shall Government officers, CORs, or onsite representatives exercise direct supervision, tasking, performance evaluations, or disciplinary actions over individual contractor employees.

Mitigation 2: Structured Work Request Process (No Direct Tasking)

The onsite Government Representative or COR shall communicate MHE/SMSE scheduled and unscheduled requirements (such as the daily maintenance log or work order allocations) ONLY to the Contractor's PM. The Contractor's PM is solely responsible for assigning tasks, determining the labor mix, scheduling shifts, and directing how the work is to be performed by contractor technicians. Task assignments must be managed via formal, documented work orders (e.g., under the NAVSUP P-538 documentation system) rather than verbal ad-hoc directives.

Mitigation 3: Clear Contractor Identification (Visual and Digital)

All contractor employees must wear distinctive company-issued photo identification badges at all times. Contractor workspaces within Building 1030 and other co-located facilities must have clearly visible signage stating: "Contractor Personnel - [Company Name]". All digital communications, including emails, must include a standard signature block identifying the individual as a contractor employee (e.g., "John Doe, MHE Technician, [Company Name], Supporting NAVSUP FLCPS"). In all meetings, conferences, or phone calls, contractor personnel must actively introduce themselves as contractors and sign in as such on attendance sheets.

Mitigation 4: Guardrails for the Self-Help Program (Section 4.2.1.1)

The Contractor's role in the Self-Help Program must be strictly limited to classroom training, structured demonstrations, and advisory support under a pre-approved curriculum. The Contractor's personnel shall not supervise, command, or direct Navy fleet personnel.

Mitigation 5: Formal Accountability for GFE and Tooling (Section 6.4)

A comprehensive joint inventory list of all Government-provided facilities, tooling, and GFE shall be established at contract award and updated annually. The contractor PM shall maintain a separate tool log and inventory control system to ensure contractor use of GFE is auditable and distinct from Government-operated shops.

Mitigation 6: Strict Control Over Government-Provided Training (Section 6.8)

Government-provided training must be strictly confined to local facility safety orientations, site security briefs, or proprietary software access (e.g., SAAR-N / local controlled databases) that are unique to NAVSUP FLCPS. The contractor remains entirely responsible, at its own expense, for ensuring all personnel possess required professional certifications, commercial forklift licenses, weight certifications, and mechanical qualifications prior to contract performance.

4.0 Roles and Responsibilities

Contracting Officer (CO): Retains sole authority to modify the contract terms, resolve performance disputes, and ensure that no constructive changes occur that transform the relationship into a personal services arrangement. Conducts periodic reviews of contract administration to ensure compliance with this Plan.

Contracting Officer's Representative (COR): Monitors contract performance strictly through objective Quality Assurance Surveillance Plan (QASP) metrics (such as the first-time acceptance rate or downtime averages). Refrains from directing individual contractor employees, setting their work schedules, or approving leave requests. Immediately reports any potential personal services risks or constructive changes to the CO.

Contractor Project Manager (PM): Directs, schedules, and supervises all contractor employees. Maintains accurate timekeeping, leaves, and training records. Ensures all contractor employees comply with identification and badge requirements. Communicates with the COR regarding overall contract progress and daily maintenance status.

5.0 Dispute and Anomaly Resolution

If any contractor employee or Government representative believes that contract administration has crossed the boundary into personal services, they shall:

Immediately document the specific instance (date, time, individuals involved, and description of the directive or interaction).

Report the incident to the Contractor's Project Manager and the COR.

If the Contractor's PM and the COR cannot resolve the issue, they shall jointly escalate the matter to the Contracting Officer (CO) for formal review and corrective action.

Work in the affected area may be temporarily paused or reassigned by the PM to prevent a continuation of the personal services condition pending CO resolution.
