About this file
This document contains the Purchase Order Terms and Conditions established by Davis Technical College's Fiscal Services Department in Kaysville, Utah, governing the procurement and delivery of supplies, services, and equipment. The terms and conditions apply to all purchase orders issued by the College and bind contractors to comply with provisions outlined in the Utah Procurement Code (63G-6, U.C.A. 1953), Utah State Procurement Rules and Regulations, and all applicable Federal and State laws. The document does not specify quantities, response dates, due dates, site visits, bidder meetings, award dates, or contract terms for any particular procurement; rather, it serves as the standard contractual framework applicable to individual purchase orders such as the related CNC Turning Center acquisition referenced in the supporting documentation.
The terms establish critical operational and compliance requirements including contractor obligations for records maintenance for four years, participation in the E-Verify employment status verification system (applicable to Request for Proposal processes), conflict of interest certifications, independent contractor status, indemnification provisions, equal opportunity compliance, and debarment certifications. Pricing terms require invoicing within 30 days of shipment or delivery with net 30 payment terms, F.O.B. Destination with freight prepaid, and prompt payment discounts based on early payment for periods of 30 days or longer. The College retains sales tax exemption under number 11736850-010-STC, mandates one-year product warranties with repair, replacement, or full refund remedies, and reserves ownership of all work product and deliverables as works made for hire. The document establishes default and remedial procedures including ten-day cure periods, addresses force majeure exceptions, and establishes a hierarchical order of precedence for conflicting terms favoring State Standard Terms and Conditions over contractor-proposed terms.

6. Also, the Contractor agrees to abide by Utah's Executive Order, dated March 17, 1993, which prohibits sexual harassment in the workplace. Contractor must include this provision in every subcontract or purchase order relating to purchases by the Davis Technical College to insure that the subcontractors and vendors are bound by this provision.
10. SEVERABILITY CLAUSE: If any provision of this contract is declared by a court to be illegal or in conflict with any law, the validity of the remaining terms and provisions will not be affected; and the rights and obligations of the parties will be construed and enforced as if the contract did not contain the particular provision held to be invalid.
11. CANCELLATION OR REVISION: This Purchase Order may be changed, revised or canceled only by the Fiscal Services Department giving written notice to the Contractor.
