About this file
This is a Business Confidentiality Claim form from the Utah State Archives, Office of the Government Records Ombudsman, applicable to the Provo City School District's Request for Statements of Qualifications for Commercial Real Estate Brokerage Services. The form enables vendors responding to the procurement to protect trade secrets and commercial financial information from public disclosure under Utah's Government Records Access and Management (GRAMA) law. Vendors submitting proposals must include a concise statement explaining why specific information qualifies for confidentiality protection and must submit both redacted and non-redacted versions of their proposals; failure to provide a redacted copy will result in the Division of Purchasing declining to perform redactions on behalf of the claimant. The procurement itself involves the selection of a qualified commercial real estate brokerage firm to provide as-needed services including property purchasing, selling, leasing, market evaluation, and property valuation assessments. The District anticipates awarding a single contract to the highest-scoring responsive and responsible vendor, with an initial one-year term and up to four additional one-year renewal options exercisable at the District's sole discretion based on performance, continued need, available funding, and mutual written agreement.
The form does not specify pricing terms, set-asides, or funding sources within its content, as it functions solely as an administrative mechanism for protecting confidential business information during the procurement process. Vendors should note that submitting a confidentiality claim does not guarantee protected classification status if the government receives a public records request, as the final determination rests with the governmental entity and applicable law. The claim must identify specific pages, paragraphs, and reasons for each redaction request to ensure proper classification and processing by the Department of Purchasing.

Business Request for GRAMA Business Confidentiality Claim
Note: Utah Code § 63G-2-305(1) states that trade secrets can be protected if the person submitting the trade secret provides the governmental entity with a confidentiality claim. Likewise, Utah Code § 63G-2-305(2) states that commercial financial information can be protected if disclosure could reasonably be expected to result in unfair competitive injury to the person submitting the information, and that person has provided a confidentiality claim. Confidentiality claims are described in Utah Code § 63G-2-309. A claim must include a concise statement of reasons supporting the claim and must be submitted with the information requested to be protected. A claimant MUST submit a redacted and non-redacted version of their proposal. The entire proposal may NOT be redacted. The Division of Purchasing will not redact a proposal on behalf of a claimant if they fail to upload a redacted copy of their proposal.
