About this file

This document is a HIPAA Business Associate Agreement between Boulder County Public Health (Covered Entity) and a Contractor (Business Associate) in connection with the implementation of an Electronic Health Record (EHR) system with Medicaid billing capabilities. The agreement establishes the legal framework for protecting Protected Health Information (PHI) in compliance with the Health Insurance Portability and Accountability Act of 1996, the Health Information Technology for Economic and Clinical Health Act, and implementing regulations at 45 C.F.R. Parts 160, 162, and 164. The contractor is authorized to use and disclose PHI only as necessary to perform obligations under the primary contract, which encompasses clinical operations, case management services, immunization clinic support, Medicaid billing workflows, and related reporting requirements. The contractor must adhere to minimum necessary standards when accessing, using, or disclosing PHI and must ensure all subcontractors who handle PHI execute written agreements containing identical protective restrictions.

The agreement imposes comprehensive security and operational obligations on the contractor, including obtaining annual independent third-party security assessments of applications, infrastructure, and processes handling Boulder County Public Health data; encrypting all internet or insecure channel PHI transmissions using FIPS-compliant algorithms; maintaining confidentiality of access credentials; and immediately notifying the Covered Entity of any breaches or security incidents. The contractor bears all costs associated with breach response, including notifications and litigation support, and must maintain insurance covering PHI data loss, breach notification requirements, and privacy violation claims. Upon termination, the contractor must return or destroy all PHI at the Covered Entity's direction and certify such destruction in writing, or if return or destruction is infeasible, continue protecting the PHI indefinitely and limit its use only to purposes making destruction infeasible. The agreement survives contract termination, allows the Covered Entity to terminate immediately upon breach, and provides for injunctive relief to prevent unauthorized PHI use or disclosure.
