About this file

This document is a Draft AIA Document A101-2017 Standard Form of Agreement Between Owner and Contractor for the Savannah-Chatham County Public School System (SCCPSS), a public school district responsible for public education in Savannah and Chatham County, Georgia. The draft contract establishes the terms for a construction project, with specific provisions for change orders, project management, and contractor responsibilities. The document outlines the framework for project execution, including detailed requirements for insurance, bonds, and compliance with state and federal laws, with a particular emphasis on the school district's internal approval processes for modifications and changes to the contract.

The contract includes comprehensive insurance requirements, mandating that the contractor obtain multiple types of insurance coverage, including workers' compensation, commercial general liability, automobile liability, and umbrella liability insurance, with specific minimum coverage amounts and detailed provisions for policy requirements. The contractor must name the Board of Public Education as an additional insured and provide certificates of insurance with precise documentation requirements. Financial terms are not explicitly detailed in this draft document, but the contract establishes a structured approach to payments, change orders, and dispute resolution, with a specific preference for litigation in Chatham County, Georgia. The document also includes provisions for compliance with E-Verify requirements and state immigration laws, reflecting Georgia's regulatory environment for public contracts.

Agreement, and Modifications issued after execution of this Agreement, all of which form the Contract, and are as fully a part of the Contract as if attached to this Agreement or repeated herein. The Contract represents the entire and integrated agreement between the parties hereto and supersedes prior negotiations, representations, or agreements, either written or oral.

All Change Orders must be approved by the Owner pursuant to Board Policy FGG. Under current policy FGG, all change orders must be reviewed by the project Architect/Engineer, appropriate District and Program Management staff, which sometimes reviews Change Orders through a committee called the Change Control Board (“CCB”), as designated by the

Change Orders for changes in excess of $50,000. All Change Orders which will change the overall amount of a contract (up or down) by more than $50,000 must be documented as a Board Resolution. Upon approval by the Board, a Change Order may be signed by the Board President, the Superintendent, or the Chief Financial Officer. A summary of all approved Change Orders will be provided to the Board of Education quarterly as an information item. If Policy FGG is amended to change the process or dollar amount of approval levels after execution of this contract, the terms of the updated policy will control.

If Owner and Contractor cannot reach agreement on a Change Order, then Owner may direct Contractor to proceed with any changes in the Work with the cost to be determined by Construction Change Directive.

§ 2.2 Owner will notify Contractor of any changes to the Owner’s Representative within seven (7) days of any change.

Similarly, Contractor will notify Owner of any changes to the Contractor’s representative within seven (7) days of any change.
