About this file
This is a Women-Owned Small Business (WOSB) Solicitation/Contract/Order for Commercial Products and Commercial Services issued by the National Oceanic and Atmospheric Administration (NOAA) for the Southeast U.S. Right Whale Early Warning System (EWS). The solicitation (Number 1305M325Q0092) seeks aerial survey and reporting services to monitor endangered North Atlantic Right Whales and mitigate threats from human activities, with a base period from 06/15/2025 to 06/14/2026 and four optional 12-month extension periods through 06/14/2030.
The contract is a Firm-Fixed Price purchase order with two primary Contract Line Items (CLINs) for each performance period: one for aerial surveys and reporting, and another for aircraft services. Quotations are due by 5:00 PM EDT on April 9, 2025, and must be submitted via email to specified NOAA contacts. Offerors must provide a technical solution addressing experience, technical approach, and past performance, along with a detailed price quote. The evaluation will prioritize technical capabilities over price, with a focus on the contractor's ability to conduct aerial surveys, manage photo identification of whales, produce high-quality data, and coordinate with external organizations.

(SEP 2023)
This provision has been tailored to this procurement.
Any reference cited in this solicitation to an "offer" shall be interpreted as "quote" and any reference cited as "offeror" shall be interpreted as "quoter."
This solicitation Is issued subject to the availability of funds. Funds are not presently available for this requirement. NOAA anticipates funds will be available prior to award.
QUOTATION SUBMISSION INSTRUCTIONS: Quotations in response to this solicitation shall be submitted by 5:00 PM EDT on April 9, 2025 via email to Casey.Morrison@noaa.gov and Grace.Parker@noaa.gov with the solicitation number in the subject line. It is the Contractor’s sole responsibility to ensure that quotations are transmitted to the specified Government representatives and received prior to the due date specified herein, and that quotations are responsive to all material aspects of this solicitation.
NOTE: In the event of a Government shutdown extending beyond March 21, Quoters can assume that questions and quotes will NOT be due by March 21 and April 9, and that the due date(s) for both questions and quotation submission will be extended by approximately one week and three weeks, respectively, from the date that Government operations are resumed. In this case, an amendment upon resumption of Government operations will formalize the updated deadlines.
Questions about this requirement must be submitted before 5:00 PM EDT on March 21, 2025. The Government anticipates amending the solicitation to address any question submitted by this date. The Government is not obligated to address any questions submitted after this date.
The following volumes shall be submitted for each quote:
• Volume I: Technical Solution addressing Experience, Technical Approach & Past Performance.
• Volume II: Business Solution addressing Price.
• Volume III: Compliance Items.
• Volume IV: Small Business Subcontracting Plan (Applicable for Other than Small Business concerns ONLY).
VOLUME I – TECHNICAL SOLUTION: Contractors shall submit a Technical Solution that clearly demonstrates a thorough understanding of the effort required to successfully meet all tasks outlined in the SOW. Volume I - Technical Solution shall be submitted in a searchable MS Word or Adobe Acrobat XI
– compatible format. VOLUME I: Technical Solution shall be subdivided into the following sections:
Section 1 – Experience: This section shall include a detailed description of up to three (3) projects performed within the past five (5) years that are similar in nature to the one described in this solicitation. “Similar” is defined as projects comparable in size, scope and complexity. This section shall clearly demonstrate the relevance of the project to the subject requirements in terms of size, scope and complexity. Contractors may submit projects performed by proposed subcontractors or teaming partners, but shall clearly describe how the proposed subcontractor's experience will be used during performance of the subject requirements in terms of specific responsibilities - note that the total number of projects remains limited to three, regardless of whether they were performed by the Contractor or a subcontractor/teaming partner. Section 1 is limited to five (5) pages. The Government reserves the right not to consider any information submitted beyond the page limit.
Section 2 – Technical Approach: This section shall address the Contractor’s understanding and approach to completing the tasks outlined in the SOW. Refer to CAR 1352.213-70, section B for the specific areas of evaluation consideration to be addressed in the quote. If the Contractor intends to utilize subcontractors in performance of the requirements, this section shall clearly identify the proposed subcontractors and detail the specific roles and responsibilities of the subcontractor(s) with respect to contract performance. Section 2 is limited to five (5) pages. The Government reserves the right not to consider any information submitted beyond the page limit.
Section 3 – Past Performance: The Contractor shall provide project past performance information for the relevant projects referenced in section 1 through submission of CPARs and/or Past Performance Questionnaires (PPQs). If the project referenced has a finalized CPAR, the Contractor shall submit the most recent finalized CPAR for that project. For projects without a finalized CPAR, Offerors shall submit with their quote the completed Past Performance Questionnaires (PPQ) (Attachment 2) signed by the client representative responsible for managing the project. Digital signatures or physically signed/scanned signatures are acceptable. Past performance information shall be submitted by the contractor with their quote, and not submitted directly to the Government by the Past Performance reference. There is no page limit for this section.
VOLUME II – PRICE QUOTE: The contractor shall submit a Firm Fixed Price quote for each Contract Line Item (CLIN) contained in the pricing schedule. Note that each 12 month period of performance includes two Contract Line Items (CLINs) - CLINs 0001, 1001, 2001, 3001, and 4001 shall include all support for the requirements with the exception of aircraft related pricing. CLINs 0002, 1002, 2002, 3002, and 4002 shall include aircraft-related pricing, including aircraft(s), fuel, aircraft maintenance, and any other cost elements directly related to operation of the aircraft(s). In addition to the total FFP for CLIN, the price quote shall include a fully detailed breakdown of the FFP CLINs which addresses, as applicable:
- Labor Categories, corresponding qualifications, fully burdened rates, and proposed levels of effort
- Any proposed supplies & equipment
- Aircraft costs with specific cost elements broken down as detailed as possible. For pricing purposes, the contractor should assume a quantity of 350 flight hours.
- Telecommunication costs
- Travel
- Any other associated cost elements included in the FFP buildup not detailed above
VOLUME III – COMPLIANCE ITEMS: This volume shall include the completed and signed Attachment 3, which includes an extract of any sections of the solicitation requiring contractor completion and/or signature, including: page 1 of the SF1449, page 1 of the SF30s acknowledging amendments, and the required representations/certifications. To facilitate streamlined submission of quotes, the provisions requiring fill-ins are highlighted (yellow).
Volume IV - Small Business Subcontracting Plan (Applicable for Other than Small Business concerns
ONLY):
All Offerors that are Other Than Small Business (OTSB) concerns for NAICS 541370 shall provide a Subcontracting Plan per FAR 52.219-9. The subcontracting plan must address the required elements described at FAR 52.219-9(d). A small business concern for NAICS 541370 is not required to submit a Subcontracting Plan. The Offeror’s subcontracting plan will be incorporated into any resulting purchase order.
In accordance with FAR 19.703(a)(1) a subcontractor is small if it does not exceed the size standard for the NAICS code that the prime contractor determines best describes the product or service being acquired by the subcontract, not by the NAICS identified by the government in the prime contract.
The offeror may submit either an Individual Subcontracting Plan or Commercial Subcontracting Plan. An Individual Subcontracting Plan means a subcontracting plan specific to the purchase order, which covers the entire five-year period of performance, and that has goals based on the Contractor’s planned subcontracting. A Commercial plan means a subcontracting plan (including goals) that covers the offeror’s fiscal year and that applies to the entire production of commercial products and commercial services sold by either the entire company or a portion thereof (e.g., division, plant, or product line) which are within the scope of this requirement.
A model Individual Subcontracting Plan is provided as Attachment 4 as an optional template for Offerors that need assistance in developing a Subcontracting Plan. If an Offeror chooses to use the template, the Offeror must adapt the template to fit their subcontracting situation. The template does not establish minimum requirements for an acceptable plan.
NOAA’s commitment to ensuring that maximum practicable opportunity is provided to small business, VOSB, SDVOSB, HUBZone, SDB, and WOSB concerns to participate as Subcontractors in the performance of this contract, consistent with its efficient performance, must be reflected in the Offeror’s Subcontracting Plan submitted pursuant to FAR 52.219-9; however, the Offeror’s Subcontracting Plan should only contain realistic goals that are attainable to the Offeror’s individual circumstances.
The small business dollar amount must include all sub-group category amounts; i.e., HUBZone, SDB, WOSB, VOSB, SDVOSB (plus any “other small” businesses that do not fall within one of these specified subgroups). Note that Alaskan Native Corporations (ANCs) and Indian tribes are included in the Small Disadvantaged Business and total small amounts. Dollars and percentages to large and total small businesses (all inclusive) must equal the total subcontracted to all categories in both dollars and percentages. Do not add together subgroups to reach the total small figure, as the same dollars can be double and triple counted for each group as applicable.
For the purpose of this evaluation, the proposed Subcontracting Plan submitted is treated as a Responsibility Determination element. Failure to submit an acceptable Subcontracting Plan and/or correct deficiencies in a plan within the time specified by the Contracting Officer shall make the Offeror ineligible for award.
CAR 1352.213-70 Evaluation utilizing simplified acquisition procedures. (APR 2010)
The Government intends to award a firm fixed price purchase order as a result of this solicitation in accordance with FAR Parts 12 and 13.5. Award will be made to the quoter whose quote is most advantageous to the Government under the selection criteria set forth in this solicitation. The Government intends to evaluate quotes and award a contract based on initial quotes. Therefore, the quote should contain the quoter’s best terms from a Technical and Price standpoint. The Government reserves the right to award a purchase order to other than the lowest priced quoter, award a contract without exchanges, or award a contract after exchanges, whichever is in the best interest of the Government. The evaluation will consider the Technical Solution evaluation factors to be significantly more important than Price. Once the Government determines the contractor that is the best suited (i.e., the apparent successful contractor), the government reserves the right to communicate with only that contractor to address any remaining issues, if necessary, and finalize a purchase order with that contractor. These issues may include technical and price. If the parties cannot successfully address any remaining issues, as determined pertinent at the sole discretion of the Government, the Government reserves the right to communicate with the next best suited contractor based on the original analysis and address any remaining issues.
The evaluation factors will measure the Government’s confidence that the quoter understands the requirements, offers a sound approach, and will be successful in performing the purchase order.
VOLUME I: TECHNICAL SOLUTION
A. Experience: The Government will evaluate the extent to which the Contractor’s previous experience with projects of a similar size, scope and complexity demonstrate its capability to successfully perform the requirements of this purchase order.
B. Technical Approach: The Technical Approach will be evaluated more favorably to the extent that it clearly details a sound technical approach to:
• Conducting aerial surveys to monitor endangered North Atlantic Right Whales and mitigate threats from human activities, including vessel collisions;
• Taking, managing, and preliminarily matching photographs of right or other large whales and marine mammals for photo ID work;
• Producing high quality and near error-free data;
• Managing and coordinating with other field teams and external organizations, including sharing near real-time data for tracking purposes;
• Meeting the requirements for aircraft, pilot/crew, and survey team, as specified in the SOW
Attachment 1, including aircraft certification and maintenance; pilot/crew procedures, qualifications and training; survey crew experience and training; insurance; and safety gear.
• Holding, or being listed as a Co-investigator on, a NOAA scientific research permit under which right whale aerial surveys may be conducted.
C. Past Performance: The Government will evaluate the quoter’s past performance based on the likelihood that it will result in successful performance of the subject requirements. Along with the quoter’s submittal, the Government reserves the right to use past performance information gathered from any available sources when evaluating the quoter’s past performance. The government reserves the right to contact the references listed or any other sources identified.
Vendors lacking relevant past performance history, or for whom past performance information is either not available or has not been submitted to the Government, will receive a neutral rating for past experience.
VOLUME II: PRICE PROPOSAL
The Government will evaluate the price quote for completeness and reasonableness in relation to the RFQ requirements. Quoted prices must be entirely compatible with the Technical Solution. A quote that does not fully address pricing for all CLINs will not be evaluated for award.
Except when it is determined in accordance with FAR 17.206(b) not to be in the Government’s best interests, the Government will evaluate offers or quotations for award purposes by adding the total price for all options to the total price for the basic requirement to determine the total evaluated price.
This includes options under FAR clause 52.217-8, Option to Extend Services, which applies to this solicitation. Evaluation of options will not obligate the Government to exercise the option(s). The Government will evaluate the options under FAR clause 52.217-8 by dividing the total price for Option Year 4 in half and adding to the total price. The price evaluation will determine whether proposed prices are fair and reasonable.
The Government reserves the right to waive informalities, clerical errors, minor irregularities or omissions in quotes received at the discretion of the Contracting Oficer.

Presentation of scientific activities results includes the analysis, synthesis, compilation, or translation of scientific information and data into formats for the use of the Department of Commerce or the United States of America.
Scientific and Research Misconduct means fabrication, falsification, or plagiarism in proposing, performing, or reviewing scientific and research activities, or in the products or reporting of the results of these activities. It specifically includes intentional circumvention of the integrity of the scientific and research process and actions that compromise that process, but does not include honest error or differences of opinion.
Investigation is formal collection and evaluation of information and facts to determine if scientific or research misconduct can be established, to assess its extent and consequences, and to recommend appropriate action.
(b) General Guidelines
1. Maintaining Integrity. The contractor shall maintain the scientific integrity of research performed pursuant to this contract award including the prevention, detection, and remediation of research misconduct, and the conduct of inquiries, investigations and adjudication of allegations of research misconduct.
2. In performing or presenting the results of scientific activities under the contract, and in responding to allegations of scientific and research misconduct, the contractor shall comply with the solicitation and contract language herein and NOAA Administrative Order (NAO) 202-735D-2, Scientific Integrity, and its Procedural Handbook, including any amendments thereto.
3. Primary Responsibility. The contractor shall have the primary responsibility to prevent, detect, and investigate allegations of scientific and research misconduct. Unless otherwise instructed by the contracting officer, the contractor shall promptly conduct an initial inquiry into any allegation of such misconduct and may rely on its internal policies and procedures, as appropriate, to do so.
4. By executing this contract, the contractor provides its assurance that it has established an administrative process for performing an inquiry, investigating, and reporting allegations of scientific and research misconduct; and that it will comply with its own administrative process for performing an inquiry, investigation and reporting of such misconduct.
5. The contractor shall insert the substance of this requirement in subcontracts at all tiers that involve research being performed under this contract.
(c) Investigating Misconduct Research
1. Initiating Investigation. If the contractor determines that there is sufficient evidence to proceed to an investigation, it shall notify the contracting officer and, unless otherwise instructed, the contractor shall:
A. Promptly conduct an investigation to develop a complete factual record and an examination of such record leading to either a finding of scientific and research misconduct and an identification of appropriate remedies or a determination that no further action is warranted.
B. If the investigation leads to a finding of scientific and research misconduct, obtain adjudication by a neutral third party adjudicator. The adjudication must include a review of the investigative record and, as warranted, a determination of appropriate corrective actions and sanctions.
2. Finalizing Investigation. When the investigation is complete, the contractor shall forward to the contracting officer a copy of the evidentiary record, the investigative report, any recommendations made to the Contractor’s adjudicating official, the adjudicating official’s decision and notification of any corrective action taken or planned, and the subject’s written response (if any).
(d) Findings and Corrective Actions
1. If the contractor finds that scientific and research misconduct has occurred, it shall assess the seriousness of the misconduct and its impact on the research completed or in process and shall:
i. Take all necessary corrective actions, which includes, but are not limited to, correcting the research record, and, as appropriate, imposing restrictions, controls, or other parameters on research in process or to be conducted in the future, and
ii. Coordinate remedial action with the contracting officer.
(e) Department of Commerce Actions
1. The Department of Commerce may accept the Contractor’s findings or proceed with its own investigation, in which case the contractor shall fully cooperate with the investigation. The contracting officer will inform the contractor of the Department’s final determination.
2. The Department of Commerce reserves the right to pursue such remedies and other actions as it deems appropriate, consistent with the terms and conditions of the contract and applicable laws and regulations. Such remedies and actions may include, but are not limited to, disallowance of costs, recoupment of contract payments, and suspension or debarment.

This is not to be construed or interpreted to establish any degree of Government control that is inconsistent with a non-personal services contract.
(e) Both parties are responsible for monitoring contract activities for indications of improper employee-employer relationships during performance. In the event a situation or occurrence takes place inconsistent with this contract language, the following applies:
1. The contractor shall notify the contracting officer in writing within 5 business days from the date of any situation or occurrence where the contractor considers specific contract activity to be inconsistent with the intent of this contract language.
