The Bidder must prepare the Bid on the forms included in PART 3, “Bid Proposal Attachment H.” All blank spaces on the forms, applicable to the subject specification, must be correctly completed. May 20, 2026 as surety or otherwise, upon any obligations to the Authority, or had failed to perform faithfully any previous contract with the Authority. The bidder, if requested, must present within two (2) business days, evidence satisfactory to the Procurement Administrator, of performance ability and possession of necessary facilities, pecuniary resources and adequate insurance to comply with the terms of these specifications and Contract
Documents.
1.6 Bidder’s Cost and Ownership of the Bids
Each Bidder responding to this IFB acknowledges and agrees that the preparation of all materials for submittal to the CTA and all presentations, related costs and travel expenses are at the Bidder’s sole expense, and the CTA is not, under any circumstances, responsible for any cost or expense incurred by the Bidder. The CTA retains full title to and ownership of all Bids, including all copyright and other intellectual property rights, if any, to the unique design elements of the Bids; provided, however, the Bidders may use and reproduce any design or other elements of a Bid that are standard and not unique to the subject of the Bid.
All IFB documents are and shall remain the property of the CTA. Bidders are instructed to use the information contained in the IFB and related parts in the preparation of their Bids and, if awarded the Contract by the CTA, to use such information in the implementation of the final design of the Project. No other use of the information contained in the IFB and related parts, or any part thereof, by any of the Bidders is authorized or permitted.
1.7 Examination of the Contract Documents and Project Site; Exceptions
Before Bid submission, the Bidder must carefully examine the form of Contract Documents. Upon submission of its Bid, the Bidder will be deemed to have accepted all terms of the Contract Documents, as revised by any addenda.
Bidders may request clarifications or changes to the Contract Documents through written notice on Bonfire.
Bidders are encouraged to submit such requests at least two (2) weeks prior to bid opening to facilitate timely response. The Authority reserves the right to determine whether a response is needed to any such requests. If the
Authority determines that a response is needed, then the response will be provided through Addendum. Only written modifications issued as addenda will effect changes in the bidding and Contract Documents. Failure of a Bidder to request clarifications prior to Bid opening constitutes a waiver of its legal right to raise any such ambiguity after Bid opening.
The Bidder must also inspect, in detail, the site of the proposed Work and become familiar with all conditions affecting the form of Contract Documents and the detailed requirements of construction. If the Bid is accepted, the
Bidder will be responsible for all Bid errors or omissions resulting from the Bidder’s failure or neglect to comply with these instructions. The CTA will, in no case, be responsible for any additional costs or expenses resulting from such failure or neglect.
1.8 Conflict of Interest
The Bidder is prohibited from performing any work or services for the CTA which would result in an organizational conflict of interest (OCI) for any person (including an entity or other non-natural person). An organizational conflict of interest occurs when (a) a person is unable or potentially unable to render impartial assistance or advice to the
CTA, (b) a person’s objectivity in performing service to the CTA is or might otherwise be impaired, or (c) a person has an unfair competitive advantage. In general, OCIs fall into three categories: (x) a person has access to non-public information as part of its performance of services to the CTA and that information might provide that person with a competitive advantage in a future procurement; (y) a person, as part of its performance of contract responsibility to the CTA, has set the ground rules for the performance of a future contract by, for example, writing the statement of work or defining the specifications; and (z) a person, either through an assessment of performance under another contract or through an evaluation of Bids, must assess its own work or that of a competitor.
LOGAN SQUARE LINE – CALIFORNIA STATION
REQUISITION: C25FI103184211R
May 20, 2026
The Bidder has sole responsibility for compliance with this provision and must submit details of any real or apparent conflict of interest issues as they currently or potentially exist. In the event of a conflict of interest, Bidder must provide the CTA with recommendations to avoid, neutralize or mitigate the conflict, in compliance with Federal
Transit Administration rules and all other applicable regulations. The CTA’s Purchasing Department in consultation with the CTA’s General Counsel will make the final determination as to whether a conflict of interest exists and whether the Bidder’s recommendations to avoid neutralize or mitigate it are sufficient.
1.9 Freedom of Information Act
CTA is subject to the requirements of the Illinois Freedom of Information Act, 5 ILCS 140/1 et seq. (“FOIA”), which enables the public to request and obtain records from CTA. FOIA requires, upon request, the public disclosure of any non-exempt information in bid materials, contracts, invoices and payment records (among other records).
See Section 7 and 7.5 of FOIA, 5 ILCS140/7 and 7.5, for a complete list of the exemptions available under FOIA.
Bid materials become the property of the CTA when submitted and cannot be returned. Because the sealed bid materials submitted to CTA in connection with this procurement will be opened at a public bid opening, all contents of the bid materials will be publicly viewable at the bid opening. All bid materials and any subsequent contract
(including any later amendments thereto) will be subject to public disclosure under FOIA upon request, without any further notice to you, after the successful bidder and CTA have executed a written contract. CTA may also publish the content of the bid materials and any subsequent contract in connection with this procurement, in whole or in part, on its website or in any other format without any further notice to you.
If you have any questions regarding the FOIA process at CTA, please contact CTA’s Freedom of Information
Officer at (312) 681-2809 or via e-mail at FOIA@transitchicago.com.
1.10 Bid Protest Procedure
Any protest regarding this solicitation, or an evaluation or award hereunder, must be submitted in accordance with the CTA’s bid protest procedures, available at:
https://www.transitchicago.com/assets/1/28/CTA_Procurement_Policies_and_Procedures.pdf.
1.11 Evaluation Process
Bids will be analyzed for conformance with the instructions and requirements of the IFB. Bids that do not comply with these instructions and requirements may be rejected as insufficient/non-responsive. Bidders must pay close attention to and strictly follow all instructions.
Bids will be publicly opened at the time and date set for the opening noted in the IFB. The content will be made public for the information of Bidders and other interested parties or persons who may be present either in person or by representative.
The CTA will award the Contract to the lowest, responsive, and responsible Bidder, or reject all Bids within 120 days from the date of opening of Bids, unless the lowest responsive and responsible Bidder, upon request of the Director, Purchasing extends the time of acceptance. The Contract shall not be in force and effect until the Chairman of the
Board of the Authority, or the Chairman’s designee, has executed the Contract.
No submittal, nor its use by the CTA, shall give rise to any liability on the part of the CTA to the Bidder or any third party or person. No guarantees are made or implied by this IFB that the Project will be constructed, either in part or whole. The Bidder accepts all risk and cost associated with the completion of the Bid without financial mailto:FOIA@transitchicago.com https://www.transitchicago.com/assets/1/28/CTA_Procurement_Policies_and_Procedures.pdf

May 20, 2026 guarantee. The CTA reserves the right to reject any or all Bids or any part thereof. The CTA further reserves the right to excuse the informalities in the Bids and bidding when, in the judgment of the CTA, the best interests of the
CTA will be served and the spirit of competition will be maintained.
The CTA reserves the right to disqualify Bids, before and after the Bid opening upon evidence of collusion with intent to defraud or other illegal practices on the part of the Bidder.
1.12 Acknowledgement of Addenda
The Director, Purchasing reserves the right to revise and/or clarify the Contract Documents prior to Bid opening through issuance of Addendum. The Addendum may include notice of changes to Bid opening dates and times.
Bidders are required to acknowledge receipt of all Addenda to Contract Documents in the Bid signature page.
1.13 Taxes
Some Federal Excise Taxes do not apply to materials purchased for the Authority by virtue of its status as a unit of local government and municipal corporation. Illinois Retailers Occupation Tax, Use Tax, and Municipal Retailers’
Occupational Tax do not apply to materials or services purchased by the Authority by virtue of Chapter 70 Illinois
Compiled Statutes Section 3605, 33 as amended. These taxes must not be included in any of the prices quoted in the Contractor’s bid or in any invoices. CTA's tax-exempt number will be provided upon award of the contract.
1.14 Lump Sum Price
Except as otherwise stated in the Contract, the Bid includes, and the Contractor must provide and furnish, all items necessary and incidental to the Work, including but not limited to all materials, parts, labor, supervision, coordination, administration, equipment, tools, shop plans, working drawings, and incidentals required by the
Contract and necessary for the full completion of the Work. The Bid also includes all costs relating to, or associated with, the foregoing including, but not limited to, all direct costs, overhead, and profit. No terms of the Contract, which more specifically indicate that an item will be performed at no additional cost to the CTA, will be construed or interpreted to in any way limit the foregoing.
1.15 Performance Bond, Payment Bond, and Insurance
When required by the Contract, the successful Bidder must, within ten (10) days after the CTA requests it, furnish satisfactory documentation of compliance with insurance and bond requirements in the amounts and on the forms designated in the Special Conditions, “Insurance and Bond Requirements.”
When required by the Contract, the successful Bidder must furnish and keep in force during the life of the Contract, all insurance in the amounts designated in PART 2, Article 3.
1.16 Trade Names and Alternatives
The reference to any manufacturer’s name or catalog number is intended to be descriptive but not restrictive and only to indicate to the prospective bidder articles that will be satisfactory and have the salient characteristics. Bids on other makes and catalogs will be considered, provided each Bidder clearly states on the face of its Bid exactly what it proposes to furnish, or forwards with the proposal, a cut, illustration, or other descriptive matter which will clearly indicate the salient characteristics of the article covered by its Bid.
Where materials, equipment, supplies, or other products are specified by trade names, by the names of manufacturers and their catalog information, or by other reference, it is understood that the Bidder proposes to furnish the item so identified and does not propose to furnish an “equal” unless the proposed “equal” is definitely indicated by the Bidder with its Bid.

The Director , Purchasing reserves the right to approve an “equal” or to reject as not being an “equal,” any item that the Bidder proposes to furnish. The Bidder is encouraged to offer such proposed “equal” items as “alternates” since, if the proposed product is determined by Authority not to meet specifications then the Bid will be non-responsive.
If Bidder proposes an “alternate” with respect to any item required by the specifications, and the Authority, in its sole discretion, rejects the “alternate,” then the Authority-specified item (and not the proposed “alternate”) must be supplied as part of the total Lump Sum Price.
