A.8 ORGANIZATIONAL CONFLICT OF INTEREST (OCI)
An organizational conflict of interest may result when factors create an actual or potential conflict of interest on a potential contract, or when the nature of the work to be performed on the potential contract creates an actual or potential conflict of interest on any acquisition.
Conflicts may arise in situations not expressly covered in this section FAR 9.505 or in the examples in FAR 9.508. The exercise of common sense, good judgment, and sound discretion is required in both the decision on whether a significant potential conflict exists.
When OCI exists, it can cause an unfair competitive advantage. An unfair competitive advantage exists where a contractor competing for award of any Federal contract possesses-
• Proprietary information that was obtained from a Government official without proper authorization; or
• Source selection information (as defined in FAR 2.101) that is relevant to the contract but is not available to all competitors, and such information would assist that contractor in obtaining the contract.
If at any time the Government finds an OCI exists within an offeror's proposal, the offeror will be excluded from eligibility for award.
If an offeror believes that they might have a possible OCI, the offerors must identify the OCI to the contracting officer prior to submission of the offeror's proposal.
The contracting officer will notify the offeror, provide the reasons therefor, and allow the offeror a reasonable opportunity to respond. If the contracting officer finds that it is in the best interest of the United States to allow the proposal notwithstanding a conflict of interest, a request for waiver will be submitted in accordance with 9.503. The waiver request and decision will be included in the contract file.
A.9 NON-DISCLOSURE AGREEMENT (NDA)

PERFORMANCE WORK STATEMENT (PWS)
NATIONWIDE REAL ESTATE OWNED (REO) DISPOSITION SERVICES
1. GENERAL
This is a non-personnel services contract to provide Real Estate Owned (REO) Disposition
Services. The Government will not exercise any supervision or control over the contract service providers performing the services herein. Such contract service providers will be accountable solely to the Contractor who, in turn is responsible to the Government.
1.1. INTRODUCTION
The United States Department of Agriculture (USDA), Rural Development Agency (RD) is committed to helping improve the economy and quality of life in rural America. RD offers loans, grants and loan guarantees to support essential services such as housing, economic development, health care, first responder services and equipment, water, electric and communications infrastructure. RD also promotes economic development by supporting loans to businesses through banks, credit unions and community-managed lending pools. RD provides technical assistance to help communities undertake community empowerment programs. Additionally, RD helps rural residents buy or rent safe affordable housing and when required, provides assistance for making health and safety conscious repairs to their homes. In the event of a default on a loan, the USDA RD acquires title to the property by foreclosure or other acquisition method. As a result of these acquisitions the USDA RD National Financial and Accounting Finance Center
(NFAOC), Default Management Branch requires contractor services to support the disposition of a sizable inventory of single-family homes in a manner that promotes home ownership, preserves communities, and maximizes return on investment.
1.2. BACKGROUND
The Customer Service Center (CSC) was established in 1996 to provide cost effective loan servicing for the Single-Family Housing (SFH) direct portfolio of the Rural Housing Service
(RHS). The CSC realigned into the National Financial and Accounting Operations Center
(NFAOC) in 2017. As of March 31, 2020, the NFAOC manages a loan portfolio of approximately 225,643 accounts. From the beginning, the amount of servicing was limited and did not include activities such as graduation, foreclosures, real estate owned property inventory
(REOs), lien releases, document storage and other functions. In 2006, RHS began consolidating the last piece of loan servicing remaining in the field, specifically the foreclosure and REO processing. Today, there are 33 states included in this consolidation effort for both foreclosure and REO processing.
National Financial and Accounting Operations Center (NFAOC) is charged with servicing mortgage loans and grants extended to low income borrowers in rural areas throughout the
United States along with the U.S. Territories in Puerto Rico, the Virgin Islands and the Western
Pacific Islands. Beginning operation in October 1996, USDA has serviced as many as
650,000
SOURCE SELECTION INFORMATION – SEE FAR 2.101 and 3.104 government loans and grants originating with U.S. Treasury funds. NFAOC currently services
225,643 Direct Single Family Housing Loans.
The scope of these services will encompass all 50 U.S. States along with the U.S. Territories in
Puerto Rico, the Virgin Islands and the Western Pacific Islands, all services by USDA Rural
Development/NFAOC.
1.3. SCOPE
The NFAOC recognizes in many instances the property will be acquired by the Agency through a deed-in-lieu of foreclosure or foreclosure sale. If a foreclosure action results in no successful bidder, the USDA will assume successful bidder status. The Current rate of acquisition of defaulted loans is 80% however this will continue to decline as foreclosure cases are processed.
As a result, The government has a need for Nationwide Real Estate Owned Disposition services. The required services for Nationwide REO disposition include listing, marketing and sale of the property, closing, post-closing quality control and reporting back to the Agency. This is in accordance with
USDA Regulatory requirements 7 CFR Part 3550, Subpart F. The Agency also has specific guidelines contained in HB-1-3550 Chapter 16 that describes the requirements for REO
Dispositions Services that specifically requires that REO properties must be listed within 45 days of the contractor receiving the listing, and the same property must be sold with 165 days of receiving the listing.
The scope of this requirement does not include property preservation or inspection services. If the Contractor identifies these services are required, the Contractor must notify the Agency.
1.4. PERFORMANCE OBJECTIVES
The objective is to identify a more efficient and streamlined approach to disposal of REO properties for the entire servicing area consistent with 7 CFR 3550.251(c)(1). The Offeror must provide their approach for addressing the Agency specific guidelines covering the disposal of
REO Property discussed in HB-1-3550-Disposing of REO Property – Chapter 16.
The performance objectives of this REO Disposition requirement are:
• Listing REO properties
• Marketing REO properties
• Sale of the REO Properties
• Closing and Post Closing for the REO properties
• Reporting
