Landscape maintenance services include weekly lawn mowing during growing season, semi-annual tree and shrub trimming, weed control, seasonal cleanup, irrigation system maintenance, and general upkeep. Snow removal services require clearing all parking lots and designated access routes no later than two hours following the end of a snow event, with 24/7 coverage during winter months and application of salt, deicer, sand, or other approved ice mitigation materials. The pre-proposal onsite meeting is mandatory and scheduled for July 22, 2026 at 11:00 a.m. MST at the Provo City Municipal Airport, Airport View Lounge (2nd Floor). The question deadline is July 29, 2026 at 4:00 p.m. MST, and proposals are due no later than August 5, 2026 at 4:00 p.m. MST, submitted electronically via Bonfire. The initial contract term is two years beginning September 1, 2026, with the Airport reserving the right to renew for up to three additional one-year terms for a total potential contract length of five years.

Bidders must provide pricing for monthly landscape maintenance services, hourly rates for additional requested work and emergency call-outs, and snow removal services on a per-event basis with itemized deicing material costs. Proposals are evaluated on weighted criteria: pricing (30%), relevant experience (25%), snow response capability (25%), qualifications and references (10%), and equipment and staffing capabilities (10%). Bidders must demonstrate a minimum of three years of experience in comparable landscape maintenance or snow removal services, provide three references from similar contracts within the past five years, possess all required Utah licenses and certifications including pesticide/herbicide applicator licenses, and show adequate equipment and staffing capability. A bid bond of 5% of the total bid amount is required with each proposal, and the successful bidder must furnish a performance bond in the amount of 100% of the annual contract value. All contractors must maintain comprehensive insurance including workers' compensation, general liability ($5,000,000), automobile liability ($5,000,000), and environmental liability ($2,000,000). The contract is subject to liquidated damages of $400 per missed or materially incomplete service occurrence. No federal funding is specified; this is a local municipal airport procurement.

The Bidder must also provide evidence of the authority of the officer or agent to bind the Bidder.

1.10 DISCLOSURE OF PROPOSAL CONTENT

1.10.1 The Government Records Access and Management Act, Code Section 3.13.010 et seq., Provo City Ordinance (“GRAMA”) states that certain information in the submitted Proposal may be open for public inspection. If the Firm desires to have information contained in its proposal protected from such disclosure, the Firm may request such treatment by providing a “written claim of business confidentiality and a concise statement of reasons supporting the claim of business confidentiality” with the Proposal (GRAMA, Code Section 3.13.308, Provo City Ordinance). All material contained in and/or submitted with the Proposal becomes the property of Provo and may be returned only at Owner’s option.

The additional insured endorsement for the Commercial General Liability insurance shall not contain any exclusion for bodily injury or property damage arising from completed operations.

(2) Primary and Non-Contributory Endorsements: The Contractor’s insurance coverage shall be primary insurance as respects to the City, its officers, officials, employees, and volunteers.

Any insurance or self-insurance maintained by the City, its officers, officials, employees, or volunteers shall be in excess of the Contractor’s insurance and shall not contribute with it.

(3) Waiver of Subrogation Endorsements: The Contractor hereby waives any and every claim for recovery from the City, Lenders, and their respective offices and employees for any and all loss or damage covered by any of the insurance policies to be maintained under this Contract to the extent that such loss or damage is recovered under any such policy. To the extent the foregoing waiver would preclude coverage under any insurance required by this Section, the Contractor shall give written notice of the terms of such waiver to each insurance company which has issued, or which may issue in the future, any such policy of insurance (if such notice is required by the insurance policy) and shall cause each such insurance policy to be properly endorsed, or to otherwise contain one or more provisions that prevent the invalidation of the insurance coverage by reason of such a waiver.

(4) Severability of Interests: The Contractor’s insurance shall apply separately to each insured against whom claim is made or suit is brought, except with the limits of the insurer’s liability.

(5) Deductibles and Self-Insured Retentions: Any deductibles or self-insured retention exceeding 5% of the policy limit must be declared to and approved by the City. At the option of the City, either: the insurer may be required to reduce or eliminate such deductibles or self-insured retention as respects the City, its officers, officials, and employees; or the Contractor may be required to procure a bond guaranteeing payment of losses and related investigations, claim distribution, and defense expenses.

(6) Notice of Incident or Accident: Contractor shall agree to disclose to the City all incidents or occurrences of accident, injury, and/or property damage, regardless of whether such incidents are submitted as claims under the Contractor’s insurance policies.

(7) Evidence and Verification of Insurance: On or before the effective date of each policy and on an annual basis at least 10 days prior to each policy anniversary, the Contractor shall furnish the City with certificates of insurance or binders, in a form acceptable to the City, evidencing all of the insurance required by the provisions of this Section. Contractor shall provide a certificate of insurance verifying completed operations coverage for a period of not less than two (2) years after project completion. Certificates and endorsements are to be signed by a person authorized by that insurer to bind coverage on its behalf. The certificates and endorsements are to be furnished to and accepted by the City before work commences. The City reserves the right to require complete, certified copies of all required insurance policies, with all endorsements, at any time.

(8) Claims-Made Policies: If any policy is a claims-made policy, the policy shall provide the Contractor the right to purchase, upon cancellation or termination by refusal to renew the policy, an extended reporting period (Tail) of not less than two (2) years. The Contractor agrees to purchase such an extended reporting period if needed to ensure continuity of coverage. The Contractor’s failure to purchase such an extended reporting period as required by this paragraph shall not relieve it of any liability under this Contract. The retroactive date of any such policy shall be not later than the date this Contract is executed by the parties hereto. If the Contractor purchases a subsequent claims-made policy in place of any prior claims-made policy, the retroactive date of such subsequent policy shall be no later than the date this Contract is executed by the parties hereto.

(9) Policy Cancellation and Change: All insurance policies shall be endorsed so that if at any time they are canceled, such cancellation shall not be effective for the City for 30 days, except for non-payment of premium which shall be for 10 days. If any material change in coverage should occur, the Contractor shall provide notice of any material change in coverage to the City immediately.

(10) Liability Limits: The liability limits shown in this Section are minimum requirements. To the extent the Contractor maintains, or causes to be maintained on its behalf, liability limits which are higher than the minimum limits stated in this Section, the higher liability limits shall be required of the Contractor.

(11) Failure to Maintain Insurance: In the event the Contractor fails, or fails to cause others on their behalf, to take out or maintain the full insurance coverage required by this Section, the City, upon 30 days’ prior notice (unless the required insurance would lapse within such period, in which event notice will be given as soon as reasonably possible) to the Contractor of any such failure, may (but shall not be obligated to) take out the required policies of insurance and pay the premiums on the same. All amounts so advanced thereof by the City shall become an additional obligation of the Contractor to the City, and the Contractor shall pay such amounts to the City, together with interest thereon from the date so advanced. Any failure to comply with reporting provisions of the policies shall not affect coverage provided to the City, its officers, officials, employees, or volunteers.

(12) No Duty to Verify or Review: No provision of this Section or any provision of any document related to this agreement shall impose on the City any duty or obligation to verify the existence or adequacy of the insurance coverage maintained by the Contractor, nor shall City be responsible for any representations or warranties made by or on behalf of the Contractor to any insurance company or underwriter. Any failure on the part of the City to pursue or obtain the evidence of insurance required by this agreement from the Contractor and/or failure of the City to point out any non-compliance of such evidence of insurance shall not constitute a waiver of any of the insurance requirements in this agreement.

(13) Subcontractors: Contractor shall include all subcontractors as an insured under its policies or shall furnish separate certificates and endorsements for each subcontractor. All coverages for subcontractors shall be subject to the requirements stated herein.

(14) Loss Control and Safety: The Contractor shall retain control over its employees, agents, servants, and subcontractors, as well as control over its invitees, and its activities on and about the subject premises and the manner in which such activities shall be undertaken and to that end, the Contractor shall not be deemed to be an agent of the City. Precaution shall be exercised at all times by the Contractor for the protection of all persons, including employees and property. The Contractor shall make special effort to detect hazards and shall take prompt action where loss control/safety measures should reasonably be expected.

1.14 INVOICING

• Provo City shall make payment to Contractor for all services performed by Contractor pursuant to this Agreement. Contractor shall submit a written invoice on a monthly basis for ongoing maintenance services, and upon completion of any per-event or additional work. Provo City shall pay each invoice within thirty (30) days of receipt.

Provo Municipal Airport

Attn: Jared Penrod, Airport Engineering and Planning Manager

1331 South Sky Way, Provo, Utah 84601

1.15 LIQUIDATED DAMAGES

1.15.1 The Contractor agrees to perform services as specified in this Agreement. Failure to perform constitutes an event of default. The actual damages to Owner for missed or incomplete services will be difficult or impossible to determine. Therefore, in lieu of actual damages, the Contractor shall pay to Owner liquidated damages in the amount of Four Hundred Dollars ($400.00) per missed or materially incomplete service occurrence.

Repeated or uncured failures may be treated as material breach, at which point Owner may terminate the Agreement, procure substitute services elsewhere, and charge the Contractor for any excess costs and seek such additional relief as provided by law.

Contractor shall not be charged liquidated damages when delay arises out of causes beyond Contractor’s control and without Contractor’s fault or negligence.

1.16 SILENCE OF SPECIFICATIONS

1.16.1 The apparent silence of specifications as to any detail, or the apparent omission from it of a detailed description concerning any point, shall be regarded as meaning that only the best commercial practice is to prevail.

1.17 NON-DISCRIMINATION AND EQUAL OPPORTUNITY

1.17.1 Bidder agrees to comply with all federal statutes relating to nondiscrimination. These include but are not limited to: (a) Title VI of the Civil Rights Act of 1964 (P.L. 88-352) which prohibits discrimination on the basis of race, color or national origin; (b) Title IX of the Education Amendments of 1972, as amended (20 U.S.C. §§ 1681-1683, and 1685- 1686), which prohibits discrimination on the basis of sex; (c) Section 504 of the Rehabilitation Act of 1973, as amended (29 U.S.C. § 794), which prohibits discrimination on the basis of handicaps and the Americans with Disabilities Act of 1990; (d) the Age Discrimination Act of 1974, as amended (42 U.S.C. §§ 6101-6107), which prohibits discrimination on the basis of age; (e) the Drug Abuse Office and Treatment Act of 1972 (P.L. 92-255), as amended, relating to nondiscrimination on the basis of drug abuse; (f) the Comprehensive Alcohol Abuse and Alcoholism Prevention, Treatment and Rehabilitation Act of 1970 (P.L. 91-616), as amended, relating to the nondiscrimination on the basis of alcohol abuse or alcoholism; (g) §§ 523 and 527 of the Public Health Service Act of 1912 (42 U.S.C. 290 dd-3 and 290 ee-3), as amended, relating to confidentiality of alcohol and drug abuse patient records; (h) Title VIII of the Civil Rights Act of 1968 (42 U.S.C. § 3601 et seq.), as amended, relating to nondiscrimination in the sale, rental or financing of housing; (i) any other nondiscrimination provisions in any specific statute(s) applicable to any Federal funding for this Agreement; and (j) the requirements of any other nondiscrimination statute(s) which may apply to this Agreement.

1.18 INTERPRETATION AND ADDENDA

• If any prospective Bidder is in doubt as to the true meaning of any part of the Bid Documents, Bidder may submit a written request for an interpretation on Bonfire. The request must be made by July 29, 2026, 4:00 p.m. MST. The Owner will respond on Bonfire. The Owner will not be responsible for any other explanations or interpretations of the proposed documents.

• It shall be the Bidder’s responsibility to advise the City, before the time specified for receipt of bids, of conflicting requirements or omissions of information which require clarification. Those questions not resolved by addenda shall be listed in the space provided on the proposal form, together with statements of the basis upon which the proposal is made as affected by each question.

1.19 EXCEPTIONS

• Each Bidder shall attach a list, with its Proposal, of all exceptions to the specification and bid documents. If the Bidder takes no exceptions, Bidder shall indicate on the proposal that no exceptions are taken. Proposals which do not comply with this requirement will be considered irregular and may be rejected at the discretion of the Purchaser. In case of exception not described in the bid proposal, the requirements of the specification and bid documents shall govern.

• If the Bidder takes exception, all such exceptions shall be specific in nature and carefully referenced to the applicable page number, article number, and article title of the specifications and documents. If the Bidder proposes deletion of language and substitution of revised language, such deletion and substitution shall be carefully presented by typing complete paragraphs or articles of the original specification language and incorporating the substitute language. Proposed deletions shall be set off by brackets, thus: [delete this language], and proposed substitute language shall be indicated by underlining, thus: substitute this language. Exceptions which are general, which make reference to the Bidder’s standard terms and conditions, or which make reference to the Bidder’s descriptive information as a whole will not be acceptable.

Proposals which do not comply with these requirements for the presentation of exceptions will not be acceptable and may be rejected.

• If a proposal includes express or implied exceptions that are not listed as required, the requirements of the specifications and documents shall govern. The Bidder shall not alter any part of the specifications and documents in any way, except by stating its exceptions.

1.20 Statement on Immigration Status

• All contractors, including sub-contractors, are reminded of the requirements of Utah Code Annotated 63G-12-302. Provo City is prohibited from entering into any contract for the performance of services with any party who does not provide the City with proof of registration and participation in a federally approved immigration status verification system. Failure to provide proof may be grounds for rejection of a proposal.

1.21 SALES TAX USE

1.21.1 Bidders responding to Provo City requests for proposals should be aware that all materials installed or converted to real property by someone other than a city, county or state employee are generally subject to sales tax. Bidders are responsible for remitting sales tax on all materials purchased or placed in service that are subject to sales tax. All bidders should consider and include the impact of sales tax in their proposals since it will be the responsibility of the bidder to remit all applicable sales taxes.

1.22 BID BOND

1.22.1 Each proposal shall be accompanied by a bid bond, cashier’s check, or certified check in the amount of 5% of the total bid amount, payable to Provo City, as a guarantee that the Bidder, if awarded the contract, will execute the Agreement and furnish the required performance bond within fourteen (14) calendar days of the Notice of Award. Failure to execute the Agreement and furnish bonds within the specified time shall cause forfeiture of the bid security as liquidated damages. Bid securities will be returned to unsuccessful Bidders after award of the contract.

1.23 PERFORMANCE BOND

1.23.1 The successful Bidder shall furnish a performance bond in the amount of 100% of the annual contract value for the faithful performance of the contract. The bond shall be issued by a surety company authorized to do business in the State of Utah and listed in the Department of the Treasury Circular 570. The bond shall remain in effect for the duration of the contract, including any renewal terms. If the contract is renewed, the Contractor shall provide evidence that the performance bond has been extended to cover the renewal period.
