About this file
This document is a Professional Consultant Services Agreement between the El Paso County Hospital District (doing business as University Medical Center of El Paso or UMC) and an unnamed consultant for professional real estate brokerage services. The agreement is part of UMC's 2025 General Obligation Bond Implementation Program, seeking non-exclusive on-call real estate services for purchasing property in Texas. The contract term is one year, with potential renewal options, and allows for unlimited task orders during this period. UMC reserves the right to select multiple brokers and assign task orders based on organizational needs, with no maximum total contract amount.
The compensation structure is not explicitly detailed in the provided document, but the agreement includes provisions for monthly payments after services are rendered. The consultant is required to maintain liability insurance with limits of at least $1 million per incident and $3 million in aggregate. The agreement is contingent upon funding availability and follows Texas state regulations, including being subject to the Texas Tort Claims Act and Public Information Act. UMC, as a political subdivision of Texas, has specific budgetary constraints and can terminate the agreement with 30 days' notice if sufficient funds are not allocated in its annual budget.
