About this file
This file is a Business Confidentiality Claim form issued by the Office of the Government Records Ombudsman at the Utah State Archives for use in connection with the Government Records Access and Management (GRAMA) Act. The form is designed to allow vendors and contractors submitting proposals to the State of Utah, specifically through the Division of Purchasing, to claim confidentiality protection for trade secrets and commercial financial information contained in their proposals. Per Utah Code 63G-2-305, trade secrets and commercial financial information that could result in unfair competitive injury may be protected if accompanied by a formal confidentiality claim. The form requires claimants to provide their company information, identify the specific pages and paragraphs for which confidentiality is claimed, and submit a concise statement of reasons supporting the claim. Importantly, claimants must submit both redacted and non-redacted versions of their complete proposal; the Division of Purchasing will not perform redactions on behalf of vendors who fail to provide a redacted copy.
The related state and local contract opportunity pertains to a 5-Year Service Agreement for Panther Fusion Plus to be awarded by the State of Utah's Division of Purchasing. The Notice of Intent to Award indicates that the Conducting Procurement Unit intends to award this contract without engaging in a standard competitive procurement process, claiming there is only one source available for this procurement item. This single-source justification is subject to written determination by the Division of Purchasing. Vendors or contractors interested in claiming confidentiality protections for any proposals or information submitted in relation to this procurement should use the confidentiality claim form provided, noting that submission of such a claim does not guarantee protected classification if the government receives records requests under GRAMA.

Business Request for GRAMA Business Confidentiality Claim
Note: Utah Code § 63G-2-305(1) states that trade secrets can be protected if the person submitting the trade secret provides the governmental entity with a confidentiality claim. Likewise, Utah Code § 63G-2-305(2) states that commercial financial information can be protected if disclosure could reasonably be expected to result in unfair competitive injury to the person submitting the information, and that person has provided a confidentiality claim. Confidentiality claims are described in Utah Code § 63G-2-309. A claim must include a concise statement of reasons supporting the claim and must be submitted with the information requested to be protected. A claimant MUST submit a redacted and non-redacted version of their proposal. The entire proposal may NOT be redacted. The Division of Purchasing will not redact a proposal on behalf of a claimant if they fail to upload a redacted copy of their proposal.
