About this file

This is a Business Confidentiality Claim form issued by the Utah State Archives Office of the Government Records Ombudsman in connection with a Notice of Intent to Award a Contract for Annual Maintenance and Support for a Remittance Processing Solution. The form is designed to allow vendors submitting proposals to claim confidentiality protections for trade secrets and commercial financial information in accordance with Utah Code 63G-2-305 and 63G-2-309. The claimant must provide a concise statement of reasons supporting the confidentiality claim and submit both redacted and non-redacted versions of their proposal, as the Division of Purchasing will not perform redactions on behalf of vendors who fail to provide a redacted copy. The form requires claimant information including company name, address, contact details, and identifies specific pages and paragraphs where confidentiality protections are being requested.

The confidentiality claim process applies specifically to records submitted to the governmental entity conducting the procurement and requires detailed documentation of which portions of the proposal warrant protection based on claimed trade secret status or risk of unfair competitive injury from disclosure. Importantly, the submission of a confidentiality claim does not guarantee that information will receive protected classification if the government receives a public records request under GRAMA (Government Records Access and Management Act). Vendors must indicate the specific pages, paragraphs, and reasons for each confidentiality request, and the claim must be submitted concurrently with the proposal materials themselves to be valid.

Business Request for GRAMA Business Confidentiality Claim

Note: Utah Code § 63G-2-305(1) states that trade secrets can be protected if the person submitting the trade secret provides the governmental entity with a confidentiality claim. Likewise, Utah Code § 63G-2-305(2) states that commercial financial information can be protected if disclosure could reasonably be expected to result in unfair competitive injury to the person submitting the information, and that person has provided a confidentiality claim. Confidentiality claims are described in Utah Code § 63G-2-309. A claim must include a concise statement of reasons supporting the claim and must be submitted with the information requested to be protected. A claimant MUST submit a redacted and non-redacted version of their proposal. The entire proposal may NOT be redacted. The Division of Purchasing will not redact a proposal on behalf of a claimant if they fail to upload a redacted copy of their proposal.
