About this file
This is a Business Confidentiality Claim form from the Utah State Archives, Office of the Government Records Ombudsman, related to a Request for Statements of Qualifications (RFSQ) issued by the State of Utah Division of Purchasing for marketing and creative services. The procurement, conducted by Cultural and Community Engagement, seeks a Design Professional Service Provider or Consultant to conceptualize and implement Utah's pavilion for the Great American Fair. The contract is awarded under Utah Procurement Code 63G-6a Part 15 and has an initial term of one year. The RFSQ is structured as a qualifications-based selection process in which the highest-ranked vendor is selected to negotiate contract terms at fair and reasonable compensation as determined through subsequent negotiations. If acceptable terms cannot be reached with the top-ranked vendor, the state reserves the right to proceed with negotiations with the next highest-ranked vendor.
The confidentiality claim form establishes a mechanism for vendors to protect trade secrets and commercial financial information in their submissions in accordance with Utah Code 63G-2-305 and 63G-2-309. Vendors submitting confidentiality claims must provide both redacted and non-redacted versions of their proposals, with the entire proposal unable to be fully redacted. The Division of Purchasing will not redact proposals on behalf of vendors who fail to submit a redacted copy. Pricing information should not be included in submitted qualifications. The form requires claimants to provide company information, specify which records are subject to the confidentiality claim, identify specific pages and paragraphs, and include a concise statement of reasons supporting the claim. Making a confidentiality claim does not guarantee protected classification status if the government receives subsequent records requests under the Government Records Access and Management Act (GRAMA).

Business Request for GRAMA Business Confidentiality Claim
Note: Utah Code § 63G-2-305(1) states that trade secrets can be protected if the person submitting the trade secret provides the governmental entity with a confidentiality claim. Likewise, Utah Code § 63G-2-305(2) states that commercial financial information can be protected if disclosure could reasonably be expected to result in unfair competitive injury to the person submitting the information, and that person has provided a confidentiality claim. Confidentiality claims are described in Utah Code § 63G-2-309. A claim must include a concise statement of reasons supporting the claim and must be submitted with the information requested to be protected. A claimant MUST submit a redacted and non-redacted version of their proposal. The entire proposal may NOT be redacted. The Division of Purchasing will not redact a proposal on behalf of a claimant if they fail to upload a redacted copy of their proposal.
