About this file

This is a Business Confidentiality Claim form issued by the Utah State Archives Office of the Government Records Ombudsman for use in conjunction with the state's Government Records Access and Management (GRAMA) Act. The form applies to the Aavenir Funds Increase contract opportunity under the Utah Division of Purchasing and is designed to allow vendors and contractors to protect sensitive business information from public disclosure. The form requires claimants to submit both redacted and non-redacted versions of their proposals, with the entire proposal unable to be fully redacted. Claimants must provide their company information, contact details, and a concise written statement explaining the reasons supporting the confidentiality claim, specifying which pages, paragraphs, and sections require protection.

The form operates under Utah Code 63G-2-305 and 63G-2-309, which establish mechanisms for protecting trade secrets and commercial financial information from disclosure if such disclosure could reasonably result in unfair competitive injury. The Division of Purchasing will not redact proposals on behalf of vendors who fail to submit their own redacted copies. It is important to note that submitting a confidentiality claim does not guarantee that information will be protected if the government receives a public records request, as the determination of protected classification remains at the discretion of the governmental entity receiving the records request.

Business Request for GRAMA Business Confidentiality Claim

Note: Utah Code § 63G-2-305(1) states that trade secrets can be protected if the person submitting the trade secret provides the governmental entity with a confidentiality claim. Likewise, Utah Code § 63G-2-305(2) states that commercial financial information can be protected if disclosure could reasonably be expected to result in unfair competitive injury to the person submitting the information, and that person has provided a confidentiality claim. Confidentiality claims are described in Utah Code § 63G-2-309. A claim must include a concise statement of reasons supporting the claim and must be submitted with the information requested to be protected. A claimant MUST submit a redacted and non-redacted version of their proposal. The entire proposal may NOT be redacted. The Division of Purchasing will not redact a proposal on behalf of a claimant if they fail to upload a redacted copy of their proposal.
