About this file
This is a Business Confidentiality Claim form issued by the Utah State Archives Office of the Government Records Ombudsman in conjunction with a Collections Management System procurement by the State of Utah Division of Purchasing, conducted by Cultural and Community Engagement. The form is designed to allow vendors submitting qualifications to claim protection for trade secrets and commercial financial information under Utah Code 63G-2-305 and 63G-2-309. The procurement seeks Design Professional Service Providers and Consultants for a Collections Management System under a 5-year contract term, with the intent to award based on qualifications ranking under Utah Procurement Code 63G-6a Part 15. Vendors must submit both redacted and non-redacted versions of their proposals, with the entire proposal unable to be fully redacted.
The confidentiality claim process requires vendors to provide a concise statement of reasons supporting their claim, including specific details about which pages, paragraphs, and sections require protection. The Division of Purchasing will not redact proposals on behalf of vendors who fail to submit a redacted copy. While vendors may claim confidentiality protection for sensitive information, such claims do not guarantee protected classification if the government receives a records request under GRAMA (Government Records Access and Management Act). Pricing should not be included in qualification submissions, as the vendor with the highest ranking will be selected to negotiate fair and reasonable compensation, with provisions to proceed to the next highest-ranked vendor if agreement cannot be reached with the top-ranked firm.

Business Request for GRAMA Business Confidentiality Claim
Note: Utah Code § 63G-2-305(1) states that trade secrets can be protected if the person submitting the trade secret provides the governmental entity with a confidentiality claim. Likewise, Utah Code § 63G-2-305(2) states that commercial financial information can be protected if disclosure could reasonably be expected to result in unfair competitive injury to the person submitting the information, and that person has provided a confidentiality claim. Confidentiality claims are described in Utah Code § 63G-2-309. A claim must include a concise statement of reasons supporting the claim and must be submitted with the information requested to be protected. A claimant MUST submit a redacted and non-redacted version of their proposal. The entire proposal may NOT be redacted. The Division of Purchasing will not redact a proposal on behalf of a claimant if they fail to upload a redacted copy of their proposal.
