About this file
This is a Claim of Business Confidentiality Form submitted in connection with the Utah Department of Transportation (UDOT) Invitation for Bid (IFB) for a towable, diesel-powered debris pickup machine. The solicitation seeks to establish a five-year contract with a single provider for this equipment. Bidders submitting proposals may claim business confidentiality protection for specific categories of information, including non-public financial statements, employee contact information, and customer or client lists, provided they can demonstrate that disclosure would result in unfair competitive injury or impair the government entity's ability to obtain necessary information in the future. However, pricing and cost proposals cannot be classified as confidential and will be considered public information, and entire proposals cannot be marked as protected or proprietary.
Claims of business confidentiality must be supported by references to trade secrets as defined under Utah Code Annotated Section 13-24-2 or commercial information that derives independent economic value from non-disclosure. Bidders asserting confidentiality claims must specify the particular pages, paragraphs, and reasons for protection on the form. The government entity will notify bidders if claimed protected records are reclassified as public or if records should be released after weighing the interests under applicable Utah statutes. The form references Utah Code Annotated Subsections 63G-2-305 and related sections governing the treatment of protected information in public procurement matters.
