About this file
This is a Claim of Business Confidentiality Form submission template used by the Utah Department of Transportation (UDOT) in connection with an Invitation for Bid (IFB) for Tau Systems Crash Cushion and End Treatment systems and parts as an additional provider. The form allows bidders to assert claims of business confidentiality for specific information submitted in their proposals, in accordance with Utah Code Annotated Subsections 63G-2-305(1) and (2) and Section 63G-2-309. Bidders may claim confidentiality protection for non-public financial statements, specific employee names and contact information, customer information or client lists, and other proprietary information that qualifies as trade secrets or commercial information under Utah law. The form requires bidders to identify the specific pages and paragraphs of their proposal containing confidential information and provide detailed reasons supporting the confidentiality claim.
Pricing and cost proposals are explicitly excluded from confidentiality protection and will be considered public information under this solicitation. Additionally, entire proposals cannot be blanket-classified as "protected," "confidential," or "proprietary." Bidders claiming confidentiality must demonstrate that the protected information derives independent economic value from not being publicly known, is subject to reasonable secrecy efforts, and that disclosure would result in unfair competitive injury or impair the government's ability to obtain necessary information in the future. The governmental entity will notify bidders if claimed protected records are classified as public or if release is determined appropriate after weighing public interest against confidentiality interests under applicable Utah statutes.
