AMENDMENT NO. 3

To

WIRELESS TELEPHONY AND BROADBAND PLANS, EQUIPMENT AND SUPPORT

CONTRACT NO. 505ENT-M17-WIRELESSPH-02

This Amendment No. 3 (“Amendment 3”) to the Agreement by and between AT&T Mobility National Accounts LLC (“AT&T”) and State of Wisconsin (“State” or “Customer”) (State and AT&T are, at times, referred to herein individually as a “Party” and together as the “Parties”). The terms “Amendment 3” and “Government Agreement” are used interchangeably. The Effective Date is the date on which the last party signs this Amendment 3.

The Parties acknowledge and agree, except as set forth in Exhibit C “Contract Pricing”, the pricing included in AT&T’s Proposal, in response to the terms of RFB #28258-SR, was originally incorporated into the Contract. The Parties agree to modify the Contract as specified herein. Unless otherwise defined, capitalized terms in this Amendment have the meanings ascribed to them in the Contract and the Request for Bid. Except as otherwise modified herein, the Contract is in all respects ratified, confirmed and approved.

The Agreement is hereby amended by adding the following new sections:

1. FirstNet. Pursuant to the terms and conditions of the Contract and this Amendment, AT&T will provide the AT&T FirstNet Solution, as described more fully below and in Exhibits A through J additional Plan terms and conditions.

1.1 AT&T FirstNet Solution Service Guide (“Service Guide”). The AT&T FirstNet Solution Service Guide is found at http://serviceguidenew.att.com/sg_flashPlayerPage/FIRSTNET incorporated herein by reference. The pricing, terms and conditions referenced in the Service Guide may be modified by AT&T from time to time.

1.1.1 The Contract User shall receive the lowest pricing or highest discount located either this Contract or the most current Service Guide for the same or like products and services. The Contract User shall make the final determination as to what is in its best interest regarding the lowest pricing or highest discount.

1.1.2 AT&T shall not apply any revision from the Service Guide, including linked material or pages, to a Contract User in a manner inconsistent with this Contract Amendment unless required to do so by law.

1.1.3 To the extent of any material conflict between the terms and conditions of this Amendment and the applicable Sales Information or Service Guide, this Amendment will control.

1.1.4 Under this Amendment, A&T will provide only products and services within Contract scope to Contract Users. Products and services shall not include paging or satellite services.

1.1.5 Subject to this Section 1.0, AT&T may revise the Service Guide to enhance the functionality of an existing service, add a new service component within the scope of this Contract, make a change required by governmental authority, or to assess or change assessments of government-related recovery fees, surcharges, or taxes. AT&T shall not otherwise apply to Contract User a revision to a Service Guide in a manner that has a materially adverse impact on Contract User during the term of the Contract and any period that survives the Contract.

1.1.6 To the extent that AT&T makes generally available to its customers a system for providing notice of any changes to the Service Guide, AT&T shall make that system available and accessible to the Contract User.

1.1.7 Contract User Termination for materially adverse impact. If AT&T revises the Service Guide, including linked pricing or terms and conditions within the Service Guide, that has a materially adverse impact on Contract User and http://serviceguidenew.att.com/sg_flashPlayerPage/FIRSTNET

Page 2 of 12 For AT&T Internal Use Only: 080118– lc4267 – C

AT&T does not remedy such materially adverse impact within 30 days after receipt of notice from Contract User, then Contract User, as Contract User’s sole remedy, may elect to terminate the Purchase Order with no penalty.

Contract User shall provide written notice to AT&T of Service Guide materially adverse impact no later than 90 days after the Contract User learns of the revision to the Service Guide. Materially adverse impacts do not include changes to assessments of government-related recovery fees, surcharges or taxes.

1.2 Eligibility. Only the following Authorized Users, to the extent they qualify as a Public Safety Entity, as more fully described in Section SD-2.1 (Public Safety Entities) of the Service Guide, are eligible to purchase the AT&T FirstNet Solution in accordance with this Amendment 3: (a) Municipalities (as defined in Wis. Stats. section 16.70 (8) and 16.73); (b) Federally recognized Indian tribes and bands in this state under Wis.Stats.

section 66.0301(1) and (2); and (c) Agencies (as defined in Wis. Stat.16.70 (1)(e).

(Entities that meet the eligibility requirements set forth in the immediately preceding sentence shall be identified in this Agreement as “Contract Users”).

1.3 Amendment Definitions and Acronyms.

1.3.1 BAN means Billing Account Number.

1.3.2 FAN means Foundation Account Number.

1.3.3 NPSBN means Nationwide Public Safety Broadband Network.

1.3.4 Published price means the list price.

1.3.5 PPU means Primary place of use.

1.3.7 Unsubsidized device means equipment purchased from AT&T at non-discounted published price.

2. Reporting.

2.1 Upon execution of this amendment, AT&T shall provide reporting, as required in the Contract. See Section 5.4 (Reports) of the RFB #28258-SR.

3. Custom Plans and Custom Equipment Offer.

3.1 Custom FirstNet Mobile Plans – Agency Paid. Provided the Contract User as a qualified Public Service Entity remains in full compliance with the terms and conditions of this Contract, and subject to all corresponding conditions set forth in this §3 (including all sub-sections and Tables), AT&T will provide the State and its eligible Contract Users the custom FirstNet Mobile Plans described in this Section 3.1 (the “Custom FirstNet Mobile Plans – Agency Paid”). The corresponding Contract Users must be eligible to activate Service on the underlying, non-customized version of the corresponding FirstNet Mobile Plan. The Agency Paid Custom FirstNet Mobile Plans are not available to individuals only eligible to purchase the subscriber–paid versions of FirstNet Mobile Plans.

The Custom FirstNet Mobile Plans are subject to the applicable, standard FirstNet Mobile-Pooled and Mobile–Unlimited Plans’ corresponding Sales Information which are incorporated herein by reference. To the extent of any material conflict between the terms and conditions of this Section 3 and the applicable Sales Information, this Section 3 will control. Notwithstanding the foregoing, the Custom FirstNet Mobile Plans will be provided only if the Agency or Individual Contract User’s account is active and in good standing with respect to the applicable Contract User.

Page 3 of 12 For AT&T Internal Use Only: 080118– lc4267 – C

The Custom FirstNet Mobile Plans are NOT eligible for the Service Discount, any other discount provided under this Contract, nor any other discounts or promotions otherwise available to AT&T’s customers.

For all Custom FirstNet Mobile Plans, the corresponding Plan’s Monthly Service Charge (may be referred to as “MSC”) will appear on the invoice at the standard price set forth as the Published Price (or may be called “Sales Information”), but the customized net monthly price set forth in the corresponding table will be achieved via application of a modifier as a credit for the plan as reflected on the invoice. The Contract User or designee can verify pricing using the tables provided below or within the Service Guide, whichever is the better pricing utilized.

3.2 Custom FirstNet Mobile Plans–Subscriber Paid.

In addition to Custom FirstNet Mobile Plans available to Contract Users and its Contract Users, AT&T offers a Subscriber–Paid version of such plans to eligible individuals associated with a Primary User Public Safety Entity. The State must remain eligible for “Custom FirstNet Mobile Plans–Agency Paid” described in Section 3.1 for the Custom FirstNet Mobile Subscriber Paid Plans to apply to applicable individuals. The corresponding subscriber must be eligible to activate Service on the underlying, non-customized version of the corresponding FirstNet Mobile Subscriber Paid Plan. The Custom FirstNet Mobile Subscriber Paid Plans are not available to the Contract Users. Subscribers using the Subscriber Paid Plan are not utilizing the State of Wisconsin Contract and should make their own determination whether they can accept the terms of the Subscriber Paid Plan and whether they may be reimbursed by their Primary User Public Safety Entity. For all Custom FirstNet Mobile Subscriber Paid Plans, the corresponding Plan’s Monthly Service Charge (may be referred to as “MSC”) will appear on the invoice at the standard price as set forth as the Published Price (or

4G LTE networks of AT&T’s domestic rural providers connected to the FirstNet Evolved Packet Core; (b) preemption of other lower priority users’ use of such network; and (c) prioritized treatment of select data traffic transmitted over such network. Preemption and prioritization are subject to restrictions established for and by your Public Safety Entity.2

• Each qualified Subscriber Paid User is limited to one FirstNet Mobile – Responder Plan or one FirstNet Mobile – Responder Unlimited Plan. If it is determined that you are not a valid Subscriber Paid User or have more than one plan, AT&T reserves the right to switch you to another plan for which you qualify and bill you the appropriate monthly fees.

• FirstNet Mobile – Responder and FirstNet Mobile – Responder Unlimited plans are also available for use on the AT&T commercial core, rather than on the FirstNet Evolved Packet Core. You may use your FirstNet Mobile plan on the AT&T commercial core only if your Public Safety Entity is extensively using the AT&T commercial core. Customers using the AT&T commercial core will have different coverage and network capabilities than customers using the FirstNet Evolved Packet Core; for example, First PriorityTM is only available on the FirstNet Evolved Packet Core.

Customers using the AT&T commercial core may be required to migrate to the FirstNet Evolved Packet Core at an appropriate time. See Important Information: AT&T Commercial Core

Plan Terms and Conditions State and Local Government Primary Users

FirstNet Mobile Plans FirstNet Evolved Packet Core

1. FirstNet Mobile–Pooled Plans and FirstNet Mobile–Unlimited Plans for State and Local Government (FirstNet Evolved Packet Core).

1.1. Requires a FirstNet Capable device provisioned with a FirstNet Trio SIM card.

1.2. Eligibility. The FirstNet Mobile Plans are available only to state and local government

Public Safety Entities that are Primary Users having a qualified Government Agreement. The plans are intended for use solely by Agency Paid Users.

1.3. Definitions and acronyms.

Agency Paid Users are individual employees and contractors of a Public Safety Entity who are granted access to a FirstNet Mobile plan for which the Public Safety Entity is financially responsible.

BAN means Billing Account Number.

DCA means Domestic Coverage Area

Extended Primary Users are those Public Safety Entities that are not Primary Users, but who may be called upon to support Primary Users during the time of an emergency or its aftermath.

FAN means Foundation Account Number. Each AT&T Customer has a FAN number.

GB means gigabyte.

Government Agreement is a qualified AT&T wireless service agreement between AT&T and a state and local government Public Safety Entity eligible to participate in the FirstNet program. This Contract Amendment 3 and related Exhibits serves as the Government Agreement. Plans are subject to the terms of this Contract;

and, when incorporated into the Government Agreement, the AT&T FirstNet Solution Service Guide (“Service Guide”).

HD means High Definition - Voice over LTE (VoLTE)

KB means kilobyte.

MB means megabyte.

Primary Users are those Public Safety Entities that act as first responders, i.e., those entities whose primary mission and job function is to provide services to the public in the area of law enforcement, fire protection, emergency medical services, emergency management and emergency call (911) dispatching.

Page 2 of 5 For AT&T Internal Use Only: 040918– lc4267 – C

Public Safety Entities are entities authorized by the First Responder Network

Authority to obtain services under the FirstNet program.

1.4. FirstNet Evolved Packet Core Limitations. The FirstNet Evolved Packet Core is designed primarily for domestic use by Public Safety Entities, with planned additional capabilities for Wi-Fi-calling, wearables, Public Static IP Addressing, Advanced Messaging and international voice and data roaming capabilities outside of Mexico and Canada. These features will be supported in the future. See www.firstnet.com/features for details.

1.5. International Roaming Blocking Feature. All FirstNet Mobile plans are provisioned with the International Roaming Blocking Feature. Customer must remove the feature to roam in international locations other than Canada and Mexico. There is no charge to remove this feature, but international roaming outside of Canada and Mexico will be subject to additional charges. When available, international roaming will require purchase of an international plan (sold separately). See https://www.firstnet.com/firstnetinternational for details.

1.6. Pricing. Prices are for service only.

1.7. Devices. Sold separately. Devices must be FirstNet Capable. Installment plan charges and other device purchase costs are extra. A limit on the number of financed devices per wireless account may apply.

1.8. Loss of Monthly Service Charge Discount. If Customer upgrades to a subsidized smartphone, feature phone or data device, Customer will lose the applicable plan discount for that Agency Paid User.

1.9. Data. For use in the United States, Puerto Rico and U.S. Virgin Islands (the “Domestic Coverage Area” or “DCA”), other U.S. Territories, Canada and Mexico.

Additional or promotional data may not be available for use outside the DCA. See http://att.com/broadbandinfo for details on AT&T network management policies.

1.10. Canada and Mexico Service Restrictions. Plan usage not available in Canada and Mexico on Connected Devices. Pay-per-use roaming rates will apply on these devices.

2. FirstNet Mobile–Unlimited Plans.

2.1. Unlimited plans do not pool. Customer’s usage of First Priority™ on any FirstNet Mobile–Unlimited Plan may not exceed 22GB a month for three consecutive months;

AT&T reserves the right to require Customer to move to a FirstNet Mobile—Pooled Plan if usage exceeds this limitation. AT&T may proactively reassign Customer to a FirstNet Mobile–Pooled Plan upon notice to Customer, unless prohibited under the Government Agreement or regulation.

2.2. Exclusions. FirstNet Mobile–Unlimited Plans may not be used with any device or equipment that is intended to, or is used to, establish a continuous, unattended connection to the 4G LTE networks used to provide FirstNet services, including, but not limited to, automatic data feeds, mobile video transmissions, and automated machine-to-machine connections.

3. FirstNet Mobile–Pooled Plans.

3.1. Within a single Billing Account Number (BAN), Agencies activated on separate FirstNet Mobile–Pooled Plans are combined to create a “Data Pool.” Every billing cycle, each Agency Paid User first uses the plan’s included data allotment (“Data Allowance”), if any. If an Agency Paid User does not use all of the plan’s Data Allowance, it creates an underage in the amount of the unused Data Allowance

Page 3 of 5 For AT&T Internal Use Only: 040918– lc4267 – C

(Under Usage). If an Agency Paid User uses more than the plan’s Data Allowance (e.g., any Agency Paid User with a 0GB plan), the Agency Paid User incurs data overage charges in the amount of the excess data usage (Over Usage). At the end of the billing cycle, AT&T calculates the total Under Usage amounts for Agency Paid User lines in the Data Pool and the total Over Usage amounts for Agency Paid User lines in the Data Pool and then compares the two totals. If the total Under Usage amount exceeds the total Over Usage amount, the excess Under Usage is allocated among each Agency Paid User in the Data Pool with Over Usage, resulting in per line credits on Customer’s invoice equal to each such Agency Paid User line’s Data Overage charges. Any remaining excess Under Usage will be forfeited. If the total Under Usage is more than zero and if the total Over Usage amount exceeds the total Under Usage amount then the Under Usage is divided by the Over Usage to create an allocation factor that is applied equally to each Agency Paid User’s Data Overage charges to determine each such Agency Paid User’s share of the total Under Usage amount, resulting in per line credits on Customer’s invoice to partially offset each such Agency Paid User’s Data Overage charges. For example, if a Data Pool has 100 KB of Under Usage and 1000 KB of Over Usage (which means an allocation factor of 10%), then Customer’s invoice will show, with respect to each Agency Paid User line with Over Usage, both (a) the Agency Paid User’s Data Overage charges for the Over Usage at the specified Data Overage rate, and (b) a bill credit equal to 10% of the Agency Paid User’s Data Overage charges. Changing or migrating Agency Paid User lines to FirstNet Mobile–Pooled Plans during a bill cycle may result in one-time prorations or other minor impacts to the credit calculation. If Customer’s organization’s Foundation Account Number has multiple BANs, Customer may have more than one BAN specific Data Pool; however, Agency Paid User Lines in one Data Pool cannot take advantage of another Data Pool‘s Under Usage, and each Agency Paid User line can only be part of one Data Pool at a time.

AT&T reserves the right to limit the number of Agency Paid User lines in a Data Pool due to business needs and system limitations. Discuss

3.1.1. Data Overage. If Customer exceeds the total amount of data in the Data Pool during a billing period, a pay-per-use rate of $0.000009536 per KB will apply. 1,024

KB = 1 MB; 1,048,576 KB = 1 GB.

4. Unlimited Talk.

4.1. For phones only. Includes unlimited calls within the DCA and other U.S. Territories (some plans also include calls within Canada and Mexico).

4.2. Unlimited Talk to Canada and Mexico. For phones only. Includes unlimited International Long Distance (ILD) calling from the Domestic Coverage Area to Canada and Mexico only. Customer may be charged for calls to special or premium service numbers.

4.3. Calls to Other Countries. Plans for phones also include ILD calling from the DCA, other U.S. Territories, Canada and Mexico to countries other than Canada & Mexico.

Per minute pay-per-use rates apply unless an ILD service package is added to the line placing such calls. Rates subject to change without notice. For rates, see https://www.att.com/worldconnect.

5. Unlimited Text.

5.1. Standard Messaging. For phones only. Includes unlimited number of messages up to 1MB in size within and from the DCA and other U.S. Territories (plans for smartphones and feature phones also include messaging within and from Canada and Mexico) to more than 190 countries for text messages and 120 countries for

Page 4 of 5 For AT&T Internal Use Only: 040918– lc4267 – C picture and video messages. AT&T may add, change, and remove included countries at its discretion without notice. Messages sent through applications may incur data or other charges. Visit https://www.att.com/text2world for details.

6. First Priority™. Feature provides prioritization of data and priority access to available network resources.

6.1. Requirements. Agency Paid User Lines must have a qualified FirstNet Mobile data plan and a 4G LTE compatible, FirstNet Capable device provisioned with an Approved Business Application.

6.2. Pricing. No additional charge for Primary User Public Safety Entity Agency Paid User lines.

6.3. Data Prioritization Usage Limitation. For FirstNet Mobile–Unlimited Plans, as set forth above.

6.4. Approved Business Applications. Approved Business Applications are limited to applications directly related to the primary missions of Public Safety Entities and exclude such applications as mobile video transmission applications and applications that transmit data to and from the Internet. AT&T reserves the right to review applications used with feature.

6.5. Limitations. Feature is available only in the DCA (excluding other U.S. Territories) and only for Customer’s Approved Business Application data traffic originated on and traversing over the AT&T domestic 4G LTE network and the 4G LTE networks of AT&T’s domestic rural providers connected to the FirstNet Evolved Packet Core.

Feature may not to be used for Internet traffic other than Customer’s Approved Business Application data traffic.

6.6. Data Prioritization. Feature does not prioritize Customer’s Approved Business Application data traffic ahead of all other data traffic; other traffic may have the same or higher prioritization.

6.7. Priority Access. Feature provides priority access to the available network resources of the AT&T domestic 4G LTE network and the 4G LTE networks of AT&T’s domestic rural providers connected to the FirstNet Evolved Packet Core.

6.8. Preemption Capability. In conjunction with priority access, grants Customer and its Agency Paid Users the ability to remove or reassign active sessions from other lower priority users’ use of the AT&T domestic 4G LTE network and the 4G LTE networks of AT&T’s domestic rural providers connected to the FirstNet Evolved Packet Core when network resources are scarce or occupied.

6.9. Preemption Capability. Preemption is provisioned as a standard feature on Agency Paid Users’ network profile. Available network resources may vary by circumstances and network demands.

6.10. First Priority™ Incident Management. Provides Primary User Public Safety Entities’ designated and authorized communications managers the ability to modify the relative priority and preemption capabilities of the Authorized Users of both Primary User and Extended Primary User Public Safety Entities provisioned with First Priority for a period of up to 24 hours through the use of the First Priority™ Incident Management portal.

6.11. Termination or Suspension. AT&T reserves the right to terminate, suspend or restrict the feature if use is inconsistent with applicable terms and conditions; this Contract;

or Service Guide (if applicable).

7. General Wireless Service Terms.

7.1. Subject to applicable Government Agreement

7.2. Service is not for resale.

Page 5 of 5 For AT&T Internal Use Only: 040918– lc4267 – C

7.3. Other restrictions apply and may result in service termination.

7.4. Credit approval and deposit may be required.

7.5. AT&T reserves the right to suspend or terminate service to Customer’s account, place any non-complying device on an appropriate plan, and/or add any other required element of a plan.

7.6. Other Monthly Charges. Apply per line and may include taxes, federal/state universal service charges, a Regulatory Cost Recovery Charge (up to $1.25), a gross receipts surcharge, an Administrative Fee, and other governmental assessments (including without limitation a Property Tax Allotment surcharge of $0.20 – $0.45 applied per Agency Paid User’s assigned number), which are not government-required charges.

Pricing, fees, promotions, options, restrictions and terms subject to change and may be modified, discontinued or terminated at any time without notice.

7.7. Invoicing Limitation. FirstNet plans are not eligible for combined (wireless/wireline) billing.

7.8. Coverage. Coverage map shows high level approximation of areas included in and out of plan. For the most current coverage info, check https://www.firstnet.com/coverage.Coverage may include areas served by unaffiliated carriers and not on AT&T’s owned and operated network (off-net).

Arrangements with these carriers may change from time to time, and coverage is subject to change without notice
