B001 DESCRIPTION OF WORK

This Simplified Acquisition of Base Engineer Requirements (SABER) contract encompasses a broad range of maintenance, repair, and minor construction work at Misawa Air Base and locations within 40 km (24.9 miles) radius from Misawa AB, including its associated sites of Draughon Range and Hachinohe Fuel Terminal. This is a fixed-price, indefinite-delivery indefinite-quantity (IDIQ) type contract with Economic Price Adjustment (EPA) and lists a wide variety of individual construction tasks as listed in Volume II, Unit Price Book (UPB). The duration of the contract is the basic period of one-year and four one-year options with maximum six-month option to extend services that may be exercised at the discretion of the Government. The guaranteed minimum amount is ¥300,000 and the un-guaranteed maximum amount is ¥7,000,000,000 for the entire life of the contract. The Government reserves the right to increase the estimated amount of respective contract year within the maximum amount, as necessary. The Government will award construction project(s) by issuing individual task order(s) (TOs) to the contractor during the contract period. All TOs to be issued under the contract are on a Japanese Yen basis. The contractor must furnish all materials, labor, equipment and transportation necessary to survey, perform sampling/testing, design, manage, and accomplish the tasks. The scope of work may include a variety of tasks such as, but not limited to, carpentry, road repair, roofing, excavation, interior, electrical, steam fitting, plumbing, sheet metal, painting, facility construction, facility demolition, concrete, masonry, welding, and other related miscellaneous work. The contractor will be required to have a SABER focused task-force organization for effective management of TOs and responsive coordination with the Government SABER engineers. It is desirable for the contractor to maintain a management office within or in the vicinity of Misawa AB, Japan.

B002 STATUTORY COST LIMITATION

Unspecified Minor Construction (UMC) - Operation and Maintenance (O&M) subject to Statutory Cost Limitation

(SCL) of $4,000,000.00 or equivalent Japanese Yen amount IAW Section L, DFARS 252.236 -7006, Cost Limitation.

Amount of UMC - O&M, if included in the TO, shall not exceed the said SCL. For the purpose of conversion from

Yen amount to U.S. Dollar, respective fiscal years' Foreign Currency Fluctuation Defense (FCFD) budget rate will be announced to the contractor in the beginning of respective fiscal year.

B003 PRICE COEFFICENT

(a) Each offeror must submit 4-tiered price coefficients (percentage factor) based on total Standard Construction

Price threshold in order to be considered acceptable. It is estimated that 2 percent or less of this contract value will be work accomplished on a non-regular hour basis. It is also estimated that 35 percent or less of this contract value will be performed at the strictly controlled areas (e.g. Misawa Security Operation Center, Airfield and Hardened

Aircraft Shelter Area) at Misawa AB, and off-base locations within 40 km radius from Misawa AB, including its associated sites of Draughon Range and Hachinohe Fuel Terminal. The contractor must obtain access permits by the Government whenever they need access to the strict ly controlled areas and the contractor’s work hours will be limited. Therefore, the offeror is required to note that work at the controlled area and off-base locations may be a burden and may cause an increase of manhours, which will be a partial factor a nd must be included in the estimation of the coefficient.

(b) The coefficient shall be proposed in a two (2) digit decimal: the offer shall be "net" or a "percentage decrease from" or a "percentage increase to" all the unit prices listed in Volume II, UPB, (e.g., net = 100.00, 10 percent decrease = 90.00, and 10 percent increase = 110.00).

(c) The offeror’s price coefficient must contain overhead, profit, bond premiums, tax, insurance, and all contingencies in connection therewith, since no allowance will be made later. The bottom line price for each TO will be calculated as follows:

(1) The quantities negotiated for each required unit price item will be multiplied by the respective unit price as stated in the UPB. The non-priced items (NPIs) which are not listed in the UPB may be used in the negotiated direct cost (see para. 6.H005 below).

(2) The extended prices derived from the procedure explained in paragraph (1) above will be added and the sum will be the total direct cost.

(3) The applicable coefficient will be determined from four-tiered coefficients according to the range that the total direct cost falls into, in Item No. 0001 description, Section B of the contract.

(4) The total direct cost will be multiplied by the applicable coefficient, and the sum will be the bottom line price for the TO.

Therefore, the offeror should include all their projected and potential costs in calculating four-tiered coefficients based on total direct cost threshold per TO. After award of the contract there will be no adjustments to the prices or the coefficients for the life of the contract except as set forth in paragraph H006 entitled "Economic Price

Adjustment".

(iii) After review and evaluation of the contractor’s proposal, the Government may conduct discussion with the contractor for proposed UPB items/NPI and those quantities, performance period and/or the work conditions. Upon agreement by both parties, the Contracting Officer will issue TO to the contractor for the project.

(2) Two-Step Task Order Process

(i) Step 1, Survey and Work Item Report

(A) At the site visit, the contractor will be requested to submit price proposal for survey and work item report by identifying the applicable survey and test effort in the UPB, Division 01 General

Requirement.

(B) After review and evaluation of the contractor’s price proposal for survey and work item report, the

Those NPIs once incorporated into individual TO(s) may subsequently be added to the UPB by issuing supplemental agreement upon periodic review and update of UPB at least once a year or as -needed basis.

Non-priced work shall be so noted on each TO.

H006 ECONOMIC PRICE ADJUSTMENT (EPA)

Attachment 1 of Contract No. FA520524D0001

(a) Principle.

(1) Contract price adjustment will be made on the labor and material portion of the price coefficient s in Section

B when a difference between the basic period index value and the actual index value exceeds the threshold set forth in Paragraph (2) below:

(2) Adjustment Difference

Upward +3.00% and above

Downward -3.00% and below

(3) The labor and material portion of item price is defined as 81.17% of each coefficient.

(b) Application.

(1) The Government will utilize the Construction Cost Index (CCI) to determine the rate of escalation in the labor and material costs, which is published monthly by the Ministry of Land, Infrastructure and Transport, the

Government of Japan (MOLIT/GOJ) on its website:

https://www.mlit.go.jp/sogoseisaku/jouhouka/sosei_jouhouka_tk4_000112.html

(2) Appropriateness of the coefficients adjustment will be determined by calculating fluctuation of the general construction CCI between the basic period's (or previous option year’s if EPA was applied) and the latest one 2-month prior to exercise of respective options. In case that the above calculated CCI fluctuation exceeds thresholds as indicated in para (a)(2) above, adjustment of the coefficients for the target option year will be made by executing a bilateral modification in advance to issuance of the option exercise modification.

(3) Should the publication or the index be discontinued, the parties to the contract will negotiate a replacement index or a new contract clause. If a replacement index or a new contract clause cannot be agreed upon, the

Contracting Officer may unilaterally determine the contract adjustment method, and the Contractor may dispute the determination under the contract clause FAR 52.233-1 entitled "Dispute" or request for conciliation pursuant to para. 6.H001 entitled "Conciliation."

(c) Adjustment Formulas.

Latest CCI average x 100

- 100 = Difference (%)

CCI average in Basic Period (or EPA applied previous Option Year)

Labor and material portion of 0.8117 x Difference (%) = Adjustment (%)

Proceed with next formula if Adjustment (%) is +3.00% or above, or -3.00% or below.

100 + Adjustment (%) = Adjustment Factor (%)

Coefficients x Adjustment Factor (%) = EPA applied Coefficients for use in next Option Year

(d) Example of Calculation. The figures below are for illustrative purpose only, and are fictitious.
