The offeror’s proposal shall be submitted electronically, as set forth below. No hard copies of CDs will be accepted. The proposal must be received by the Government before the deadline for proposal submissions listed in block 9 of the SF33 form.

Proposals must be submitted electronically through the DOD Secure Access File Exchange (SAFE) website at https://safe.apps.mil/ The SAFE system will provide a confirmation to the sender when files are transmitted successfully. It is the responsibility of the Offeror to allow adequate time to submit proposal files before the submission deadline. Any proposal that is received in the SAFE system after the appointed deadline is "late" and WILL NOT be considered for award. The SAFE website provides the date and time that proposals are submitted.

All Offerors and Subcontractors that will be submitting proposal information to the Government shall request a link from the Contract Specialist, Alyssa Grice (alyssa.r.grice.civ@mail.mil) and Contracting Officer, Elizabeth M. Nordell (elizabeth.m.nordell.civ@mail.mil) by email no earlier than seven

(7) days before the closing date of the solicitation. The Offeror will be sent a drop-off request with a link to use through the SAFE system. Note that a link is only valid for fourteen (14) days once it has been sent, and that it only allows a maximum of 25 files to be submitted.

In order to be considered for award, each Offeror must submit their proposal in accordance with these instructions. Failure to adhere to these instructions may result in rejection of the offer without evaluation or considered for award. All proposal information submitted shall be concise and complete and demonstrate that the Offeror understands and meets the requirements established in the solicitation for all Factors. The Government will consider how well the Offeror complied with the instructions when evaluating the Offeror’s capability to perform the prospective contract. The Government will consider an Offeror’s non-compliance with these instructions, or any attempt to take advantage of loopholes in these instructions, to be indicative of the type of conduct that it may expect from the Offeror during contract performance

The offeror’s proposal shall consist of five (5) volumes. The Volumes are I – Technical, II – Experience, III – Past Performance, IV – Cost, and V – Solicitation, Offer and Award Documents, and Certifications/Representations.

Each volume shall be contained in a separate electronic file. The proposal shall remain valid for a minimum of one hundred and twenty (120) days and shall not contain classified data/information. The use of hyperlinks in proposals is prohibited.

Offerors are responsible for including sufficient details to permit a complete and accurate evaluation of each proposal. Offerors are cautioned that “parroting” of the Performance Work Statement (PWS) with a statement of intent to perform does not reflect an understanding of the requirement or capability to perform.

Offerors are responsible for including sufficient details to permit a complete and accurate evaluation of each proposal. Proprietary information shall be clearly marked.

Volume 3 – Past Performance Offerors shall submit a minimum of two (2) but no more than six (6) Government contracts for the prime offeror and each major subcontractor in performance or awarded during the past eight (8) years, from the issue date of this RFP, which are relevant to the efforts required by this solicitation. Relevant efforts are defined as services/efforts that are the same as or similar to the effort (as compared to NAICS code 333992) required by the RFP. “Major subcontractors are those proposed to perform 10% of the total proposed price. Data concerning the offeror shall be provided first, followed by each proposed major subcontractor, in alphabetical order. The Offeror shall also submit the written consent of its major subcontractors to allow the disclosure of its subcontractor’s past performance information to the Offeror. In addition, letters of commitment shall be included for all major subcontractors for their past performance to be considered. This volume shall be organized into the following sections:

a. Section 1 – Contract Descriptions. This section shall include the following information in the following format:

1. Contractor/Subcontractor place of performance, CAGE Code and DUNS number. If the work was performed as a subcontractor, also provide the name of the prime contractor and Point of Contact (POC) within the prime contractor origination (name, current address, e-mail address, and telephone).

2. Government contracting activity, POC’s name, address, telephone and email address.

3. Government's technical representative/COR name, address, telephone and email address.

4. Government contract administration activity and the Administrative Contracting Officer’s (ACO) name, telephone and email address (if different from 2).

5. Contract Number.

6. Contract Type.

7. Awarded price/cost.

8. Final or projected final price/cost.

9. Original delivery schedule.

10. Final or projected final delivery schedule

b. Section 2 - Performance. Offerors shall provide a specific narrative explanation of each contract listed describing the objectives achieved and detailing how the effort is similar to the requirements of this solicitation. For any contracts that did not/do not meet original cost, schedule or technical performance requirements provide a brief explanation of the reason(s) for the shortcomings and any corrective actions taken to avoid recurrence. The offeror shall list each time the delivery schedule was revised and provide an explanation of why the revision was necessary. The offeror shall also provide a copy of any Cure Notices or Show Cause Notices received on each contract listed and a description of any corrective action taken. The offeror shall indicate if any of the contracts listed were terminated and the type and reasons for the termination.

c. Section 3 - Subcontracts. Offerors shall provide an outline of how the effort required by the solicitation will be assigned for performance within the contractor’s corporate entity and among the proposed subcontractors. Offerors shall provide the above-required information for any proposed subcontractor who will perform a significant portion of the effort. A significant portion is defined as performing ten percent (10%) of the total proposed price.

d. Section 4 - Past Performance Questionnaire. For all contracts identified in Volume 3 above, a past performance questionnaire (Solicitation Attachment) shall be completed and submitted. The offeror shall complete Part I of the questionnaire and e-mail the questionnaire to both the Government Contracting Activity and technical representative responsible for the past/current contract.

The POCs shall be instructed to electronically complete Part II of the questionnaire and email the entire questionnaire to the Contracting Office no later than the proposal due date, to Alyssa Grice at alyssa.r.grice.civ@mail.mil.

The offeror shall include a list of all the POCs who were sent a questionnaire in the proposal. The POC List shall include the following information: Solicitation Number; Company Name; Contract Number; Government Agency; POC Last Name, First Name; POC Title; POC Telephone Number; POC E-mail Address;

and Date E-mailed to POC (month/day).

The Government will focus its inquiries on the offeror’s (and major subcontractor’s) record of performance as it relates to all solicitation requirements, including cost, schedule, performance and management of subcontractors. Therefore, offerors will be reminded they must at a minimum include the most recent and relevant efforts (performance within the past eight

(8) years in their proposal. In the case of an offeror without any record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305(a)(2)(iv). Therefore, the offeror shall be determined to have unknown (or “neutral) past performance.

In the context of acceptability/unacceptability, a neutral rating shall be considered “acceptable.”

4. Volume 4 – Cost Proposal.

The total evaluated price will be the sum of all CLINs on tab “Section B” of the Cost Model spreadsheet to be included as a Solicitation Attachment. In order to be considered for award, all Offerors must complete and submit the completed Cost Model in accordance with the instructions provided therein. The costs for the Firm Fixed Price CLINs and ODCs have been provided for all Offerors and must not be changed. Offeror cost/price proposals will be evaluated based on the stated criteria in Section M. This volume shall consist of all information, required to support proposed costs and prices. Certified cost and pricing data are not currently required; however, the Government reserves the right to request such data prior to award. The information submitted in this volume shall comply with FAR 15.408, Table 15-2, and the requirements set forth below.

There are no page limitations for this volume.

a. The offeror shall ensure that the information submitted in this volume is consistent with and fully supports the amounts set forth in the SF33 and continuation sheets.

b. The proposal shall set forth a summary of the total estimated costs by cost element and shall provide a breakdown of the proposed estimated costs of each CLIN separately, including all direct and indirect charges and fees. In order to maintain a minimum level of commonality between proposals, each offeror is required to complete (in entirety) the Cost Model provided as a Solicitation Attachment. The spreadsheets contained in the Cost Model tool shall be completed for the base effort and each option year. All documentation furnished to support the cost summaries are to be provided in a format chosen by the offeror that is easily traceable to the cost summary sheets. Each offeror and any subcontractors shall submit both a protected and unprotected copy (showing formulas, etc) of the cost summary spreadsheets as part of their cost/price proposal.

c. The specific direct labor rates utilized to price the proposal must be identified in the cost and pricing proposal only. The proposal shall set forth a complete breakdown of the direct and indirect rates by category and the rationale thereof. Provisions for overtime and shift differential charges shall be clearly addressed on a per-hour basis. Bid codes (applicable codes used to identify a labor category in the offerors accounting system), employee names and/or other documentation (such as assigned letter of commitment for key personnel not currently employed by the offeror) to support the rates proposed shall be provided. Letters of commitment shall clearly identify the prospective employees’ agreed-to salary/hourly rate and other pertinent conditions of employment. The same detailed support data shall be furnished for all major subcontractors.

d. Direct labor hours and rates shall be delineated by labor category by contract year for the offeror and each subcontractor. The labor hour delineation must be directly traceable to the same information proposed in the Technical Volume.

e. Indirect expense rates shall be proposed in the same manner as direct labor rates, i.e., by contract year with the methodology used to derive any composite rates proposed.

f. An ESTIMATED normalized ceiling amount for Firm Fixed Price Task Orders and other direct costs (ODC) has been specified for proposal purposes.

Each Offeror is to include these amounts in their proposals. Any material handling and/or G&A is to be applied to ODCs, as appropriate. Since ODCs are an estimated amount that may or may not occur, no fixed fee will be proposed or accepted.

g. Forward-pricing Rate Agreements (FPRA) shall be clearly documented with agreements and responsible Government officials identified.

h. Offerors are reminded to identify any uncompensated or partially compensated overtime included in the proposal – per FAR Clause 52.237-10.

i. Collective Bargaining Agreements (CBAs) and prevailing DoL Wage Determinations shall be considered and incorporated as necessary in proposing direct labor rates for Fair Labor Standards Act (FLSA) non-exempt personnel/wage categories covered by the Service Contract Act as referenced in FAR Part 22. Since the Wage Determination rates change during the life of the contract, offerors are NOT to apply escalation to non-exempt base labor rates covered by CBA/DoL. Escalation can be applied to FLSA exempt labor categories (i.e., management, professional, and administrative) as defined by DoL, however cannot be applied to FLSA/SCA non-exempt wage categories for the purpose of this solicitation and resulting contract. CBA and Wage Determination adjustments may be granted on the annual anniversary from time of award of the initial contract in accordance with FAR 52.222-43 or 52.222-44 as referenced in this solicitation/contract.

j. Offerors are reminded of the requirements of Section 39 of the Office of Federal Procurement Policy (OFPP) Act (41 U.S.C. 1127, formerly 41 U.S.C.

435), as amended, which limits allowable costs for senior executive personnel compensation to $1,144,888 per year.

k. For proposal preparation purposes, the expected or approximate date for initiation of contract performance is 21 January 2022

l. The offeror shall submit a complete breakdown of costs by major subcontractor. A major subcontractor is defined as a member of the offeror’s overall team who is expected to perform 10% of the total proposed price.

m. Accounting System Adequacy: Since the contemplated contract will contain cost reimbursable CLINs in accordance with FAR 16.301-3(a)(3) and DFARS 252.242-7006 , each offeror, and any subcontractors, proposing on a cost reimbursable basis must have an accounting system that is adequate for determining costs to be incurred on the contract. The Contracting Officer will make the determination as to the adequacy of the offeror’s accounting system for the purposes of this solicitation. Merely stating that the accounting system is adequate is insufficient. If current signed DCMA or DCMA audit reports/memoranda addressing the adequacy of the offeror's'/subcontractor's accounting systems are available, copies of the reports/memoranda shall be referenced and attached to the offeror's/subcontractor's cost/price proposal. If current DCAA/DCMA audit reports/memoranda do NOT exist, each offeror/subcontractor shall indicate the name and the version of the accounting software used, shall submit a completed and signed copy of SF 1408, and shall provide proof and supporting documentation addressing EACH of the criteria in DFARS 252.242-7006(c). This requirement also applies to subcontractors, if the subcontractor proposes on a cost reimbursable basis for effort under a cost CLIN. If a subcontractor proposing effort on a cost reimbursable CLIN does not have an adequate accounting system, the contractor should consider awarding the subcontract on a fixed price or time and materials basis. Copies of SF 1408 can be obtained at https://www.gsa.gov/formslibrary/pre-award-survey-prospective-contractor-accounting-system.

5. Volume 5 – Solicitation, Offer and Award Documents and Certification/Representations Certifications and Representations – Each offeror shall complete (fill-in and signatures) the solicitation sections indicated below using the file (without modification to the file) provided with the RFP. An authorized official of the firm shall sign the SF 33 and all certifications requiring original signature. An Acrobat PDF file shall be created to capture the signatures for submission.

Section A – Standard Form 33 (SF 33), Solicitation, Offer and Award Section K – Representations, Certification and Other Statement of Offerors 52.204-7 – System for Award Management 52.204-8 – Annual Representations and Certifications 52.209-7 – Information Regarding Responsibility Matters 52.204-25 –Prohibition on Contracting for Certain Telcommunications and Video Surveillance Services or Equipment 52.204-26 – Covered Telecommunications Equipment or Services-Representation
