SECTION B

B.1. CONTRACT AMOUNT/MINIMUM OBLIGATION: The Government intends to award multiple Indefinite Delivery Indefinite Quantity (IDIQ) contracts with a five (5) year ordering period each. The total not-to-exceed (NTE) value of all contracts to be awarded is $9,500,000.00. Reference Section M for information regarding the determination of the individual contract values. The amount of this award is specified on Page 1, Block 20. The minimum Government obligation is $5,000.00 per contract which is obligated under Task Order No. 0001 to each contract. Task orders may only be issued by an authorized Contracting Officer of the ERDC Contracting Office.

B.2. RATE SCHEDULE: Attachment 1 of this solicitation is a Rate Schedule.

B.2.a. The hourly rates proposed in the Rate Schedule in Attachment 1 shall be the maximum fully burdened hourly labor rates paid on a task order basis for each labor category, regardless of whether the proposed labor is for the prime contractor or a subcontractor. The maximum fully burdened rates which shall include all overheads, general and administrative expenses (G&A), and profit, will be incorporated into contract award(s), and will be in effect during the entire ordering period of the contract. Variations in the anticipated indirect cost rates shall be incorporated into the submission of the maximum hourly labor rates. As individual task orders are solicited, the Contractor may propose lower rates but in no event can the rates in this schedule be exceeded. For each Request for Quotation (RFQ) received under this contract for an individual task order, the Contractor shall submit with their proposal for the task order a detailed breakdown of the lump-sum price offered. This breakdown shall include the following, as appropriate:

· Fully Burdened Labor Rates (hours and rates) in accordance with the contract schedule;

· Direct Material Costs (itemize by general class and furnish major unit costs);

· Travel Related Expenses (number of trips, number of people, number of days per trip, types of travel, cost per trip, airfare, per diem, etc.);

· Other Significant Costs (itemize and provide unit costs); and

· Costs for the requirement for Accounting for Contractor Services, if any.

B.2.b. Reference Attachment 2 for Labor Descriptions for each labor category identified in the rate schedule matrix. These definitions are provided as a baseline for establishing the labor categories that the Government has deemed necessary for the services specified in this requirement, and as a basis for comparison for price analysis purposes. The Contractor shall be responsible for determining the appropriate labor category and rate in this schedule for his/her personnel, and shall specify the appropriate labor category from this schedule for all personnel proposed on the individual task orders.

B.2.c. Since this is a competitive acquisition, additional labor categories and rates will not be acceptable.

B.3. PAYMENT INFORMATION: Please note that in accordance with Section I, Clause No. 52.232-33, Payment by Electronic Funds Transfer – System for Award Management (SAM), all payments shall be made by electronic funds transfer using the banking information in SAM. The payment office will be specified on the individual task orders.

B.4. SUBMISSION REQUIREMENTS: Reference Sections L and M of this solicitation regarding submission requirements and award of contracts. Offerors are invited to submit proposals for any one or more technical areas specified in Section C. Proposals will be evaluated independently for each task proposed. Teaming arrangements are encouraged, however, please note Section L for required documentation for teaming arrangements.

Section C - Descriptions and Specifications

PERFORMANCE WORK STATEMENT

Indefinite Delivery Contract for Sustainment Management System (SMS) Engineering Research and Development (R&D)

C.1. BACKGROUND: The United States Army Corps of Engineers (USACE) Engineer Research and Development Center (ERDC) Construction Engineering Research Laboratory (CERL) conducts Research, Development, Testing and Evaluation (RDT&E) in support of the Soldier, military installations, and the USACE civil works mission, as well as for other federal agencies. The ERDC-CERL mission is to develop and infuse innovative technologies to provide excellent facilities and realistic training lands for the Department of Defense (DoD), the U.S. Army, and many other customers while also supporting ERDC’s R&D mission in resilient and sustainable installations, geospatial research and engineering, military engineering, and civil works.

ERDC-CERL has primary responsibility for developing and maintaining a capability to deliver engineering processes for all aspects of facility or asset life cycle for fixed assets throughout the Army and the DOD. CERL conducts RDT&E and integrates, supports, and maintains hardware, software, and data bases to accomplish this mission.

Engineering processes for facility or asset life cycle are defined as:

· Facility planning, programming and budgeting

· Facility condition assessment

· Facility design, engineering, construction, operation, repair, modernization, and maintenance

· Facility management, use, and removal or disposal.

Examples of these processes are the ERDC-CERL developed Sustainment Management Systems (SMS) tools for facility condition assessment and the Military Construction (MILCON) Requirements & Standardization Integration (MRSI) tool.

The primary purpose of this indefinite delivery contract is to provide SMS engineering technical content as indicated below in paragraph C.2., “Major Requirements”. These requirements shall be provided on a Task Order basis. Each Task Order will contain its own specific statement of work, budget, and deliverables schedule.

C.2. MAJOR REQUIREMENTS: The Contractor shall perform services as specified in each individual Task Order. This indefinite delivery indefinite quantity (IDIQ) contract is for projects to develop ERDC-CERL Engineering Processes research products and systems (not software) or complete preliminary work and provide technical content to that end. The work required in this contract shall be in the following technical areas, primarily focused on but not limited to, infrastructure owned or operated by the military:

C.2.a. Water Treatment and Distribution.

C.2.b. Electrical Generation and Distribution. Generation includes but is not limited to backup power, renewables and primary diesel.

C.2.c. Sanitary and Industrial Sewage Collection and Treatment.

C.2.d. Stormwater Collection Systems.

C.2.e. Natural gas distribution.

C.2.f. Thermal generation and distribution.

C.2.g. Military Storage and Distribution Fuel Systems. Also referred to as Defense Fuel Supply Point (DFSP) components.

C.2.h. Buildings and Other Structures. Other structures include but are not limited to wharfs and piers.

C.2.i. Dams, Levees and Channels.

The tasks to be performed on the technical areas above are as follows. An exception is Task 1 which will not be required for military storage and distribution fuel systems:

Task 1. Inventory Definitions: As ordered on individual task orders, the Government may require the contractor to establish or add to a component inventory catalog for infrastructure listed in C.2 above that allows direct mapping to Air Force (AF), Army, Navy or other organizations’ utilities components. The catalog shall be aligned or correlated to Spatial Data Standards for Facilities, Infrastructure, and Environment (SDSFIE) version 3.1, and each component shall be mutually exclusive to every other component. The catalog shall include component name, primary unit of measure, component definition, domain, SDSFIE feature name, UNIFORMAT II Level 3 and Level 4, all applicable CATCODES, subcomponents, attributes (separate attributes that contribute to component cost from those that do not, but include both), attribute choices, typical connected components, and images of components in various condition states.

Task 2. Condition Criteria: As ordered on individual task orders, the Government may require the contractor to develop a condition assessment catalog using the established utilities component inventory definitions from above to include:

· Address typical assessment methods for each component/system and establish criteria for red, amber, and green direct condition ratings with images (do not use images from inventory) of a component in each condition state.

· Create a listing of observable defects and quantitative measures of condition (or deduct values) for each type of component/subcomponent considering severity and quantity as applicable. Include photos.

· Create a list of typical failure scenarios for each type of component/subcomponent. Include these with the component-specific direct or distress based condition rating criteria.

· Address potential for inspection and monitoring of each component using all available methods, including but not limited to remote, automated, visual, and nonvisual. Determine and evaluate devices and tools for inspection and monitoring. Discuss the feasibility and determine a metric relating the cost-benefit of using the methods based on the importance of the mission served.

· Using existing or new types of inspection and monitoring data, develop methods to evaluate raw data to determine condition for SMS and related purposes. Examples include but are not limited to strain gages corrosion monitoring data, and utility usage data that provides data on loads, cycles, operating hours, etc.

· Provide specific functionality/compliance issues or observations.

Task 3. Work Planning Criteria: As ordered on individual task orders, the Government may require the contractor to perform the following:

· For each component identified in Tasks 1 and 2 above, develop a list of the applicable work activities that may be associated with replacement, alteration, upgrade repair, maintenance, or inspection of components or localized defects.

· Where applicable, provide typical suggested frequencies and resource requirements for these work activities from reputable sources.

· Determine cost-related data for the work activities, including detailed line items for quantity and type of labor, materials, and equipment within an assembly cost where applicable.

· Determine attribute-dependent service lives for components based on data and reputable sources. Collect failure rate data.

· Determine methods for forecasting condition based on current condition.

Task 4. System Level Analysis: As ordered on individual task orders, the Government may require the contractor to develop criticality factors and component interaction models in support of a system-level analysis capability. For each system, provide general system-level schematics that show the arrangement of components for a typical system. For each component, identify failure modes and effects, as well as condition and performance loss impacts on system-level operations and reliability. This may include the development of component criticality factors that indicates the degree and severity of system level impacts from component-level interruptions. A model of component interactions may also be requested, which indicates the effect that one component's condition level has on the operation and degradation of associated components. These models will help support prioritization and development of a risk-based asset management approach that focuses on sustaining critical system level functions instead of simply managing individual and independent components.

C.3. GOVERNMENT PROVIDED INFORMATION: As necessary and required for the individual task orders, the Government may provide the following:

a. Access to the latest SDSFIE schema or data

b. AF SDSFIE adaptation

c. Navy SDSFIE adaptation

d. Access to currently available Utilities SMS data

e. Access to Facility Category Codes

f. SMS reference data tables

g. Draft utilities manual templates

h. PACAF condition rating criteria

i. Navy condition rating criteria

j. Other Navy criteria for failure modes

k. CERL’s draft version parametric cost estimating for water and electric

l. BUILDER component list

m. FUELER component list

C.4. NON-PERSONAL SERVICES: The Government and the Contractor hereby understand and agree that the services to be delivered under this contract by the Contractor to the Government are non-personal services, and the parties recognize and agree that no employer-employee or master-servant relationships exist or will exist under this contract between the Government and the Contractor's employees.

C.5. CONTRACTING OFFICER'S REPRESENTATIVE(S) (COR(s)): The COR(s) for this contract will be appointed for each task order in accordance with DFARS 252.201-7000, and a copy of the designation letter(s) specifying their duties and limitations will be provided to the Contractor following award of the task orders. Although other Government personnel may clarify technical points or supply relevant information, only a Contracting Officer has the authority to revise any requirements in these specifications, including those resulting from verbal clarifications. Only a warranted Contracting Officer acting within his or her delegated limits, has the authority to issue modifications or otherwise change the terms and conditions of this contract. If an individual other than the Contracting Officer attempts to make changes to the terms and conditions of this contract you shall not proceed with the change and shall immediately notify the Contracting Officer.

C.6. PLACE AND TIME OF PERFORMANCE: Contractor personnel may be required to perform tasks on-site at a Government facility or at their own facilities. Contractor may be required to travel to perform under this contract, anywhere in the United States. The contractor will be reimbursed for such travel as negotiated at the task order level and in accordance with FAR 31.205-46. Any travel funds provided under this contract shall be used exclusively for the tasks, services, and requirements specified in each individual Task Order.

The contractor shall comply with the Antiterrorism/Operations Security (AT/OPSEC) requirements specified elsewhere in this section along with the information below for work at ERDC-CERL and on any other Government installations:

C.6.a. U.S. Holidays: When performance on a Government installation is required, duty hours are 0800 through 1630, Monday through Friday. Work during other than normal duty hours shall not be performed without prior approval. The Contractor shall submit requests for performance outside normal duty hours to the Contracting Officer or his/her authorized representative (reference the Performance Work Statement) at least 48 duty hours in advance.

Work shall not be performed on U.S. holidays occurring during the normal workweek unless otherwise directed by the contracting officer. When a U.S holiday occurs on a Saturday or a Sunday, the holiday is observed on the preceding Friday or following Monday, respectively. The following is provided for informational purposes based on the most recent information available:

C.7. EMPLOYEE CONDUCT: The Contractor’s employees shall observe and comply with all applicable departmental and agency regulations, policies, and procedures (e.g., fire, safety, sanitation, environmental protection, security, etc.) in accordance with the AT/OPSEC Requirements provided elsewhere in this section. The Contractor shall ensure that all contractor employees represent a professional appearance at all times, and that their conduct does not reflect discredit on the United States Government.

Notwithstanding any other provisions in the performance work statement (PWS), the contractor shall identify themselves as a contractor in meetings, telephone conversations, all written communications and work situations so that their actions cannot be construed as acts of a Government official. The contractor shall take no actions that bind the government to a final decision or results in the exercise of governmental discretion.

The Government may, at its sole discretion, direct the contractor to remove any contractor employee from Government facilities for misconduct or security reasons. Such removal does not relieve the contractor of the responsibility to provide sufficient qualified personnel for adequate and timely service. The Contracting Officer will provide the contractor with an immediate written rationale for removal of the employee. Whether directed by the Government or initiated by the Contractor, any proposed substitutes of key personnel (individuals who will perform or personally direct the work being performed) shall be of equal or superior qualifications to those persons being replaced.

C.8. CONFLICT OF INTEREST: The Contractor may be required by Task Order to perform independent reviews of on-going research and development projects and make recommendation for future projects. An organizational conflict of interest may arise if the Contractor were in turn requested to perform independent reviews of on-going research and development projects which they recommended. Therefore, the Contractor (including subcontractors and affiliates) will be precluded from any future hands-on experiments or demonstrations resulting from recommendations provided under a separate Task Order or contract for a period of two (2) years following completion of the individual Task Order. The task order(s) will specify if the Government believes there is a potential for a conflict of interest on future work.

Neither the contractor nor its on-site employees shall utilize their knowledge of or access to information, sensitive or otherwise, for individual or company gain. Each on-site contractor employee shall be required to sign a Non-Disclosure Statement.

C.9. METRICS: Contract performance will be measured against the performance standards specified in the applicable Task Order.

C.10. TASK ORDER REQUIREMENTS:

C.10.a. Issuance Of Task Orders: Task Orders may only be issued by an authorized Contracting Officer of the ERDC Contracting Office. Specific scopes of work, along with a place of performance, a performance period, any government furnished property or information to be provided, any required meetings/reviews, travel, and any required deliverables to be submitted, will be included at the Task Order level. The Contractor shall provide all professional staff, support staff, and specialists necessary to plan, supervise, perform, and report the required work, and shall furnish all labor, plant, transportation, fuel, equipment, and materials necessary to perform the services required by each Task Order. The Contractor shall also provide adequate professional supervision to assure the accuracy, quality, and completeness of all work required under this contract.

C.10.b. Task Orders may be issued at any time during the five (5) year contract ordering period. Multiple Task Orders may be in force at any given time. Conversely, there may be periods when no Task Orders are in force. No compensation will be provided to the Contractor during such periods of nonwork.

C.10.c. To order services, a Request for Quotation (RFQ) will be forwarded to the Contractor identifying specific requirements of the individual order. The Contractor shall prepare and submit an itemized budget for the work requested based on the fully burdened rates negotiated in this contract (see Section B) and any direct materials, travel, or other significant costs applicable to the particular services requested. The Contractor may propose lower labor rates, but in no event can the negotiated rates be exceeded.

C.10.d. In addition, each RFQ will have an additional reporting line item identified as "Accounting for Contractor Services" to satisfy the Army requirement for Contractor Manpower Reporting. See the Enterprise Contractor Manpower Reporting Application (eCMRA) at https://www.ecmra.army.mil for further information.

C.10.e. Multiple Awards: The Contracting Officer must provide each awardee a fair opportunity to be considered for each order in excess of $3,500 in accordance with FAR 16.505. When competed, each RFQ will specify the criteria to be used in the selection of the task order award which may include technical considerations relevant to the acquisition but at a minimum will include price or cost. Submission requirements will be kept to a minimum, but may include a technical proposal, as specified in the RFQ. The following are exceptions to the fair opportunity process:

C.10.e.1. The agency need for the services is so urgent that providing a fair opportunity would result in unacceptable delays.
C.10.e.2. Only one awardee is capable of providing the services required at the level of quality required because the services ordered are unique or highly specialized.
C.10.e.3. The order must be issued on a sole-source basis in the interest of economy and efficiency because it is a logical follow-on to an order already issued under the contract, provided that all awardees were given a fair opportunity to be considered for the original order.
C.10.e.4. It is necessary to place an order to satisfy a minimum guarantee.
C.10.e.5. For orders exceeding the simplified acquisition threshold, a statute expressly authorizes or requires that the purchase be made from a specified source.
C.10.e.6. In accordance with section 1331 of Public Law 111-240 (15 U.S.C. 644(r)), contracting officers may, at their discretion, set aside orders for any of the small business concerns identified in 19.000(a)(3). When setting aside orders for small business concerns, the specific small business program eligibility requirements identified in FAR Part 19 apply.

C.10.f. If the Contractor believes it was not fairly considered for a particular task order, the Contractor may present the matter to the Contracting Office. The Contractor may appeal the explanation of the Contracting Officer to the USACE Contract Ombudsman, at the address below. The Ombudsman will review the Contractor’s complaint, and in coordination with the Contracting Officer, ensure that the Contractor was afforded a fair opportunity to be considered for the task order:

C.10.f. The Contractor’s cost breakdown will be evaluated as to its reasonableness, as well as to determine the contractor’s understanding of the project and his/her ability to organize and perform the Task Order. Additional factors for selection of the successful awardee will be included in the RFQ, if applicable. Following successful negotiations of each individual requirement, the Contracting Officer will issue a written Task Order for supplies and services on a Department of Defense (DD) Form 1155. All Task Orders will be issued on a firm fixed-price basis to include labor, travel, materials, and all other costs to perform the task order.

C.11. ANTITERRORISM (AT)/OPERATIONS SECURITY (OPSEC) REQUIREMENTS.

C.11.a. Access and General Protection/Security Policy and Procedures. All Contractor and all associated subcontractors’ employees shall comply with applicable installation, facility and area commander installation/facility access and local security policies and procedures. Policies and procedures will be provided by the ERDC Security Office. The Contractor shall also provide all information required for background checks or background investigation and to meet installation/facility access requirements to be accomplished by installation Provost Marshall Office, Director of Emergency Services or Security Office. Contractor workforce must comply with all personal identity verification requirements as directed by DOD, HQDA, and/or local policy. In addition to the changes otherwise authorized by the changes clause of this contract or the basic IDIQ contract, should the Force Protection Condition (FPCON) at any installation or facility change, the Government may require changes in Contractor security matters or processes.

C.11.b. For contractors who do not require Common Access Card (CAC), but require access to a DoD facility or installation. Contractor and all associated subcontractors employees shall comply with adjudication standards and procedures using the National Crime Information Center Interstate Identification Index (NCIC-III) and Terrorist Screening Database (TSDB) (Army Directive 2014-05 / AR 190-13), applicable installation, facility and area commander installation/facility access and local security policies and procedures (provided by the Government, as NCIC and TSDB are available), or, at OCONUS locations, in accordance with status of forces agreements and other theater regulations.

C.12. PATENTS, DATA AND COPYRIGHTS. There may be Task Orders issued during the life of this contract which may require different rights to the intellectual property developed therein and the standard clauses included in Section I would not be applicable. The appropriate clauses will be included in the individual Task Order.

All deliverables under this contract must be works first produced, created or generated in the performance of this contract exclusively with government funding or alternatively, if the contractor must incorporate any works copyrighted (i.e. to include licenses) by others, the contractor must obtain the contracting officer's permission to do so, provide the license to the contracting officer for government review and acceptability of terms, and obtain for the government a non-exclusive, non-expiring, paid up, world-wide license to make and distribute copies of that work, to prepare derivative works, to perform or display publically any portion of the work and to permit other to do so for government purposes. See DFARS 252.227-7020. The effect of this special agreement is that the Government is the only entity with the ability to control distribution, dissemination, modification, making derivatives of and making public the SMS developed under this contract.

C.13. NON-DISCLOSURE AGREEMENT: Neither the contractor nor its employees shall utilize their knowledge of or access to information, sensitive or otherwise, for individual or company gain. Contractor employee(s) working under this contract may be required to sign a Non-Disclosure Agreement, as specified in the individual task orders.

252.232-7006 WIDE AREA WORKFLOW PAYMENT INSTRUCTIONS (MAY 2013)

(a) Definitions. As used in this clause--

Department of Defense Activity Address Code (DoDAAC) is a six position code that uniquely identifies a unit, activity, or organization.

Document type means the type of payment request or receiving report available for creation in Wide Area WorkFlow (WAWF).

Local processing office (LPO) is the office responsible for payment certification when payment certification is done external to the entitlement system.

(b) Electronic invoicing. The WAWF system is the method to electronically process vendor payment requests and receiving reports, as authorized by DFARS 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.

(c) WAWF access. To access WAWF, the Contractor shall--

(1) Have a designated electronic business point of contact in the System for Award Management at https://www.acquisition.gov; and

(2) Be registered to use WAWF at https://wawf.eb.mil/ following the step-by-step procedures for self-registration available at this Web site.

(d) WAWF training. The Contractor should follow the training instructions of the WAWF Web-Based Training Course and use the Practice Training Site before submitting payment requests through WAWF. Both can be accessed by selecting the “Web Based Training” link on the WAWF home page at https://wawf.eb.mil/.

(e) WAWF methods of document submission. Document submissions may be via Web entry, Electronic Data Interchange, or File Transfer Protocol.

(f) WAWF payment instructions. The Contractor must use the following information when submitting payment requests and receiving reports in WAWF for this contract/order:

(1) Document type. The Contractor shall use the following document type(s).

(4) Payment request and supporting documentation. The Contractor shall ensure a payment request includes appropriate contract line item and subline item descriptions of the work performed or supplies delivered, unit price/cost per unit, fee (if applicable), and all relevant back-up documentation, as defined in DFARS Appendix F, (e.g. timesheets) in support of each payment request.

(5) WAWF email notifications. The Contractor shall enter the email address identified below in the “Send Additional Email Notifications” field of WAWF once a document is submitted in the system.

SECTION G

G.1. METHOD OF PAYMENT: At the Contractor's Option he may, (a) upon completion of the work, submit one invoice for payment of the entire amount due under the task order in one lump sum, or (b) submit estimates of the amount and value of the work and services performed under the task order at any time during the period of performance, but not more frequently than once a month or for amounts less than $1000 (unless a final invoice). Procedures for submitting partial invoices under (b) above are as follows:

G.1.a. Upon approval of such estimate by the Contracting Officer's Representative (COR) or Contracting Officer's Technical Representative (COTR), partial payment upon properly certified vouchers will be made to the Contractor as soon as practicable of the amount determined to be due, less all previous payments.

G.1.b. Upon completion by the Contractor of the work to be performed under the task order, acceptance of such work by the Government, and receipt of DD Form 882 (reference Section I, Clause No. 252.227-7039), the Contractor will be paid the balance of any money due for work performed.

G.1.c. Invoicing: If this is an indefinite delivery contract, the payment office will be specified on each individual task order in Block 15 of the DD Form 1155.

WAWF Instructions

Questions concerning payments should be directed to the Defense Finance and Accounting Service (DFAS) WAWF helpdesk at https://wawf.eb.mil. Please have your task order/contract number ready when calling about payments.

If the award is paid by a DFAS, you can easily access payment and receipt information using the DFAS web site at http://www.dfas.mil/. Your task order/contract number or invoice number will be required to inquire about the status of your payment.

In addition to the use of WAWF, if the USACE Finance Center, Millington, TN is listed as the paying office, additional instructions will be provided to the Contractor on the task order.

The following codes and information will be required to assure successful flow of WAWF documents. The Contractor should read the information available to them when entering an invoice in WAWF and only submit the type of document allowable for the specified payment office.

G.2. PAYMENT INSTRUCTIONS FOR MULTIPLE ACCOUNTING CLASSIFICATIONS CITATIONS

If there is more than one ACRN within a contract line item, the payment office will make payment using one of the processes listed below in the sequence listed, if applicable.

G.2.a. If there is more than one ACRN within a contract line item, the payment office will make payment using the oldest fiscal year appropriations first, exhausting all funds in the previous fiscal year before disbursing from the next fiscal year. In the event there is more than one ACRN associated with the same fiscal year, the payment amount shall be disbursed from each ACRN within a fiscal year in the same proportion as the amount of funding obligated for each ACRN within the fiscal year; or
G.2.b. If there is more than one ACRN within a contract line item, the payment office will make payment in sequential ACRN order within the line item, exhausting all funds in the previous ACRN before paying from the next ACRN using the following sequential order: Alpha/Alpha; Alpha/numeric; numeric/alpha; and numeric/numeric.

52.204-21 BASIC SAFEGUARDING OF COVERED CONTRACTOR INFORMATION SYSTEMS (JUN 2016)

Covered contractor information system means an information system that is owned or operated by a contractor that processes, stores, or transmits Federal contract information.

Federal contract information means information, not intended for public release, that is provided by or generated for the Government under a contract to develop or deliver a product or service to the Government, but not including information provided by the Government to the public (such as on public Web sites) or simple transactional information, such as necessary to process payments.

Information means any communication or representation of knowledge such as facts, data, or opinions, in any medium or form, including textual, numerical, graphic, cartographic, narrative, or audiovisual (Committee on National Security Systems Instruction (CNSSI) 4009).

Information system means a discrete set of information resources organized for the collection, processing, maintenance, use, sharing, dissemination, or disposition of information (44 U.S.C. 3502).

Safeguarding means measures or controls that are prescribed to protect information systems.

(b) Safeguarding requirements and procedures.

(1) The Contractor shall apply the following basic safeguarding requirements and procedures to protect covered contractor information systems. Requirements and procedures for basic safeguarding of covered contractor information systems shall include, at a minimum, the following security controls:

(i) Limit information system access to authorized users, processes acting on behalf of authorized users, or devices (including other information systems).

(ii) Limit information system access to the types of transactions and functions that authorized users are permitted to execute.

(iii) Verify and control/limit connections to and use of external information systems.

(iv) Control information posted or processed on publicly accessible information systems.

(v) Identify information system users, processes acting on behalf of users, or devices.

(vi) Authenticate (or verify) the identities of those users, processes, or devices, as a prerequisite to allowing access to organizational information systems.

(vii) Sanitize or destroy information system media containing Federal Contract Information before disposal or release for reuse.

(viii) Limit physical access to organizational information systems, equipment, and the respective operating environments to authorized individuals.

(ix) Escort visitors and monitor visitor activity; maintain audit logs of physical access; and control and manage physical access devices.

(x) Monitor, control, and protect organizational communications (i.e., information transmitted or received by organizational information systems) at the external boundaries and key internal boundaries of the information systems.

(xi) Implement subnetworks for publicly accessible system components that are physically or logically separated from internal networks.

(xii) Identify, report, and correct information and information system flaws in a timely manner.

(xiii) Provide protection from malicious code at appropriate locations within organizational information systems.

(xiv) Update malicious code protection mechanisms when new releases are available.

(xv) Perform periodic scans of the information system and real-time scans of files from external sources as files are downloaded, opened, or executed.

(2) Other requirements. This clause does not relieve the Contractor of any other specific safeguarding requirements specified by Federal agencies and departments relating to covered contractor information systems generally or other Federal safeguarding requirements for controlled unclassified information (CUI) as established by Executive Order 13556.

(c) Subcontracts. The Contractor shall include the substance of this clause, including this paragraph (c), in subcontracts under this contract (including subcontracts for the acquisition of commercial items, other than commercially available off-the-shelf items), in which the subcontractor may have Federal contract information residing in or transiting through its information system.
