AWARDING TASK ORDERS
This is an Indefinite Delivery, Indefinite Quantity type Contract (IDIQ) Multiple Award Task Order Contract (MATOC) for Design-Bid-Build, Firm-Fixed-Price task orders to support the military construction (MILCON) and operations and maintenance (O&M) funded construction requirements for the Great Lakes and Ohio River Division (LRD) Region. This contract is set aside for Service Disabled Veteran Owned Small Business Contractors. The total combined contract capacity under the umbrella contract is valued at $160,000,000.00 over a five-year base period from the date of award. This MATOC Umbrella Contract will include a five (5) year base and 6 month ordering period. Awards will be made as Firm-Fixed-Price Task Orders during the period of performance.
The Government hereby obligates itself to obtain not less than Ten Thousand and No/100 Dollars ($3,000.00) in services. The minimum guarantee will be obligated via task order to the base contract and will de-obligated once the minimum guarantee has been met.
PERFORMANCE AND PAYMENT BONDS ARE ONLY APPLICABLE TO THE EXTENT
INDICATED ON INDIVIDUAL TASK ORDERS.
More than one contract is being awarded for the same services under this solicitation. Each awardee will be afforded a fair opportunity to be considered for each task order in excess of the micropurchase threshold in accordance with FAR 16.505 (b)(1)(i).
Task orders will typically be competed among all awardees and awarded as firm fixed price. Task order awards may be made on a “Best Value” basis as outlined in the individual task order RFP. Evaluation will include, at a minimum, Past Performance, to ensure that the contractor’s performance remains at least Satisfactory, and price. Evaluation may also include additional criteria if the project requires something specialized..
If the contractor believes it was not fairly considered for a particular task order, the contractor may present the matter to the Contracting Officer. The contractor may appeal the explanation or decision of the Contracting Officer to the USACE Ombudsman at the following address: Richard L. Jenkins, TO/DO Ombudsman, 7701 Telegraph Road, Alexandria, VA 22315-1000, PH: (202) 761-1000. The ombudsman will review the contractor’s complaint, and in coordination with the Contracting Officer ensure that the contractor was afforded a fair opportunity to be considered for the task order.
ON/OFF RAMPING PROCEDURES
The Government intends to utilize an "On and Off-Ramp" concept to maintain a sufficient pool of qualified contractors. The number of contractors may fluctuate due to factors including competition levels on task orders, mergers & acquisitions, and the Government's exercise of the off-ramp process. Maintaining an adequate number of contractors eligible to compete for task orders is in the Government’s best interest to meet mission requirements.
A. On-Ramping
The Government, at its sole discretion, may add contractors to the MATOC pool ("on-ramping") at any time during the contract's life. The Government will determine when and how often on-ramping will be used. Notification of on-ramping opportunities will be published on SAM.gov.
B. Procedures for On-Ramping The Government may initiate an on-ramp to add additional contractors to the pool, subject to the following conditions:
1. Public Notice: An open season notice will be published on SAM.gov in accordance with FAR Part 5, Publicizing Contract Actions.
2. Evaluation Criteria: The same procedures will be followed as putting the initial contracts in place.
3. Sample Projects: The determination of the use of seed or sample projects will be made at the time of the acquisition planning for the open season. The projects utilized will be representative of the projects that will be advertised on the MATOC.
4. Open Season Solicitation: An open season solicitation will be issued under current Federal procurement law.
5. Anticipated Awards: The solicitation will identify the total anticipated number of new contracts the Government intends to award.
6. Eligibility: Any offeror that meets the eligibility requirements set forth in the original solicitation may submit a proposal in response to the solicitation.
7. Evaluation Factors: The award decision under the open season solicitation will be based upon substantially the same evaluation factors/sub-factors as the original solicitation.
8. Acceptability: An offeror’s proposal must meet all of the acceptability criteria of the original solicitation.
9. Minimum Guarantee: The minimum guarantee will be $3,000.00 for each contract award.
10. Terms and Conditions: The terms and conditions of any resulting awards are materially identical to the existing version of the contract.
11. Ordering Period: The ordering period term for any new awards is coterminous with the existing term for all other Contractors, and the overall number of Contractors in the MATOC will not exceed seven (7) at any time.
12. Small Business Restriction: The Government will restrict on-ramping to SDVOSB small businesses.
13. Eligibility to Compete: Immediately upon on-ramping, the contractor is eligible to submit a proposal in response to any task order solicitation and receive task order awards with the same rights and obligations as any other contractor.
C. Off-Ramping "Off-Ramping" is the process of removing a contractor from the MATOC pool. The Government may off-ramp contractors under the following circumstances:
1. Termination for Default: The Government may terminate the contract for default in accordance with FAR Part 49, Termination of Contracts. This includes, but is not limited to, situations where the contractor:
o Fails to perform the work in accordance with the contract terms.
o Fails to make progress so as to endanger performance of the contract.
o Fails to comply with material provisions of the contract.
Example: A contractor consistently delivers substandard work that fails to meet the minimum requirements outlined in the task order specifications, despite repeated warnings and opportunities to improve.
2. Termination for Convenience: The Government may terminate the contract for convenience in accordance with FAR Part 49, Termination of Contracts. The Government will provide written notice to the Contractor specifying the extent of termination and the effective date.
3. Debarment, Suspension, or Ineligibility: If the contractor is debarred, suspended, or declared ineligible as defined in FAR Subpart 9.4, Contractor Debarment, Suspension, and Ineligibility.
4. Failure to Participate: The Government may off-ramp a contractor for failure to actively participate in the MATOC. This includes, but is not limited to, situations where the contractor:
o Consistently fails to submit proposals in response to solicitation issued under the MATOC.
o Demonstrates a lack of interest in pursuing task order opportunities.
Example: A contractor consistently declines to bid on task orders, even when the work aligns with their capabilities and expertise and provides no reasonable explanation for their lack of participation.
Important Considerations Regarding Termination for Default:
Notice and Opportunity to Cure: Prior to terminating a contract for default, the Government will generally provide the contractor with written notice of the specific failures and an opportunity to cure those failures within a specified timeframe, as required by FAR Part 49. The notice will clearly state the potential for termination for default if the contractor fails to cure the deficiencies. The Government reserves the right to immediately terminate for default if cure is not possible.
Government Rights: Termination for default is a serious action. If the Government terminates a contract for default, the Government may be liable for costs of reprocurement, the contractor may be liable for excess costs, and the termination may be reported in the contractor’s past performance.
Disclaimer: These examples are illustrative and not exhaustive. The Government's decision to off-ramp a contractor will be based on the specific facts and circumstances of each case and in accordance with applicable laws and regulations.
SCOPE
The SDVOSB Pool will cover LRL’s area of responsibility (AOR).
This work consists of construction (design-bid-build) as well as items incidental to the completion of the construction.
