SCOPE OF WORK

Scope of Work

Eagle Island Confined Disposal Facility Mowing

Brunswick County, NC

30 April 2019

SCOPE OF WORK/DESCRIPTION OF SERVICES

The tasks of this contract are described as follows:

The Contractor shall furnish all labor, transportation, equipment, materials, and services to mow the earthen embankment dikes (dikes) containing Cells 1, 2, and 3 at Eagle Island Confined Disposal Facility (CDF) as shown in Figure 1. The approximate combined acreage of areas to be mowed for Eagle Island Cells 1, 2, and 3 is 198 acres. The mowing of the dikes will be required four times within the period of performance as indicated in paragraph below. The mowing of individual cell dikes and/or portions of cell dikes may be required on an as needed basis prior to dike construction/modification or Wilmington Harbor Anchorage Basin dredging and dredged material disposal.

Mowing of the perimeter dikes shall consist of cutting all vegetation from the existing silt fence up the outside dike slope, over the top of the dike along the main roadway, and extending 10 feet down the inside dike slope from the dike shoulder edge (see typical section for perimeter dike in Figures 2, 3 and 4). There are areas between the exterior toe of the dikes and the silt fence that are excluded and do not requiring mowing and are shown in Figures 5 through 8. Mowing of perimeter dikes shall also include cutting all vegetation 10 feet on either side of each spillway (Spillways 1 through 8 in Figure 1) from the inside dike shoulder edge to the inside dike toe. Mowing of the cross dikes shall consist of cutting all vegetation on the top of the dike along the main roadway, and 10 feet down the inside dike slopes from the dike shoulder edges on either side of the roadway (see typical section for cross dike in Figures 2 and 3). All vegetative growth shall be cut within 4 inches of the ground surface during each mowing event. Cuttings will not be required to be removed from the site.

The Contractor shall use adequate equipment (i.e. low ground pressure equipment, boom/arm mowing equipment, manual equipment, etc.) necessary to perform the mowing such to prevent damage and rutting of the dikes. There are known areas (approximately 2 acres) as shown in Figure 9 and 10, in which the dike slope is wet and soft which cannot support typical-type mowing equipment. The Contractor shall repair any damages to the dikes that is caused by the mowing work. Potential obstructions that the Contractor should be aware of when mowing are shown in

Figure 1.

The Contractor shall plan mowing operations such the mowing of the entire dike slope (from silt fence to 10 feet down the inside dike slope) is completed in a section prior to mowing another section.

The Contractor shall remove any Contractor produced solid waste/trash brought on to work sites daily. The

Contractor shall transport all solid waste/trash off Government property and dispose in compliance with Federal, State, and local requirements.

The quantities presented below are estimated acreage for each cell for the work proposed by the Government.

Permits and Licenses

The Contractor shall, at his own expense, obtain any licenses or permits, including but not limited to Commercial

Driver’s License. The Contractor shall comply with all current Federal, State and local laws and regulations and shall comply with any subsequent changes.

Commencement of Work

The Contractor Representative shall be available to attend all site visits prior to commencement of work. The

Contractor Representative shall obtain all maps, photos, and instructions from the Government necessary to direct the work force in the accomplishment of work items. It shall be the responsibility of the Contractor to describe the work to subsequent employees and sub-contractors.

Location of Work

Eagle Island CDF site is owned and operated by the U.S. Army Corps of Engineers, Wilmington, North Carolina.

The project site is located in Brunswick County, North Carolina (Figure 1).

Regulatory Status

The work performed by the Contractor shall be in compliance with Section 404 of the Clean Water Act and all applicable USACE, other Federal, State, and Local regulations and guidelines.

The use of burning at the project site for the disposal of vegetation and debris will not be permitted.

Contractor Access and Use of Premises

The Contractor shall notify the COR at least seven (7) calendar days prior to the beginning of each mowing event.

Each mowing event must be completed in its entirety once the event is started.

Schedule

The Contractor shall clear Eagle Island Cells 1, 2, and 3 earthen embankment dikes, including the cross dikes, four times a year. The first clearing / mowing event in the base contract performance period shall take place between

September 30 and November 15, 2019. The second, third and fourth clearing / mowing events in the base contract performance period shall take place between April 1 and September 29, 2020, averaging one event every 2 months.

Option year schedules shall follow the same schedule months as the base year.

There may be occasions where mowing of a cell dike or a portion of the cell dike is needed prior to maintenance dredging and placement of dredged material or prior to dike construction/modification outside of the mowing events scheduled for four times a year. In the event that the Government requires the mowing of individual cell dike(s) and/or portion(s) of cell dikes, the Government will exercise the corresponding option(s). If the Government exercises any of these additional options, it will do so 45 days prior to the ending of the Period of Performance.

All federal holidays shall be observed by the Contractor and no work on site other than specified will be permitted without specific approval by the COR.

CONTRACT MANAGEMENT AND PLANS

The Contractor shall submit for approval the following plans and reports and shall be remitted to the COR:

Accident Prevention Plan. Prior to any work activities, the Contractor shall prepare and submit Draft and Final versions of an Accident Prevention Plan. The Contractor shall be fully responsible for the administration of health and safety requirements for the project. The Contractor shall prepare an Accident Prevention Plan in accordance with EM 385-1-1 Safety and Health Requirements Manual, (current edition), https://www.publications.usace.army.mil/Portals/76/Publications/EngineerManuals/EM_385-1-1.pdf?ver=2015-04-

09-142531-467, Appendix A, Minimum Basic Outline for Accident Prevention Plans, paragraph 3.k, Abbreviated

APP for Limited-Scope Service, Supply and R&D Contracts. The personnel listed in Item 3.s, Signature Sheet 1 of Appendix A, shall sign the Accident Prevention Plan (APP). The Contractor shall address all of the items in

Appendix A, paragraph 3.k. If the items are not applicable to the activities outlined in this SOW, the Contractor shall note those items as “Not Applicable” with brief explanation.

Mowing Sequence Plan. Prior to the first mowing event, the Contractor shall prepare and submit Draft and Final versions of a Mowing Sequence Plan. The Mowing Sequence Plan shall detail the Contractor’s proposed plan to mow the entire dike slope (from silt fence to 10 feet down the inside dike slope) in sections prior to moving onto another section. The Mowing Sequence Plan shall detail the types of equipment to be used in each section and estimate durations.

GENERAL REQUIREMENTS

Best Management Practices (BMP’s). The Contractor shall conduct all site work using BMP’s in order to reduce the impact on the environment.

Government Safety Requirements. All equipment used and work performed shall be in accordance with safety requirements set forth in the U.S. Army Corps of Engineers Manual EM 385-1-1 entitled “Safety and Health

Requirements Manual”, copies of which will be provided after award of contract.

Safety Information. The Contractor shall maintain an accurate record of, and will report to the Contracting Officer in the manner and on the forms prescribed by the Contracting Officer, exposure data and all accidents resulting in death, traumatic injury, occupational disease, and damage to property, materials, supplies, and equipment incident to https://www.publications.usace.army.mil/Portals/76/Publications/EngineerManuals/EM_385-1-1.pdf?ver=2015-04-09-142531-467 https://www.publications.usace.army.mil/Portals/76/Publications/EngineerManuals/EM_385-1-1.pdf?ver=2015-04-09-142531-467 work performed under this contract. All accidents shall be reported within 24 hours of the occurrence. All accidents resulting in death or injury requiring medical attention shall be reported immediately.

Accident Prevention Program. The Contractor shall develop and submit a written detailed accident prevention plan.

This plan must indicate in detail the general policies and procedures for safe operation in the accomplishment of this contract. The plan shall show how the Contractor intends to perform all services in full compliance with the safety requirements set forth in the “Safety and Health Requirements Manual”, EM 385-1-1. The Contractor shall submit the accident prevention plan utilizing forms described in Appendix A to the Contracting Officer for approval a minimum of fourteen working days prior to the commencement of services under this contract

Omissions. This contract may duplicate or not cover all specified activities, steps, and/or procedures required to accomplish contract work. In case of omission, the normal industry standards, practices, specifications and/or guides will prevail. In no instance shall an omission be reason to perform inferior work, produce a less than acceptable product or service, or refusal to perform an intended activity.

Coordination with Other Contractors. Other Contractors may be working in Wilmington Harbor and at Eagle Island

CDF during the time period of this contract. The Contractor must coordinate contract operations with other

Contractors in the area as needed to avoid conflicts and delays. The Wilmington District is anticipating award of the following contracts that will be working at Eagle Island CDF.

FY 19 Eagle Island Disposal Area Cell 1 and Cell 2 Ditching, period of performance of 540 days.

FY19 Eagle Island Disposal Area Improvements, period of performance of 2 years.

Post Work Activities

The Contractor shall perform Disassemble/Demobilize any staging/lay-down area and restore that area to pre-work conditions or better following the completion of each clearing/mowing event. The Contractor shall repair any damage caused by the mowing operations. There shall be no lay-down area between clearing/mowing events.

Payment and Invoicing

The Contractor shall submit an invoice for each clearing event consistent with contract line items (CLINs). Invoices shall be submitted to the COR via Email: Kurt.A.Heckendorf@usace.army.mil.

COORDINATION AND POINTS OF CONTACT

The Contractor shall be fully responsible for coordinating the fieldwork needs with the COR, Kurt Heckendorf at

AT/OPSEC

Access and General Protection/Security Policy and Procedures. All contractor and all associated sub-contractors employees shall comply with applicable installation, facility and area commander installation/facility access and local security policies and procedures (provided by government representative). The contractor shall also provide all information required for background checks to meet installation/facility access requirements to be accomplished by installation Provost Marshal Office, Director of Emergency Services or Security Office. Contractor workforce must comply with all personal identity verification requirements (FAR clause 52.204-9, Personal Identity Verification of

Contractor Personnel) as directed by DOD, HQDA and/or local policy. In addition to the changes otherwise authorized by the changes clause of this contract, should the Force Protection Condition (FPCON) at any installation or facility change, the Government may require changes in contractor security matters or processes.

For contractors who do not require CAC, but require access to a DoD facility or installation. Contractor and all associated sub-contractors employees shall comply with adjudication standards and procedures using the National

Crime Information Center Interstate Identification Index (NCIC-III) and Terrorist Screening Database (TSDB)

(Army Directive 2014-05 / AR 190-13), applicable installation, facility and area commander installation/facility access and local security policies and procedures (provided by government representative, as NCIC and TSDB are available), or, at OCONUS locations, in accordance with status of forces agreements and other theater regulations.

Pre-screen candidates using E-Verify Program. The Contractor must pre-screen Candidates using the E-verify

Program (http://www.uscis.gov/e-verify) website to meet the established employment eligibility requirements. The

Vendor must ensure that the Candidate has two valid forms of Government issued identification prior to enrollment to ensure the correct information is entered into the E-verify system. An initial list of verified/eligible Candidates must be provided to the COR no later than 3 business days after the initial contract award." *When contracts are with individuals, the individuals will be required to complete a Form I-9, Employment Eligibility Verification, with the designated Government representative. This Form will be provided to the Contracting Officer and shall become part of the official contract file.

52.209-2 PROHIBITION ON CONTRACTING WITH INVERTED DOMESTIC CORPORATIONS--

REPRESENTATION (NOV 2015)

(a) Definitions. Inverted domestic corporation and subsidiary have the meaning given in the clause of this contract entitled Prohibition on Contracting with Inverted Domestic Corporations (52.209-10).

(b) Government agencies are not permitted to use appropriated (or otherwise made available) funds for contracts with either an inverted domestic corporation, or a subsidiary of an inverted domestic corporation, unless the exception at 9.108-2(b) applies or the requirement is waived in accordance with the procedures at 9.108-4.

(c) Representation. The Offeror represents that--

52.209-5 CERTIFICATION REGARDING RESPONSIBILITY MATTERS (OCT 2015)

(a)(1) The Offeror certifies, to the best of its knowledge and belief, that-

(i) The Offeror and/or any of its Principals-

(A) Are ( ) are not ( ) presently debarred, suspended, proposed for debarment, or declared ineligible for the award of contracts by any Federal agency;

(B) Have ( ) have not ( ), within a three-year period preceding this offer, been convicted of or had a civil judgment rendered against them for: commission of fraud or a criminal offense in connection with obtaining, attempting to obtain, or performing a public (Federal, State, or local) contract or subcontract; violation of Federal or

State antitrust statutes relating to the submission of offers; or commission of embezzlement, theft, forgery, bribery, falsification or destruction of records, making false statements, tax evasion, violating Federal criminal tax laws, or receiving stolen property (if offeror checks “have”, the offeror shall also see 52.209-7, if included in this solicitation); and

(C) Are ( ) are not ( ) presently indicted for, or otherwise criminally or civilly charged by a governmental entity with, commission of any of the offenses enumerated in paragraph (a)(1)(i)(B) of this provision.;

and

(D) Have , have not , within a three-year period preceding this offer, been notified of any delinquent

Federal taxes in an amount that exceeds $3,500 for which the liability remains unsatisfied.

(1) Federal taxes are considered delinquent if both of the following criteria apply:

(i) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if there is a pending administrative or judicial challenge. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.

(ii) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.

(2) Examples. (i) The taxpayer has received a statutory notice of deficiency, under I.R.C. Sec. 6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(ii) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. Sec. 6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(iii) The taxpayer has entered into an installment agreement pursuant to I.R.C. Sec. 6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.

(iv) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. 362 (the Bankruptcy Code).

(ii) The Offeror has ( ) has not ( ), within a three-year period preceding this offer, had one or more contracts terminated for default by any Federal agency.

(2) Principal, for the purposes of this certification, means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager;

head of a division or business segment; and similar positions).

(b) The Offeror shall provide immediate written notice to the Contracting Officer if, at any time prior to contract award, the Offeror learns that its certification was erroneous when submitted or has become erroneous by reason of changed circumstances.

(c) A certification that any of the items in paragraph (a) of this provision exists will not necessarily result in withholding of an award under this solicitation. However, the certification will be considered in connection with a determination of the Offeror's responsibility. Failure of the Offeror to furnish a certification or provide such additional information as requested by the Contracting Officer may render the Offeror nonresponsible.

(d) Nothing contained in the foregoing shall be construed to require establishment of a system of records in order to render, in good faith, the certification required by paragraph (a) of this provision. The knowledge and information of an Offeror is not required to exceed that which is normally possessed by a prudent person in the ordinary course of business dealings.

(e) The certification in paragraph (a) of this provision is a material representation of fact upon which reliance was placed when making award. If it is later determined that the Offeror knowingly rendered an erroneous certification, in addition to other remedies available to the Government, the Contracting Officer may terminate the contract resulting from this solicitation for default.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered.

Award shall be made to the lowest priced technically acceptable offer.

The Government intends to evaluate offers and award a contract without discussions with Offerors. Therefore, the

Offeror’s initial offer should contain the Offeror’s best terms from a price and technical standpoint. However, the

Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary.

The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.

This solicitation shall be evaluated by awarding to the quote that is technically acceptable and the lowest price.

Quotes will be evaluated using informal source selection procedures.

TECHNICAL FACTOR:

Evaluation –Each item in Technical Requirements Table will receive one of the adjectival ratings defined below.

Any criterion that receives “U” rating will result in an overall unacceptable rating for the factor and are not eligible for award.

ADJECTIVAL RATING DEFINITION

Acceptable (A) Quote clearly meets the minimum requirements of the solicitation.

Unacceptable (U) Quote does not clearly meet the minimum requirements of the solicitation.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (OCT 2018)

ALTERNATE I (OCT 2014)

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (u)) of this provision.

(a) Definitions. As used in this provision--

“Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

“Forced or indentured child labor” means all work or service—

TECHNICAL CRITERIA A or U

The offeror is registered and has no active or inactive exclusions listed in their Entity Record on the

System for Award Management (SAM).

In accordance with FAR 42.15, the offeror does not have any relevant Past Performance Evaluations in which their performance was rated at “Unsatisfactory” or “Marginal” in the last five (5) years. Relevant evaluations may be obtained from the Contractor Performance Assessment Reporting System (CPARS), Past Performance Information Retrieval System (PPIRS), or Past Performance Questionnaires. Subfactor ratings to Past Performance that will be considered include, quality of product/service, cost, schedule, small business, and management.

Offeror shall provide a listing of equipment that demonstrates the capability to mow the slope and terrain of the Eagle Island Confined Disposal Facility (CDF) project area, as referenced in the

Performance Work Statement and attached drawings. The equipment list will be evaluated, and preference will be given to offeror with specialized equipment designed specifically for safe operation on such slope and terrain.

Offerors are required to submit prior experience of recent and relevant contracts/projects at the time of quote. Contracts/Projects can be performed with Federal, State, local or private companies.

Government contracts are preferred but not required.

Offerors shall provide name, title, and phone number of principal for no less than three prior or current contracts/agreements for similar scoped projects performed during the previous three years. To be technically acceptable, the submitting offeror must submit relevant and current past performance as described in this combined synopsis/solicitation. The Government will evaluate each offeror's experience on the basis of its depth and its relevance to the work that will be required under the prospective contract. Projects involving the clearing and brush removal on slope and terrain similar to this requirement will be considered relevant past performance.

Please do not submit more than five (5) contracts/projects. In order for an offeror to be determined technically acceptable, the offeror must show previous experience with the type of work described in the SOW. Offerors must show previous experience on a minimum of two (3) contracts/projects.

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

“Inverted domestic corporation,” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except—

(1) PSC 5510, Lumber and Related Basic Wood Materials;

(2) Product or Service Group (PSG) 87, Agricultural Supplies;

(3) PSG 88, Live Animals;

(4) PSG 89, Subsistence;

(5) PSC 9410, Crude Grades of Plant Materials;

(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) PSC 9610, Ores;

(9) PSC 9620, Minerals, Natural and Synthetic; and

(10) PSC 9630, Additive Metal Materials.

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

“Sensitive technology”—

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically—

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act

(50 U.S.C. 1702(b)(3)).

“Service-disabled veteran-owned small business concern”—

(1) Means a small business concern—

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.

“Small disadvantaged business concern, consistent with 13 CFR 124.1002,” means a small business concern under the size standard applicable to the acquisition, that--

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--

(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and

(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and

(2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.

“Subsidiary” means an entity in which more than 50 percent of the entity is owned—

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

“Veteran-owned small business concern” means a small business concern—

(1) Not less than 51 percent of which is owned by one or more veterans(as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

“Women-owned business concern” means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.
