Award will be made as a whole to one bidder.
NOTE 1: The Contractor shall note that the area, shown as the borrow area, on the contract drawings is also designated as a disposal area for hopper dredges.
NOTE 2: It is the Government’s intent, under this contract, to mine approximately 5,500,000 cubic yards of material from the borrow area and place it into the wetland creation areas, as shown on the contract drawings. Circumstances may arise such that the Contractor may be required to coordinate this work with hopper dredges working in Southwest Pass of the Mississippi River. If such coordination is required, the Contractor may be directed to move dredging operations within the borrow area to an area which will cause the least impact to both dredging and disposal operations. In addition, should the Contractor elect to place material within the West Bay area, close coordination will be required with the Corps of Engineers, US Coast Guard, River Pilots and VTS in order to assure safe operations and minimal impacts to navigation.
NOTE 3: Bidders shall furnish unit prices for each item listed in the Schedule requiring a unit price. If the bidder fails to insert a unit price in the appropriate blank for required item(s), but does furnish an extended total, or an estimated amount for such item(s), the Government shall deem the unit price to be the quotient obtained by dividing the extended amount for that line item by the quantity. IF A BIDDER OMITS BOTH THE
UNIT PRICE AND THE EXTENDED TOTAL OR ESTIMATED AMOUNT FOR ANY
ITEM, ITS BID SHALL BE DECLARED NON-RESPONSIVE AND THEREFORE
INELIGIBLE FOR AWARD.
NOTE 4: Any bid may be rejected if the Contracting Officer determines in writing that it is unreasonable as to price. Unreasonableness of price includes not only total price of bid, but the price for individual line items as well. Any bid may be rejected if the prices for any line items or subline items are materially unbalanced (See FAR 14.404-2).
Mississippi River, Baton Rouge to the Gulf Head of Passes Hopper Dredge Disposal Area Project
00010-4 ED 14-043
NOTE 5: THE NOTICE TO PROCEED (NTP): The successful bidder is advised that performance and payment bonds shall be submitted in accordance with the time frame in block 12B of SF 142 after Notice of Award. The NTP will be issued immediately after verification of acceptable performance and payment bonds. Within 24 hours after issuance of the NTP, the Contractor shall initiate a meeting to discuss the submittal process with the Area or Resident Engineer or his authorized representative. Physical work cannot start until the Accident Prevention Program, Contractor Quality Control Plan, and other submittals which may be required, have been submitted and approved and all preliminary meetings called for under the contract, have been conducted.
NOTE 6: EVALUATION OF OPTIONS (FAR 52.217-5 JUL 1990). Except when it is determined in accordance with FAR 17.206(b) not to be in the Government’s best interests, the government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. Evaluation of options will not obligate the government to exercise the options. Also, due to unforeseen circumstances, (i.e., Mississippi River stages and hopper dredging requirements for Southwest Pass) the Contractor shall note that the Government may exercise, by written notice, all or part of Item 0004 – 'Dredging - OW ', and or all or part of Item 0005 – 'Bird Nesting Prevention and Avoidance Measures - OW '. The exercise of any option in part does not obligate the government to the full extent of the option.
NOTE 7: OPTIONAL WORK ITEMS: The Government may require the delivery of the numbered line item(s), identified in the schedule as Optional Work items, in the quantity (total or part quantity) and price stated in the schedule. The Contracting Officer may exercise all or part of the Optional Work by written notice to the Contractor. Bidders shall bid on all items including the Optional Work item (see “Evaluation of Options” FAR 52.217-5). Failure to bid on all items will result in a non-responsive bid. If the Government activates the Optional Item, the activation will occur while the Contractor’s plant is within the limits of the base dredging work.
NOTE 8: TIME ADJUSTMENT IN THE EVENT OF OPTIONAL WORK. In the event that OPTIONAL WORK, Line Item 0004 is exercised under the terms of this contract, the time required for completion of the contract will be increased by 80 calendar days beyond the original duration of 115 calendar days established for the Basic Contract Work set forth in the Special Contract Requirements entitled “COMMENCEMENT, PROSECUTION, AND COMPLETION OF WORK”. For partial award of OPTIONAL WORK Item 0004, the 80 calendar day allowance will be prorated accordingly.
OPTIONAL WORK Item 0005 requires work to be performed concurrent with dredging operations, thus the time required for completion of this contract will not be increased.

52.209-5 CERTIFICATION REGARDING RESPONSIBILITY MATTERS (APR 2010)
(a)(1) The Offeror certifies, to the best of its knowledge and belief, that-
(i) The Offeror and/or any of its Principals-
(A) Are ( ) are not ( ) presently debarred, suspended, proposed for debarment, or declared ineligible for the award of contracts by any Federal agency;
(B) Have ( ) have not ( ), within a three-year period preceding this offer, been convicted of or had a civil judgment rendered against them for: commission of fraud or a criminal offense in connection with obtaining, attempting to obtain, or performing a public (Federal, State, or local) contract or subcontract; violation of Federal or State antitrust statutes relating to the submission of offers; or commission of embezzlement, theft, forgery, bribery, falsification or destruction of records, making false statements, tax evasion, violating Federal criminal tax laws, or receiving stolen property (if offeror checks “have”, the offeror shall also see 52.209-7, if included in this solicitation); and
(C) Are ( ) are not ( ) presently indicted for, or otherwise criminally or civilly charged by a governmental entity with, commission of any of the offenses enumerated in paragraph (a)(1)(i)(B) of this provision.; and
(D) Have , have not , within a three-year period preceding this offer, been notified of any delinquent Federal taxes in an amount that exceeds $3,000 for which the liability remains unsatisfied.
(1) Federal taxes are considered delinquent if both of the following criteria apply:
(i) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if there is a pending administrative or judicial challenge. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.
(ii) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.
(2) Examples. (i) The taxpayer has received a statutory notice of deficiency, under I.R.C. Sec. 6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.
(ii) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. Sec. 6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.
(iii) The taxpayer has entered into an installment agreement pursuant to I.R.C. Sec. 6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.
(iv) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. 362 (the Bankruptcy Code).
(ii) The Offeror has ( ) has not ( ), within a three-year period preceding this offer, had one or more contracts terminated for default by any Federal agency.
(2) Principal, for the purposes of this certification, means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager;
head of a division or business segment; and similar positions).
(b) The Offeror shall provide immediate written notice to the Contracting Officer if, at any time prior to contract award, the Offeror learns that its certification was erroneous when submitted or has become erroneous by reason of changed circumstances.
(c) A certification that any of the items in paragraph (a) of this provision exists will not necessarily result in withholding of an award under this solicitation. However, the certification will be considered in connection with a determination of the Offeror's responsibility. Failure of the Offeror to furnish a certification or provide such additional information as requested by the Contracting Officer may render the Offeror nonresponsible.
(d) Nothing contained in the foregoing shall be construed to require establishment of a system of records in order to render, in good faith, the certification required by paragraph (a) of this provision. The knowledge and information of an Offeror is not required to exceed that which is normally possessed by a prudent person in the ordinary course of business dealings.
(e) The certification in paragraph (a) of this provision is a material representation of fact upon which reliance was placed when making award. If it is later determined that the Offeror knowingly rendered an erroneous certification, in addition to other remedies available to the Government, the Contracting Officer may terminate the contract resulting from this solicitation for default.
