1.0 INTRODUCTION

1.1 Proposals shall be emailed to:

Tameka Crockett at tameka.l.crockett@usace.army.mil

1.2 In accordance with the Federal Acquisition Regulation

(FAR) 4.1102, prospective contractors must be registered in System for Award Management (SAM) prior to the award of a contract. You may register at the SAM website https://sam.gov/SAM/

1.3 Offeror's Responsibility. It is the offeror's responsibility to ensure the completeness and accuracy of his or her proposal.

Corrections will not be made by the Government. Errors in the proposal will be considered, among other factors, as a reflection of the offeror's technical and management capability.

1.4 Policy on Requests by Prospective Offerors for Assistance in the

Preparation of Proposals. It is the policy of the Corps of Engineers to not provide any assistance to prospective offerors in the preparation of their proposals. However, this is not meant to preclude offeror's requests for information or clarification.

Information will be provided if it is available and releasable, while clarification will be provided in all cases.

1.5 Offerors shall respond to all requirements of the

solicitation document.

1.6 The written proposal will be the primary basis on which the Government will determine the capability of the Offeror to perform this work. It shall be specific, detailed, complete, thorough, and clear. It must address each requirement stated in the Performance Work Statement for the Base Award.

The offeror should carefully consider the proposal page limitation and choose to address those requirements specifically called out in Section L and those areas that best highlight the Offeror’s approach and provides the Government with a complete picture of their capabilities and strengths.

1.7 The proposal shall not merely offer to comply with the

Government's requirements by simply restating them, but shall specifically describe the means of accomplishment. The proposal in its entirety shall be specific, detailed, complete, thorough, and clear to demonstrate that the Offeror has a complete understanding of the solicitation requirements. Non-detailed statements such as “the Offeror understands, can or will comply with the requirement listed in the

Performance Work Statement”, statements that paraphrase the Performance Work Statement, or ambiguous phrases such as “standard procedures will be employed” or“well known techniques will be used” may be considered unacceptable.

1.8 Unnecessary elaboration or other presentations beyond that sufficient to present a complete and effective proposal are not desired. Elaborate artwork, expensive paper or bindings, and expensive visual or other presentation aids (with the exception of technical drawings and figures) are neither necessary nor desired. The proposal shall contain all the pertinent information in sufficient detail in the one area of the proposal where it contributes most critically to the discussion. When necessary, the Offeror shall refer to the initial discussion and identify its location within its proposal.

All questions concerning this solicitation shall be submitted to the Government via email to Tameka Crockett Tameka.L.Crockett@usace.army.mil The Government will accept questions up to five (5) calendar days of the proposal due date.

The proposal shall include a discussion on how the offeror will perform the technical and contractual requirements of the PWS. The discussion shall fully describe the procedures for planning, executing and administering the entire effort. The offeror shall propose an organizational structure and staffing concept (provide an organizational chart) that demonstrates an effective approach to organize, staff, lead, plan, coordinate, and control resources to meet the requirements of the PWS. The proposal shall clearly demonstrate the qualifications for all proposed personnel. Proof of all certification listed in the PWS shall be submitted.

The proposal shall discuss the qualifications of the overall Program Manager, specifically addressing his or her experience in managing efforts similar to this effort in terms of technical and contractual complexity and magnitude. The discussion shall include the following information: Describe their qualifications (education and experience) as it relates to the functional area requirements of the PWS and demonstrate how these qualifications meet or exceed the applicable minimum qualifications. The minimum qualifications are at least 5 years’ experience of efforts similar to this effort in terms of technical and contractual complexity and magnitude.

Subfactor 2: Corporate Experience The proposal shall identify up to three (3) relevant projects within the last five years. The proposal shall provide a comprehensive description of the offeror’s significant capabilities and relevant corporate experience performing projects similar to the PWS requirements.

Relevant corporate experience is experience within the last 5 years that is of the same or similar scope and complexity (contract type) to the work described in the Performance Work Statement, and is of the same or similar magnitude (i.e., performing services that, on an annual basis, total at least $1,000,000.00). Each description shall clearly identify the correlation between the identified capability and relevant corporate experience, and shall identify the specific PWS functional area requirements(s) to which the capability/experience applies. Each description of relevant corporate experience shall clearly specify the following:

o Contract/Task Order number o Agency/customer work performed for o Title of Effort o Total potential dollar value o Performance Period o Contractor role (prime or subcontractor) o Description of the effort

3.7. Volume II - Past Performance Proposal

The Offeror shall demonstrate relevant past performance or affirmatively state that it possesses no relevant past performance.

Relevant past performance is performance under contracts or efforts within the past five years that is of the same or similar scope, complexity, and magnitude to that which is described in the solicitation (as explained under the Corporate Experience subsection).

Offeror should submit past performance information for each project the Offeror includes in its proposal for Subfactor 2 –Corporate Experience.

If the Offeror has limited experience within the past five (5) years, but does have relevant experience beyond five years in the past, a full description of this past experience must be given along with a narrative describing why this past experience is still relevant and what steps have been taken over the intervening time span to retain the necessary technical expertise and capability to fulfill the requirements of the Performance Work Statement.

Offerors are reminded that both independent data and data provided by Offerors in their proposals may be used by the Government to evaluate Offeror past performance. Since the Government may not necessarily interview all the sources provided by the Offerors, it is incumbent upon the Offeror to explain the relevance of the data provided. The Government does not assume the duty to search for data to cure problems it finds in the proposal. The burden of providing thorough and complete Past Performance information remains with the Offerors.

Also include performance recognition documents received within the last three years such as awards, award fee determinations, custom er letters of commendation, and any other forms of performance recognition.

In addition to the above, the Government may review any other sources of information for evaluating past performance. Other sources may include, but are not limited to, past performance information retrieved through the Past Performance Information Retrieval System (PPIRS), including Contractor Performance Assessment Reporting System (CPARS), using all CAGE/DUNS numbers of team members (partnership, joint venture, teaming arrangement, or parent company/subsidiary/affiliate) identified in the offeror’s proposal, inquiries of owner representative(s), Federal Awardee Performance and Integrity Information System (FAPIIS), Electronic Subcontract Reporting System (eSRS), and any other known sources not provided by the offeror.

While the Government may elect to consider data from other sources, the burden of providing detailed, current, accurate and complete past performance information rests with the Offeror.

If CPAR information is not available for a project provided for experience, a completed Past Performance Questionnaire (PPQ), attached at the end of this section (Form PPQ-0) must be provided per the following guidance:

The Past Performance Questionnaire included in the solicitation is provided for the Offeror to submit to the client for projects the Offeror includes in its proposal for Subfactor 2 –Corporate Experience. Ensure correct phone numbers and email addresses are provided for the client point of contact.

a. Completed Past Performance Questionnaires should be submitted with your proposal. If the Offeror is unable to obtain a completed PPQ from a client for a project(s) before proposal closing date, the Offeror should still submit Form PPQ-0 with their proposal, only with blocks 1-6 filled out, which will provide contract and client information for the respective project(s).

b. Offerors should follow-up with clients/references to ensure timely submittal of questionnaires. If the client requests, questionnaires may be submitted directly to the Government’s point of contact, is Tameka Crockett, via email at Tameka.L.Crockett@usace.army.mil with the subject reading “Past Performance Questionnaire, Solicitation No.

W912HZ20R0037” prior to the proposal closing date. Offerors shall not incorporate by reference into their proposal PPQs previously submitted for other RFPs. However, this does not preclude the Government from utilizing previously submitted PPQ information in the past performance evaluation.

It is the Offeror’s responsibility to ensure the Government will be able to contact the POCs using the contact information provided. Offerors are encouraged to send their request to the POC as soon as possible once a project is identified for experience under Factor 1.

New Corporate Entities -- New corporate entities may submit data on prior relevant and recent contracts (within the last 5 calendar years) involving its officers and employees. However, in addition to the other requirements in this section, the Offeror shall discuss in detail the role performed by such persons in the prior contracts cited. Past performance information on work for state and local governments, private sector clients, and subcontractors that are similar to the Government requirement will be evaluated equally with similar federal contracts.

Offerors may submit information on key personnel, major subcontractors, and work performed as part of a team or joint venture and other previous reincarnation of its current organization.

3.8. Volume III – Cost/Price Proposal

Cost/Price will not be an adjectivally rated criterion, but will be evaluated for reasonableness. Offerors found to be unreasonably high or low may be considered unacceptable, and may be rejected on that basis. Price analysis will be accomplished in accordance with FAR 15.

Price proposals shall consist of the following basic components:

Copies of legal documents outlining joint ventures or partnering arrangements if applicable.

Labor Rates - Fully loaded labor rates must be provided for all FFP labor categories.

Similar labor categories, not listed in the pricing table, that fall within the overall general scope, may be negotiated and added after contract award.

Non-exempt employees working more than 40 hours per week will be paid overtime calculated as follows: (Hourly rate X 1.5) Health and Welfare will not be applied to overtime rates.

CLAUSES INCORPORATED BY FULL TEXT

52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (JUN 2020)

(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code(s) and small business size standard(s) for this acquisition appear elsewhere in the solicitation. (b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--

(1) The solicitation number;

(2) The time specified in the solicitation for receipt of offers;

(3) The name, address, and telephone number of the offeror;

(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;

(5) Terms of any express warranty;

(6) Price and any discount terms;

(7) "Remit to" address, if different than mailing address;

(9) Acknowledgment of Solicitation Amendments;

(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and

(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.

(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.

(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.

(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions, including alternative line items (provided that the alternative line items are consistent with subpart 4.10 of the Federal Acquisition Regulation), or alternative commercial items for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.

(f) Late submissions, modifications, revisions, and withdrawals of offers:

(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.

(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--

(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or

(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or

(C) If this solicitation is a request for proposals, it was the only proposal received.

(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.

(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.

(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers. Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.

(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.

(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.

(i) Availability of requirements documents cited in the solicitation. The Offeror also shall enter its Electronic Funds Transfer (EFT) indicator, if applicable. The EFT indicator is a four-character suffix to the unique entity identifier. If the Offeror does not have a unique entity identifier, it should contact the entity designated at www.sam.gov for unique entity identifier establishment directly to obtain one.
