INSTRUCTIONS TO OFFERORS
PROPOSAL FORMATTING
TABLE OF CONTENTS
L.1. General Information L.2. Proposal Content and Volumes L.3. Proposal Format L.4. Proposal Submission
L.1. General Information:
The U.S. Army Corps of Engineers (USACE), Engineering Research and Development Center (ERDC) Coastal and Hydraulics Laboratory (CHL) intends to issue a Small Business Set-Aside solicitation and award a Single Award Task Order Contract (SATOC) with a capacity of $49.4M under NAICS code 541715 Research and Development in the Physical, Engineering, and Life Sciences (except Nanotechnology and Biotechnology), with a size standard of 1,000 employees. Individual Task Orders will be solicited. Task Orders within the SATOC will be Firm Fixed Price (FFP) task orders.
NOTE: The intent is to award one (1) contract; however, if the Contracting Officer determines during the source selection process that more than one contract should be awarded, the Contracting Officer has the discretion of adjusting that number or awarding none at all. In any case, the Government may not award any contract if the resulting contract would not represent a "best value" to the Government using trade-off selection procedures as required by the Federal Acquisition Regulation (FAR) and other supplementary guidance.
The base ordering period for this SATOC is two (2) years. There will be three (3) optional ordering period of one (1) year each, with a total ordering period up to five (5) years from the date of contract award, with an option to extend the SATOC an additional six (6) months in accordance with FAR Clause 52.217-8, Option to Extend Services. The Government’s decision to exercise an option will be contingent upon satisfactory contractor past performance and an informal survey of current market conditions. The decision to exercise the option is at the discretion of the Government. The minimum guarantee amount for this SATOC (to include all option periods) is $2,500.00.
Proposals submitted must be sufficiently detailed to allow for an effective and equitable evaluation by the Government. There will be no public proposal opening. Proposals submitted will become, upon receipt, the property of the U.S. Government and will not be returned. After evaluation of proposals, electronic copies will be retained for the official paperless contract file. All other copies will be destroyed.
There are no drawings associated with this Request for Proposal. Copies of the solicitation are available by INTERNET ACCESS ONLY. All solicitation documents will be posted through the website to https://sam.gov/content/opportunities. It shall be the offeror’s responsibility to check the website for any amendments and respond accordingly to each amendment, if so stated.
To assure timely and equitable evaluation of proposals, offerors must follow the instructions contained herein.
Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors. The offeror shall submit in the proposal all requested information specified in this section of the Request for Proposal (RFP) solicitation at or before the exact time specified. There will be no public opening of the proposals received as a result of this solicitation. Failure to meet a requirement may result in an offer being ineligible for award.
The Contracting Officer has determined there is a high probability of adequate price competition in this acquisition.
Upon examination of the initial offers, the Contracting Officer will review this determination and if, in the Contracting Officer's opinion, adequate price competition exists, no additional cost information will be requested and certification under FAR 15.406-2 will not be required. However, if at any time during this competition, the Contracting Officer determines that adequate price competition no longer exists; offerors may be required to submit information to the extent necessary for the Contracting Officer to determine the reasonableness and affordability of the price.
Requests for Information. Offerors may submit questions requesting clarification of solicitation requirements by emailing the Contracting Officer at CHL-CT-QUOTES@usace.army.mil, in the email Subject Line, reference Solicitation W912HZ23R0001. It is requested that questions be received not later than 10-calendar days prior to the due date of proposals. No phone calls will be accepted. All Government responses to questions will be posted to the Solicitation on https://www.sam.gov.
Selection Process. All proposals will be individually evaluated by each voting member of the Source Selection Evaluation Board (SSEB) before attempting to reach consensus. After all proposals have been individually evaluated, the voting members shall discuss their individual evaluations and reach a consensus rating for each factor for each proposal. When the technical evaluation has been completed, the price/cost information will be analyzed in accordance with FAR 15.404. The SSEB Chairperson shall provide the Source Selection Authority (SSA) a Source Selection Evaluation Report. The SSA will select the pool of contractors whose proposals offer the best value to the Government in accordance with the solicitation’s evaluation criteria and the basis for award.
Debriefings. The offeror must request a debriefing in writing within 3 days after receipt of notice in accordance with FAR 15.505 and 15.506. Offerors shall be permitted only one (1) debriefing. All offerors will receive a letter identifying its strengths, weaknesses and deficiencies along with the rating for each factor. In accordance with DoD Memorandum dated 22 March 2018, Class Deviation – Enhanced Postaward Debriefing Rights, each offeror will be afforded the opportunity to submit additional written questions related to the written debriefing/notification letter within two business days after receiving the written debriefing/notification letter.
Definitions.
Clarifications: Clarifications are limited exchanges between the Government and offerors that may occur when award without discussions is contemplated. See FAR 15.306(a)(1).
Communications: Communications are limited exchanges between the Government and offerors, after receipt of proposals, leading to establishment of the competitive range. See FAR 15.306(b).
Competitive Range: See FAR 15.306(c).
Deficiency: Deficiency is a material failure of a proposal to meet a Government requirement or combination of weaknesses in a proposal that increases the risk of unsuccessful contract performance to an unacceptable level. See FAR 15.001.
Discussions: Discussions are exchanges (i.e., negotiations) in a competitive environment that are undertaken with the intent of allowing the offeror to revise its proposal. Discussions take place after establishment of the competitive range. See FAR 15.306(d).
Recency: as it pertains to past performance information, is a measure of the time that has elapsed since the past performance reference occurred. Recency is generally expressed as a time period during which past performance references are considered relevant. For purposes of this solicitation, acceptable recency is three (3) years.
Relevancy: as it pertains to past performance information, is a measure of the extent of similarity between the service/support effort, complexity, dollar value, contract type, and subcontract/teaming or other comparable attributes of past performance examples and the source solicitation requirements; and a measure of the likelihood that the past performance is an indicator of future performance.
Risk: as it pertains to source selection, is the potential for unsuccessful contract performance. The consideration of risk assesses the degree to which an Offeror’s proposed approach to achieving the technical factor or sub-factor may involve risk of disruption of schedule, increased cost or degradation of performance, the need for increased Government oversight, and the likelihood of unsuccessful contract performance.
Source Selection Decision Document. Source Selection Decision Document (SSDD) is the document that reflects the SSA's independent, integrated, comparative assessment and decision.
Strength: Strength is an aspect of an offeror’s proposal that has merit or exceeds specified performance or capability requirements in a way that will be advantageous to the Government during contract performance.
Weakness: Weakness means a flaw in the proposal that increases the risk of unsuccessful contract performance. See FAR 15.001.
L.2. Proposal Content and Volumes
Proposal Expenses and Pre-contract Costs.
This solicitation does not commit the Government to pay any costs incurred in the preparation and submission of a proposal or for any other costs incurred by any firm submitting a proposal in response to this solicitation. The Government also will not be responsible for costs associated with preparing proposals for individual task orders.
Finally, the Government will not pay for or subsidize any costs incurred for attendance at the pre-proposal conference or site visits for task orders. Note specifically that the offeror will not be participating in a sealed bid procurement process under this acquisition method. Issuance of this solicitation does not constitute an award commitment on the part of the Government.
Discussions.
The Government reserves the right to discuss aspects of proposals with offerors in the competitive range, which may be limited for efficiency (FAR Part 15.306(c)(2)), and to award a contract to other than the offeror submitting the lowest priced offer. Offerors are advised that the Government intends to award without discussions, clarifications or any contact concerning the proposals received (FAR Part 15.306(a)(2)). Therefore, proposals should be submitted initially on the most favorable terms from a price and technical standpoint. Do not assume that offerors will be contacted or afforded an opportunity to clarify, discuss or revise their proposals.

Elaborate brochures or other presentation materials beyond that sufficient to present a complete and effective proposal is neither necessary nor desired.
In presenting material in the proposal, the Offeror is advised that quality of information is more important than quantity. Clarity, brevity, and logical organization shall be emphasized during proposal preparation. The Offeror shall present sufficient information to allow the Government to evaluate the proposed work effort, support, and approach, as well as the cost/price proposal without opening discussions. Statements that the Offeror understands, can comply with, or will comply with, the specifications, and paraphrasing the requirements or parts thereof without supporting information are considered inadequate by the Government, and may result in a rating of unacceptable.
Offerors are cautioned that “parroting” of the Technical Requirements or the Performance Work State (PWS) with a statement of intent to perform does not reflect an understanding of the requirement or capability to perform.
Offerors are responsible for including sufficient details to permit a complete and accurate evaluation of each proposal. Proprietary information shall be clearly marked.

The purpose of this volume is for the Offeror to provide information necessary for the Government to conduct a thorough and complete evaluation of cost/price, for the SATOC.
This is a competitive acquisition with adequate price competition anticipated; therefore, any price/cost documentation requested shall not be certified cost or pricing data in accordance with FAR 15.403-1. However, in the event that adequate price competition does not exist after receipt of proposals, the Government reserves the right to request additional cost or pricing data as necessary from both the Offeror and subcontractors and may conduct negotiations with the Offeror, pursuant to FAR 15.403-4, in order to ensure a reasonable price/cost. Further, the Offeror may be required to provide a Certificate of Current Cost or Pricing Data prior to award, pursuant to FAR 15.406-2.
No price or pricing information shall be included in any other volume. Offerors are responsible for submitting sufficient information to enable the Government to fully evaluate their price/cost proposal.
Volume 5 shall be provided in at least MS Office 2010 and Excel format. The cost/price proposals shall be unprotected and unlocked, with formulae intact to show mathematical operations, if applicable. A Cost Narrative may be provided.
5.0.1 5.1 Labor Rates
1. The Offeror shall complete Attachment 4 - Task Hours and Labor Rates (Section B), in its entirety. The Offeror shall propose the hourly unburdened and fully burdened labor rates for each contract term for all of the labor disciplines identified in Attachment 4.

4. For those individuals proposed by the Offeror as key personnel in the Technical Proposal, the Offeror shall provide verification of the unburdened rates for those individuals. The Offeror shall submit the three (3) most recently worked payroll records for the proposed individual.
5. The Government reserves the right to request information other than certified cost or pricing data from the Offeror in order to assess the reasonableness of the proposed labor rates.
5.1 5.2 SATOC COST PROPOSAL
The Offeror shall provide a completed copy of solicitation Section B, Pricing (Attachment 4). Contract Line Items (CLINs) are for informational purposes only and are not to be completed or included in pricing.
The Offeror shall utilize the below information when completing this section:
The Offeror shall identify the Indirect Cost Rate (IDC) and the not to exceed (NTE) Fee amount, where indicated below the table.
The Offeror shall ensure the SATOC cost/price proposal submittal is easy to understand and addresses the following:
1. Reasonableness and Consistency between the Technical Proposal and Cost/Price Volumes. The Offeror shall demonstrate that the unit prices and the total proposed cost is reasonable, and commensurate with the work required by the solicitation and the technical approach identified in the Volume 2 of the proposal. Refer to specific sections as needed to illustrate consistency between the Cost/Price Volume and the Technical Proposal Volume.
2. Assumptions. Provide a narrative that addresses any assumptions made during the preparation of the cost/price proposal and discuss the basis for the cost elements listed below:
a. Direct Labor Rates by Category. The Offeror is required to submit labor rates for labor categories identified in solicitation Section B. If composite or category averages are proposed, provide a breakdown of how rates are developed.
b. Indirect Costs. (i.e. Overhead, Fringe Benefits, General and Administrative (G&A), etc.), including a description of pools to which indirect rates are applied. If available, the Offeror shall provide the most current DCAA Provisional Billing Rate Approval Letter, DCAA Final Billing Rate Approval Letter, and/or DCAA Forward Pricing Rate Agreement or Recommendation (FPRA/FPRR). If DCAA has not reviewed the rate information for an Offeror, the Offeror shall submit a detailed justification of the proposed indirect rates, including details regarding the basis of estimate that may be helpful to the Government in determining price reasonableness. If any of the rates utilized by the Offeror differ from the DCAA information, a justification shall be provided for the difference, including any supporting cost data (i.e., budget information). Finally, prime contractors shall provide the last three (3) years of actual indirect information.
c. Cost of Money. When the Offeror elects to claim Cost of Money (COM) as an allowable cost, the
Offeror shall submit a DD Form 1861 and show the calculations of the proposed amount.
d. Travel/Other Direct Costs (ODCs) by specific cost element (i.e. Travel, Material). Not-To-Exceed (NTE) amounts for travel are provided by the Government in Section B for ODC CLINs (Attachment
4) and are $400,000 per year of performance and $200,000 for the 6-month option. If it is the contractor’s accounting practice to apply (and invoice for) burdens to ODCs, then the contractor shall propose the ODC NTE amount plus the applicable burdens at the task order level. The cost of general-purpose items required to conduct normal business operations will not be considered allowable Other Direct Charges (ODC). The ODC CLIN is a placeholder for travel costs, and shall not be priced. In the event that other ODCs apply to a task order, they must be in accordance with FAR 31.201-2.
e. Other. Any other information needed to explain the Offeror’s estimating practices.
The Offeror shall also provide documentation verifying that it has a DCAA approved Cost Accounting System or state that its Cost Accounting System has not been approved by DCAA, pursuant to the requirement at FAR 16.301- 3(a)(3). It is the prime contractor’s responsibility to ensure that each subcontractor with a proposed cost-reimbursement subcontract type has an adequate accounting system. If a subcontractor does not have an adequate accounting system, they shall be priced on a Firm-Fixed-Price (FFP) basis. The prime contractor shall provide a list of all subcontractors.
If the Offeror requires the use of consultants in its proposal, the consultant cost shall be captured under the appropriate labor CLIN not the ODCs CLIN.

SECTION M - EVALUATION FACTORS FOR AWARD
The following have been modified:
EVALUATION FACTORS
EVALUATION FACTORS
M.1 Basis of Award.
The Government contemplates award of an indefinite delivery/indefinite quantity (ID/IQ), Single Award Task Order Contract (SATOC) to support USACE Engineering Research and Development Center (ERDC) Coastal and Hydraulics Laboratory (CHL), and its customers, for Professional Support Services resulting from this solicitation.
Task orders awarded under the SATOC will be firm-fixed price.
The intent is to award one (1) contract; however, if the Contracting Officer determines during the source selection process that more than one contract should be awarded, the Contracting Officer has the discretion of adjusting that number or awarding none at all. In any case, the Government may not award any contract if the resulting contract would not represent a "best value" to the Government using trade-off selection procedures as required by the Federal Acquisition Regulation (FAR) and other supplementary guidance.
The evaluation will be conducted in accordance with source selection procedures as found in the Federal Acquisition Regulation (FAR), Department of Defense Federal Acquisition Regulation Supplement (DFARS), Army Federal Acquisition Regulation Supplement (AFARS), Department of Defense Source Selection Procedures, Army Source Selection Supplement (AS3) to the Department of Defense Source Selection Procedures, and this solicitation. The offeror must be responsible in accordance with FAR Part 9, conform to the solicitation requirements, meet all technical requirements, and present the best value to the government, using a tradeoff source selection process.
Failure to comply with the terms and conditions of the solicitation may result in the offeror being considered unawardable.
All non-cost evaluation factors, when combined, are significantly more important than cost/price.
Technical Approach (Factor 1) is most important factor.
Past Performance (Factor 2) is the 2nd most important factor and is slightly less important than Technical
Approach, and slightly more important than Management (Factor 3).
Management (Factor 3) is the 3rd most important factor and is less important than Technical Approach
(Factor 1) and Past Performance (Factor 2).
PART A: EVALUATION FACTORS
The three rated non-cost factors for this acquisition are identified below, in order of importance:
FACTOR 1 - Technical Approach FACTOR 2 - Past Performance FACTOR 3 - Management
FACTOR 1 - TECHNICAL APPROACH
The Government will assess the Offeror’s understanding of critical areas of the solicitation and proposed methods of accomplishing the requirements. This includes such areas as physical model testing and evaluation methodologies, planning, design and fixture fabrication; data collection methodologies and techniques; hydraulic and hydrodynamic numerical modeling; statistical analysis methods and various evaluation techniques; remote sensing and spatio-temporal analysis; technical writing; project scheduling and management and preparation of results, product development, evaluation and conclusion demonstrating that the Offeror has the capabilities and documented expertise to successfully perform the total requirements of the solicitation.
The Government will assess the Offeror’s ability to perform similar, concurrent work with more than one PI on the same effort.
FACTOR 2 – PAST PERFORMANCE
The Past Performance evaluation factor (Factor 2) assesses the degree of confidence the Government has in an Offeror’s ability to supply products and services that meet users’ needs, based on a demonstrated record of performance. The Past Performance evaluation results in an assessment of the Offeror’s probability of meeting the solicitation requirements. The Past Performance evaluation considers each Offeror's demonstrated recent and relevant record of performance in supplying products and services that meet the contract’s requirements. One performance confidence assessment rating is assigned for each Offeror after evaluating the Offeror's recent Past Performance, focusing on performance that is relevant to the contract requirements. The is no separate weight rating amount the difference elements of the past performance evaluation.
There are three aspects to the performance confidence evaluations: recency, relevancy, and quality of past performance. In accordance with FAR 15.305(a)(2), the currency and relevance of the information, source of the information, context of the data, and general trends in contractor’s performance shall be considered. Relevance and quality of performance will be combined to establish one performance confidence assessment rating for each Offeror. The project examples requested within this factor must be of relevant scope and complexity to the solicited project.
a. Recency. The first aspect is to evaluate the recency of the offeror’s past performance. Recency is generally expressed as a time period during which past performance references are considered relevant, and is critical to establishing the relevancy of past performance information. Recent performance is considered to have been ongoing or completed within the three (3) years prior to the date of the solicitation proposal due date.
A Prime Offeror’s experience as a subcontractor may be included for consideration.
b. Relevancy. The second aspect is to determine how relevant a recent effort accomplished by the offeror is to the effort to be acquired through the source selection. Common aspects of relevancy include, but are not limited to: similarity of product/service/support, complexity, dollar value, contract type, use of key personnel (for services), and extent of subcontracting/teaming. Relevancy is defined as similarity of items stated within this solicitation such as: types of projects, dollar value, contract type, and relative complexity.
With respect to relevancy, more relevant Past Performance will typically be a stronger predictor of future success and have more influence on the Past Performance confidence assessment. Relevancy is not a separate proposal rating but is used to develop an overall Past Performance Confidence Assessment. The four levels of relevancy definitions are identified in Section M, Part C.
c. Quality of Performance (Products or Services). The third aspect of the past performance evaluation is to establish the overall quality of the offeror’s past performance (see FAR 15.304[c][2]). The past performance evaluation conducted in support of a current source selection does not establish, create, or change the existing record and history of the offeror’s past performance on past contracts; rather, the past performance evaluation process gathers information from customers on how well the offeror performed those past contracts. The evaluation board will review all past performance information collected and determine the quality of the offeror’s performance, general trends, and usefulness of the information and incorporate these into the performance confidence assessment. A past performance rating is based on the offeror’s overall record of recency, relevancy, and quality of performance.
After evaluating recency, relevancy, and contractor performance, a Performance Confidence Assessment rating will be determined. In conducting a performance confidence assessment, each Offeror shall be assigned a Performance Confidence Assessment Rating found in Section M Part C.
The Government will use the relevant company effort and quality of past performance information submitted under this tab to assess the degree of confidence the Government has in an Offeror’s ability to successfully perform the scope of work described in this solicitation.
The Government will assess the Offeror’s summaries of “recent”, “relevant” projects that demonstrate diversity of effort. It is understood that each example of an Offeror’s experience may reflect more than one of the following major categories of work outlined in PWS Section 5: 1) Physical Model Development, 2) Numerical Model Development, 3) In situ Data Collection and Field Support, 4) Training, 5) Ship Simulation, 6) Predictive Systems and Machine…
