PERFORMANCE WORK STATEMENT
Performance Work Statement (PWS) Fargo-Moorhead Metropolitan Area Flood Risk Management Project
IDIQ Contract for Tree Removal
1. GENERAL: The Contractor shall furnish all necessary personnel, materials, supplies, parts, tools, equipment, and vehicles, except as otherwise provided for herein, required to perform tree removal services specified within the area of responsibility of the Fargo Moorhead Metropolitan Area Flood Risk Management Project and in strict accordance with all Terms, Conditions, General, Specific and Technical Provisions, Drawings, Attachments, etc., contained herein or incorporated by reference.
Incorporation by reference shall include all mandatory provisions required by the Federal Acquisition Regulation (FAR) whether referenced or not, current at time of award.
1.1. Background: The Fargo Moorhead Metropolitan Area Flood Risk Management Project is a large civil works project to reduce risk of catastrophic flooding in the Fargo Moorhead Metropolitan area. Construction of the project includes a 35-mile flood diversion channel and large structures to change and direct flows. Construction on project sites requires them to be cleared of any existing structures or trees for construction to commence. Due to the Northern Long-Eared Bat being listed as a Federally endangered species, the clearing of trees thicker than 3 inches diameter at breast height (DBH) has been restricted. Trees of 3” or greater DBH may only be cleared when the Northern Long-Eared Bat is hibernating. In the project area, tree clearing may only occur between October 1 and April 15.
1.2. Generalized Site Conditions: Areas of forest and tree clearing are old fence rows, wind rows, farmstead tree lines and forested areas along the river corridor. Stands consist primarily of ash, elm and boxelder with some cottonwood, oak, and hackberry mixed in. Trees are of poor quality, although some large cottonwood may be merchantable. Average tree diameter is 12 inches with a range of 4 to 42 inches at DBH. Mean basal area is roughly 120 ft2/acre with stands ranging from 80 to 190 ft2/acre. Stand volumes across the sites are highly variable with the average volume per acre being roughly 24 cords/acre and a range of 13 cords/acre to 44 cords/acre.
1.3. Compensation: The payment provided for in the contract shall constitute full compensation for furnishing all materials and for performing all work under the contract in a complete and acceptable manner. The contract work shall include providing plant, equipment, tools, supplies, labor, supervision, incidental materials, quality control, environmental protection, and meeting safety requirements, and for performing all work required for which separate payment is not otherwise provided. Compensation for all work shown, specified, or essential to completion of the project (whether or not the specific material or operation is indicated) shall be included on the pricing schedule. The payment provided for in the contract includes compensation for all risk, loss, damage, and expense arising out of the nature of the work or its prosecution, subject to conditions of the contract. Payment for each contract line item will constitute full compensation for performing the work specified in this PWS.
1.4. Materials and Equipment: The contractor shall furnish all equipment to perform the work required within the PWS. Equipment used shall be in working condition free of leaking oil, gas, hydraulic oil, and or any other substances in which could damage any park facilities. All equipment shall have protective guards and proper safety devices functioning and working before any work shall be performed.
1.5. Scope The work will primarily occur in the southern diversion channel, Southern Embankment, and Eastern Tie-Back areas, but may occur anywhere in the region. This requirement is an Indefinite Delivery/Indefinite Quantity (IDIQ) contract. This contract type provides a not to exceed (NTE) estimate of the work required to be performed over the contract period. The actual quantities of services ordered under this contract may be significantly less than the NTE contract quantity. Estimated quantities and/or the work to be performed are described herein as Contract Line Items (CLINS) and/or listed on separate sheets as Price Schedules. These quantities are approximate and are provided only for the Contractor's information to assist in preparation of quotations. They are not guaranteed and the actual quantities may be less than shown.
Variations in these estimated quantities shall not be justification for or request for additional payment. The Government reserves the right to perform any or all of the services described herein above the guaranteed minimum with its own personnel or volunteers. Contractor work and responsibility shall include, but shall not be limited to: all planning, programming, administration and management necessary to assure that all services are conducted in accordance with the contract and all applicable laws, regulations, codes, or directives. Contractor shall perform all related Contractor administrative services necessary to perform the work such as quality control, Contractor financial control, and maintenance of accurate and complete records and files.
1.5.1. Tree Removal: Work areas shall be identified on the task order with maps provided from the Government. All trees greater than 2.5 inches DBH (diameter at breast height) within the identified work areas shall be felled and debris disposed of. Debris disposal methods are at the discretion of the contractor. Debris must be removed and disposed of offsite. Stump heights shall be left between 2 and 3 feet in height. The Contractor shall use whatever methods necessary to remove trees without damaging infrastructure (roads, powerlines etc.).
Any damage to infrastructure as a result of the Contractor's negligence shall be repaired or replaced at the Contractor's expense.
Tree removal must occur within 4 weeks of task order issuance (unless otherwise mutually agreed upon). Note: Tree removal line items include all equipment and personnel to remove the tree and debris in accordance to contract specifications. For example, if tree removal requires special equipment such as a bucket truck, contractor shall not request payment or invoice the Government for this equipment or personnel, the cost shall be included in the line-item price for tree removal.
1.5.2. Traffic Control: The Contractor must consider and anticipate the public in the vicinity of the work area. Roadways shall be temporarily closed, at Contractor’s discretion, if deemed a safety hazard to users during services. Traffic safety standards found in EM385-1-1 shall be followed and adhered to.
1.5.3. Transportation. All mileage costs should be included in each quoted item for tree removal services. The contractor must abide by all hauling and tonnage restrictions on local roads as well as any other ordinances or laws that may be in place. Contractor must also abide by all wood transportation laws that are established for the local area to prevent the spread of invasive pests such as emerald ash borer.
1.5.4. Disposal of Debris. The Contractor shall dispose of all materials and/or debris from the tree removal service work under this contract. No separate payment for the disposal of materials and debris will be made. The maximum acceptable size of debris left on site may not exceed 1 inch in diameter and 5 feet in length. Debris may not remain on site and must be removed within 7 days of tree removal. Debris disposal must comply with local laws and ordinances and may not be transported across state lines or leave quarantine zones to prevent the spread of emerald ash borer or other such pests.
Burning of debris onsite is permitted if performed in such a way that it does not negatively impact the surrounding area. Contractor shall be responsible for obtaining required permits.
Contractor shall ensure that debris remaining on-site meets dimensional requirements.
Contractor shall not bury burned debris and shall transport remains of burned debris exceeding allowable dimensions are transported to off-site disposal.
1.5.5. Administration: No separate payment will be made for the contractor's administrative costs to set up office and complete all the necessary paperwork required in this scope of work.
1.5.6. REQUIRED INSURANCE
1.5.6.1. Minimum Insurance: Any successful bidder under this solicitation shall procure and maintain the minimum insurance requirements during the entire period of performance of this contract.
1.5.6.1.1. Comprehensive General Liability Insurance: Comprehensive General Liability Insurance for bodily injury is the minimum limit of $500,000 per occurrence. No property damage liability insurance is required.

1.7. Endangered Species Considerations: Due to the listing of northern long eared bat as a federally endangered species, no tree clearing may occur past April 15 or before October 1 of a given year. No task orders for tree clearing will be issued after March 15 and all task orders issued must be completed before April 15. Wood and debris removal, and site restoration (damage repair) shall be complete by April 30. These restrictions may be subject to change as new guidance is established. The government will update the contractor of any changes.
1.8. Task Order Information: All work under this contract will be ordered by issuance of individual
Task Orders (SF Form 1449, see Exhibit A). The Task Order will list those Contract CLINS that are to be performed and the schedule in which the work shall be performed. A task order will be e-mailed or otherwise transmitted to the contractor. A task order will specify the nature of the work, by line item, to complete and the locations. The individual task orders are firm-fixed priced, and no changes may be made without the prior approval of the Contracting Officer.
Notify the Government if the task will require work beyond the specified line-item quantities on the task order of if additional specific line items are necessary to complete the task item. The Contractor is not to continue performance beyond the specified task order line-item quantities without issuance of another task order to continue work. If upon receipt of the order, the contractor disagrees with any item, (such as the size of trees to be removed) the Contractor is to immediately contact the Contracting Officer and request a modification to the task order. This modification must be accomplished prior to starting work on the services covered by the order.

** UNIFORM ALLOWANCE **
If employees are required to wear uniforms in the performance of this contract
(either by the terms of the Government contract, by the employer, by the state or local law, etc.), the cost of furnishing such uniforms and maintaining (by laundering or dry cleaning) such uniforms is an expense that may not be borne by an employee where such cost reduces the hourly rate below that required by the wage determination. The Department of Labor will accept payment in accordance with the following standards as compliance:
The contractor or subcontractor is required to furnish all employees with an adequate number of uniforms without cost or to reimburse employees for the actual cost of the uniforms. In addition, where uniform cleaning and maintenance is made the responsibility of the employee, all contractors and subcontractors subject to this wage determination shall (in the absence of a bona fide collective bargaining agreement providing for a different amount, or the furnishing of contrary affirmative proof as to the actual cost), reimburse all employees for such cleaning and maintenance at a rate of $3.35 per week (or $.67 cents per day). However, in those instances where the uniforms furnished are made of ""wash and wear"" materials, may be routinely washed and dried with other personal garments, and do not require any special treatment such as dry cleaning, daily washing, or commercial laundering in order to meet the cleanliness or appearance standards set by the terms of the Government contract, by the contractor, by law, or by the nature of the work, there is no requirement that employees be reimbursed for uniform maintenance costs.
** NOTES APPLYING TO THIS WAGE DETERMINATION **
Under the policy and guidance contained in All Agency Memorandum No. 159, the Wage and Hour Division does not recognize, for section 4(c) purposes, prospective wage rates and fringe benefit provisions that are effective only upon such contingencies as ""approval of Wage and Hour, issuance of a wage determination, incorporation of the wage determination in the contract, adjusting the contract price, etc."" (The relevant CBA section) in the collective bargaining agreement between (the parties) contains contingency language that Wage and Hour does not recognize as reflecting ""arm's length negotiation"" under section 4(c) of the Act and 29 C.F.R. 5.11(a) of the regulations. This wage determination therefore reflects the actual CBA wage rates and fringe benefits paid under the predecessor contract.
** SERVICE CONTRACT ACT DIRECTORY OF OCCUPATIONS **
The duties of employees under job titles listed are those described in the ""Service Contract Act Directory of Occupations"", Fifth Edition (Revision 1), dated September 2015, unless otherwise indicated.
REQUEST FOR AUTHORIZATION OF ADDITIONAL CLASSIFICATION AND WAGE RATE
Standard Form 1444 (SF-1444)
Conformance Process:
The contracting officer shall require that any class of service employee which is not listed herein and which is to be employed under the contract (i.e., the work to be performed is not performed by any classification listed in the wage determination), be classified by the contractor so as to provide a reasonable relationship (i.e., appropriate level of skill comparison) between such unlisted classifications and the classifications listed in the wage determination. Such conformed classes of employees shall be paid the monetary wages and furnished the fringe benefits as are determined (See 29 CFR 4.6(b)(2)(i)). Such conforming procedures shall be initiated by the contractor prior to the performance of contract work by such unlisted class(es) of employees (See 29 CFR 4.6(b)(2)(ii)). The Wage and Hour Division shall make a final determination of conformed classification, wage rate, and/or fringe benefits which shall be retroactive to the commencement date of the contract (See 29 CFR 4.6(b)(2)(iv)(C)(vi)). When multiple wage determinations are included in a contract, a separate SF-1444 should be prepared for each wage determination to which a class(es) is to be conformed.
The process for preparing a conformance request is as follows:
1) When preparing the bid, the contractor identifies the need for a conformed occupation(s) and computes a proposed rate(s).
2) After contract award, the contractor prepares a written report listing in order the proposed classification title(s), a Federal grade equivalency (FGE) for each proposed classification(s), job description(s), and rationale for proposed wage rate(s), including information regarding the agreement or disagreement of the authorized representative of the employees involved, or where there is no authorized representative, the employees themselves. This report should be submitted to the contracting officer no later than 30 days after such unlisted class(es) of employees performs any contract work.
3) The contracting officer reviews the proposed action and promptly submits a report of the action, together with the agency's recommendations and pertinent information including the position of the contractor and the employees, to the Wage and Hour Division, U.S. Department of Labor, for review (See 29 CFR 4.6(b)(2)(ii)).
4) Within 30 days of receipt, the Wage and Hour Division approves, modifies, or disapproves the action via transmittal to the agency contracting officer, or notifies the contracting officer that additional time will be required to process the request.
5) The contracting officer transmits the Wage and Hour decision to the contractor.
6) The contractor informs the affected employees.
Information required by the Regulations must be submitted on SF-1444 or bond paper.
When preparing a conformance request, the ""Service Contract Act Directory of Occupations"" (the Directory) should be used to compare job definitions to ensure that duties requested are not performed by a classification already listed in the wage determination. Remember, it is not the job title, but the required tasks that determine whether a class is included in an established wage determination.
Conformances may not be used to artificially split, combine, or subdivide classifications listed in the wage determination.
