Section 00010 - Solicitation Contract Form

NARRATIVE

1. Multiple Award Task Order Contract (MATOC) Solicitation W912EK20R0011 for Heavy/Civil Construction in support of the US Army Corps of Engineers, Rock Island District, will result in a minimum of three (3), target of six (6); Indefinite Delivery/Indefinite Quantity (IDIQ) construction contracts with firm-fixed price task orders. Each contract will include one

(1) ordering period lasting five (5) years. Actual dates will be set at time of award.

2. The US Army Corps of Engineers, Rock Island District, hereby issues solicitation W912EK20R0011 for heavy construction requirements in the following states: Illinois, Indiana, Iowa, Missouri and Wisconsin

3. The maximum dollar aggregate value for all contracts, combined, will not exceed $24,900,000.00

4. The guaranteed minimum are as follows:

*The guaranteed minimum of $500.00 shall occur under CLIN 0001 for any contract awarded.

CLIN 0001: $500.00 minimum

**This guaranteed minimum amount is the only guaranteed amount to be awarded under this solicitation. The Government is under no further obligation to order additional services.

The Government will select for award the proposals that are most advantageous and represents the best overall value to the Government, considering the following three (3) evaluation factors: Technical Approach, Past Performance, and Price.

As a result, the Government may select for award, of Task order No. 0001, the Offeror whose proposed prices are not the lowest, but whose non-price factors are sufficiently more advantageous to justify the payment of a higher price.

The maximum award amount of any task order shall not exceed $3,000,000.00

The minimum award amount of any task order shall not be less than $100,000.00

Only the Rock Island District is authorized to issue delivery orders under the resultant IDIQ contract.

5. Task Order No. 0001 (Section 0800) will be used for evaluation purposes for award and may or may not be representative of any future task order. Task order 0001 will be issued concurrently with the award of the IDIQ contract to the Offerors’ proposal who is most advantageous to the Government based on the evaluation factors set forth.

Task Order No. 0001, Mississippi River Basin, Cascade Levee, Dubuque County, Iowa, 2018 Event Levee Repairs.

The work includes, but is not limited to, stripping, bedding stone and riprap placement, surveying, and site restoration.

Location: The work is located in the Mississippi River Basin on the North Fork/Maquoketa River, Cascade Local Flood Protection Levee, City of Cascade, Dubuque County, Iowa.

Estimated Dollar Range: $250,000 and $500,000

6. Subsequent Task Orders:

When the Government requires work under this MATOC a Requests for Task Order Proposals (RFTOPs) will be issued to the MATOC contract holders. The RFTOP will include a Statement of Work (SOW) describing the work to be performed, any special instructions and conditions, specifications and/or drawings, guide specifications, attachments, information pertaining to a site visit, submission of any bid bonds, and any other requirements necessary for submission. In the event an offeror is unable to submit an offer in response to a RFTOP, the Contractor shall immediately notify the Contracting Officer in writing.

(b) Competition. All task orders will be awarded based on competition among the MATOC contract holders, unless an exception to Fair Opportunity is justified and approved in accordance with FAR 16.505(b)(2).

(c) Site-Visits. Offeror’s attendance at walk-throughs is considered vital to preparation of competitive and cost effective offers and to understanding the total results desired by the Government. Failure to attend a site visit may not be used as an excuse for omission or miscalculation in offers. The Contractor will not be reimbursed for attendance during negotiations, site visits, or other pre-task order costs.

(d) Evaluation Method and Procedures for Individual Task Orders.

(1) Each RFTOP will describe the specific criteria to be used in evaluating task order proposals.

(e) The work and services required under this contract shall be completed by the Contractor within the time negotiated and specified in each task order. No task order(s) shall be issued after the expiration date of this contract; however, any task ordered issued prior to but not complete upon expiration of the contract shall not be cancelled because of expiration of the contract.

7. On Ramp/Off Ramp/Dormant Status

OPEN SEASON ON-RAMPING (open season is considered the time frame of the ordering period

USACE will determine whether it would be in the Government’s best interest to initiate an open season to add additional Contractors to any of the MATOC contracts at any time, subject to the following conditions.

1. An open season notice is published in beta.sam.gov in accordance with FAR Part 5, Publicizing Contract Action

2. An open season solicitation is issued under current Federal procurement law

3. The solicitation identifies the total anticipated number of new contracts that USACE intends to award

4. Any Offeror that meets the eligibility requirements set forth in the open season solicitation may submit a proposal in response to the solicitation

5. The award decision under the open season solicitation is based upon substantially the same evaluation factors/sub-factors as the original solicitation

6. An Offeror’s proposal must meet all of the Evaluation Criteria of the original solicitation

7. The terms and conditions of any resulting awards will be materially identical to the existing version of the MATOC Pool and,

8. The period of performance term for any new awards is coterminous with the existing term for all other Contractors

Immediately upon on-ramping, the Contractor is eligible to submit a proposal in response to any task order solicitation and receive task order awards with the same rights and obligations as any other Contractor.

DORMANT STATUS

USACE is responsible for ensuring performance and compliance with the terms of the MATOC contracts and safeguarding the interests of the Government and the American taxpayer in its contractual relationships.

Additionally, USACE must ensure that Contractors receive impartial, fair, and equitable treatment. Heavy Construction must be reserved for high performing Contractors. Accordingly, if the Contracting Officer determines that any requirement of the MATOC contract is not being met a Contractor may be placed into Dormant Status. Dormant status may be activated for any given Contractor.

If Dormant Status is activated, the Contractor shall not be eligible to participate or compete in any subsequent task order solicitations while the Contractor is in Dormant Status; however, Contractors placed in Dormant Status shall continue performance on previously awarded and active task orders, including any modifications at the task order level.

Dormant Status is not a Debarment, Suspension, or Ineligibility as defined in FAR Subpart 9.4 or a Termination as defined in FAR Part 49. Dormant Status is a condition that applies to the heavy construction MATOC contract only. Grounds for being placed in Dormant Status specifically include, but are not limited to, trends or patterns of behavior associated with the failure to meet the deliverables and compliances specified within the contract.

Dormant status will only be imposed after careful consideration of the situation and collaboration with the Contractor to resolve the issues. To place a Contractor in Dormant Status, the Contracting Officer must first send a letter, in writing, to the Contractor regarding the poor performance or non-compliance issue. The Contractor shall have reasonable time, at the discretion of the Contracting Officer, to provide the KO with a remediation plan to correct the deficiencies/issues. If the KO is satisfied with the Contractor’s response, the Contractor will not be placed in Dormant Status. If the KO is not satisfied with the response, or the remediation plan is not effective, the KO may issue a final decision, in writing, placing the Contractor in a Dormant Status.

The KO’s final decision may be appealed to the Ombudsman under Alternative Disputes Resolution (ADR), as defined in FAR Subpart 33.201. Using ADR does not waive the Contractor’s right to appeal to the Agency Board of Contract Appeals or United States Court of Federal Claims.

Additionally, the Contractor may provide in an official letter requesting to be placed in dormant status for a certain amount of time, not to exceed 9 months.

OFF-RAMPING

USACE reserves the unilateral right to Off-Ramp non-performing Contractors. Contractors that are Off-Ramped have no active task orders under their contract at the time of the Off-Ramping.

Off-ramping methods may result from one of the following conditions:

1. After a Contractor is placed in Dormant Status and the Contractor has completed all previously awarded task orders under the contract.

2. Debarment, Suspension, or Ineligibility as defined in FAR Subpart 9.4.

3. Termination as defined in FAR Part 49

4. Contractors who fail to meet the standards of performance, deliverables, or compliances

5. Taking any other action which may be permitted under the terms and conditions

SOURCE SELECTION PLAN

1. 1. Basis for Award

The Government will select for award the proposals that are most advantageous and represents the best overall value to the Government, considering the following three (3) evaluation factors:

Technical Approach, Past Performance, and Price. As a result, the Government may select for award the Offeror whose proposed prices are not the lowest, but whose non-price factors are sufficiently more advantageous to justify the payment of a higher price.

All evaluation factors other than cost or price, when combined, are significantly more important than cost or price IAW FAR 15.101-1(b)(2). The Technical Approach factor is significantly more important than the Past Performance factor.

Proposed prices will be evaluated but not scored or otherwise combined with the other aspects of the proposal evaluation.

1. 2. Factors and Components to Be Evaluated

Award will be made to the Offeror whose proposal is most advantageous to the Government based upon an integrated assessment of the evaluation factors, components and elements identified in the table and described below.

The following evaluation factors, components and elements will be used to evaluate each proposal:

1. Factor 1: The Technical Approach factor is divided into the following components:

a. Component 1: Corporate Management

• Element 1: Organization Chart

• Element 2: Prime Contractor Experience

• Element 3: Key Personnel

• Element 4: Insurance Experience Modifier Rating

b. Component 2: Work Plan Narrative

c. Component 3: Schedule

2. Factor 2: Past Performance: The past performance evaluation considers each Offeror's demonstrated recent, relevant and quality record of performance in supplying products and services that meet the contract’s requirements.

3. Factor 3: Price: Price reasonableness will be utilized in the evaluation of this effort in accordance with FAR Part 15 procedures.

A detailed explanation of the criteria for the evaluation is set forth in Section 2.3. During evaluations of each proposal, the Government will assign each factor an adjectival rating and write a narrative evaluation reflecting the identified findings. Component and element ratings shall be rolled up into an overall rating for Factor 1; Technical Approach.

1. 3. Evaluation Approach

The overarching evaluation approach for all factors is as follows:

1. Adequacy of Response. The proposal will be evaluated to determine whether the Offeror’s methods and approach have completely considered, defined, and satisfied the requirements specified in the Request for Proposal (RFP). The proposal will be evaluated to determine the extent to which each requirement has been addressed in the proposal in accordance with the proposal submission section of the solicitation.

2. Feasibility of Approach. The proposal will be evaluated to determine the extent to which the proposed approach is workable and the end results achievable. The proposal will be evaluated to determine the extent to which the Offeror is expected to be able to successfully complete the proposed tasks and technical requirements within the required schedule.

Definitions:

Deficiency: A material failure of a proposal to meet a Government requirement or a combination of weaknesses in a proposal that increases the risk of unsuccessful contract performance to an unacceptable level. See FAR 15.001.

Strength: An aspect of an Offeror’s proposal that has merit or exceeds specified performance or capability requirements in a way that will be advantageous to the Government during contract performance.

Weakness: A flaw in the proposal that increases the risk of unsuccessful contract performance. See FAR 15.001.

Significant Weakness: A flaw in the proposal that appreciably increases the risk of unsuccessful contract performance. See FAR 15.001.

Uncertainty: Any aspect of a non-cost/price factor proposal for which the intent of the Offeror is unclear (e.g., more than one way to interpret the offer or inconsistencies in the proposal indicating that there may have been an error, omission or mistake).

1. 3. 1. Factor 1: Technical Approach

The Government will be utilizing a combined technical/risk rating approach which includes consideration of risk in conjunction with the strengths, weaknesses, significant weaknesses, uncertainties and deficiencies in determining the technical rating.

Component and element ratings shall be rolled up into an overall rating for Factor 1;

Technical Approach. The following table, which utilizes a combined technical/risk rating, shall be used for the technical factor and all sub-factors.

COMBINED TECHNICAL/RISK RATING

Rating Description

Outstanding Proposal indicates an exceptional approach and understanding of the requirements and contains multiple strengths, and risk of unsuccessful performance is low.

Good Proposal indicates a thorough approach and understanding of the requirements and contains at least one strength, and risk of unsuccessful performance is low to moderate.

Acceptable Proposal meets requirements and indicates an adequate approach and understanding of the requirements, and risk of unsuccessful performance is no worse than moderate.

Marginal Proposal has not demonstrated an adequate approach and understanding of the requirements, and/or risk of unsuccessful performance is high.

Unacceptable Proposal does not meet requirements of the solicitation, and thus, contains one or more deficiencies, and/or risk of unsuccessful performance is unacceptable. Proposal is unawardable.

The Technical Approach Factor is divided into the following components:

1. 3. 1. 1. Component 1: Corporate Management

This component evaluates the Offeror’s proposed Management Capability and Experience in relation to the summary of work, specification section 01 11 00 of the Multiple Award Task Order Contract (MATOC) Facilities Maintenance Construction solicitation). The Government will evaluate the Offeror’s proposed Management Capability and Experience to determine the ability to meet Governments requirements, along with explanation of a firms’ qualifications, resources and approach for executing multiple projects concurrently as it pertains to the solicitation. The following are elements in which the Offeror’s proposal will be evaluated. All elements are of equal importance.

Element 1: Organization Chart

An organizational chart which clearly identifies the management and construction teams, along with any other key personnel to be utilized in executing the summary of work under this requirement. Arrange the chart by organizational levels and location, depicting lines of authority. The chart should show the interrelationship between the home office teams and on-site project teams. The organizational chart should list any subcontractor key personnel.

The organization chart is to be clear as to allow a thorough understanding of the Offeror’s team or teams for the project.

Element 2: Prime Contractor Experience

The Government will evaluate the Offerors demonstrated experience and technical skill as it relates to the Summary of Work described in Section 01 11 00, The Government will consider the following, at a minimum, when evaluating the Offerors experience and technical skills:

Name of project, project duration and dollar value, Government Agency or Company for whom work was performed.

Brief description of the project (sufficient to establish relevance of experience to the summary of work section 01 11 00) and clearly identified roles of the prime contractor.

The Offerors organization history, to include, any former names (if applicable), years of establishment, number of employees per discipline, average annual revenue for the past five years and bonding capacity-both single contract amount and aggregate amount.

Any specialized experience of the project team(s) proposed to accomplish the work. This may include licenses, certifications, affiliations and/or awards.

Element 3: Key Personnel

The Government will evaluate the qualifications (resumes) for all proposed key personnel to be utilized on the contract by evaluating the extent to which all key personnel qualifications demonstrate the following:

The proposed roles, education, professional registrations/certificates, other professional qualifications (Publications, Organizations, Training, Awards, etc.)

Relevant projects, which includeTitle and Location, project duration and a Brief Description.

The Government defines key personnel, at a minimum, of the Project Managers, Site Superintendents, Quality Control Managers and Site Safety and Health Officers.

a. Project Manager with construction management experience, education, certification, etc. which indicates an understanding on executing multiple projects of the scope and breadth anticipated for this requirement as identified in summary of work section 01 11 00.

b. Site Superintendent with experience managing projects with multiple sub-contractors, trades, crafts, suppliers and service industries over a variety of projects as identified in summary of work section 01 11 00.

c. Quality Control System Manager shall meet the requirements in Specification Section

01 45 04.

d. Site Safety and Health Officer with at least 5 years of experience managing and implementing safety and occupation health program(s) which demonstrate relevance to the project scope and applicable sections of EM 385-1-1, Safety and Health Requirements Manual, version 2014.

Element 4: Experience Modifier Ratings The Government will evaluate the Experience Modifier as provided by the Offeror’s Insurance Carrier in accordance to the table below. The Offeror must provide documentation, from their Insurance Carrier, that demonstrates their safety and health program experience using an “Experience Modification Rate (EMR)” from 2015-2020.

1. 3. 1. 2. Component 2 Work Plan Narrative:

The Work Plan is to contain a detailed description, which shows the Contractor’s, subcontractor’s and supplier’s overall methodology and plan of operations to complete the work, in accordance with the summary of work specification section 01 11 00, for multiple task orders in multiple locations. This narrative work plan should include detailed work sequence and reasoning for activities performed; detailed reasoning as to allow for completion of required work in allotted time frame detailed reasoning of shop drawing preparation and material approval, detailed reasoning of procurement and delivery systems; detailed reasoning of the identification of critical long lead time materials; detailed reasoning of utilization of labor, equipment use, and service; a description of the Quality Control activities necessary to ensure specified quality and inclusion of those activities in the schedule; detailed reasoning of how staging, parking, and mobilization will be planned; detailed description of major subcontractors with required coordination and overall job site management.

The Government will evaluate the work plan narrative based on the following:

Completeness of the narrative plan with respect to items of concern listed above;

Demonstration of thorough understanding of and ability to comply with the project requirements;

Reasonableness of contractor sequencing in terms of multiple locations and challenges associated with the work; and

Ability to mitigate construction and scheduling risk associated with project features.

1. 3. 1. 3. Component 3 Schedule:

A single critical path method construction schedule and narrative demonstrating a logical and efficient sequence for completing the work for Task order 0001:

Mississippi River Basin, Cascade Levee, Dubuque County, Iowa, 2018 Event Levee Repairs, on a single schedule. The logic should demonstrate the major activities are placed in a logical sequence with a minimum number of critical path activities. The duration must be set so all activities have assigned durations, major activities have reasonable durations and conform to resources and detailed activities have reasonable durations.

**The Offeror shall assume a notice to proceed (NTP) date of 01 May 2020 for evaluation purposes only. This date is an estimated date for evaluation purposes and may not necessarily represent the actual NTP date for the awarded Task Order.

Items of particular concern to the Government are:

Labels and durations on all activities;

Detailed work sequences for all major activities, including the reasoning for the timing of activities;

Critical long-lead time materials and fabrications;

Submittal (including shop drawings) preparation and approval; and Timing of work items to be coordinated with the Government.

The Government will evaluate the schedule based on the following:

Completeness and reasonableness of the schedule;

Demonstration of thorough understanding of the project requirements;

Reasonableness of work sequencing in terms of site constraints and any challenges associated with the work;

Ability to mitigate construction and scheduling risk associated with project features and project locations

Consideration of lead times for major equipment

1. 3. 2. Factor 2: Past Performance

The Government will evaluate the Offeror’s record of past and current performance as to ascertain the probability of successfully performing the required efforts outlined in specification section 01 11 00.

Evaluation of past performance shall be in accordance with this plan along with utilizing the forms and questionnaires set forth in Appendix D.

The Government will focus its inquiries on the Offeror’s (and any major subcontractors identified) record of performance as it relates to all solicitation requirements, including cost, schedule, performance and management of subcontractors. Major subcontractors are defined as members of an Offeror’s overall team who are expected to perform on the proposed effort as identified in the organizational chart. A significant achievement, problem, or lack of relevant data in any element of the work can become an important consideration in the evaluation process. Therefore, Offerors will be reminded to include the most recent and relevant efforts within the past ten (10) years in their proposal.

The Government may use data provided by the Offeror in its proposal and data obtained from other sources, including data in Government files or data obtained through interviews with personnel familiar with the contractor and their current and past performance under Federal, State or Local government or commercial contracts for same or similar services as compared to the North American Industry Classification System (NAICS) 236220. Data used in conducting performance risk assessments shall not extend past ten (10) years prior to the issue date of the solicitation, but may include performance data generated during the past ten (10) years without regard to the contract award date. While the Government may elect to consider data from other sources, the burden of providing detailed, current, accurate and complete past performance information rests with the Offeror.

The past performance factor considers each Offeror’s demonstrated recent and relevant record of performance in supplying products and services that meet the contract requirements. In accordance with FAR 15.305(a)(2), the currency and relevance of the information, source of the information, context of the data, and general trends in contractor’s performance shall be considered. These are combined to establish one performance confidence assessment rating for each Offeror.

There are three (3) aspects to the past performance evaluation: recency, relevancy (including context of data), and quality (including general trends in contractor performance and source of information).

The first aspect is the recency of the Offeror’s past performance. Recency is expressed as a time period during which past performance references are considered relevant, and is critical to establishing the relevancy of past performance information

The second aspect is to determine how relevant a recent effort accomplished by the Offeror is to the effort to be acquired. In establishing what is relevant for the acquisition, consideration will be given to those aspects of an Offeror’s history of contract (or subcontract) performance that would provide the most context and give the greatest ability to measure whether the Offeror will successfully satisfy the current requirement. With respect to relevancy, past performance of greater relevancy will typically be a stronger predictor of future success and have more influence on the past performance confidence assessment than past performance of lesser relevance.

The third aspect of the past performance evaluation is to establish the overall quality of the Offeror’s past performance in accordance with FAR 15.304(c)(2). The Source Selection Team will review all past performance information collected and determine the quality of the Offeror’s performance, general trends, and usefulness of the information and incorporate these into the performance confidence assessment.

The past performance confidence assessment will utilize the most appropriate ratings from the table below. This rating considers the assessed confidence of the recent/relevant/quality information gathered. In the case of Offerors for which there is no information on past contract performance or where past contract performance information is not available, the Offeror will not be evaluated favorably or unfavorably and will be assigned a performance confidence rating of “neutral.” If an Offeror’s past performance is unknown and assigned a performance confidence rating of “neutral,” the Source Selection Authority may determine that a “Substantial Confidence” or “Satisfactory Confidence” past performance rating is worth more than a “Neutral Confidence” past performance rating.

No recent/relevant performance record is available or the Offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned.

Task Order 0001 prices will be evaluated for reasonableness in accordance with FAR Part 15.

Contract Line Item prices will be evaluated to determine whether the proposed prices are reasonable for the work to be performed; reflect a clear understanding of the requirements; and are consistent with the Offeror's technical proposal.

The Government may reject any proposal that is evaluated and determined to be unrealistic in terms of project commitments, including contract terms and conditions, or unreasonably high or low in cost when compared to Government estimates, such that the proposal is deemed to reflect an inherent lack of competence or failure to comprehend the complexity and risks of the project.

Offerors are responsible for including sufficient details to permit a complete and accurate evaluation of each proposal. Proprietary information shall be clearly marked.

a. Each volume shall be submitted as a separate PDF file. Each volume shall be clearly labeled with its title. Offeror shall sign the first two pages of SF 1442.

b. Typing should be single spaced. Each paragraph shall be separated by at least one (1) blank line. A standard, 12-point minimum font size applies. Arial or New Times Roman fonts are required. Tables and illustrations may use a reduced font size no less than 8-point and may be landscape.

VOLUME II – Past Performance

This volume contains past performance information regarding similar contracts. This volume shall not exceed twenty five (25) pages, excluding the Past Performance Questionnaire Forms.

Offerors are to submit a minimum of three (3) no more than five (5) projects awarded or performed during the past ten (10) years, from the issue date of the solicitation; which are relevant to the efforts required. Data concerning the Offeror shall be provided first, followed by each proposed major subcontractor, as indicated within the organizational chart, in alphabetical order. The Offeror shall also submit the written consent of its major subcontractors to allow the disclosure of its subcontractor’s past performance information to the Offeror.

No past performance information should be contained in any other volume of this proposal

Section 1: Past Performance Questionnaire

The Offeror may submit up to five (5) Past Performance Questionnaire (PPQ) Forms which shall identify if the contract is active or complete; if the contract was for the Government (Federal, state, local, etc.) or commercial; and if the Offeror was the prime contractor, a teaming partner, and/or joint venture. Clearly link the past performance information to the Technical Approach component/elements stated in the solicitation.

Additionally, as applicable, Offerors are to include a discussion of efforts to resolve problems encountered as well as efforts to identify and manage project risk. Where problems existed, clearly demonstrate management actions employed in overcoming these problems and the effects of those actions, in terms of improvements achieved or problems rectified. Contracts shall be at least six (6) months old to be considered.

Contracts with expiration dates prior to ten (10) years ago shall not be considered.

In addition to the above, the Government may review any other sources of information for evaluating past performance. Other sources may include, but are not limited to, the Government-wide Past Performance Information Application using all CAGE/DUNS numbers of team members (partnership, joint venture, teaming arrangement, or parent company/subsidiary/affiliate) identified in the Offeror’s proposal; inquiries of owner representative(s); Electronic Subcontract Reporting System (eSRS); and any other known sources not provided by the Offeror. While the Government may elect to consider data from other sources, the burden of providing detailed, current, accurate and complete past performance information rests with the Offeror.

If applicable, include information on organization structure change history or a joint venture resulting in a different company name. Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant past efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition.

VOLUME III – Price:

This volume consists of all information required to support the offered price on Task Order 0001. Pricing information should not be contained in any other volume of this proposal.

The Schedule of Prices must be completed and returned. Failure to provide will result in your proposal not being considered for award.

VOLUME IV – Solicitations, Offer and Award Documents and Certifications / Representations / Bid Guarantee

The volume consists of Standard Form 1442 Solicitation, Offer and Award and all amendments, representations, certification and Other Statements of Offerors and Bid Guarantee.

In accordance with FAR 15.306(d), discussion sessions with each Offeror may be held. Should discussions take place, all Offerors in the competitive range will be allowed a minimum of seven

(7) calendar days to submit Final Proposal Revisions.

If discussions are conducted, the Contracting Officer will schedule the discussion sessions, and each Offeror will be notified of the time and place at least three (3) business days prior to their discussion session. The discussion sessions will take place by the method of the Government’s choosing and provided to the contractor in writing.

Section 00100 - Bidding Schedule/Instructions to Bidders

52.204-7 SYSTEM FOR AWARD MANAGEMENT (OCT 2018)

(a) Definitions. As used in this provision--

Electronic Funds Transfer (EFT) indicator means a four-character suffix to the unique entity identifier. The suffix is assigned at the discretion of the commercial, nonprofit, or Government entity to establish additional System for Award Management records for identifying alternative EFT accounts (see subpart 32.11) for the same entity.

Registered in the System for Award Management (SAM) means that--

(1) The Offeror has entered all mandatory information, including the unique entity identifier and the EFT indicator, if applicable, the Commercial and Government Entity (CAGE) code, as well as data required by the Federal Funding Accountability and Transparency Act of 2006 (see subpart 4.14) into SAM;

(2) The offeror has completed the Core, Assertions, and Representations and Certifications, and Points of Contact sections of the registration in SAM;

(3) The Government has validated all mandatory data fields, to include validation of the Taxpayer Identification Number (TIN) with the Internal Revenue Service (IRS). The offeror will be required to provide consent for TIN validation to the Government as a part of the SAM registration process; and

(4) The Government has marked the record ``Active''.

Unique entity identifier means a number or other identifier used to identify a specific commercial, nonprofit, or Government entity. See www.sam.gov for the designated entity for establishing unique entity identifiers.

(b)(1) An Offeror is required to be registered in SAM when submitting an offer or quotation, and shall continue to be registered until time of award, during performance, and through final payment of any contract, basic agreement, basic ordering agreement, or blanket purchasing agreement resulting from this solicitation.

(2) The Offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation ``Unique Entity Identifier'' followed by the unique entity identifier that identifies the Offeror's name and address exactly as stated in the offer. (a) Definition. As used in this provision--

Commercial and Government Entity (CAGE) code means—

(1) An identifier assigned to entities located in the United States or its outlying areas by the Defense Logistics Agency (DLA) Commercial and Government Entity (CAGE) Branch to identify a commercial or government entity;

or

(2) An identifier assigned by a member of the North Atlantic Treaty Organization (NATO) or by the NATO Support and Procurement Agency (NSPA) to entities located outside the United States and its outlying areas that the DLA Commercial and Government Entity (CAGE) Branch records and maintains in the CAGE master file.
