Section A - Solicitation/Contract Form

EXECUTIVE SUMMARY

A.1 Objective. The objective of the Quality Assurance (QA) Seeding Multiple Award Task Order Contract (MATOC) is to procure services to provide third party blind validation seeding and Advanced Geophysical Classification (AGC) data collection & processing. This contract will allow continued mission support for services to address munitions response concerns assigned to U.S. Army Corps of Engineers (USACE). This work may occur at sites located throughout the United States, U.S. Territories, U.S. Territorial waters and Outlying areas as defined by Federal Acquisition Regulation (FAR) 2.101.

The North American Industry Classification System (NAICS) code for this acquisition is 562910

– Environmental Remediation Services with a small business threshold of 750 employees. The applicable Product Service Code (PCS) for this acquisition is F108 – Hazardous Substance Removal, Cleanup, and Disposal Services and Operational Support).

USACE and Department of Defense (DoD) developed the munitions response classification process to improve the efficiency of cleaning up munitions and to focus resources on potential explosives safety risks at MRSs. To ensure data quality, DoD established the DoD advanced Geophysical Classification Accreditation Program (DAGCAP) to accredit organizations that use AGC at MRSs. DoD also established the Advanced Geophysical Classification Quality Assurance Project Planning (AGC-QAPP) template to assist with consistent project planning incorporating the appropriate focus on quality. As part of the increased focus on quality, USACE will require Contractor support services to perform the full scope of Quality Control (QC) and QA fieldwork and data audits.

In order to alleviate conflicts of interest associated with the primary remediation Task Order (TO) and the QA Seeding TO, the following barriers for competition will be maintained. A Contractor that has been awarded a Prime Contract, or is supporting the Prime Contractor as a Sub-contractor, for a given project site, installation, Munitions Response Area (MRA) and/or MRS shall not be eligible to submit a TO proposal in support of that project under this MATOC.

In addition, any Contractor personnel who are associated with the remediation or “primary” TO may not work on the QA Seeding Task Order project in any capacity. The intent of this QA Seeding MATOC is to have a second Contractor, who is completely fenced off from the primary contractor, perform the required QA Seeding to ensure secure firewalls are maintained for blind seeding.

The Contractor shall be responsible for acquiring the latest version of applicable laws, regulations and regulatory agency guidance and the referenced documents cited within the solicitation and/or subsequent TO issued after award of this MATOC, unless otherwise specified.

A.2 Contract Award. This is a “Best Value” solicitation. In accordance with (IAW) Federal Acquisition Regulation (FAR) 52.215-1, it is the intention of CEHNC to award an Unrestricted MATOC Indefinite Delivery/Indefinite Quantity (IDIQ) Firm Fixed Price (FFP) contract or contracts resulting from the solicitation to the responsible offeror(s) whose proposal(s) represents the best value after evaluation in accordance with the factors and subfactors in this solicitation.

The Government intends to award a MATOC with a target of seven contracts.

The Government intends to award contracts with appropriate consideration given to the following four evaluation factors:

Evaluations Factors

Factor Description Importance of Factor

Factor 1 Technical and Management

Approach Most Important

Factor 2 Past Performance Less important than Factor 1.

More important than Factor 3 and 4.

Factor 3 Price Less important than Factor 1 and 2.

More important than Factor 4.

Factor 4 Small Business Participation

Least Important

To receive consideration for award, a rating of no less than "Acceptable" must be achieved for Factor 1, Technical and Management Approach; and Factor 4, Small Business Participation.

Offerors must achieve no less than “Satisfactory Confidence” or “Neutral Confidence” for Factor 2 Past Performance. For Factor 3, Price, proposed prices and information in Factor 3 must be fair and reasonable to be considered for award. The Government reserves the right to accept other than the lowest priced offers, or to reject all offers.

A.3 Contract Type. QA Seeding will be procured as an Unrestricted Multiple Award Task Order (MATOC) Indefinite Delivery Indefinite Quantity (IDIQ) contract pursuant to FAR 16.504. The MATOC will be Firm Fixed Price (FFP). The subsequent contracts will each include the necessary clauses, terms, conditions, instructions, and references to this base contract.

A.4 Contract Term. Contracts will have an ordering period of a 24-month base period with three 12-month option period for a total of 60-months, if the options are exercised. The base awards will include Federal Acquisition Regulation (FAR) 52.217-8, Option to Extend Services and FAR 52.217-9, Option to Extend the Term of the Contract which will be evaluated prior to Task Order award. There is no guarantee that the option will be exercised on any or all of the awarded contracts.

A.5 Contract Ordering. Task orders will be awarded against the base MATOC/IDIQ contracts using the fair opportunity procedures pursuant to FAR PART 16.5 and in accordance with the instructions listed in Section H.2, Method of Ordering. The Government is under no obligation to issue any orders against this contract in excess of the minimum guarantee contract obligation of $3000. The only authorized ordering office is the U.S. Army Engineering and Support Center, Huntsville, Alabama. Other agencies may be delegated this authority, in which case, an advance written notice will be given to the contractor. In addition to, or in lieu of mailing an order, the Contracting Officer may issue an order orally, by facsimile or by electronic commerce methods, at his / her discretion.

A.6 Contract Capacity. The estimated maximum contract shared capacity is $49M over a period of 60 months (if the option is exercised) for this acquisition. The expected average size of each TO is approximately $500,000. The Contracting Officer will ensure price is evaluated at the base contract level. Values provided under the Contract Line Item Numbers (CLINs) represent the estimated capacity only and the Government reserves the right to move capacity between CLINs and performance periods as necessary.

A.7 Wage Determinations. Wage Determinations for the geographic area where the awarded work is to be performed will be incorporated by reference in individual task order. A copy of the determination is available at www.wdol.gov. The labor rates in effect at the time a task order is awarded will remain in effect through completion of the project, unless modified due to an increase in the Department of Labor wage rates.

A.8 Minimum Guarantee. The minimum guarantee order for each awardee shall be $3000 for the life of the contract. The minimum guarantee may be met by awarding a TO or multiple task orders, the sum of which is at least $3000, at any time during the base period or option years.

A.9 Proposal Due Date. Proposals are due January 21, 2021 at 9:00AM Central Standard Time.

PERFORMANCE WORK STATEMENT

THIRD PARTY BLIND VALIDATION SEEDING AND ADVANCED GEOPHYSICAL

CLASSIFICATION DATA COLLECTION AND PROCESSING SUPPORT TO

U.S. ARMY CORPS OF ENGINEERS

MULTIPLE AWARD TASK ORDER CONTRACT (MATOC)

PART 1

1.0 Introduction: This is a non-personal services regional MATOC acquisition utilizing performance-based task orders to provide Third Party Blind Validation Seeding and Advanced Geophysical Classification (AGC) Data Collection and Processing. The task orders under this solicitation will be Indefinite Delivery/Indefinite Quantity (IDIQ) contracts for Environmental Services in support of the U.S. Army Corps of Engineers (USACE) Divisions and Districts and their customers. This work may occur at sites located throughout the United States, U.S.

Territories, U.S Territorial waters and Outlying areas as defined by FAR 2.101. The contracts awarded will include performance based, firm-fixed price features for a wide range of environmental services at various known or suspected Military Munitions Response Sites (MRS) and Hazardous and Toxic Waste (HTW) sites. The contractor shall provide all personnel, equipment, supplies, facilities, transportation, tools, materials, supervision, and other items and non-personal services necessary to perform services identified in this Performance Work Statement (PWS) except for those items specified as Government furnished property and services. The contractor shall perform to the standards in this contract.

In order to be eligible to propose, the Contractor, or Subcontractor in charge of performing the work, must be accredited in accordance with the Department of Defense (DoD) Advanced Geophysical Classification Accreditation Program (DAGCAP). DAGCAP accreditation and AGC requirements shall be in compliance with the Office of the Secretary of Defense (OSD) Policy Memo dated 11 April 2016 and the Formerly Used Defense Sites (FUDS) AGC Policy Memo dated 6 January 2017.

Work shall be executed under performance-based task orders using performance work statements (PWS). A PWS structures all aspects of the task order around the purpose of the work to be performed and does not dictate how the work is to be accomplished. It is written to ensure that contractors are given the freedom to determine how to meet the Government's performance objectives. It maximizes contractor control of work processes and allows for innovation in approaching various work requirements. A PWS will emphasize performance that can be contractually defined so that the results of the contractor's effort can be measured in terms of technical and quality achievement, schedule progress, or cost performance. The goal of Performance Based Contracting (PBC) is to:

Save money by reducing contract costs through the elimination of unnecessary effort, innovation by the contractor, and by reducing Government surveillance.

Enable Government to shift its emphasis from processes to outputs.

Hold contractors accountable for the end results while ensuring that contractors are given the freedom to determine how to meet Government's performance objectives.

Information provided by USACE on any site will be dependent on the current status of the site.

Each task order will define the requirements for the contractor. The description of work stated herein provides a general understanding of the contractor functions to be performed. Individual task orders will contain the specific requirements.

Task Orders issued under this awarded contract will not include work that conflicts with the provisions of the Sikes Act or DoD Instruction 4715.03 or any existing cooperative agreements with agencies of individual State governments.

1.1 Background: U.S. Army Corps of Engineers (USACE) and DoD developed the munitions response classification process to improve the efficiency of cleaning up munitions and to focus resources on potential explosives safety risks at MRSs. To ensure data quality, DoD established the DoD Advanced Geophysical Classification Accreditation Program to accredit organizations that use AGC at MRSs. DoD also established the Advanced Geophysical Classification Quality Assurance Project Planning (AGC-QAPP) template to assist with consistent project planning incorporating the appropriate focus on quality. As part of the increased focus on quality, USACE may not be able to provide sufficient Government personnel or resources to perform the full scope of Quality Control (QC) and Quality Assurance (QA) fieldwork and data audits. Due to the nature of the planned geophysical investigations, this work falls under the DAGCAP accreditation requirements; as such, all contractors must be DAGCAP Accredited.

1.2 Description of Services and Introduction: In general, each task order awarded under this MATOC shall support USACE with AGC quality control (QC) and assurance (QA) activities on an existing, or previously awarded, Munitions and Explosives of Concern (MEC) remedial investigations, removal and/or remedial actions contracts, task orders or delivery orders.

In order to alleviate conflicts of interest associated with the primary remediation Task Order and the QA Seeding Task Order, the following barriers for competition will be maintained. A Contractor that has been awarded a Prime Contract, or is supporting the Prime Contractor as a Sub-contractor, for a given project site, installation, Munitions Response Area (MRA) and/or Munitions Response Site (MRS) shall not be eligible to submit a task order proposal in support of that project under this MATOC. In addition, any Contractor personnel who are associated with the remediation or “primary” Task Order may not work on the QA Seeding Task Order project in any capacity. The intent of this QA Seeding MATOC is to have a second Contractor, who is completely fenced off from the primary contractor, perform the required QA Seeding to ensure secure firewalls are maintained for blind seeding.

The Contractor shall be responsible for acquiring the latest version of applicable laws, regulations and regulatory agency guidance and the referenced documents cited within this section of the solicitation and/or subsequent task orders issued after award of this MATOC, unless otherwise specified. The Contractor shall comply with FAR Subpart 22.10 when performing services in the United States as defined in FAR 22.1001.

1.3 Task Order Objective and Scope: The contractor shall provide the DoD with the resources necessary to adequately perform a variety of QC/QA duties in support of project execution and geophysical activities.

Various types of field and office activities may be required. All work shall be performed in accordance with any and all applicable rules, regulations, and guidelines. Any and all guidance identified within each specific task order shall be followed. Typical task order examples may include (in no particular order) the following; however, this list is not intended to be all inclusive:

Standard Operating Procedure (SOP) Development Work Plan, UFP/AGC-QAPP, and other Planning Documents Development Standard Environmental and/or Geophysical Reports Professional Surveying Other standard Military Munitions Response Program (MMRP) Document Preparation Procurement of Industry Standard Objects (ISO) Seeds Geophysical and Geospatial Equipment Rental or Supply UXO Technician Support (primarily for anomaly avoidance and escort roles and responsibilities) Geophysicist Support Intrusive Investigations (primarily as part of QC/QA) Field Personnel Support Field Vehicles Support Biological Escort Archaeological Escort AGC Data Collection and Processing DoD or Site-Specific Target of Interest (TOI) Library Modifications Establishment of an Instrument Verification Strip (IVS) Establishment of one or more Control Points

During execution of fieldwork the contractor shall provide USACE various information and data deliverables may include (in no particular order) the following; however, this list is not intended to be all inclusive:

Logbook information Shape Files ArcMap compatible products Portable Document Format files (PDF) Microsoft Office Suite product files Native geophysical instrumentation and processing files

1.4 Period of Performance: The MATOC period of performance will be a two (2) year base period with three (3) twelve month option periods. Total length of the contract, including the option periods, will not exceed five (5) years from date of contract award.

1.5 Contract Capacity: The shared contract capacity for all MATOCs combined including all subsequent task orders issued shall not exceed $49,000,000.00. Any U.S. Army Corps of Engineers District or Center wishing to use this contract will request the needed contract capacity from the U.S. Army Engineering and Support Center, Huntsville Contracting Officer through a Transfer of Contract Capacity Agreement (TCCA) which will be signed by both the Directors/Chiefs of Contracting. The U.S. Army Engineering and Support Center, Huntsville, will award the base contract(s). However, individual task order requests for proposals may be issued, received, negotiated, awarded, administered, and closed out by the individual cognizant districts/centers that are granted use of this MATOC. If the Contractor is unsure of the authority granted to another district/center, the Contractor should request verification of such authority to order off these MATOCs through the U.S. Army Engineering and Support Center, Huntsville Contracting Officer.

1.5.1 Place of Performance: This work may occur at sites located throughout the United States, U.S. Territories, U.S Territorial waters and Outlying areas as defined by FAR 2.101.

1.5.2 Type of Contract: This MATOC is Firm Fixed-Price (FFP). FFP project specific task orders will be issued under the basic contract and for the option period. Exercising the option period is at the Government's discretion.

1.5.3 Hours of Operation: The Contractor shall not be responsible for conducting business when the Government facility is closed due to local or national emergencies, administrative closings, or similar Government directed facility closings. The Contractor must at all times maintain an adequate workforce for the uninterrupted performance of all tasks defined within this PWS when the Government facility is not closed for the above reasons. When hiring personnel, the contractor shall keep in mind that the stability and continuity of the workforce are essential.

1.5.4 Recognized Holidays: The following holidays are recognized as Federal holidays and Government offices will not be open.

New Year's Day Labor Day Martin Luther King Jr.'s Birthday Columbus Day President's Day Veteran's Day Memorial Day Thanksgiving Day Independence Day Christmas Day

1.6 General: The Contractor, operating as an independent Contractor and not as an agent of the Government, shall provide all labor, materials, facilities, transportation and equipment to perform all work identified in each individual task order. The Contractor may be required to perform work under multiple task orders at different sites simultaneously. The Contractor shall be cognizant of all appropriate laws, regulations, and guidance. The Contractor shall ensure that all work activities performed by his personnel, subcontractors and suppliers are executed as required by these laws and regulations. Any incident of noncompliance noted by the Contractor shall immediately be brought to the attention of the Contracting Officer (KO) and/or the

Contracting Officer's Representative (COR) by written notice. Nothing in this contract shall relieve the Contractor of the responsibility to comply with these laws and regulations. Any conflicts between laws/regulations and contract/task order requirements shall be brought to the attention of the KO and/or COR.

1.7 Performance-Based Task Orders/Contracts: Performance-based service tasks orders/contracts:

Describe the requirements in terms of results required rather than methods of performing the work;

Use measurable performance standards (e.g., terms of quality, timeliness, quantity, etc.);

Specify procedures for reductions in fee and/or price for deficient services; and Include performance incentives/disincentives where appropriate.

Performance-based contract methods are intended to ensure that required performance quality levels are achieved and that the Government's total payment is commensurate with the quantity and quality of services received. Performance-based task orders with a task order specific Quality Assurance Surveillance Plan (QASP) will be issued in accordance with (IAW) Federal Acquisition Regulation (FAR) 37.102.

1.18 Ordering:

1.18.1 Services for each task order may be requested either verbally or in writing, including requests made via e- mail or telecommunication. Inquiries for expressions of interest regarding Task Order Requests for Proposals will be issued by the Contracting Officer or authorized representative(s). Any type of request for proposal shall not be interpreted as a Notice to Proceed with the work.

1.18.2 The Government's Request for Proposals for individual task orders will delineate (1) general scope work; (2) location of work; (3) character and extent of services; (4) technical requirements which supplement or complement those contained in this section of this basic contract; and (5) time period(s) within which the work must be performed.

1.18.3 The Contractor will be requested to simply respond "yes" or "no" regarding potential interest in proposing on the Task Order Request for Proposal. If more than one Contractor responds "yes" to performing the requirement, a determination of whether and how to compete the Task Order between the responding Contractors will be made by the Contracting Officer, as further detailed in the following subparagraphs. If all Contractors respond "no," the Contracting Officer may select a Contractor based on price and non-price related factors.

1.18.4 The Contracting Officer may make his/her determination regarding which Contractors are best suited for task order award based on the complexity, Contractors' skills base, past performance, and necessity and flexibility for fulfillment of guaranteed minimum amounts and ability to meet scheduled fieldwork timeframe. The Contracting Officer need not contact each Contractor before selecting an awardee for an individual task order if the Contracting Officer has sufficient information available to ensure fair consideration and best value to the Government.

Accordingly, the Contracting Officer may make a task order award to a particular Contractor without further competition. Notwithstanding the foregoing, all Contractors will be given a fair opportunity to be considered for each task order in excess of $3,000.00 (per FAR 16.505).

1.18.5 In making selection of the awardee to receive a specific Task Order, the Contracting Officer will consider both 1) price; and 2) at least one non-price related factor which will be specific in the Task Order Request for Proposals. It is expected on many task orders, the ability to meet tight scheduling windows will be emphasized above all other factors. The Contracting Officer may request additional information, including technical and price proposals, to assist in making the determination of the awardee. The exception to this procedure will be for task orders issued under $3,000.00.

1.18.6 If necessary, discussions regarding task order requirements may be held between prospective task order awardee(s) and the Contractor and the Contracting Officer's representatives to develop a mutual understanding of:

Type and scope of work to be accomplished, including accuracy criteria.

End product required by the Contracting Officer.

Existing site conditions, survey control, and other available data.

Schedule expectations in regards to field work.

A fair and reasonable estimated cost to perform the work.

1.18.7 Time periods within which required work must be accomplished will be defined in each task order placed against the basic contract. Each task order will contain the agreed to scope of work / performance work statement, type(s) of services(s) to be performed, specific deliverable items, and the negotiated fixed price cost for performing the work.

1.18.8 To change task order requirements, a modification may be issued at any time prior to final payment of the task order by the Government. No changes or corrections to a Task Order will be affected, or accepted by the Government, without the Contracting Officer's issuance of a written modification to the Task Order. The Contractor is not to assume any adjustments to the Task Order in any form, until or unless a modification is issued.

1.18.9 In the event an awardee loses their accreditation during the period of performance, the Government will not be liable for any costs associated with inability to perform the work. The Contracting Officer will not consider that particular awardee for task orders until accreditation is reacquired.

OSHA standards are subject to change. It is the Contractor's responsibility to maintain familiarity with current OSHA standards.

1.19.2 Zero Accident Program: The U.S. Army Corps of Engineers, Engineering and Support Center Huntsville (CEHNC), in its continual pursuit of excellence in safety has established a goal of zero contractor injuries. To attain this goal it will be necessary for the contractor management personnel to communicate to the workers an expectation of zero injuries; that it is no longer acceptable to take chances; that shortcuts taken because of laziness or even while trying to do an efficient job are no longer welcomed; that praise for shortcuts or chance-taking will not exist. It is imperative that contractor management clearly sets forth the expectation for zero injuries so that the workers can begin to believe that the company is truly serious about safety. From the standpoint of worker psychology, zero is the only supportable goal. In attaining zero-injury performance, there is no substitute for the concept of setting and communicating safety performance expectations to the workers.

1.19.3 Safety and Health Program (SHP): The Contractor performing task order requirements is required by regulation to develop and maintain a written safety and health program in compliance with the requirements of Occupational Safety and Health Administration (OSHA) standard 29 CFR 1920.120 (b), 29 CFR 1926.65(b). Existing written safety and health programs are acceptable if they are modified to cover the criteria found in EM 385-1-1 and EM 385-1-97, latest versions.

1.19.4 Site Safety and Health Plan (SSHP): The SSHP shall describe the safety and health procedures, practices, and equipment to be implemented and utilized in order to protect affected personnel from the potential hazards associated with the site-specific tasks to be performed. The level of detail provided in the SSHP shall be tailored to the type of work, complexity of operations to be accomplished, and the hazards anticipated. In all cases, however, all topics required by OSHA Standard, 29 CFR 1910.120 (b) (4), 29 CFR 1926.65(b)(4), and those elements listed and described in ER 385-1-92 shall be addressed in the SSHP on a site-specific basis. The SSHP must be approved by the Government before work begins. A Site Safety and Health Plan (SSHP) shall be included in the APP as an Attachment. No work shall be undertaken at any project site by a Contractor without an accepted APP/SSHP work plan. The Government reserves the right to stop work under this contract for any safety and health violations, deficiencies or failures to follow related rules and regulations at no additional cost to the Government. The Government will verify that the Contractor has implemented corrective action before allowing continued performance under the contract.

1.20 Government Furnished Property:

1.20.1 Government Property is not anticipated to be provided for this acquisition. If, at any time it is in the Government's best interest to provide property for contractor use it will be addressed on the individual Task Orders under this MATOC and approved to do so IAW FAR 45.102 and DFARS PGI 245.103-70, and managed IAW FAR and DFARS clauses.

1.21 Data Item Descriptions: DIDs are mandatory at the task order. In the event of conflict in timelines from the Data Item Descriptions (DID) and the Table for Period of Contract Schedule in each task order, the Contractor shall notify the COR, PM and the Military Munitions Design Center (MM DC) technical lead for resolution and directed path forward. Regulations and DIDs regularly undergo changes, revisions, upgrading and, on occasions, are superseded by newer regulations and DIDs. It is the responsibility of the contractor to be current, familiar, and cognizant of any changes, revisions, etc., to any regulations and DIDs during the life of this contract. The following Data Item Descriptions are part of this Contract. It is up to the Contractor to verify the DIDs in use at the time of task order award.
