SUMMARY OF CHANGES

SECTION A - SOLICITATION/CONTRACT FORM

The number of offeror copies required has increased by 1 from 2 to 3.

The following have been modified:

SECTION A - SOLICITATION/CONTR

EXECUTIVE SUMMARY

A.1 Objective. The contractor shall provide all personnel, equipment, tools, materials, supervision, and non-personal services necessary to perform the procurement and installation of Utility Monitoring and Control Systems (UMCS) and similar services such as Heating, Ventilating, and Air Conditioning (HVAC) Systems to include chiller/boiler systems installation and/or integration; Building Automation Systems (BAS); Supervisory Control and Data Acquisition (SCADA) Systems, and other Automated Control Systems including Fire Alarm Safety (FAS) systems, chemical / biological / radiological contaminant detection / filtration / response, utilities (electric/gas/water/steam) metering; Electronic Security Systems (ESS); and security and/or force protection measures such as, but not limited to, barriers, fencing, gates, window treatments, hardening, and lighting worldwide.

These services include those actions required to preserve and maintain the systems in such a condition that they may be effectively used for their designated functional purpose. The North American Industry Classification System (NAICS) code for these services is 541512, Computer Systems Design Services. This acquisition may require the handling and generation of classified information. Providing these services may call for extensive domestic and foreign travel. Personnel must be able to obtain necessary security clearances and visas/passports, as needed. These UMCS services are required to support Department of Defense (DoD) installations or other Government facilities throughout the Continental United States, Alaska, Hawaii, and US Territories and possessions, as well as Afghanistan, Belgium, Germany, Italy, Iraq, Japan, Kuwait, Malaysia, Poland, Qatar, Romania, South Korea, and United Kingdom where controls systems are installed. The requirements for performing work in other countries not already listed may be added at the TO level as the need arises.

A.2 Contract Type. The U.S. Army Engineering and Support Center, Huntsville (CEHNC) intends to award Multiple Indefinite Delivery/Indefinite Quantity (ID/IQ) type contracts to both large and small businesses. The Government intends to award a contract or contracts resulting from this solicitation to all qualifying offerors as stated in Class Deviation 2018-O0006. This requirement will be competed on an unrestricted basis and will result in Multiple Award Task Order Contract (MATOCs). The total programmatic capacity for the MATOC is $2.1 Billion for services and ancillary construction and supply elements. Individual capacities will not be assigned to each contract. Under this MATOC, task orders will be awarded as Firm Fixed Price (FFP).

A.3 Contract Term. This MATOC will have a base ordering period of forty-eight (48) months with three (3) twelve (12) month option periods. There is no guarantee that the option will be exercised on the awarded contract.

The below table reflects an ESTIMATED period of performance. The period of performance shall be set at time of the award.

Estimated Contract Period Start End Base Period 15 April 2020 14 April 2024 Option Year 1 15 April 2024 14 April 2025 Option Year 2 15 April 2025 14 April 2026 Option Year 3 15 April 2026 14 April 2027

The Government may extend the ordering period in accordance with terms in FAR 52.217-8, Option to Extend Services. The evaluated rates in effect during the last exercised option period will remain in effect during any extensions executed under the stated clauses; not to exceed six months.

The Government may extend the term of the contract in FAR 52.217-9, Option to Extend the Term of the Contract.

The Government shall provide a written notice to the Contractor within 30 calendar days before the expiration of the contract; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.

The Government reserves the right to make staggered awards. Later awarded contracts will have an initial period of performance that will be less than the full three year base period in duration and will end on the same date as all other contractors which receive a basic MATOC award. Option periods will be the same for all awardees. If determined to be in the Government’s interest to hold discussions, discussions may be held with offerors remaining in the competitive rage after initial awards have been made to some offerors.

A.4 Contract Ordering. Task orders will be awarded against the base MATOC/IDIQ contracts using the fair opportunity procedures pursuant to FAR PART 16.5 and in accordance with the instructions listed in Section H.3, Method of Ordering. The Government is under no obligation to issue any orders against this contract in excess of the minimum contract obligation of $2,000.00. The only authorized ordering office is the U.S. Army Engineering and Support Center, Huntsville, Alabama. Other agencies may be delegated this authority, in which case, an advance written notice will be given to the contractor. In addition to, or in lieu of mailing an order, the Contracting Officer may issue an order orally, by facsimile or by electronic commerce methods, at his / her discretion.

A.5 Contract Capacity. The estimated maximum contract capacity is $2,100,000,000.00 over a period of seven years (if all options are exercised) for this acquisition. The Contracting Officer will ensure price is evaluated at the task order level. Values provided under the Contract Line Item Numbers represent the estimated capacity only and the Government reserves the right to move capacity between CLINs and performance periods as necessary.

A.6 Wage Determinations. Approximately 90% of the individual task orders to be issued under this contract are for services as defined by FAR 37.101 and are subject to the Service Contract Act (See FAR 52.222-41). In the event that individual service task orders contain more than incidental, segregable construction effort, the Construction Wage Rate (See FAR 52.222-6) will apply to the construction portion in accordance with FAR 22.402.

Approximately 10% of the individual task orders to be issued under this contract will include construction as defined by FAR 36 and are subject to the Construction Wage Rate. Individual task orders will identify the work to be performed therein as either “service” (subject to Service Contract Act) or “construction” (subject to Construction Wage Rate provisions). Wage Decisions/Determinations for the geographic area where the awarded work is to be performed will be incorporated by reference in the individual task order. Also, Defense Base Act (DBA) insurance requirements will be included in task orders performed overseas, when required. A copy of the decision/determination is available at www.wdol.gov. The labor rates in effect at the time a task order is awarded will remain in effect through completion of the project, unless modified in accordance with Department of Labor regulations.

A.7 Small Business Set-Aside. This contract has an unrestricted suite and a small business reserve. Task orders under this MATOC will be set aside for the small business qualifying offerors in accordance with FAR 19.502-2. A Decision Matrix will be used, as a tool, under this MATOC to determine which task orders will be reserved for the small business concerns or competed among all MATOC holders. The decision matrix will consider complexity, size, risk, and any special circumstances (e.g. limited timeframe to do the work or to quickly mobilize). Size, to include dollar amount, alone is not a practical determination, as some projects that are large in size may not be technically complex, and may be considered more suitable for Small Businesses.

A.8 Minimum Guarantee. The minimum guarantee order for each awardee shall be $2,000.00 for the life of the contract. The minimum guarantee may be met by awarding a task order or multiple task orders, the sum of which is at least $2,000, at any time during the base period or option years.

A.9 Contract On-Ramps/Off-Ramps. In an effort to increase competition, the CEHNC Contracting Officer may evaluate the market every 12 - 18 months throughout the life of the MATOC to determine if it is in the Government’s best interest to open a contract “On-Ramp” or “Off-Ramp”. During a contract “On-Ramp” the

Government will accept and evaluate new proposals with the intention of adding additional contractors to the MATOC pool, to refresh the pool’s competition. These proposals shall be subject to the same proposal instructions and evaluation procedures as contained in the original solicitation. During a contract “Off-Ramp”, the Contracting Officer may not exercise an option. The file should be documented to show the Contracting Officer decision not to exercise an option. Alternatively, Contractors can request to be placed in a dormant status if they are knowingly unable to propose for a period of time. A contractor who is in dormant status cannot be “Off-Ramped”.

Dormant Status. Due to extenuating circumstances (not related to performance), contractors that do not propose can request to be placed in a dormant status. Contractors in dormant status cannot compete in new task order solicitations; however, they may continue to work on awarded task orders. Dormant status is granted for a defined finite time period, after which it will lift and the contractor will be expected to compete.

Competition for inclusion in the MATOC pool will be sought, promoted, and sustained by querying the System of Award Management (SAM), synopsizing proposed actions, and posting the solicitation in the Government-wide point of entry website (FedBizOpps).

A.10 Outside the Contiguous United States Task Orders. For any work outside the contiguous United States location, the contractor will be required to submit documentation demonstrating compliance with the outside contiguous United States clauses and host-nation laws referenced in this contract with proposal submissions for task orders. Special instructions for contracting outside contiguous United States locations are included in Section H.

Additional clauses applicable to each outside contiguous United States location will be included as required per task order.

A.11 Defense Base Act Insurance (DBA). For locations that may fall outside the United States and its territories after identified by customer and the Contracting Officer has made a scope determination, the contractor will be required to acquire DBA insurance as applicable and provide policy documentation that pertains to such coverage for locations that fall outside of the United States and its territories. Subsequent task orders shall include the requirement for DBA insurance as applicable, and in accordance with FAR 52.228-3, DBA must flow-down to all subcontracts to which DBA applies. The contractor procuring DBA insurance for this contract shall purchase such insurance through the DOL, www.dol.gov/owcp/dlhwc/lscarrier.htm unless otherwise specified in accordance with FAR 28.305(b) order.

A.12 Questions. All questions must be submitted in writing no later than 1400 Central Standard Time (CST) on 22 July 2019 and sent to www.projnet.org/projnet. Key Number: J54ZDA-GXMNBM

A.13 Proposal Due Date. Proposal submission shall arrive no later than Friday, 16 August 2019 at 1400 CST.
