52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (OCT 2015)

(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF 1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.

(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--

(1) The solicitation number;

(2) The time specified in the solicitation for receipt of offers;

(3) The name, address, and telephone number of the offeror;

(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;

(5) Terms of any express warranty;

(6) Price and any discount terms;

(7) "Remit to" address, if different than mailing address;

(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);

(9) Acknowledgment of Solicitation Amendments;

(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and

(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.

(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.

(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.

(e) Removed.

(f) Late submissions, modifications, revisions, and withdrawals of offers:

(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.

(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--

(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or

(C) If this solicitation is a request for proposals, it was the only proposal received.

(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.

(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.

(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers. Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.

(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.

(h) Removed.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

1. Technical Approach

2. Past Performance

3. Small Business Participation Plan

4. Price Proposal

5.

(Contracting Officer shall insert the significant evaluation factors, such as (i) technical capability of the item offered to meet the Government requirement; (ii) price; (iii) past performance (see FAR 15.304); and include them in the relative order of importance of the evaluation factors, such as in descending order of importance.)

Technical and past performance, when combined, are significantly more important than cost or price. All non-price factors when combined are significantly more important than price.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

(End of provision)

ADDENDUM TO FAR PROVISION 52.212-2

EVALUATION FACTORS FOR RFP W912DY-16-R-0025

The Government intends to evaluate proposals in accordance with the criteria described within the solicitation. The Government reserves the right to accept other than the lowest priced offer or to reject all offers. The Government will not award a contract to a firm whose proposal contains a deficiency, as defined in FAR 15.001. If there is a lower priced, conforming offer(s), the Source Selection Authority (SSA) must determine if a higher priced offer’s technical superiority would justify award to that offeror. This order will be awarded to the offeror whose proposal represents the best value to the Government. The following evaluation factors will be used:

1. Technical Approach (to provide scheduled maintenance and minor repairs)

2. Past Performance

3. Small Business Participation Plan

4. Price Proposal

The adjectival rating scale to be applied for Factor 1 is outstanding, good, acceptable, or unacceptable (based on identified strengths, weaknesses, and deficiencies). Factor (2) rating assignments will be as follows: High Confidence, Satisfactory Confidence, Low Confidence or Unknown/Neutral Confidence. Factor (3) will be assigned a rating of Acceptable or Unacceptable. Factor (4) will not be assigned a rating but the Government will evaluate all aspects of the price proposal for fairness, reasonableness, and realism. Offers found to be unreasonably high or unrealistically low may be considered unacceptable and may be rejected on that basis. The proposed prices in Factor 4, Price, will be evaluated to assure that the final agreed to price is fair and reasonable in accordance with FAR 15.404-1(b) and FAR 15.404-1(c). The only basis for evaluation is price reasonableness. In accordance with FAR 15.306, the Government intends to make an award without discussions, however, the Government reserves the right to hold discussions if necessary.

To receive consideration for award, offers must receive (at minimum): a rating of acceptable on Factor 1, Technical Capability; a rating of “Satisfactory Confidence” or “Unknown Confidence” for Factor 2, Past Performance; and a rating of acceptable for Factor 3, Small Business Participation.

NOTE: Factor 1 is considered to be the most important factor. When combined, factors 1 and 2 are significantly more important than price.

NOTE: ALL NON-PRICED FACTORS COMBINED ARE SIGNIFICANTLY MORE IMPORTANT THAN PRICE.

BASIS FOR AWARD

This is a full and open competition that will be awarded based upon the best value tradeoff method to the Government. The government intends to award without discussions, however, it reserves the right to enter into discussions if deemed necessary.

The proposal will include binding labor rates across a series of labor categories. The Offeror will identify and submit the labor mix required to perform tasks under this task order down to the service order level. This factor will not receive an adjectival rating, as with Factors 1, 2, and 3. The Government may reject an offer if evaluation reveals a lack of price reasonableness.

Throughout the solicitation, “key subcontractor” refers to any subcontractor that is expected to perform at least fifty (50) percent of the overall effort awarded to that particular contractor.

EVALUATION APPROACH

All proposals shall be subject to evaluation by the Source Selection Team (SST).

FACTOR I: TECHNICAL APPROACH

1. Technical Approach Narrative.

The technical approach narrative will be evaluated for clarity, technical feasibility, and integration of a holistic systems engineering approach. Sufficient details should be provided to allow the government to assess the nature and quality of services being proposed. Specifically, the technical proposal shall address the following elements:

a) MANAGEMENT PLAN –Description of the offeror’s proposed plan for managing personnel, team members, and subcontractors including:

a) Organizational chart

i) Include all key personnel in org chart

ii) Signify where the dividing line is between corporate level and task order level

iii) Signify on org chart if a person will be shared across multiple projects/task orders or if the person will be strictly supporting this task order with no other duties assigned

b) List of Key personnel and resumes:

i) Project Manager

ii) Quality Control Manager

iii) Safety Manager

iv) Project Engineer

c) Key Subcontractor’s (any subcontractor the contractor plans to utilize for 50% or more of the work load at a single site) to be utilized

i) Location

ii) Capabilities and capacity

iii) Contractor’s management strategy of subcontractor

d) Security Clearance – plan for obtaining security clearances for required personnel (prime contractor and subcontractor)

b) Contractor shall include an initial project schedule which shall incorporate the following:

a) Schedule of submittal items listed in the SOW

c) Initial recurring maintenance schedule

Schedules shall be prepared using Microsoft Project, Oracle Primavera, or equivalent scheduling software. The pages of the proposal containing the project schedule may be 11x17 so long as they are folded properly to be included in the binder. It is understood that the schedule will need to be modified after task order award once contractor has coordinated with installation QAEs. The intent is for the contractor to demonstrate an understanding of scheduling requirements and ability to logically formulate a schedule.

c) Description of the offeror’s proposed plan for performing scheduled maintenance as outlined in the SOW. The contractor shall discuss the following (at minimum):

a) Administration process

b) Intentions for self-performing vs. subcontracting

c) Quality Control

d) Safety compliance

d) Description of the offeror’s proposed plan for performing minor repairs (service orders) as outlined in the SOW. The contractor shall discuss the following (at minimum):

a) Administration process

b) Intentions for self-performing vs. subcontracting

c) Quality Control

d) Safety compliance

e) Describe how contractor will meet response time requirements

Address any OCONUS experience in this section as well.

NOTE:

Offerors should NOT price PWS 1.10.4 Site Map and Petroleum System Schematics as part of this proposal. The requirement for priced schematics will be priced and modified into the Task Order after award.

FACTOR II: PAST PERFORMANCE

The Government will evaluate the degree of relevancy of the offeror’s recent performance as it relates to the offeror’s role on this contract.

The Government will evaluate the offeror's likelihood of success in performing the solicitation's requirements and delivering high quality products and services as indicated by that offeror's record of past performance. In this context, “offeror” refers to the proposed prime contractor and its proposed key subcontractors. A letter of commitment must be provided from all key subcontractors. A “contractor team arrangement” is an arrangement in which: (1) two or more companies form a partnership or joint venture to act as a potential prime contractor; or (2) a potential prime contractor agrees with one or more other companies to have them act as its subcontractors under a specified Government contract or acquisition program (see FAR 9.6). In either case the prime contractor and proposed key subcontractors will be assessed individually, and the results will then be assessed in their totality to derive the offeror’s past performance rating. Past performance of prime contractors or key subcontractors whose firms are divided into severable segments (i.e. division, group, unit, etc.) will only be evaluated for those segments of the firm(s) that will actually perform the work. The Government may properly consider past performance of an offeror's affiliated companies where the firm's proposal demonstrates that the resources of the affiliated company will affect the performance of the offeror. For these affiliated companies to be considered in the past performance rating, offeror must include a binding commitment letter. Past Performance references will first be reviewed to determine the relevancy of the past performance information. The Government will evaluate projects that are either currently underway (minimum 75% complete as billed or accomplished) or completed no more than three years preceding the closing date of this solicitation. The evaluation will use four levels of relevancy as shown in the chart below. More relevant past performance will be treated as a stronger predictor of future success and will therefore have more influence on the overall performance confidence assessment than past performance of lesser relevance.

Past Performance Relevancy Ratings

Rating
Definition
Very Relevant
Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.
Relevant
Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.
Somewhat Relevant
Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.
Not Relevant
Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

When determining the overall performance confidence assessment for an offeror, the Government may take into consideration the following areas: relevancy; extent to which applicable goals were met for contracts that required submission of a Small Business Participation Plan and/or Subcontracting Plan; demonstrated record of compliance of products, services, documents, and related deliverables to specification requirements and standards of good workmanship; demonstrated effectiveness of project management (to include use and control of small businesses and subcontractors); demonstrated timeliness of performance for services and product deliverables; and demonstrated commitment to customer satisfaction and business-like concern for its customers’ interest. The Government will evaluate performance ratings by the customer (e.g. Past Performance Questionnaires). If no recent/relevant performance record is available or if the offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned, the offeror will be given an “Unknown Confidence” assessment rating.

The offeror is cautioned that in conducting the performance risk assessment, the Government may use data provided in the offeror's proposal in addition to data obtained from other sources. The Government may review any other sources of information for evaluating past performance. Other sources may include, but are not limited to, past performance information retrieved through the Past Performance Information Retrieval System (PPIRS), including Contractor Performance Assessment Reporting System (CPARS), using all CAGE/DUNS numbers of team members (partnership, joint venture, teaming arrangement, or parent company/subsidiary/affiliate) identified in the offeror’s proposal, inquiries of owner representative(s), Federal Awardee Performance and Integrity Information System (FAPIIS), Electronic Subcontract Reporting System (eSRS), and any other known sources not provided by the offeror. Since the Government may not necessarily obtain information on all of the listed contract references and/or may not contact all of the identified POCs provided by the offeror, it is required for the offeror to explain the relevance of the data provided. In the event that adverse past performance information is obtained from other sources, and the agency conducts either discussions or communications with the particular offeror as defined in FAR 15.306, the offeror if otherwise competitive for award will have the opportunity to respond to any adverse information received which it had not had a previous opportunity to comment.

“Contractor team,” as used in this RFP, includes all of the following: two or more companies that form a partnership or joint venture to act as the prime contractor, and a prime contractor and its key subcontractors, henceforth referred to as team members. “Key Subcontractors” are any subcontractor the contractor plans to utilize for 50% or more of the work load at a single site of the proposed contract. If the subcontractor performs a significant part of the maintenance and repair at a site they are considered a key subcontractor. Past performance evaluation will consist of CPAR reviews and/or review of Past Performance Risk Assessment Questionnaires (PPQ) for the Prime Contractor and its team members.

NOTE: A letter of commitment is required for source selection evaluators to consider the past performance of a team member. Offeror should provide for itself and each of its key subcontractor’s or team members’ three (3) most recent CPAR reports or three (3) most recent PPQs or a combination thereof (i.e., 2 CPAR and 1 PPQ or 2 PPQ and 1 CPAR).

Please forward the PPQ (Attachment 03) to your customer POC, as well as the GOV POC, after completing section one (1). Please request that the customer POC email the completed questionnaire directly to the Government POC. Past Performance is limited to projects and/or contracts that are relevant to the type of work being solicited and were performed within the last three (3) years prior to the RFP release date. The prime Contractor and proposed team members will be assessed individually, and the results will then be assessed in their totality to derive the Offeror’s Past Performance rating. Past performance of prime contractors or team members whose firms are divided into severable segments (i.e. division, group, unit, etc.) will only be evaluated as it relates to those segments of the firm(s) that will actually perform the work. After past performance relevancy to current RFP is determined, offeror’s past performance will be evaluated as High Confidence, Satisfactory Confidence, Low Confidence or Unknown/Neutral Confidence.

The Past Performance Questionnaire (PPQ) included in the solicitation is provided for the offeror or its team members to submit to the client for each project the offeror includes in its proposal for Factor II Past Performance. Ensure correct phone numbers and email addresses are provided for the client point of contact. Completed Past Performance Questionnaires should be submitted with your proposal. If the offeror is unable to obtain a completed PPQ from a client for a project(s) before proposal closing date, the offeror should complete and submit with the proposal the first page of the PPQ (Attachment 3), which will provide contract and client information for the respective project(s). Offerors should follow-up with clients/references to ensure timely submittal of questionnaires. If the client requests, questionnaires may be submitted directly to the Government’s point of contact, Megan Carper via email at Megan.Carper@usace.army.mil prior to proposal closing date. Offerors shall not incorporate by reference into their proposal PPQs previously submitted for other RFPs. However, this does not preclude the Government from utilizing previously submitted PPQ information in the past performance evaluation.

In addition to the above, the Government may review any other sources of information for evaluating past performance.

While the Government may elect to consider data from other sources, the burden of providing detailed, current, accurate and complete past performance information rests with the Offeror.

Provide copies of CPAR reports and/or PPQs into your proposal. Provide correct and current phone numbers and email addresses for the PPQ customer point of contact. The Government will attempt to contact those customers who did not return a completed PPQ. The Government may contact those evaluators that returned a completed PPQ. CPAR reports will be verified by the GOV prior to past performance review.

Offerors may provide information on problems encountered on the contracts identified in past performance submissions and corrective action taken.

NOTE: The technical proposal shall be no longer than ten (10) typewritten pages front and back or twenty (20) pages one sided.

In addition to the above, the Government reserves the right to perform a CPARS search on all Offerors, as well as, using DLA – Fuels personal program knowledge of DLA Fuels task order holders/contract awardee(s) and Key Subcontractors and to consider any other relevant past performance information.

FACTOR III: SMALL BUSINESS PARTICIPATION PLAN

Tab (A) – Small Business Participation Plan. All offerors (both large and small businesses) are required to submit a Small Business Participation Plan (solicitation Attachment 5). This is separate from the “Small Business Subcontracting Plan,” which is only a requirement for large business contractors. Offerors shall propose anticipated Small Business Participation. Propose an overall goal accomplished through collective small business participation from any type of small business or sub-category small business. All Offerors, both large and small businesses, are required to submit a Small Business Participation Plan in accordance with Defense Federal Acquisition Regulation Supplement (DFARS) 215.304.

Note: (Large Businesses Only) At time of award, Small Business Subcontracting Plans will be evaluated for large business firms that submit proposals for this acquisition in accordance with AFARS APPENDIX DD -- SUBCONTRACTING PLAN EVALUATION GUIDE. This plan is a separate submittal and shall incorporate the overall RFP objectives as described in this proposal.

Offerors shall complete the worksheet provided as…
