PART 1 GENERAL

1.1 COLVILLE TRIBAL ORDINANCES

a. Pursuant to the PERMITS AND RESPONSIBILITIES Clause (FAR 52.236-7) of the Contract Clauses, Government contractors are required to comply with all laws, codes, and regulations applicable to the performance of the work. Pursuant to the FEDERAL, STATE, AND LOCAL TAXES Clause (FAR 52.229-3) of the Contract Clauses, the Contract price is to include all applicable taxes and duties. The Confederated Tribes of the Colville Reservation (Tribe) has promulgated a "TRIBAL EMPLOYMENT RIGHTS" Ordinance (Title 10 Employment and Contracting). The Government will not reimburse Contractors for additional costs as a result of application of the preference in employment and preference in subcontracting provisions of the Ordinance. Such costs, if applicable, should be reflected in the Contract price.

b. For additional information regarding Colville Tribal Ordinance call Colville Tribe TERO Program, telephone (509) 634-2735.

c. The Government has made a determination that the fee in "Title 10 Employment and Contracting" at 10-1-30 is not applicable to either the United States or its contractors. The fee set forth at 10-1-30 should therefore not be included in the contract proposal.

1.2 REFERENCES

Government approval is required for submittals with a "G" designation;

1.4 PROJECT PHOTOGRAPHS

1.4.1 General

Furnish digital photographs depicting construction as specified herein.

The photographs shall be in digital JPEG format, with a resolution of 1024 x 768 pixels or better, size limited to less than 300KB. Photos shall be taken for ten separate positions. Location of positions shall be coordinated with or may be selected by the Contracting Officer. The color, clarity, composition, and overall quality of the photos shall be suitable for use in briefings and/or to illustrate the construction in a news article. Photos shall be submitted in a Word document, with a caption under each photo showing the date taken, project location, contract title and number, and a brief description of what the photo depicts. The Word document shall be submitted on CD-ROM conforming to industry standards used in the United States

1.4.2 Project Photographs

Photographs of the construction progress shall be taken between the 1st and 15th of each month and delivered to the Contracting Officer. If a Progress Paymnet request is submitted for that month, the progress photographs shall accompany that request. The photographs shall show, in as much as practicable, work accomplished during the previous month.

1.4.3 Completion Photographs

Photographs of completed work shall be taken and delivered to the Contracting Officer not later than 15 days prior to project completion.

Photographs shall show the completed work and shall include overall site photos as well as photos of major features.

1.5 MINIMUM INSURANCE REQUIREMENTS

Provide the minimum insurance coverage required by FAR 28.307-2 LIABILITY, during the entire period of performance under this contract.

Provide other insurance coverage as required by law.

1.6 REQUIRED INSURANCE IN ACCORDANCE WITH FAR 28.307-2

a. Workers' compensation and employer's liability: Contractors are required to comply with applicable Federal and State workers' compensation and occupational disease statutes. If occupational diseases are not compensable under those statutes, they shall be covered under the employer's liability section of the insurance policy, except when Contract operations are so commingled with a Contractor's commercial operation that

SECTION 01 30 00 Page 3 it would not be practical to require this coverage. Employer's liability coverage of at least $100,000 shall be required, except in states with exclusive or monopolistic funds that do not permit workers' compensation to be written by private carriers.

b. General Liability:

1. The Contracting Officer shall require bodily injury liability insurance coverage written on the comprehensive form of policy of at least $500,000 per occurrence.

2. Property damage liability insurance shall be required only in special circumstances as determined by the agency.

c. Automobile liability: The Contracting Officer shall require automobile liability insurance written on the comprehensive form of policy. The policy shall provide for bodily injury and property damage liability covering the operation of all automobiles used in connection with performing the Contract. Policies covering automobiles operated in the United States shall provide coverage of at least $200,000 per person and $500,000 per occurrence for bodily injury and $20,000 per occurrence for property damage. The amount of liability coverage on other policies shall be commensurate with any legal requirements of the locality and sufficient to meet normal and customary claims.

d. Aircraft public and passenger liability: When aircraft are used in connection with performing the Contract, the Contracting Officer shall require aircraft public and passenger liability insurance. Coverage shall be at least $200,000 per person and $500,000 per occurrence for bodily injury, other than passenger liability, and $200,000 per occurrence for property damage. Coverage for passenger liability bodily injury shall be at least $200,000 multiplied by the number of seats or passengers, whichever is greater.

e. Vessel liability: When Contract performance involves use of vessels, the Contracting Officer shall require, as determined by the agency, vessel collision liability and protection and indemnity liability insurance.

f. Environmental Liability: If this Contract includes the transport, treatment, storage, or disposal of hazardous material waste the following coverage is required. The Contractor shall ensure the transporter and disposal facility have liability insurance if effect for claims arising out of the death or bodily injury and property damage from hazardous material/waste transport, treatment, storage and disposal, including vehicle liability and legal defense costs in the amount of $1,000,000.00 as evidenced by a certificate of insurance for General, Automobile, and Environmental Liability Coverage. Proof of this insurance shall be provided to the Contracting Officer.

1.7 SUPERVISION

1.7.1 Minimum Communication Requirements

The Contractor will have as a minimum qualified Project Superintendent, Quality Control Manager (QCM), and Site Safety and Health Officer (SSHO) capable of reading, writing, and conversing fluently in the English language, on the job-site at all times during the performance of contract work. For Project Superintendent Qualifications, see specification Section 01 30 00, paragraph 1.6.2. See Sections 01 35 26, paragraph 1.6.1.1 for SSHO and 01 45 00.00 10, paragraph 3.4 for QCM qualificationrequirements.

1.7.2 Project Superintendent Qualifications

The Project Superintendent must have a minimum of 10 years of experience in construction with at least 5 of those years as a superintendent on projects similar in size and complexity. The superintendent(s) shall have been engaged in soil or rock drilling activities for a minimum of three years. Required experience shall include precision drilling into rock or soil, difficult access drilling, andor drilling from a water vessel or barge. The individual must be familiar with the requirements of EM 385-1-1 and have experience in the areas of hazard identification and safety compliance. The individual must be capable of interpreting a critical path schedule and construction drawings. The qualification requirements for the alternate superintendent are the same as for the project superintendent. Submit the Superintendent(s) Qualifications, experience, and a verifying contact, name, and phone number.

1.7.2.1 Duties

The Project Superintendent is primarily responsible for managing and coordinating day-to-day production and schedule adherence on the project.

The superintendent is required to attend partnering meetings, and quality control meetings. The superintendent or qualified alternative must be on-site at all times during the performance of this contract until the work is completed and accepted. Superintendent shall have no other duties.

1.7.2.2 Non-Compliance Actions

The Project Superintendent is subject to removal by the Contracting Officer for non-compliance with requirements specified in the contract and for failure to manage the project to insure timely completion.

Furthermore, the Contracting Officer may issue an order stopping all or part of the work until satisfactory corrective action has been taken. No part of the time lost due to such stop orders is acceptable as the subject of claim for extension of time for excess costs or damages by the Contractor.

1.7.3 Project Manager Qualifications

The Contractor shall select an individual within the organization as Project Manager. The Project Manager is responsible for overall management of the project and has the authority to act in all matters for the Contractor. The Project Manager shall not hold any other duties. The Project Manager must have a bachelor's degree in engineering, architecture, or construction management, with a minimum of five years construction experience with relevant multi-disciplinary and schedule-critical work, or at least ten (10) years experience as a Project Manager with relevant multi-disciplinary and schedule-critical work on projects similar to the scope and complexity of this Contract. This Project Manager must be employed by the Prime Contractor.

Identify in the work plan an alternate to serve in the event of the Project Manager's absence. The requirements for the alternate are the same as the Project Manager.

1.7.4 Contractor's Personnel

1.7.4.1 Contractor's General Personnel

Maintain a complete organizational chart of all positions that will be working on the project. Input this data into RMS.

1.7.4.1.1 Contractor Employees

Submit under letterhead, a listing of all employees and two clear sets of color photocopies of the employees’ state issued ID card or drivers licenses to the Contracting Officer a minimum of two weeks before they will be working on site. The ID card shall include the following information:

If an employee cannot be positively identified from photo, they will not be admitted onsite. Employees working for subcontractors must also be authorized under the primary Contractor’s letterhead. Upon an employee’s first arrival onsite, the Government will provide a Project photo identification tag before the employee will be allowed to enter the powerhouse and dam structures. Preparation of the identification tag may take up to 2 hours. The identification tag must be returned to the Contracting Officer when the work is complete or when the individual departs from the Project. Prominently display at all times onsite (on each person) the identification tag issued. When required by the Government, obtain and submit fingerprints of all workers.

1.7.4.1.2 Employee Termination

If a Contractor employee resigns or is terminated the Contracting Officer, or designated representative shall be so notified at the earliest opportunity, but in no case later than the start of the succeeding workday.

1.7.4.1.3 Access Control

Contractor personnel shall be instructed to present identification credential upon request by proper authority as established by the Contracting Officer.

1.8 INCREMENTALLY FUNDED CONTRACTS (UAI 5152.232-9001)

a. The responsibilities of the Corps are limited by this clause notwithstanding any contrary provision of the "Payments to Contractor" clause or any other clause of this contract.

b. Pursuant to the authority of 33 U.S.C. § 621 and 16 U.S.C. § 839d-1 this contract is incrementally funded on a fiscal year basis by the Bonneville Power Administration (BPA). Funds are not available at the inception of this contract to cover the entire contract price. The sum of $2,000,000.00 has been reserved under this contract by the Corps and is available for payment to the Contractor during the current

SECTION 01 30 00 Page 6 fiscal year. In accordance with the Memorandum of Agreement (MOA) between BPA and the Department of the Army (Contract No. DE MS79- 94BP94655), the Sub-agreement between the Corps and BPA sets the total funding requirements for project construction and the annual funding requirements. The Corps has agreed to perform the work specified within the estimated annual funding requirements and shall coordinate with BPA in updating funding requirements. The liability of the Corps for payments beyond the funds currently reserved under this contract is contingent on the availability of additional funds from BPA under the MOA and Sub-agreement.

c. Failure to make payments in excess of the amount currently reserved, or that may be reserved from time to time, shall not be considered a breach of this contract, and shall not entitle the Contractor to a price adjustment under the terms of this contract.

d. Contingent upon additional funds being provided by BPA to the Corps, the Contracting Officer may at any time reserve additional funds for payments under this contract by issuing an administrative change to the contract.

e. If earnings will be such that funds reserved for this contract will be exhausted before the end of the fiscal year, the Contractor shall give written notice to the Contracting Officer of the estimated date of exhaustion and the amount of additional funds which will be needed to meet payments due or to become due under this contract during that fiscal year. This notice shall be given not less than 45 or more than 60 days prior to the estimated date of exhaustion.

f. Upon receipt of the Contractor’s notice under subparagraph (d), the Contracting Officer shall promptly provide written notice to the Contractor that the Corps is:

(1) Increasing the Corps’ reservation of funds under this contract in a specified amount; or

(2) Reducing the scope of work or terminating the contract; or

(3) Unable to reserve additional funds until the following fiscal year.

g. No payments will be made after exhaustion of funds except to the extent that additional funds are reserved for the contract. Any suspension, delay, or interruption of work arising from exhaustion or anticipated exhaustion of funds shall not constitute a breach of this contract and shall not entitle the Contractor to any price adjustment under a Chief Joseph Dam, Bridgeport, WA W912DW19R0003 “Suspension of Work” or similar clause or in any other manner under this contract.

h. An equitable adjustment in performance time shall be made for any increase in the time required for performance of any part of the work arising from exhaustion of funds or the reasonable anticipation of the exhaustion of funds.

i. If, upon the expiration of sixty (60) days after the beginning of the fiscal year following an exhaustion of funds, the Corps has failed to reserve sufficient additional funds to cover payments otherwise due, the Contractor, by written notice delivered to the Contracting Officer at any time before such additional funds are reserved, may elect to treat his right to proceed with the work as having been terminated.

Such a termination shall be at no cost to the Corps, except that, to the extent that additional funds to make payment therefore are allocated to this contract, it may be treated as a termination for the convenience of the Government.

j. If at any time it becomes apparent that the funds reserved for any fiscal year are in excess of the funds required to meet all payments due or to become due the Contractor because of work performed and to be performed under this contract during the fiscal year, the Corps reserves the right, by modification to the contract, to reduce said reservation by the amount of such excess.

k. The term “Reservation” means funds that have been set aside and made available for payment under this contract by the Corps.

1.9 PRECONSTRUCTION CONFERENCE

After award of the contract but prior to commencement of any work at the site, meet with the Contracting Officer to discuss and develop a mutual understanding relative to the administration of the safety program, preparation of the schedule of prices or earned value report, shop drawings, and other submittals, scheduling programming, prosecution of the work. Major subcontractors who will engage in the work must also attend.

1.10 PAYMENT FOR MATERIALS DELIVERED OFF-SITE

a. Pursuant to Federal Acquisition Regulation (FAR) 52.232-5, Payments Under Fixed Price Construction Contracts, materials delivered to the contractor at locations other than the site of the work may be taken into consideration in making payments if included in payment estimates and if all the conditions of the General Provisions are fulfilled.

Payment for items delivered to locations other than the work site shall be limited to:

1. Materials required by the technical provisions; or

2. Materials that have been fabricated to the point where they are identifiable to an item of work required under this Contract; or

3. Items specifically listed below.

b. Payment for materials delivered off-site shall be made only after receipt of paid invoices listing the value of material and labor incorporated in the items along with a canceled check showing the prime contractor's title to the items delivered off site.

1.11 FIELD OFFICE OVERHEAD

Notice to Offerors: You must declare below the accounting practice that you apply to Contracts to calculate field office overhead for all change orders, modifications, and requests for equitable adjustment. Pursuant to Federal Acquisition Regulation (FAR) Parts 31.105(d)(3) and 31.203(d)(1), an accounting practice that varies from modification to modification is not allowable. Select one of the following:

a. If you use Time Distribution Base for Per Diem Rate practice, see Special Contract Requirement SC-17 "Field Office Overhead - Per Diem Rate".

b. If you use Direct Cost Distribution Base for a Percentage Mark-up practice, see Special Contract Requirement SC-18 "Field Office Overhead - Percentage Markup".

c. If you choose Other Accounting Practice That is Allowed Under the FAR and That Uses a Single Distribution Base, you must describe the accounting practice in sufficient detail below to allow the Contracting Officer to determine what accounting practice is being utilized by your company and that it complies with the criteria for acceptable accounting practices as set out in FAR Parts 31.105(d)(3) and 31.203(d)(1).

1.11.1 Field Office Overhead - Per Diem Rate

The Contracting Officer shall make an equitable adjustment and modify the Contract in writing for any change to the Contract, issued pursuant to the Changes clause or otherwise, for which the Government is responsible, and which causes either an increase or decrease in the Contractor's costs as to time or performance under the Contract. Under such an equitable adjustment, the Contractor's field office overhead shall be an allowable cost, in accordance with the Contractor's accounting practice as identified by the Contractor in its Bid Schedule.

The Contractor shall declare which standard form of accounting practice it applies to field overhead costs: if a Contractor indicates that it follows a per diem basis, no overhead percentage markup rate for office overhead costs shall be allowed.

Under such an equitable adjustment, the Contractor shall be reimbursed for field office overhead on a per diem basis when the completion of the Contract is extended by reason of the change issued under any clause, except the Default clause, subject to the Contractor substantiating the variable expense by providing a detailed breakdown of its proposed increase or decrease of costs as required by the Contract Clause DFARS 252.236-7001 MODIFICATION OF PROPOSALS - PRICE BREAKDOWN. No payment of field office overhead on a per diem basis shall be allowed for any change when the completion of the Contract is not extended by reason of the change.

1.11.2 Field Office Overhead - Percentage Markup

The Contracting Officer shall make an equitable adjustment and modify the Contract in writing for any change to the Contract, issued pursuant to the Changes clause or otherwise, for which the Government is responsible, and which causes either an increase or decrease in the Contractor's costs as to time or performance under the Contract. Under such an equitable adjustment, the Contractor's field office overhead shall be an allowable cost, in accordance with the Contractor's accounting practice as identified by the Contractor in its Bid Schedule.

The Contractor shall declare which standard form of accounting practice it applies to field overhead costs: if a Contractor indicates that it follows a percentage basis, no per diem rate for office overhead costs shall be allowed.

Under such an equitable adjustment, payment of office overhead costs shall be allowed for any change on a percentage markup basis regardless of whether the completion of the Contract is, or, is not, extended by reason of the change, except for modifications issued pursuant to the Default

Clause. The Contractor shall provide a detailed breakdown of its proposed increase or decrease of costs as required by Contract Clause DFARS

252.236-7001 MODIFICATION OF PROPOSALS - PRICE BREAKDOWN.

1.12 PROPRIETARY REFERENCES

All items specified on a brand name basis are to indicate the general type desired based on level of quality, and are not intended to restrict selection to products of any particular manufacturer.

1.13 PERFORMANCE EVALUATIONS

In accordance with the provisions of Subpart 36.201 (Evaluation of Contractor Performance) of the Federal Acquisition Regulation (FAR), construction Contractor's performance shall be evaluated throughout the performance of the Contract. The United States Army Corps of Engineers (USACE) follows the procedures outlined in Engineering Regulation 415-1-17 to fulfill this FAR requirement. For construction Contracts awarded at or above $100,000.00, the USACE will evaluate Contractor's performance and prepare a performance report using the Contractor Performance Assessment Reporting System (CPARS), which is now a web-based system. After an evaluation (interim or final) is written up by the USACE, the Contractor will have the ability to access, review and comment on the evaluation for a period of 30 days. Accessing and using CPARS requires specific software, called PKI certification, which is installed on the user's computer. The certification is a Department of Defense requirement and was implemented to provide security in electronic transactions. The certification software could cost approximately $110 - $125 per certificate per year and is purchased from an External Certificate Authorities (ECA) vendor. Current information about the PKI certification process and for Contacting vendors can be found on the web site:

http://www.cpars.gov/. If the Contractor wishes to participate in the performance evaluation process, access to CPARS and PKI certification is the sole responsibility of the Contractor.

1.14 ELECTRONIC MAIL (E-MAIL) ADDRESS

Establish and maintain electronic mail (e-mail) capability along with the capability to open various electronic attachments as text files, pdf files, and other similar formats. Within 10 days after contract award, provide the Contracting Officer a single (only one) e-mail address for electronic communications from the Contracting Officer related to this contract including, but not limited to contract documents, invoice information, request for proposals, and other correspondence. The Contracting Officer may also use email to notify the Contractor of base access conditions when emergency conditions warrant, such as hurricanes or terrorist threats. Multiple email addresses are not allowed.

It is the Contractor's responsibility to make timely distribution of all Contracting Officer initiated e-mail with its own organization including field office(s). Promptly notify the Contracting Officer, in writing, of any changes to this email address.

1.2 DEFINITIONS

1.2.1 Competent Person (CP)

The CP is a person designated in writing, who, through training, knowledge and experience, is capable of identifying, evaluating, and addressing existing and predictable hazards in the working environment or working conditions that are dangerous to personnel, and who has authorization to

1.2.2 Competent Person, Confined Space

The CP, Confined Space, is a person meeting the competent person requirements as defined EM 385-1-1 Appendix Q, with thorough knowledge of OSHA’s Confined Space Standard, 29 CFR 1910 .146, and designated in writing to be responsible for the immediate supervision, implementation and monitoring of the confined space program, who through training, knowledge and experience in confined space entry is capable of identifying, evaluating and addressing existing and potential confined space hazards and, who has the authority to take prompt corrective measures with regard to such hazards.

1.2.3 Competent Person, Cranes and Rigging

The CP, Cranes and Rigging, as defined in EM 385-1-1 Appendix Q, is a person meeting the competent person, who has been designated in writing to be responsible for the immediate supervision, implementation and monitoring of the Crane and Rigging Program, who through training, knowledge and experience in crane and rigging is capable of identifying, evaluating and addressing existing and potential hazards and, who has the authority to take prompt corrective measures with regard to such hazards.

1.2.4 Competent Person, Fall Protection

The CP, Fall Protection, is a person meeting the competent person requirements as defined in EM 385-1-1 Appendix Q and in accordance with ASSE/SAFE Z359.0 , who has been designated in writing by the employer to be responsible for immediate supervising, implementing and monitoring of the fall protection program, who through training, knowledge and experience in fall protection and rescue systems and equipment, is capable of identifying, evaluating and addressing existing and potential fall hazards and, who has the authority to take prompt corrective measures with regard to such hazards.

1.2.5 Competent Person, Scaffolding

The CP, Scaffolding is a person meeting the competent person requirements in EM 385-1-1 Appendix Q, and designated in writing by the employer to be responsible for immediate supervising, implementing and monitoring of the scaffolding program. The CP for Scaffolding has enough training, knowledge and experience in scaffolding to correctly identify, evaluate and address existing and potential hazards and also has the authority to take prompt corrective measures with regard to these hazards. CP qualifications must be documented and include experience on the specific scaffolding systems/types being used, assessment of the base material that the scaffold will be erected upon, load calculations for materials and personnel, and erection and dismantling. The CP for scaffolding must have a documented, minimum of 8-hours of scaffold training to include training on the specific type of scaffold being used (e.g. mast-climbing, adjustable, tubular frame), in accordance with EM 385-1-1 Section 22.B.02.

1.2.6 Competent Person (CP) Trainer

A competent person trainer as defined in EM 385-1-1 Appendix Q, who is qualified in the material presented, and who possesses a working knowledge of applicable technical regulations, standards, equipment and systems related to the subject matter on which they are training Competent

Persons. A competent person trainer must be familiar with the typical hazards and the equipment used in the industry they are instructing. The training provided by the competent person trainer must be appropriate to that specific industry. The competent person trainer must evaluate the knowledge and skills of the competent persons as part of the training process.

1.2.7 High Risk Activities

High Risk Activities are activities that involve work at heights, crane and rigging, scaffolding, electrical work, and confined space entry.

1.2.8 High Visibility Accident

A High Visibility Accident is any mishap which may generate publicity or high visibility.

1.2.9 Load Handling Equipment (LHE)

LHE is a term used to describe cranes, hoists and all other hoisting equipment (hoisting equipment means equipment, including crane, derricks, hoists and power operated equipment used with rigging to raise, lower or horizontally move a load).

1.2.10 Medical Treatment

Medical Treatment is treatment administered by a physician or by registered professional personnel under the standing orders of a physician. Medical treatment does not include first aid treatment even through provided by a physician or registered personnel.

1.2.11 Near Miss

A Near Miss is a mishap resulting in no personal injury and zero property damage, but given a shift in time or position, damage or injury may have occurred (e.g., a worker falls off a scaffold and is not injured; a crane swings around to move the load and narrowly misses a parked vehicle).

1.2.12 Operating Envelope

The Operating Envelope is the area surrounding any crane or load handling equipment. Inside this "envelope" is the crane, the operator, riggers and crane walkers, other personnel involved in the operation, rigging gear between the hook, the load, the crane's supporting structure (i.e. ground or rail), the load's rigging path, the lift and rigging procedure.

1.2.13 Qualified Person (QP)

The QP is a person designated in writing, who, by possession of a recognized degree, certificate, or professional standing, or extensive knowledge, training, and experience, has successfully demonstrated their ability to solve or resolve problems related to the subject matter, the work, or the project.

1.2.14 Qualified Person, Fall Protection (QP for FP)

A QP for FP is a person meeting the requirements of EM 385-1-1 Appendix Q, and ASSE/SAFE Z359.0 , with a recognized degree or professional certificate and with extensive knowledge, training and experience in the fall

SECTION 01 35 26 Page 8 protection and rescue field who is capable of designing, analyzing, and evaluating and specifying fall protection and rescue systems.

1.2.15 Recordable Injuries or Illnesses

Recordable Injuries or Illnesses are any work-related injury or illness that results in:

a. Death, regardless of the time between the injury and death, or the length of the illness;

b. Days away from work (any time lost after day of injury/illness onset);

c. Restricted work;

d. Transfer to another job;

e. Medical treatment beyond first aid;

f. Loss of consciousness; or

g. A significant injury or illness diagnosed by a physician or other licensed health care professional, even if it did not result in (a) through (f) above

1.2.16 Government Property and Equipment

Interpret "USACE" property and equipment specified in USACE EM 385-1-1 as Government property and equipment.

1.2.17 Load Handling Equipment (LHE) Accident or Load Handling Equipment Mishap
