SUMMARY OF CHANGES

SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

The following have been modified:

SECTION L

1.0 General Information: This solicitation is identified as part of the Multiple Environmental Government Acquisition (MEGA) Strategy/Plan in support of the Environmental Protection Agency (EPA) Region 2 and the U.S.

Army Corps of Engineers (USACE), Northwestern Division (NWD).

1.1. The U.S. Army Corps of Engineers (USACE), Kansas City District intends to conduct this acquisition by use of Competitive Source Selection Procedures in accordance with the provisions set forth in the Solicitation and FAR Part 15. The Government’s intends to award an Unrestricted Indefinite Delivery/Indefinite Quantity contracts as part of a Multiple Award Task Order Contract (MATOC) pool for Pre-Placed Remedial Action Services for regional support to USACE customers. Task Orders awarded under this MATOC may be firm fixed price or cost-reimbursement. The Government’s target is to award

(5) contracts; however, if the Contracting Officer determines during the source selection process that fewer or more than that number of contracts should be awarded, the Contracting Officer has the discretion of adjusting that number (higher or lower), or awarding none at all. In any case, the Government may not award any contract if the resulting contract would not represent a "best value" to the Government using trade-off selection procedures. It is strongly suggested that the provisions stated in the proposal information be fully studied prior to assembly of the proposal.

1.2. There are no drawings associated with this Solicitation. Copies of the solicitation are available by INTERNET ACCESS ONLY. All solicitation documents will be made available for viewing in Federal Business Opportunities (http://www.fbo.gov).

All amendments will be made available for viewing in FedBizOpps. It shall be the offeror’s responsibility to check the website for any amendments.

1.3. To assure timely and equitable evaluation of proposals, offerors must follow the instructions contained herein. Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors. The proposal should be prepared simply and economically, providing straightforward, concise delineation of capabilities to perform the contract. The proposal should be practical, legible, clear, and coherent. The proposal shall address the offeror’s proposed approach to fully perform the requirements of the Solicitation. Offerors are discouraged from providing information not required by the Solicitation. The offeror shall submit in the proposal all requested information specified in this section of the solicitation at or before the exact time specified. There will be no public opening of the proposals received as a result of this solicitation. Failure to meet a requirement may result in an offer being ineligible for award.

1.4. The Contracting Officer has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial offers, the Contracting Officer will review this determination and if, in the Contracting Officer's opinion, adequate price competition exists, no additional cost information will be requested and certification under FAR 15.406-2 will not be required. However, if at any time during this competition, the Contracting Officer determines that adequate price competition no longer exists; offerors may be required to submit information to the extent necessary for the Contracting Officer to determine the reasonableness and affordability of the price.

1.5. Offerors must clearly identify any exceptions to the solicitation terms and conditions and provide complete accompanying rationale. Exceptions taken to terms and conditions of the solicitation, to any of its formal attachments, or to other parts of the solicitation shall be identified. Each exception shall be specifically related to each paragraph and/or specific part of the solicitation to which the exception is taken.

Provide rationale in support of the exception and fully explain its impact, if any, on the performance, schedule, cost and specific requirements of the solicitation. This information shall be provided in the format and content of Table 1 listed below. Failure to comply with the terms and conditions of the solicitation may result in the offeror being removed from consideration for award.

For the specific purpose of presentation of Company Experience, one side of one 11”x17” sheet of paper shall be used for each project. As specified in Section L, Paragraph 2.8.5 (Foldouts), one printed side of one 11”x17” sheet of paper will count as two pages. Additionally, please indicate the dates that the work was performed for the work being described.

Describe the experience on the project that demonstrates the criteria in Section M, 5.1.1. Describe the project characteristics including magnitude, complexity, challenges and accomplishments as it relates to the evaluation criteria. Present project constraints such as site restrictions, cost and schedule, customer and stakeholder requirements, and any other unique considerations as they relate to the Section M evaluation criteria.

3.3. Volume I, Factor 2 –Performance Confidence

3.3.1. Past Performance Questionnaires (PPQ)

For each of the projects submitted under Factor 1, Company Experience, the offeror should provide existing documentation of the owner’s opinion of the offeror’s performance, e.g.PPQ or CPARS rating. If no CPARS or existing PPQ exists for the project, or if new information is required in the offeror’s opinion, the offeror should provide a Past Performance Questionnaire (PPQ) to a representative of the owner that can provide the owner’s opinion of the offeror’s past performance for the project. The PPQ form (Form PPQ-0) to be used is included in Section J, Attachment 1 of this solicitation. A sample cover letter to accompany the PPQ and instructions for completing the PPQ are also included in Section J, Attachment 1. Ensure correct phone numbers and email addresses are provided for the client point of contact.

Offerors and/or its team members should submit to the client for each project, the PPQ form and request that the form be completed and returned to the offeror before the date the proposal is due.

If the client requests, PPQs may be submitted directly to the Contracting Division using the following e-mail address: Willliam.J.Hill@usace.army.mil. The only information in the email subject line MUST be the solicitation number W912DQ-16-R-3001. If the submission is provided by mail, the envelope should be marked, “Confidential Proposal Information for Solicitation W912DQ-16-R-3001. NOTE: All PPQs submitted directly to the Contract Specialist must be received No Later Than the date and time listed in Paragraph 2.6 of this Section L. Offerors should not incorporate by reference into their proposal PPQs previously submitted for other Solicitations. However, this does not precluded the Government from utilizing previously submitted PPQ information in the performance confidence evaluation.

The offeror should also provide the CAGE Codes and DUNS numbers for the prime Contractor and all teaming partners, i.e. design firms, key subcontractors, Joint Venture Partners, whose experience is being relied on for Factor 1. DUNS numbers shall be provided for the Offeror’s offices that may be utilized to complete work under this contract.

Offerors should compile PPQs and CPARS for each project submitted under Factor 1 and should organize the information by project, and in the same order as the projects submitted in Factor 1.

This will allow the reviewers to match the Past Performance information with the associated Factor 1 project. Only one PPQ should be submitted for each Factor 1 project and if more than one PPQ is received, only the first PPQ will be evaluated. NOTE: Past performance information is not included in the Volume I page count.

The offeror is responsible for ensuring that the completed PPQs are signed and submitted by the solicitation closing date and should follow up with clients to ensure timely submittal of the PPQs.

The Government may contact and interview the customer’s representative on the PPQ, and reserves the right to interview other individuals acting for the customer’s representative, if the customer’s representative is not available. In addition to PPQs, offerors are responsible for submitting CPARS information in their proposals for the projects submitted under Factor 1.

At no time during this process, nor during the debriefing, nor after award, will the names of the individuals providing reference information directly to the Government about an offeror’s past performance be revealed to the offerors or to any other party. If discussions are held, offerors may be afforded the opportunity to respond to adverse comments made by references in accordance with guidelines identified in FAR Part 15.306(b) (4). In this case, comments will be extracted and provided to the offeror.

SECTION M - EVALUATION FACTORS FOR AWARD

The following have been modified:

SECTION M

1. Source Selection Evaluation Board (SSEB)

1.1. A Source Selection Evaluation Board (SSEB) will be established to conduct the evaluation of proposals received in response to this solicitation. Selection of the successful offerors shall be based on the proposals submitted except that past performance information from any other sources may also be considered consistent with FAR 15.305(a)(2)(ii). The SSEB will not consider any information or data incorporated by reference. The identities of the SSEB personnel are confidential, and any attempt by the offerors to contact these individuals is prohibited.

1.2. The SSEB will evaluate the proposals submitted and assign a consensus rating for each evaluation factor.

2. Source Selection

All offers received in response to this solicitation will be evaluated in accordance with the requirements of Sections L and M. The principal objective of the evaluation process is to award a target of five (5) Indefinite Delivery/Indefinite Quantity contracts as part of a Multiple Award Task Order Contract (MATOC) pool to the responsible offerors whose proposals are determined to be the "best value" to the Government, price and other factors considered. However, if the Contracting Officer determines during the source selection process that fewer or more than five (5) contracts should be awarded, based upon the selection criteria, the Contracting Officer has the discretion of adjusting that number, or awarding none at all.

It is the intent of the Government to award based upon initial proposals. However, a competitive range determination, if necessary, will be made from the information submitted in the proposals. Discussions, if necessary, will address deficiencies, significant weaknesses and adverse past performance information that an offeror has not had a previous opportunity to address. Exchanges with offerors after receipt of proposal will be in accordance with FAR 15.306(a) (b) and (d) where applicable.

3. Source Selection Process

3.1. Source Selection Evaluation Board Process – The Source Selection Evaluation Board (SSEB) will evaluate all conforming proposals, evaluating each item in the solicitation. All information requested will be evaluated unless the offeror exceeds the page limit parameters. If exceeded, the excess pages will not be read or considered in the evaluation of the proposal. Evaluations of the offers will then be discussed among the SSEB voting members, a consensus reached and recorded.

3.2. Source Selection Authority Evaluation - The Source Selection Authority shall make an integrated assessment leading to a best value award decision. The Source Selection Authority’s (SSA) decision shall be based on a comparative assessment of proposals against all source selection criteria in the solicitation. While the SSA may use reports and analysis prepared by others, the source selection decision will represent the SSA’s independent judgment. The source selection decision shall be documented, and the documentation shall include the rationale for any business judgments and trade-offs made or relied on by the SSA, including benefits associated with additional costs.

4. Basis of Award:

The evaluation factors in Volume I are listed in descending order of importance with the most important listed first.

Factor 1 is the most important factor. Factor 1 is more important than Factor 2, and Factor 2 is more important than Factor 3. The cost and pricing information found in Volume III will be evaluated in accordance with paragraph 6.0 of Section M. All evaluation factors, other than cost or price, when combined, are significantly more important than cost or price.

4.1 Technical Rating for Factor 1. The ratings for the Company Experience Factor (Volume I, Factor 1) in the table below focus on the strengths, weaknesses, deficiencies, and uncertainties of the offeror's proposal.

For Factor 1, the rating will indicate how well the offeror’s proposal meets the Company Experience requirements.

Rating Description Outstanding: Blue Proposal meets requirements and indicates an exceptional approach and understanding of the requirements. Strengths far outweigh any weaknesses.

Risk of unsuccessful performance is very low.

Good: Purple Proposal meets requirements and indicates a thorough approach and understanding of the requirements. Proposal contains strengths which outweigh any weaknesses. Risk of unsuccessful performance is low.

Acceptable: Green Proposal meets requirements and indicates an adequate approach and understanding of the requirements. Strengths and weaknesses are offsetting or will have little or no impact on contract performance. Risk of unsuccessful performance is no worse than moderate.

Marginal: Yellow Proposal does not clearly meet requirements and has not demonstrated an adequate approach and understanding of the requirements. The proposal has one or more weaknesses which are not offset by strengths. Risk of unsuccessful performance is high.

Unacceptable: Red Proposal does not meet requirements and contains one or more deficiencies.

Proposal is unawardable.

4.2 Performance Confidence Rating – Factor 2 – There will be two aspects to the Performance Confidence evaluation: relevancy and performance confidence assessment.

Relevancy: The first aspect of the Performance Confidence evaluation is to assess the offeror’s past performance to determine how relevant a recent effort accomplished by the offeror is to the effort to be acquired through the source selection. Relevancy is not separately rated for the offeror as a whole. Instead, the following criteria will be used to establish the extent to which each evaluated past performance effort is relevant, which shall include similarity of magnitude, complexity, and contract type.

Each past performance effort will be assigned one of the levels of relevancy ratings shown in the following table:

Relevancy Rating Definition

Relevant Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.

Not Relevant Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

Performance Confidence Assessment: The second aspect of the Performance Confidence evaluation is to assess the government’s confidence that the offeror can successfully execute the scope of this Solicitation with respect to how well the Contractor performed on other contracts. The government will assign the Offeror one of the ratings in the table below:
