1.1.1 The capped hourly rates provided on Table 1 shall be “Fully Burdened,” i.e., shall include Overhead (OH), General/Administrative (G&A), Labor Burden Fringes, and any other indirect costs exclusive of profit.
1.1.2 Labor rates used in formulating task order proposals shall not exceed the capped labor rates as of the date of task order requirement.
1.1.3 The Offeror shall indicate for each discipline whether it is employed by the prime or a subcontractor by annotating PRIME or SUB next to the discipline in the first column. For example, “CADD Operator (SUB)”.
The rates shown per labor discipline shall be fully burdened rates, exclusive of profit.
1.1.4 The hourly burdened labor rates proposed in the Binding Capped Labor Rate Schedule are binding upon contract award for the life of the MATOC, to include all option periods and extensions. These rates are applicable to both task orders and modifications.
1.1.5 The capped hourly, fully burdened labor rates shall include all applied direct and indirect costs, e.g., direct labor costs, payroll taxes, insurance, benefits, applied OH, applied G&A, and any other applied indirect costs, but shall not include profit.
1.1.6 If a discipline is not listed in the contract rate pricing schedule and is required for the contractor to perform a specific task order, the contractor may propose the required labor category and provide the unburdened labor rate along with all applied (AM0001) direct and indirect costs which formulate the fully burdened labor rate (exclusive of profit) in the proposal submitted in response to the issued Request for Task Order Proposal
(RTOP).
1.1.7 If during the Contract Period of Performance, the Offeror’s original key personnel (prime or subcontracted) are no longer available, the Offeror shall replace these individuals with personnel whom, at a minimum, have the same qualifications as the personnel being replaced. The Offeror shall be responsible for negotiating labor rates for those personnel that do not exceed the rates provided in Table 1, which are the maximum rates the Government will pay for any personnel. The Contractor shall submit the replacement personnel’s qualifications to the Contracting Officer for approval.
1.1.8 The applicable capped labor rates shall be governed by the effective date of the Task Order. Task Orders will use the prices for the 12-month period effective on the date the Task Order is issued. Modifications to Task Orders will reflect the rates of the “current 12-month” binding labor rate schedule. For example, if the rate schedule changes over on 1 November of each year, and a Task Order is issued on 1 September 2020 for 12 months work, the maximum rates will be the rates that were effective on 1 November 2019. Under the same assumptions, if a modification to the Task Order is required in December 2020, the labor rates effective on 1 November 2020 will apply.
1.1.9 The Offeror has the responsibility to provide labor rates that comply with all potential Service Contract Act wage determinations and/or Davis Bacon wage decisions for each labor discipline subject to those wage determinations/wage decisions. The Government will provide the applicable wage determination(s) for the specific geographic location of the task orders in the RTOP.
1.1.10 Provide one (1) rate per labor discipline, regardless of whether the individuals employed for that discipline are directly employed or subcontracted.
1.1.11 Provide Other than Certified Cost or Price Data, which consists of the formula used to arrive at the burdened rates provided in Table 1. (AM0001)
1.2 Firm-Fixed Price Escalation and Maximum Profit
1.2.1 The escalation rate applied to years 2 through 8 shall be provided by the Offeror in Table 2:
Table 2: Escalation Rate
Profit will be negotiated at the task order level for each Firm-Fixed Price task order but shall not exceed the maximum profit rate provided by the Offeror in Table 3, “Maximum Profit.” The maximum profit shall be binding for the life of the contract, to include all option periods and extensions, and shall be the maximum profit the Contractor will be allowed to propose for all firm-fixed-price task orders and modifications issued under this contract.
1.2.2 The Contractor may propose a lower profit when responding to a RTOP (or subsequent modifications) based on the tasks identified in the request and the risk associated with the project.
1.2.3 The maximum profit on this contract shall be provided by the Offeror in Table 3:
Table 3: Maximum Profit
2. Cost Reimbursable Task Orders
The contractor shall have the ability to support cost reimbursement task orders (i.e., an adequate cost accounting system for determining costs applicable to the contract order and acceptable purchasing system). The Government reserves the right to request a Defense Contract Audit Agency DCAA Audit prior to or after contract award.
Additionally, each cost reimbursable task order issued will be subject to DCAA Audit.
2.1 Accounting System
The contractor will use DCAA approved forward pricing rates or Certified Public Accountant (CPA) established cost pools in accordance with FAR Part 31 for applied Overhead, G&A, and other indirect applied rates, and shall have an accounting system that is in compliance with Cost Accounting Standards (CAS) [large business firms only] and Generally Accepted Accounting Principles (GAAP).
2.2 Fixed Fee
Fixed Fee will be negotiated on each cost reimbursement task order. In no case can the fixed fee exceed the statutory limit of 10% for cost reimbursement task orders, in accordance with Federal Acquisition Regulations 15.404-4.
2.2.1 The maximum Fixed Fee shall be provided by the Offeror in Table 4, Maximum Fixed Fee, and is binding upon contract award for the life of the MATOC, to include all option periods and extensions. These rates are applicable to both task orders and modifications.
Table 4: Maximum Fixed Fee
3. Binding Capped Rates for Firm Fixed and Cost Reimbursable Task Orders
The Binding Capped Rates represent the maximum Overhead, G&A, or other Indirect rates that the Contractor shall use when responding to a RTOP issued by the Government. These rates are applicable to both Firm Fixed Price and Cost Reimbursable contracts and shall also apply to all modifications. The Offeror may use lower rates in proposals, but not higher.
3.1 The Binding Capped Rates shall be the maximum applied OH, G&A and other indirect rates used for the duration of the contract. The Binding Capped Rates will not be adjusted upward as a result of an audit of the contract or the follow-on task orders. The Contractor should use the actual labor rate(s) paid to the employee(s) for each discipline with the applied Binding Capped Rates for OH, G&A and other indirect rates. A Contractor can propose lower OH, G&A and other indirect rates for a specific task order; however, those proposed lower rates become the binding capped rates for that specific task order. The proposed task order indirect rates will not be adjusted upward as a result of an audit of the contract or the specific task order.
3.2 The Binding Capped Rates for this contract shall be provided by the Offeror in Table 5. The capped rates provided by the Offeror are binding upon contract award for the life of the MATOC, to include all option periods and extensions. These rates are applicable to both task orders and modifications, unless adjusted in accordance with paragraph 3.1.
Table 5: Binding Capped Rates
Overhead Rate
4. Department of Labor Wage Rates
The appropriate Department of Labor Wage Determination/Decision will be provided for individual Task Orders issued against the contract.
5. Travel
The Contractor shall perform all travel and attend all meetings necessary for completion of the work required by the Task Orders. Per Diem (lodging and MI & E expenses) shall be paid at the current Government rates in accordance with the Federal Travel Regulation (FTR) per person per calendar day spent in travel status. No per diem will be paid for travel less than the number of hours per day stated in the current FTR. Per Diem rate information may be obtained at http://www.defensetravel.dod.mil/. Actual cost of transportation by public conveyance (plane, limited to coach class) shall be paid. Air travel shall (if possible) be planned in advance in order to acquire the best prices available. Privately owned vehicles shall be paid at the current Government mileage rate in accordance with the FTR. The maximum amount paid for an airline ticket shall be the cost of travel via coach class.

3 Tab 3 Key Personnel 6 (each resume shall be no more than 2 pages)
4 Tab 4 Technical Approach to the Sample Project
8.2.1 All text shall be at least 10 pt. font and easily read. All text shall be typed and single-spaced and each page shall be 8-1/2 by 11 inches.
8.2.2 The following items are excluded from the Factor 2-page count:
A letter from DCAA approving the Offerors purchasing system would be excluded as described in Factor 2
The Offeror’s organizational chart can be 11x17 inches but is included in the page limitations as one (1) page as described in Factor 2.
8.2.3 Each page should contain the following information in the top and bottom margin. Exact placement (center, off-center, left, right, etc.) and sequence of presentation is at the discretion of the Offeror.
Page number. Pages for each factor should be separately and sequentially numbered (i.e., the first page submitted for evaluation of each factor should be “Page 1”). This includes all pages for Factor 1; while there is no page limitation for Factor 1, the page numbers are needed by the Government for reference during the selection process.
Factor number and title. For example, “Factor 1 – Past Performance.”
Solicitation Number

Disclosure information can be placed in the bottom margin.
8.3 Top, left, right, and bottom margins should be no less than 1”. No information should be included in any margin, except as required in Paragraph 5, above. Past Performance evaluations are exempt from this requirement.
Information contained within margins, other than what is required by the Government, will not be reviewed. Page limitations are per factor, i.e., an Offeror may not reduce the page count for one factor in order to submit additional pages for another factor.
8.3.1 For Factors 2, 3, and 4, pages that exceed the page limitations for any factor will not be reviewed and the information contained on those pages will not be considered for evaluation. Note that including required information on a page that exceeds any of these limitations, and which is therefore not reviewed, may cause a Factor to be rated as Deficient. For Factor 1, there is no overall page limitation; however, for individual project submissions exceeding 2 pages, only the first two pages will be reviewed; project submissions exceeding first five (5) will not be reviewed, and for narrative information submissions any information on pages in excess of one (1) page will be reviewed.
9 VOLUME I, TAB 1 – FACTOR 1: PAST PERFORMANCE
9.1 In this tab, the offeror shall submit information for a minimum of three (3) up to five (5) projects* that best demonstrates the offeror’s experience on projects that are similar in size, scope, and complexity similar to that described in Section 01 11 00. These highlighted projects will help the Government understand the recency and relevancy of the Offeror’s past performance and aid the Government in a confidence assessment. Note: To be considered, the project must have been completed by the offeror, i.e., not the offeror’s subcontractor.
9.2 In addition, the offeror shall provide a list of CPARS entries they feel are most applicable to this acquisition. The Government will review this list and other CPARS entries. No part of this submission restricts the Government’s rights to review past performance data from other sources, or limits what the Government can review from CPARS.
9.3 To be evaluated, each project must have been completed by the offeror within seven years of the date that proposals are due and must be accompanied by either a CPARS assessment or a PPQ.
9.4 The Government will not consider project submissions from the offeror in excess of the five requested projects. However, the Government will review additional CPARS assessments and PPQs, as appropriate, in order to review the offeror’s past performance data in a total offeror concept to gain a holistic understanding of the offeror’s performance record. Offerors are allowed to submit additional narratives to explain how the offeror has overcome any negative past performance data. Narratives must not be more than one (1) page. Narratives do not absolve the offeror of prior performance. Narratives provide the offeror an opportunity to frame prior poor performance. The Government will review this data and consider its content when reviewing past performance.
Narratives are also encouraged for example projects that may be missing requested elements (i.e. nearly complete projects, non-DOD project that still meets all the complexity requirements, etc) explaining to the Government why it should consider the project as a complete submission. The Government reserves the right to subjectively determine the impact of the content of the narrative and how it will impact the ratings.
9.5 *A maximum of five projects will be evaluated. If an offeror disregards these instructions and submits more than five projects, only the first five projects will be evaluated. Offerors should describe each project with enough detail to ensure that the Government can meaningfully assess the projects against the evaluation criteria described in the RFP.
9.6 For each project submitted, the offeror also shall provide past performance information.
9.7 Requirements applicable to every project example.
9.7.1 For the purposes of this solicitation, a project is defined as one of the following:
A single task order of an indefinite delivery/indefinite quantity (IDIQ) type contract at one site
A single task order of an indefinite delivery/indefinite quantity (IDIQ) type contract at multiple sites.
Work performed pursuant to a single stand-alone (non-IDIQ) contract at one site
Work performed pursuant to a single stand-alone (non-IDIQ) contract at multiple sites.
One specific task order of an indefinite delivery/indefinite quantity (IDIQ) type contract or a single stand-alone “C” type contract which has one specific past performance evaluation in CPARS or via completion of a PPQ.
Work pursued under multiple task orders of an ID/IQ type contract does not constitute a "project" within this definition. Work pursued under multiple stand-alone contracts does not constitute a project within this definition
9.8 Past project examples submitted for this factor shall have been awarded to the Offeror (either singly or as one of the participants in a Joint Venture (JV) named on the SF1442 for this solicitation (W9128F-21-R-0031)). The company shall have been the Prime Contractor for the past project, either singly or as a member of the Joint Venture to which it was awarded, or a teaming partner.

9.10 The project completion date shall have been within the past seven (7) years of the original (non-Amended) date that proposals are due. For the purposes of this solicitation, a project is considered complete when all construction is completed, the contractor has completely demobilized from the site, and all deliverables required by the contract or task order have been delivered and accepted by the Government. It is not necessary for the contract to be administratively/financially closed out. However, a project example must have a CPARS or PPQ associated in the submission. If a project is incomplete, yet the offeror wishes to submit the project as recent experience, in addition to a PPQ, the offeror must provide a narrative (see paragraph 9.4 above) explaining to the Government why it should consider the incomplete project. The Government will assess the explanation and make a sole determination whether or not the project should be considered.
9.11 Work shall have been performed within the United States, to include Hawaii, Alaska, and Outlying Areas as defined in by Federal Acquisition Regulations (FAR) 2.101. Projects performed in foreign countries, to include those at U.S. military installations or other U.S. facilities in foreign countries, are unacceptable.
9.12 The primary scope of work for the submitted project experience shall be directly related to the work identified in the Summary of Work, Section 01 11 00.
9.13 Contract/task order final cost shall be a minimum of $500,000. “Final cost” means the amount of costs the Offeror was reimbursed by the Customer, including the associated fee for the contract/task order. For task orders, the “final cost” amount is the award amount of the task order, not the parent contract.
9.14 The Government will review past performance data for recency and relevancy considering the following work factors. Offerors are encouraged to highlight their prowess and capabilities in the sample submissions to ensure the Government is aware of the offeror’s capabilities in meeting similar elements of work:
9.14.1 Cost-Reimbursement: Cost-reimbursement types of contracts provide for payment of allowable incurred costs, to the extent prescribed in the contract. These contracts establish an estimate of total cost for the purpose of obligating funds and establishing a ceiling that the contractor may not exceed (except at its own risk) without the approval of the contracting officer. A cost-reimbursement contract requires the contractor to have an adequate cost accounting system for determining costs are applicable to the contract. Time and Materials contracts, Labor-Hour Contracts, Letter Contracts, and Fixed Price contracts with cost reimbursable line items ARE NOT acceptable Cost- Reimbursement projects. Contracts or task orders awarded by companies which operate federal governmental facilities are not acceptable. Project example(s) submitted can be from the Offeror who performed the project as a Prime Contractor, JV participant, or Teaming Partner or from the Offeror’s proposed JV.
9.14.2 Time Sensitive: Projects that required mobilization within 45 days after Notice to Proceed. Project example(s) submitted can be from the Offeror who performed the project as a Prime Contractor, JV participant, or Teaming Partner or from the Offeror’s proposed JV.
9.14.3 Infrastructure or Levee Repairs: Repair, renovation, reconstruction, or construction of infrastructure or levee project that had a total contract value (including modifications) greater than or equal to $500,000. Project example(s) submitted shall have been performed by the Offeror as a Prime Contractor. Work performed as a subcontractor (including subcontractors under a teaming partner arrangement) is not acceptable.
9.15 Each project example submitted should include the following information, presented in this order:
Customer (agency, military branch, state, city, etc.)
Contract and (if applicable) task order number, at award
Contract/task order title
Contract/task order award date

Individual Point of contact for the customer/client.
Name
Title
Role (Contracting Officer, Program Manager, etc.
Mailing address
Phone number (work
Email address
Description of the work performed
Explanation of how the work performed is relevant to this solicitation
9.16 If the Government/Customer contractually required your firm to mobilize within a certain number of hours or days from contract award or NTP, state the required response time and the time your company actually took to mobilize. Otherwise, state “No mobilization timeline requirement.”
9.17 The Government reserves the right to verify information on the project, and if the Government cannot verify the information, it may discount the project information, which could negatively affect the technical rating for this factor.
9.18 NOTE: If an Offeror includes an affiliation of a company with a named offeror, then the proposal must include a factual basis showing the planned relationship between the companies on the contract at issue, i.e. the proposal must indicate the involvement of the affiliate in performance of the contract before the agency can attribute the affiliate’s past experience or performance to the offeror.
9.19 If a completed Contractor Performance Assessment Reporting System (CPARS) evaluation is available, submit it with the proposal. If there is not a completed CPARS evaluation, submit a completed Past Performance Questionnaire (PPQ) for the project. The standard PPQ for USACE is Form PPQ-0 (9/30/11) and it is provided as an attachment to this solicitation. Offerors are advised to ensure correct phone numbers and email addresses are provided for the client point of contact. Do not submit a PPQ when a completed CPARS evaluation is available.
9.20 If the Offeror is unable to obtain a completed PPQ from a client for a project(s) before proposal closing date, the Offeror should complete and submit with the proposal the first page of the PPQ, Offerors should follow up with clients/references to ensure timely submittal of questionnaires. If the client requests, questionnaires may be submitted directly to the Contract Specialist, prior to proposal closing date. Offerors shall instruct the clients to refer to the solicitation number in the subject line. PPQs are source selection materials. All successfully submitted PPQs will receive an email confirmation upon receipt. If the offeror does not receive the confirmation, it is the offeror’s responsibility to follow up to ensure the Government has received the information. The Government reserves the right to contact the personnel listed on the PPQ. The inability to validate the information on the PPQ will affect the Government’s evaluation. Offerors shall not incorporate by reference into their proposal PPQs or CPARS previously submitted for other procurements. However, this does not preclude the Government from utilizing previously submitted PPQ information in the past performance evaluation. Offerors may provide explanation on problems encountered on past projects and the corrective actions taken by the offeror see paragraph 9.5 of this section. In the event that a formal past performance evaluation has not been completed via CPARS, or CCASS, the Past Performance Questionnaire (Form PPQ-0, Attachment 1) is provided for the Offeror or its team partners to submit to the client. The PPQ should be completed by an owner or owner’s representative not affiliated with your firm. Ensure correct phone numbers and email addresses are provided for the client point of contact.
9.21 Completed PPQs shall be submitted with your proposal or to the designated personnel listed below prior to the Phase 1 proposal due date. Offerors should follow-up with clients/references to ensure timely submittal of questionnaires. If the client requests, questionnaires may be submitted directly to the designated Government's point of contacts, via email at tyler.hegge@usace.army.mil, john.d.hickman@usace.army.mil, and ericka.t.collins@usace.army.mil prior to proposal closing date. The Government may utilize utilizing previously submitted PPQ information in the past performance evaluation.
9.22 Do not submit PPQs for projects evaluated via CPARS or CCASS. In the event an Offeror submits a PPQ for a project for which a CPARS evaluation is available, the CPARS evaluation will be considered authoritative.
9.23 In addition to the above, the Government may review any other sources of information for evaluating past performance. Other sources may include, but are not limited to, past performance information retrieved through the Past Performance Information Retrieval System (PPIRS), including CPARS, using all CAGE/DUNS numbers of team members (partnership, joint venture, teaming arrangement, or parent company/subsidiary/affiliate) identified in the offeror’s proposal, inquiries of owner representative(s), Federal Awardee Performance and Integrity Information System (FAPIIS), Electronic Subcontract Reporting System (eSRS), telephone interviews with organizations familiar with the offeror’s performance, Government personnel with personal knowledge of the offeror’s performance capability, and any other known sources not provided by the offeror. While the Government may elect to consider data from other sources, the burden of providing detailed, current, accurate, and complete past performance information rests with the offeror. The Government reserves the right to contact any and all individuals identified in the projects submitted. It is the responsibility of the Offeror to provide current contact information for the individual identified therein. The Offeror may provide additional points of contact (POCs) with the customer (prime contractor, if appropriate). The POC information should include the POC’s title, telephone number and e-mail address. The POCs may be contacted to validate the information provided.
9.24 The Government intends to assess the relative risks associated with the Offeror's performance based on the past performance information provided in the proposal. A significant achievement, unexplained or unresolved problem, or lack of relevant data may significantly impact the risk rating by the Government. Therefore, it is incumbent upon the offeror to include all relevant information, including demonstrated corrective actions, in its proposal.
