Failure to do so may result in an Offeror being excluded from consideration for award.

The hourly burdened labor rates proposed by the Offeror shall include direct cost, payroll taxes, insurance, benefits, and any applied markups such as overhead and G&A, but shall exclude profit. Offerors shall provide an example of how the markups are applied to the unburdened labor rates in Volume II.

Offerors may not have all labor disciplines covered by its personnel therefore, if those personnel are subcontracted, their rates shall be provided in the table as well. All subcontracted personnel shall be identified on the table by including “SUB” after the title of the discipline.

Hourly burdened labor rates proposed in Section B will be legally binding and will be the maximum rate the Offeror shall use for all firm fixed price task orders and firm fixed price task order modifications issued during the life of the contract.

The Government reserves the right to request information other than certified cost or pricing data from the Offerors in order to assess the reasonableness of the proposed labor rates.

The Government requests the offeror to supply a Microsoft Excel file of their Schedule B in addition to the rates found in their signed propsoal in order to help expedite the review/analysis process. A template Schedule B file can be found as an attachment to this RFP (Am 0001).

The Binding Cap Rates will be legally binding and shall be the maximum rates that the Offerors will use on all task orders and modifications issued during the period of performance of the contract (base and option terms) for both firm fixed price and cost reimbursement task orders. NOTE: Depending on an Offeror's accounting structure, an Offeror may have just a G&A rate and not Home Office Overhead; or both. The intent is to provide Offerors the flexibility in proposing a rate for both if their accounting structure permitted. If an Offeror only has one rate (e.g. Home Office Overhead) and not the other (e.g. G&A), they can mark the G&A as not applicable in the Binding Cap Rate Schedule.

The cost pools shall be in accordance with the Offeror’s most recent audited rates, if available.

If the Offeror has been audited within a year of the proposal submission date by Defense Contract Audit Agency (DCAA), the Offeror is instructed to provide a copy of the audit, to include, if available, any other rate information received from the Administrative Contracting Officer of the cognizant audit agency. The Offeror will not be required to provide the breakdown of each of their cost pools.

If the Offeror does not have a recent audit, the Offeror shall provide detailed information showing cost accounts included in each of their cost pools in order to explain all overhead rates, G&A markups, labor burden (fringes), and any other pools. The composition of the base on which the pool is distributed shall also be shown. An example of a G&A expense rate computation is listed below and may be used as a guide. 5.3.3. Binding Profit/Fixed Fee Rate Cap. The Offeror shall complete the Binding Profit/Fixed Fee Rate Schedule (refer to Section B) in its entirety.

The proposed profit/fixed fee capped rate will be legally binding and shall be the maximum profit/fixed fee rate the Offerors will be allowed to use on all task orders, modifications, and any other contract actions issued during the period of performance of the contract (base and option terms). The Offeror may propose a lower profit or fixed fee than the cap on individual task orders, depending upon project risk.

The Offeror shall propose a single cap for profit and a single cap for fixed fee. The Offeror shall not propose separate maximum rates for subcontractors or Joint Venture partners. The Offeror shall not submit different maximum rates for self-performed work and subcontracted work.

5.3.4. Cost Spreadsheet

The hours included in the Cost Spreadsheet represents an estimated number hours expended annually for each of the labor disciplines based on historical contract information and anticipated level of contingency support that may be required. These hours are not contractually binding and are used only for cost evaluation purposes.

2. The Offeror shall utilize the Unburdened Burdened (Am 0003) Hourly Labor Rates proposed in Section B Table 1 for each of the respective years identified in the Cost Spreadsheet. For the purposes of the Cost Spreadsheet, the Offeror shall not discount their Unburdened Burdened (Am 0003) Hourly Labor Rates.

3. The Offeror shall utilize the Binding Cap Rates proposed in Section B for each of the respective years identified in the Cost Spreadsheet. For the purposes of the Cost Spreadsheet, the Offeror shall not discount their Binding Cap Rates.

4. The Offeror shall utilize the maximum fee rate proposed in Section B. For the purposes of the Cost Spreadsheet, the Offeror shall not discount their maximum fee rate.

5. Failure to complete the Cost Spreadsheet in its entirety may result in an offeror being excluded from consideration for award.

6. The template currently compounds the indirect rates with the following formula: Unburdened rate * (1+fringe %) * (1+OH%) * (1+G&A%) = Burdened rate. If this does not match your company's burdening formula, which should be provided with Table 1 in the proposal, the cost spreadsheet template will need to be adjusted.

(Am 0003) The Government will evaluate the impact of indirect markup on ODCs in the Cost Spreadsheet to validate that the maximum rate(s) in Table 2 are accurately applied during the realism analysis. All indirect rates listed in the Cost Spreadsheet shall be included in Table 2 or the proposal, including the binding markup(s) for ODCs including 0% when applicable.

In order to be awarded a contract with cost reimbursement capabilities, the Offeror will provide information that demonstrates its accounting system is adequate for determining costs applicable to the contract or order. If the Offeror has a recent Defense Contract Audit Agency (DCAA) accounting system audit, the Offeror must provide the audit with its proposal. If the Offeror does not have a recent DCAA accounting system audit, the Government must make an assessment of the cost accounting system prior to contract award in accordance with FAR 16.103- 1.

The Offeror shall have an accounting system that is in compliance with FAR Part 31, in compliance with Generally Accepted Accounting Principles (GAAP), and in compliance with Generally Accepted Government Auditing Standards (GAGAS). The Offeror shall have the ability to support cost reimbursable task orders (i.e., an adequate cost tracking system, an adequate estimating system and an adequate purchasing system). In addition, each cost reimbursement task order issued under this contract will be subject to DCAA audit.

For cost reimbursement type task orders, the contractor will use DCAA approved forward pricing rates, if available.

Profit will be negotiated on individual cost reimbursable task orders issued. The contractor will also provide a cap for Overhead, G&A and other indirect costs for the entire contract period which will be incorporated into the contract. *Note – Fixed Fee will be negotiated for each specific Task Order.

5.4 Volume II, Tab 4: Audit Information (Not Evaluated). The Offeror shall provide the most recent Defense Contract Audit Agency (DCAA) (preferably within the last year) audit report/findings/letter and point of contact with phone number or e-mail address. The information should support that the Offeror’s accounting system has been approved and is adequate for cost-reimbursable contracts. If it has been over 12 months since the accounting system has been approved, the Offeror shall also provide a statement that the accounting system has not changed since being approved.

If the accounting system has changed, the Offeror shall provide a letter from the audit agency stating that it is currently going through the approval process and provide a point of contact and phone number of person conducting the audit from the cognizant audit agency. The Contracting Officer reserves the right to contact the Offeror’s cognizant audit agency to verify that the accounting system is still approved and adequate for cost reimbursable contracts. Overhead, General and Administrative (G&A) costs, FCCOM, and any other cost pools shall be in accordance with the Offeror’s recent, within the last year, Federal/State audited rates, if available.

If the Offeror has had an audit within the last year, the Offeror is instructed to provide a copy of the audit and any other rate information from the Administrative Contracting Officer of the cognizant audit agency and will not be further analyzed.

If the Offeror does not have a recent Federal/State audit, the Offeror shall provide a Certified Public Accountant (CPA) statement stating:

b. The Offeror’s accounting system is in compliance with Generally Accepted Accounting Practices (GAAP) and Generally Accepted Government Auditing Standards (GAGAS) and the accounting system is adequate for determining costs applicable to the contract and/or order.
