About this file
This document is a Questions and Answers (Q&A) file for a U.S. Army Corps of Engineers (USACE) Simplified Acquisition Task Order Contract (SATOC) for partnering facilitation services. The contract will have a base year and option years, with a total capacity of $999,999 over three years. Task orders will be awarded based on specific project needs, and can include initial partnering sessions, follow-up sessions, issue resolution, and potentially training sessions. Pricing will be structured at the task order level, with a fixed "Facilitator Hourly Rate" for the base and option years.
Key details include: contractors must provide their own virtual meeting platforms, venues will typically be provided by the government, and travel will be priced separately for each task order. Contractors are expected to submit three past performance citations, with the option to include subcontractor performance with a Letter of Commitment. The contract requires the same facilitator to lead initial and follow-up sessions unless approved otherwise. Biographies and resumes may be required at the task order level, and the contract manager is considered key personnel but does not need to be identified in the initial offer.

1 N/A N/A N/A
Definition of “Job”: Could you clarify how the Government defines a “job” for pricing purposes? Does this correspond to a single task order, a single partnering session, or the entire period of performance?
For the base SATOC, "Job" is how USACE established a SATOC IDIQ contract for the Base Year and Option Year. The only price that will be contracted for the Base Award is the "Facilitator Hourly Rate" for the base year and option years, to be used on all Task Orders. For Task Orders, a unit of measure of "Job" means that payment will be made for all labor, equipment, supplies, and personnel to accomplish said Task.
2 N/A N/A N/A
Duration of a Job: If a “job” corresponds to a task order, is there a standard or assumed duration (one year, or a defined number of workshops) to be factored into the per-job price
A job will correspond to specific tasks on each Task Order; see Example Task Oder.
3 N/A N/A N/A
Workshops vs. Jobs: The sample task order outlines multiple workshops. Should costs for all workshops be rolled into a single per-job price, or should each workshop be considered its own engagement under the “job” structure?
Each Task Order will be priced as its own contract. See updated Attachment B - Pricing Spreadsheet 05 Sept 2025 that correctly correlates the workshops in Section 2 with the CLIN structure in Section 5.
4 N/A N/A N/A
Venue Costs: For CLINs where the Contractor is required to secure a venue, should those costs be included in the per-job price, or will they be reimbursed separately?
Venue pricing should be included in the Task Order CLIN price associated with the Task the venue is for.
5 N/A N/A N/A
Travel Reimbursement: The sample task order anticipates travel to Coos Bay, OR. Should travel be priced into the fixed per-job rate, or will actual travel costs be reimbursed separately in accordance with
FTR?
Travel will be priced separately for each Task Order. Contractors do not receive government rates directly but are nonetheless restricted to the maximum rates established by the Federal Travel Regulation (FTR), Joint Travel Regulation (JTR), or other standardized regulations, as referenced in FAR 31.205-46. Actual payment to the contractor cannot exceed these rates for reimbursement purposes, even if the contractor paid a higher actual cost.
6 N/A N/A N/A
Can a subcontractor Past Performance citation can be counted as part of the three required Past Performance citations?
If a subcontractor's Past Performance is provided as part of the three Past Performance projects to be used for the government's assessment of the contractor's technical merrit, the offeror must submit a Letter of Commitment from the subcontractor on the letterhead of the firm to be subcontracted. The LOC must be signed by an authorized individual from the subcontractor that is proposed to perform the work.
7 N/A N/A N/A
If using a subcontractor, is the subcontractor required to submit a Past Performance citation? If so, does it count toward the three required Past Performance citations?
It is not required that the subcontractor provide a past project for evaluation. All projects submitted count towards the max 3 allowed. If more than three projects are submitted, the government will only review the first three.

How does the Government define a “customer complaint” for purposes of performance evaluation?
The Government will consistently seek feedback from participants in the Partnering sessions.
